2 Sale, delivery and payment term 1. Applicability: Thee ale, delivery and payment term (hereinafter the Term ) apply to all offer, order and deliverie upplied by JKF Indutri A/S, CVR no (hereinafter JKF Indutri ) to any cutomer (hereinafter the Buyer ) (hereinafter collectively referred to a the Partie ), unle exprely agreed otherwie. JKF Indutri cannot be bound by term applied by the Buyer, including purchaing term, even if JKF Indutri ha not objected to uch term. 2. Offer All offer are made ubject to the good being unold. If JKF Indutri make an offer that doe not tipulate a pecific time for acceptance, the offer will expire if not accepted by the Buyer within 30 day of the date of the offer. 3. Price All price are tated in KK excluding VAT, cutom dutie, taxe, tranport cot and all other cot which are the reponibility of the Buyer ariing from the contractual EXW claue (ee below). Price are tated in EUR excluive of the aforementioned cot for Buyer located in countrie, which are member of the European Economic and Monetary Union (the Euro). 4. Sale and delivery term Payment term are current month + 20 day net calculated from the date of invoice unle otherwie agreed in writing. If payment i made after the due date and the delay i no fault of JKF Indutri, JKF Indutri i entitled to charge interet on the um outtanding a from the due date, at a rate equivalent to 1.5 % per month or part thereof. The Buyer i not entitled to offet any counterclaim againt JKF Indutri unle exprely agreed in writing by JKF Indutri, and doe not have the right to withhold any of the purchae um by reaon of counterclaim of any kind. 5. Retention of title For Buyer in the United Kingdom: The good hall remain the property (i.e. title) of JKF Indutri until: (ii) the full price for them i paid; and (ii) all um for any other good or ervice then properly due and payable from the Buyer are paid to JKF Indutri. JKF Indutri may at any time attribute any money received by it from the Buyer in any order a JKF Indutri may decide. Until uch payment, the Buyer hall hold the good on a fiduciary bai a the bailee or depoitory of JKF Indutri, and hall not dipoe of them. However, ubject to JKF Indutri prior written conent, the Buyer may on the Buyer own account ell the good to any cutomer but hall not do o after any tep i taken or made for any compoition or arrangement with creditor generally, liquidation, winding-up, diolution, adminitration, receiverhip or bankruptcy of the Buyer. If any uch tep occur, or JKF Indutri reaonably expect that uch a tep i oon to occur, or any payment due to JKF Indutri from the Buyer become overdue, JKF Indutri may by written notice terminate the Buyer right (if any) to ell the good and JKF Indutri may then recover uch good and for that purpoe enter any premie, ubject to the Buyer continued liability to pay the price for the good. If the item ha been old with a view to later being built into or joined to other object, the item old i not covered by the right of retention once uch intallation or joining ha taken place. JKF Indutri reerve the right within the limitation of mandatory law to retention of title to the item old until payment for the entire purchae um, plu any cot incurred, ha been made to JKF Indutri. The ue of EXW mean that the good are deemed to have been delivered and the order fulfilled from the moment they are made available for collection by the Buyer from JKF Indutri addre. Unle otherwie agreed in writing between the Partie, JKF Indutri i authoried to order tranport on the uual term on behalf of the Buyer. The Buyer, will continue to bear the rik for arranging tranport, and if it cannot be arranged, the good will be deemed to be delivered from the time at which JKF Indutri tate the purchaer can collect them. Regardle of which of the Partie ha ordered it, hipping will alway be at the rik and expene of the Buyer. Tranport inurance (if any) will be the reponibility of the Buyer. The delivery claue (EXW) agreed between the Partie i to be interpreted in accordance with the INCOTERMS current at the time of igning the agreement (currently INCOTERMS 20). The delivery date i et by JKF Indutri according to the bet judgement, and if thi cannot be kept to, the Buyer will be informed accordingly, with when, a far a poible, delivery can be expected to take place. Any delay doe not give the Buyer the right to cancel the ale and/or claim any form of financial compenation from JKF Indutri. 7. Packaging Packaging may only be returned by prior written agreement. Return of packaging i at the Buyer own expene and rik. The Buyer packaging will be credited after reception and approval by JKF Indutri. 8. Product information and confidentiality All illutration, technical drawing and brochure iued by JKF Indutri before or after the contract have been entered into remain the property of JKF Indutri and mut be returned to JKF Indutri on requet. Such material mut be treated with trict confidentiality and cannot be ued, copied or paed on without written agreement, or abued in any other manner. The Buyer undertake to generally oberve confidentiality concerning all apect of JKF Indutri known to the Buyer a a reult of the information the Partie have exchanged in the coure of their dealing. Breach of thi proviion by the Buyer hall incur a fine payable to JKF Indutri of KK 75,000. The fine hall be payable for each breach of the proviion, and if the breach conit of continuation of a previou breach, the fine hall be payable for each 14 day period of continuation or part thereof. Payment of a fine hall not relieve the Buyer of the above obligation, nor prevent or contrain JKF Indutri from claiming compenation for any lo JKF Indutri may have incurred ariing from the breach, in that payment of the fine by the Buyer hall not be included in calculation of JKF Indutri lo. In addition to the above, JKF Indutri i entitled to take out an injunction. 9. Liability for defect and deficiencie and warranty claim Upon receipt of the good old at the Buyer addre, the Buyer hall immediately perform a thorough examination of the good, including quantity and pecification. Should the Buyer wih to claim for any defect or deficiencie, including with regard to the quantity or pecification delivered, which the Buyer ha or hould have dicovered in the coure of thorough examination of the good, a written claim hall be ubmitted to JKF Indutri without undue delay and within 14 day of receipt of the good at the Buyer addre. JKF Indutri i entitled to reject any claim received after the expiry of the period tated above. JKF Indutri warrant performing redelivery/remedy of good which are defective or deficient due to material or manufacturing error for good which the Buyer ha not nor hould have dicovered by thorough examination for a period of conecutive month after delivery. However, the Buyer hall ubmit a claim to JKF Indutri immediately if dicovering uch defect or deficiencie. efective or deficient good will either be remedied or replaced within a reaonable period of time at JKF Indutri dicretion. Modification/interference with the good without JKF Indutri written conent releae JKF Indutri from any obligation. Remedy/redelivery by JKF Indutri of element of a delivery hall be on the ame term and condition a for the original delivery, including thoe tated in item 6. JKF Indutri obligation to remedy or redeliver doe not, however, apply to any part of an order more than 1 year after delivery to the Buyer. Once liability for the order ha been tranferred to the Buyer, JKF Indutri bear no reponibility for any defect over and above the obligation pecified in thi proviion.. Force majeure The following circumtance are intended a example of event reulting in exemption from liability hould they prevent fulfilment of the contract: Indutrial dipute, trike, lockout or any other circumtance beyond the control of the partie, uch a fire, war, mobiliation, unforeeen military call-up, act of abotage, requiitioning, confication, currency retriction, import ban, export ban, riot, unret, fuel hortage, general carcity of good, retriction in power upplie and defect in deliverie from ub-upplier or delay with uch deliverie a a reult of any of the aforementioned circumtance. It hould be pecifically noted that the above i not an exhautive lit of example, and there may be other example that come under limitation of liability. If delivery i temporarily delayed by one or more of the aforementioned circumtance, the delivery date will be correpondingly potponed. If delivery i prevented for more than week, JKF Indutri i entitled to cancel the relevant contract without liability. 11. Return Item old can only be returned by prior written agreement, and upon obtaining a returned good order number. Return will be at the Buyer expene and rik and hould include JKF Indutri invoice number and the date of the original delivery. Returned good will be credited once they have been inpected and approved, normally to the value of 85% of invoice price (unle otherwie agreed in writing), le any cot incurred by JKF Indutri for inpection, preparation or repair. If JKF Indutri i charged for hipping cot etc., JKF Indutri i alo entitled to demand thee be refunded by the Buyer and to offet thee againt any claim by the Buyer againt JKF Indutri.. Product liability JKF Indutri i not liable for damage to property or effect that occur while the item i in the poeion of the Buyer. Neither i JKF Indutri liable for damage to product manufactured by the Buyer or to product of which thee form a part. JKF Indutri i not liable for any operating lo, lot earning or other indirect lo. To the extent that product liability may be impoed on JKF Indutri with regard to third partie, the Buyer i obliged to compenate JKF Indutri to the ame extent that JKF Indutri liability i limited a per the above. Thee limitation to JKF Indutri liability do not apply if JKF Indutri i guilty of gro negligence. If a third party put forward a claim againt one of the Partie for compenation with reference to thi point, that party mut immediately inform the other party. The Buyer can be ued at the ame court that handle any claim for compenation againt JKF Indutri, in conequence of damage alleged to have been caued by one of JKF Indutri deliverie. JKF Indutri product liability can never exceed the cover JKF Indutri ha for product liability inurance. 13. Compenation Notwithtanding the above, JKF Indutri cannot be held liable for any indirect lo uch a operating lo, conequential lo, lo of profit etc., which a defect or deficiency could caue the Buyer or a third party, including indirect lo etc., ariing a a reult of delayed delivery or defect/deficiencie in the good old. Any compenation claim againt JKF Indutri cannot exceed the invoice value for the good old. 14. Invalidity Should one or more of the proviion in thee term be deemed invalid, illegal or nonapplicable, the validity, legality or applicability of all other proviion hall not be affected or leened a a reult thereof. 15. Juridiction and court of venue All dipute between the partie hall be ettled under anih Law including the anih Sale of Good Act, but with the exception of anih juridiction rule. The International Sale of Good Act (CISG) hall neither be wholly nor partially applied. Any dipute regulated by the term hall be reolved by arbitration at the anih Intitute of Arbitration, according to the intitute rule, which apply when an arbitration cae i brought with the amendment tated below. However, the Partie agree that the arbitral tribunal hall conit of 3 member, of whom each party will appoint one member, and the anih Intitute of Arbitration will appoint the tribunal chairman. If a party fail to appoint a member within 14 day of being requeted to do o by the anih Intitute of Arbitration, the intitute will appoint a member on behalf of that party.
