From 0 to m, 1,0% drop (10 mm per m). 4. Straight pipe/main pipe is laid with min. 1,0% drop against front tank. NB! Remember before 1st use: Wash the pipeline and test for tightness. 15 TERMS OF SALE AND DELIVERY Below mentioned general terms of sale and delivery shall apply to all deliveries and orders, unless otherwise agreed in writing between the parties. 1. Consulting and quotations: Proagria consults purchaser within own field of experience and according to best knowledge on time of consulting, but make reservation to the fact that later acquired knowledge can result in other solutions. 1. Consulting is based solely on the information/details given to Proagria by purchaser. 2. Orders: Proagria s work includes only the, in the order confirmation specified, parts. Any drawings, illustrations as well as technical data in catalogues etc. are only intended as guides and Proagria shall not be liable for any errors or misunderstandings in this material. Is Proagria s order confirmation not consistent with purchasers order, purchaser shall immediately complain. Otherwise purchaser will be bound by the contents of the confirmation. 3. Prices: Prices in quotations, order confirmations and contracts are current prices, unless the order is included in a binding quotation, exclusive of Value Added Tax and any other tax or duty and mounting/assembly. Proagria reserve the right to alter prices in case of considerable alterations in costs of production, wages, raw materials, subsidiary contractors as well as rates of exchange. 4. Delivery: Delivery dates are stated in written order confirmations, and when the goods have arrived on delivery address. Terms of delivery are ex works according to Incoterms 90, unless otherwise agreed in writing. Delivery is considered made, when purchaser is in possession of the goods or the goods are put in charge of first carrier. The ordered goods are delivered and unloaded on a beforehand agreed place, that is passable and accessible for carriage. 5. Terms of payment: Payment must be made according to current terms or 14 days net from date of invoice. Purchaser is not entitled to set-off any counterclaim that is not acknowledged by Proagria. Returning of ordered goods takes place only when pre-agreed and within 1 month. 80% of invoiced value will be credited. Custom-made goods are not accepted returned. Proagria reserves ownership of the goods, until full amount including interest has been paid possibly by bills or other documents. Purchaser is under obligation to keep the goods insured against fire for the full value. Provided that payment has not been made on time of fire, insurance sum will go directly to Proagria. 6. Complaints: Complaints about defects and damages concerning a delivery must be made immediately, and without needless delay after defect is established and at the latest 5 days after receipt of delivery. Returning of goods is only accepted when pre-agreed in writing. Purchaser must not approve consignment notes or similar notes by receipt of damaged goods, if so it is at purchasers own risk, as receipt is then accepted. Proagria s liability for defective delivered goods is limited to replacement of or compensation for the defective parts. Compensation can not exceed purchase price of defective parts. Proagria is not liable for loss of profits or loss of time and will not compensate for other direct or indirect losses. 7. Product liability: Proagria is only liable for damages, provided that it is established, that the damage is caused by errors and neglect by Proagria. Proagria has in Denmark taken out a policy for product liability, for respectively person and object damages, and can not in a single case be meet by a claim for compensation, which exceeds the amount in the policy. Provided that Proagria should be imposed with product liability against a third party for direct or indirect losses, which he has suffered at damaging occurrences, it is purchasers duty to, let himself sue at the court, which tries the claim for compensation made by the third party against Proagria on grounds of the damage, which the third party claims is caused by the delivery. 8. Force Majeure: Following circumstances results in exemption of responsibility, when they occur after entering into the contract and prevents its fulfilment. Work stoppage, strikes, lock out and any other circumstance, which Proagria not reasonably could have foreseen, e.g. fire, engine trouble, exchange restrictions, shortage of transportation as well as failing delivery from Proagria s main- and/or subcontractors. Loss of profit, loss of time and other indirect losses of profit will not be compensated for. 9. Drawings and specifications: All information on weight, dimensions, capacity, price, technical and other data given in catalogues, brochures, circulars, advertisements, illustrations and price lists are approximate and only binding as far as there is explicitly refereed to them. All forwarded drawings and specifications remains Proagria s property and must not without permission be copied, reproduced, handed over to or in any other way be brought to a third parties knowledge. Title concerning drawings and specifications, which Proagria finds necessary to enable purchaser to mount, start, run and maintain the delivery, passes on to purchaser. Proagria can though demand, that they be keep confidential. 10. Venue: Any disagreements in consequence of present terms of sale and delivery as well as interpretation of these must be settled according to Danish law, including customs and trade practice.
