Please note that over a perod of years the surface of melamne may wear and n tme ths may start to degrade ts vsual appearance. Such wear s more notceable on darker fnshes and s not a fault but a characterstc of all melamnes. For ths reason we do not recommend darker melamne fnshes for applcatons where hgh levels of surface abrason may be expected, and recommend the use of mouse mats wth all fnshes. Cable Access Ports are Black on Black tops, Whte wth Whte tops, otherwse Slate. Metalwork s avalable n Slate, Slva and Whte (RAL 9016). Selected components are avalable n Raw Steel (both Matt and Gloss). Fnsh colours prnted n our lterature or vewed on our webste cannot be reled on for colour accuracy: samples of all fnshes are avalable on request from our Customer Servce Department. Pedestals are ftted wth recessed drawer pulls. Storage unts are ftted wth handles, except vertcal tambour doors whch have ntegral fnger pulls. Dmensons are lsted n the order Wdth x Depth x Heght. All dmensons are nomnal. Mantenance X-Range furnture requres no mantenance, and cleanng should be carred out solely wth a damp cloth and soft duster. Spray and wax polshes must not be used. Fabrc upholstery should be vacuumed regularly wth approprate care. Leather upholstery should be cleaned wth a soft damp cloth. Avod placng leather upholstery n drect sunlght or close to heat sources such as radators. Packagng and delvery access X-Range storage unts and pedestals suppled assembled. Desks and most other tems suppled flat packed for assembly on ste. It s the purchaser s responsblty to ensure that buldng access s adequate before orderng: assembled tems cannot be dsmantled once manufactured. The B-pattern frame has twn uprghts formed from rectangular secton tube. A cable rser (n Slate only) may be added between the uprghts as an optonal extra. 40 XR Seatng GENERAL INFORMATION Upholstery specfcatons and care CMHR foam s used as standard on all products. Fabrc should be vacuumed regularly wth approprate care. Ths helps remove contamnants and grtty partcles that have an abrasve effect whch reduces the lfe of the fabrc. Leather should be cleaned wth a soft damp cloth. For more thorough cleanng use a mld soluton of pure soap flakes (not detergent or other chemcals), beng careful not to soak the leather. After cleanng, polsh wth a soft dry cloth. Do not apply polshes or waxes. Avod placng leather upholstery n drect sunlght or close to heat sources such as radators. Colour and fnsh of fabrcs and leathers Fabrc and leather colours may vary slghtly from batch to batch so exact matchng cannot be guaranteed between orders placed at dfferent tmes. GENERAL (a) Sven Chrstansen plc, herenafter referred to as Sven plc, provde all quotatons and accept all orders for the supply of furnture and goods as detaled n any quotaton and/ or order subject only to the terms and condtons whch follow and to the excluson of all other guarantees, condtons and warrantes (ncludng any as to qualty and ftness for any partcular purpose) whether express or mpled by statute or common law or otherwse. In the event of a purchaser s order contanng condtons such condtons are only bndng nsofar as they are not nconsstent wth Sven plc s terms and condtons as heren set out. (b) No addtons to or varatons from Sven plc s acknowledged prce or terms and condtons shall have effect unless such varaton or addton s expressly accepted by Sven plc n wrtng under the hand of a Drector. Sven plc s employees or agents are not authorsed to make any representatons unless confrmed by a drector of the company n wrtng. On orderng any goods and furnture and beng accepted by Sven plc the Purchaser acknowledges that the contract s entered nto ncorporatng the terms and condtons heren set out and t does not rely on and waves any clam for breach of any such representatons whch are not so confrmed. (c) Catalogues, prce lsts and other advertsng matter shall not form part of any contract between Sven plc and the purchaser. Any typographcal, clercal or other error, or error of omsson n any sales lterature, quotatons, prce lst or any other document or nformaton ssued by Sven plc shall not be bndng on Sven plc and shall be subject to correcton wthout lablty to Sven plc as vendor or provder. (d) No clams for loss or damage to furnture and goods, materals and purchaser s property, clams for bad workmanshp (save as set out below) or clams for furnture and goods nvoced but not receved, wll be consdered unless Sven plc s advsed n wrtng wthn 3 days from the date of fnal nvoce. In the event that a purchaser fals to gve the approprate notce and does not notfy Sven plc n wrtng wthn the specfed three day perod, the purchaser s clam wll deem to have been waved and the Purchaser wll be barred from makng any further or other clam n respect thereof. (e) Sven plc furnture s guaranteed for a perod of fve years aganst any defects resultng from faulty materals or workmanshp, or for three years n the case of movng parts, provded that: ) The furnture and goods have not been subjected to any unauthorsed repar or msused, abused or altered n any way whatsoever. ) The furnture and goods have been properly nstalled, connected and assembled (f such works were not carred out by Sven plc). ) Any fault or defect wth the furnture and/or goods s notfed n wrtng wthn three days of becomng evdent. v) The furnture and goods are returned approprately packaged, carrage pad, to Sven plc, unless expressly agreed otherwse by Sven plc. v) Sven plc shall be under no lablty n respect of any defect arsng from wear and tear, wlful damage, neglgence, abnormal usage or workng envronment, or falure to follow the manufacturer s or other provder s nstructons whether oral or n wrtng. v) Sven plc shall be under no lablty wth regard to any warranty or guarantee f the total prce of the furnture and goods was not pad by the due payment date as specfed n the Sven plc wrtten acceptance of the sad order. v) Subject as expressly provded for n these Terms and Condtons and except where the Furnture and goods are sold to a person dealng as a consumer (wthn the meanng of the Unfar Contract Terms Act 1977) all warrantes, condtons or other terms mpled by statute or common law are excluded to the fullest extent permtted by law. v) References to Purchaser shall mean n these terms and condtons the company entty or ndvdual orderng goods and furnture from Sven plc. 2. QUOTATIONS. Orders placed upon a quotaton whch has not been prevously wthdrawn are subject to confrmaton that Sven plc accepts t he same. Unless otherwse stated all prces quoted are deemed to be exclusve of VAT. Sven plc reserves wthout lablty, the rght to at any tme, reduce or wthdraw dscount terms and/or credt account facltes wthout notce, reference or explanaton to the Purchaser. 3. PRICES. Sven plc shall use reasonable endeavours to mantan prces quoted and/or detaled on ther order acknowledgement, but must reserve the rght to ncrease quoted prces accordng to any ncreases n costs whch take effect between acceptance and delvery/completon of the order or that part of the order remanng undelvered/ncomplete at the tme of such ncrease. In the event that the quoted prce ncludes elements of work n relaton to whch Sven plc has been unable, for whatever reason, to carry out a ste survey, or n the event that Sven plc s requred to carry out addtonal work not detaled n the orgnal quotaton, Sven plc reserves the rght to amend the quoted prce accordngly whereupon the prce payable by the Purchaser n relaton to the goods and furnture shall be adjusted accordngly. 4. TERMS OF PAYMENT. Payment shall be made to Sven plc at the tme and n the manner stated n the Sven plc quotaton or f no such tme and manner are stated then wthn 30 days of the date of nvoce. In all cases the prces quoted by Sven plc are strctly net. In the event of non-payment of the prce quoted, Sven plc reserve the rght to clam statutory nterest (8% p.a. over Bank of England base rate), compensaton and to recover debt recovery costs as provded for under the Late Payment of Commercal Debts (Interest) Act 1998 and the Late Payment of Commercal Debt Regulatons Prompt settlement dscounts are subject to payment wthn the terms set out heren or as specfed n any quotaton or specal terms offer. Sven plc reserve the rght to re-nvoce for the full pre-dscounted prce n the event of late or non-payment. The Purchaser shall not be enttled to wthhold payment as a result of any clam t may have aganst Sven plc and the Purchaser may not clam any rght of set off. 5. DELIVERY/COMPLETION. Sven plc wll use reasonable endeavours to delver/complete promptly but Sven plc shall be under no lablty whatsoever for delay n estmated delvery/ completon tmes or falure to delver/complete from any cause, nor for any loss or damage arsng therefrom. Sven plc reserve the rght to make partal delvery or delveres by nstalments and to nvoce for such delveres as are made. In no event wll Sven plc be lable for any acton of the purchaser s employees assstng n delvery. The purchaser wll ndemnfy Sven plc aganst all clams, proceedngs, demands and costs arsng therefrom. 6. OWNERSHIP OF FURNITURE AND GOODS. (a) The ttle and property n all furnture and goods and materals suppled by Sven plc does not pass to the Purchaser and/or Purchaser untl payment n full (for all furnture and goods whatsoever suppled) has been receved therefor by Sven plc, and rsk n respect of such furnture and goods passes to the purchaser from the moment of delvery to the purchaser s nomnated locaton. (b) Untl ttle n furnture and goods passes, the purchaser shall hold the furnture and goods as balee for Sven plc. These furnture and goods must be stored separately from all other furnture and goods, and be clearly marked as beng the property of Sven plc. (c) If payment of account s overdue (tme beng of the essence) or the purchaser becomes nsolvent, commences wndng up procedures, commts an act of bankruptcy or has a Recever or Admnstrator apponted, Sven plc may mmedately reclam and recover the furnture and goods, f necessary by enterng any premses owned or occuped by the purchaser. (d) If the purchaser sells the furnture and goods before ttle to these furnture and goods passes to hm the sale shall be made by the purchaser as fducary agent on behalf of Sven plc. The mones due to Sven plc for payment of furnture and goods from such sale must be kept separate to other mones and be clearly denoted as mones held n trust on behalf of Sven plc. Regardless of such agency the purchaser has no rght to bnd Sven plc and shall, as between the purchaser and hs customers, act as prncpal. 7. EXCLUSIONS. Lablty s expressly excluded n regard to equpment not manufactured by Sven plc or procured on behalf of the purchaser from a specalst suppler except to the extent that any beneft s obtanable from the wrtten guarantee of such a suppler or enforceable by Sven plc wthout legal or other expenses whatsoever and the beneft obtaned shall be passed to the purchaser. If furnture and goods are to be manufactured or provded n accordance wth a desgn/specfcaton provded by the purchaser, the purchaser shall ndemnfy Sven plc aganst all loss, damage, costs, expenses and lablty n connecton wth such desgn/specfcaton. Sven plc shall be under no lablty n respect of any defect n the furnture and goods or lack of ftness for purpose arsng from any drawng, desgn or specfcaton suppled by the Purchaser. 8. CANCELLATION/DELAY. Orders cannot be cancelled except wth Sven plc s consent and on terms whch wll ndemnfy Sven plc aganst all loss. If a purchaser extends or delays a contract or part thereof or fals to accept delvery of any furnture and goods at the tme agreed, or when notfed that the furnture and goods are avalable to be delvered, then the purchaser wll be lable for any and all losses ncurred by Sven plc, ncludng dsrupton, loss of proft, storage costs, addtonal transport and handlng costs resultng from the purchaser s actons. If a purchaser delays recept of delvery of any furnture and goods n excess of seven days from the date agreed, or when notfed that the furnture and goods are avalable to be delvered, the furnture and goods wll be nvoced, and payment n full shall be made by the Purchaser thrty days thereafter. For the avodance of doubt, once delvered to the Purchaser at the address notfed by the Purchaser to Sven plc or to the Purchaser s address specfed on any quotaton or order for such furnture and goods cannot be cancelled. 9. FORCE MAJEURE. If Sven plc s unable to perform any part of the order made by the Purchaser for a reason of force majeure or any other reason outsde ther reasonable control, Sven plc shall be enttled to charge the purchaser for any addtonal tme, cost or expense ncurred as a result thereof and where Sven plc s unable to perform any part of the contract for any such reason for a perod of more than one week, Sven plc shall be enttled to postpone ts performance of the contract untl such tme as t s reasonably able to recommence the contract. 10. TERMINATION. In the event that the purchaser fals to observe or perform any of ther oblgatons under the terms of the contract, Sven plc reserve the rght to termnate the contract forthwth by servce of wrtten notce of termnaton to the purchaser. 11. CONSEQUENTIAL LOSS. Sven plc shall not be lable to the purchaser by reason of any representaton, or any mpled warranty, condton or other term, or any duty at common law, or under the express terms of the Contract, for any consequental loss or damage (whether for loss of proft or otherwse), costs, expenses or other clams for consequental compensaton whatsoever (and whether caused by the neglgence of Sven plc, ts employees or agents or otherwse) whch arse out of or n connecton wth the supply of the furnture and goods or ther use or resale by the purchaser, except as expressly provded n these condtons. 12. THIRD PARTY CLAIMS. If any clam s made aganst the purchaser that the furnture and goods or servces nfrnge or that ther use, resale or provson nfrnges the patent, copyrght, desgn, trade mark or other ndustral or ntellectual property rghts of any other person, any lablty of Sven plc to the purchaser shall be subject to Sven plc beng gven full control of any proceedngs or negotatons n connecton wth any such clam ncludng the payment or settlement thereof. 13. EXPERTISE. The Purchaser hereby undertakes not to offer employment to or to employ or otherwse contract ether drectly or through a thrd party for the servces of any exstng employee of Sven plc or any former employee of Sven plc who has been an employee wthn the sx months pror to beng offered the employment or arrangement whereby the former employee of Sven plc would provde servce to or for the Purchaser, wthout frst obtanng the consent of Sven plc whether or not such employee has worked or served drectly the needs of the Purchaser whlst he or she was an employee of Sven plc. If the Purchaser breaches the precedng provson Sven plc shall be enttled to demand and be pad lqudated damages by the Purchaser. Such sum to be determned by an arbtrator apponted by the Chartered Insttute of Arbtrators. 14. DISPUTE PROCEDURE: Any dspute arsng out of or n connecton wth these terms and condtons shall be referred to and fnally resolved by arbtraton under the Controlled Cost Rules of the Chartered Insttute of Arbtrators, and these Rules are deemed to be ncorporated heren. 15. RIGHTS. Falure by Sven plc to enforce any of the contract terms cannot be construed as a waver of any of ts rghts under ths contract. No waver by Sven plc or any breach of the Contract by the Purchaser shall be consdered as a waver of any subsequent breach of the same or any other provson. If any provson of these condtons s held by any competent authorty to be nvald or unenforceable n whole or n part, the valdty of the other provsons of these Condtons and the remander of the provson n queston shall not be affected thereby. 16. GOVERNING LAW. The Laws relatng to England shall apply to any quotaton or order and the terms and condtons specfed heren shall be construed and operate under Englsh Law.
