3 Intrductin This dcument explains the purpse, benefit and prcess t clleges and FE prviders f using the LSC Cnsultancy Framewrk t deliver cnstructin prjects and prgrammes. It explains the bjectives f the framewrk, hw the framewrk is gverned, and hw the framewrk is perated. The Learning and Skills Cuncil (LSC) has a large, nging capital expenditure prgramme cvering ver 400 further educatin prviders in England. The aim f the prgramme is t enhance, renew r refurbish the whle FE estate by 2014 t prduce wrld-class buildings fr wrld-class teaching and learning. Between and the LSC expects t allcate ver 1.5 billin in capital grants twards the csts f clleges and ther FE prviders capital prjects. In recent years FE capital prjects have becme larger and increasingly cmplex in nature and the successful delivery f the capital prgramme is underpinned by the need fr prviders t be advised by prficient and effective teams f prfessinal cnsultants. Histrically the tendering and prcurement prcess has been time and resurce intensive with clleges and FE prviders being required t advertise qualifying cnsultancy appintments in the Official Jurnal f the Eurpean Unin (OJEU) befre cnsultants are appinted. This requirement has resulted in a time cnsuming prcess and it can take up t 4 mnths t appint cnsultants. T facilitate the mre effective delivery f capital prjects the LSC has established a panel f cst, design and prject management cnsultants ( the framewrk cnsultants ) fr clleges t emply when undertaking capital prjects. The framewrk cnsultants were prcured thrugh an OJEU cmpliant tender prcess; OJEU reference 2007/S Further OJEU tendering prcesses are therefre nt required befre clleges can engage these framewrk cnsultants. Prfessinal cnsultants fr prjects may therefre be appinted n a much shrter, simpler best fit basis saving cnsiderable time, prcurement resurces and csts t all parties. Assisted by the Suth East Centre fr Excellence (SECE), the LSC has undertaken a rbust and rigrus assessment prcedure resulting in the selectin f the framewrk cnsultants. All selected cnsultants have demnstrated, amngst ther things: cmpetence in the relevant disciplines; ability t resurce adequate cnsultancy services t meet cllege and FE prvider requirements; the ability and willingness t wrk cllabratively with the cllege r FE prvider as client, fellw cnsultants and cntractrs as part f the prject team; and a willingness t share knwledge and best practice t help develp and imprve the peratin f the framewrks. The framewrk cnsultants have agreed t enter int framewrk agreements ( the framewrks ). Thrugh these framewrks they agree t prvide clleges and ther 3

4 FE prviders with cnsultancy services in accrdance with the framewrk specificatins and guidelines and within an agreed fee range. The framewrk is split int 3 gegraphic regins Nrth, Central and Suth. Fr each regin, the framewrk cntains a list f prject management, design and cst management cnsultants respectively. Clleges will be able t appint cnsultants fllwing a selectin prcedure which shuld be mre time and resurce efficient Fr thse clleges undertaking capital prjects estimated t cst 5 millin r mre and requiring capital grant supprt (including fee supprt) frm the LSC, the use f the framewrk will be mandatry. The LSC anticipates that due t the benefits assciated with the framewrk, many clleges undertaking capital prjects f less than 5 millin r nt requiring LSC grant supprt will chse t adpt the framewrk vluntarily. The framewrk is t run initially fr fur years cmmencing in April 2008, with an ptin t cntinue peratin fr a further tw years. The Guidelines and Wrking Practices will be peridically updated and refined as the LSC cntinues t perate and develp the framewrk 4

6 What is the LSC Cnsultancy Framewrk? The Framewrk Agreements cmprise a cmmitment t the establishment and maintenance f a lng term relatinship between the LSC and a number f prject management, design and cst management cnsultants. By entering int a framewrk agreement with the LSC, the cnsultants, tgether with their supply chain partners agree t prvide clleges and FE prviders with cnsultancy advice and services in accrdance with defined wrking practices and guidelines and within an agreed fee range. The use f the framewrks will be mandatry fr all FE clleges, specialist clleges and ther qualifying external institutins, applying fr capital grant supprt, where prjects are likely t cst 5 millin r mre. It will be a cnditin f LSC grant supprt (including fee supprt) that clleges will prcure cnsultancy advice fr such prjects in the framewrk disciplines in accrdance with the framewrk guidelines (see sectin 3). The framewrks will be available fr use by ther FE prviders, but utilisatin f the framewrks will nly be mandatry where prviders are already in receipt f r prpse t apply fr LSC capital grant funding. As with existing practice individual clleges and FE prviders will be respnsible fr btaining the necessary legal and prcurement advice prir t prcuring cnsultancy advice frm the framewrk. Cnsultancy cntracts will be between the individual clleges and ther FE prviders as emplyer and the selected cnsultant. 7 Objectives f the LSC Cnsultancy Framewrk The bjectives f the LSC cnsultancy framewrks are t: secure a cnsistently high standard f cnsultancy advice fr clleges within the prject management, design and cst management disciplines thrugh the use f prven cnsultants chsen frm a pre-tendered list wh cllectively have the skills and experience t meet any f the challenges faced acrss a wide range f further educatin prjects; prvide predictability f cst utcme and reductin in risk within capital prjects; streamline prcesses aviding duplicatin and waste and prviding value fr mney; and reduce time spent by clleges and FE prviders n pre-cnstructin activities thereby helping clleges and FE prviders t accelerate the delivery f capital prjects. The gals f the framewrk are t: add value t the whle life f a prject by engaging all parties in jint wnership and cllabratin; gain thrugh aggregatin, leverage and ecnmy f scale, aviding bespke prcurement thus significantly reducing hidden cst; and t Imprve prcesses fr design develpment, prcurement and cnstructin thrugh the sharing f gd practice and technical and market knwledge. Benefits f the LSC Cnsultancy Framewrk In the framewrk, all parties realise gains. These gains include reductins in cst and time and imprved quality thrugh: imprved predictability f utcme and risk reductin within prjects; standardised and streamlined prcesses with cntinuus feedback and perfrmance imprvement; efficient resurce deplyment; shared skills and knwledge; early supplier invlvement and reduced abrted wrk; reduced burden, cst and time f OJEU cmpliant prcurement; and meaningful and cnsistent engagement with the whle supply chain The framewrk reduces demands n clleges and ther FE prviders and brings these benefits within their reach. 7

8 Range f services t be prvided by the LSC Cnsultancy Framewrk The framewrk cvers 3 separate disciplines within the capital prject prcurement prcess: Prject Management including: Prject Manager Strategic Prperty Advisr CDM Crdinatr perating acrss the framewrk Cst Management including: Quantity Surveyr Supply Chain Manager Design Services including: Architect (including landscape architect and interir designer) Mechanical and Electrical Engineer Civil and Structural Engineer Acustician, ICT and ther specialists Land and Building Surveyr BREEAM Assessr (perating acrss the framewrk) The exact scpe f cnsultancy services required by a cllege r FE prvider will be determined by the specific prject requirements. Hwever, fr guidance, rles typically adpted by the abve disciplines are listed in appendix 1. Scpe f the LSC Cnsultancy Framewrk Arrangements The framewrk cnsultancy arrangements cver the whle f England and are divided int three regins: Nrthern - including the Nrth West, Nrth East, and Yrkshire and Humberside Central - including East Midlands, West Midlands, and the Eastern Regin Suthern - including the Suth East, Suth West and Lndn Appendix 2 cntains a list f the framewrk cnsultants eligible fr selectin by regin and by discipline. Clleges will be expected t appint cnsultants frm within their regin, unless therwise agreed with the LSC. 8

9 SECTION 2 ROLES, GOVERNANCE AND TERMS OF REFERENCE 9

10 The LSC s Rle The LSC is respnsible fr the gvernance and leadership f the framewrk arrangements. At the time f writing (April 2008) discussins are underway fr Hampshire Cunty Cuncil (HCC) t be appinted as framewrk manager t supprt prviders where requested and reprt t the LSC n issues arising frm the peratin f the Framewrks in practice. Thrugh simple quality assurance prcesses, the LSC will ensure clleges are cmplying with the guidelines and wrking practices and will encurage framewrk cnsultants t wrk cllabratively with clleges and FE prviders, the LSC and each ther t develp and imprve the Framewrk. LSC s rle is t: prvide leadership and guidance; champin the cllabratin eths ver traditinal prfessinal respnsibilities; champin culture change, new ways f wrking, new behaviural habits; champin penness; recgnise challenges and penly address them with all participants; ensure cntinued develpment f the rules f gvernance and wrking practices; and facilitate data capture, learning and perfrmance imprvement Gvernance The LSC is respnsible fr gvernance, management and leadership f the framewrk. Final arrangements fr gvernance f the framewrk will be cnfirmed in due curse but it is likely that gvernance will take place thrugh the LSCs Natinal Capital Plicy Grup and thrugh a strategic frum and a steering grup. The strategic frum will include directrs frm the cnsultancy firms appinted t the framewrk, and their nminated managers. This will prvide the cnsultancy firms with the pprtunity t influence the framewrk arrangements and t cllabrate with ther framewrk cnsultancies. The steering grup will cmprise a representative frm the LSC infrastructure and prperty services team, the framewrk manager (HCC in the first instance), Reginal Prperty Advisr representatin, a member f the LSC prcurement department and a member f the LSC legal department. The grup will meet quarterly and any changes t the cnstitutin will require prir apprval thrugh the capital plicy grup. The gvernance f individual prjects is the respnsibility f the cllege cncerned as the cntracting authrity. 10

11 Supprt The LSC will ensure that supprt is available t prviders wanting t check the results f submissins made by cnsultants in mini tenders against the fees n which the cnsultants were selected fr inclusin in the Framewrk. The LSC will als ensure that the results f mini-tenders are cllated and that it mnitrs and addresses any peratinal issues arising s as t enable it t fulfil its gvernance rle. Terms f Reference The LSC s terms f reference include: prvisin f leadership and decisin making; stewardship f the framewrk prcess, ensuring transparency and prbity; apprval f refinements t the rules f gvernance; empwering the steering grup and strategic frum; respnding t input frm the steering grup and strategic frum; and, arranging meetings n a quarterly basis. The strategic frum s terms f reference are t: review framewrk arrangements and make recmmendatins t the LSC; identify areas fr imprvement and make recmmendatins; influence design practices; lead and cntribute t wrk grups t drive best practice; and lead n prcurement plicy. The steering grup s terms f reference are t: scrutinise and supprt in further develping gvernance arrangements; review prpsals fr framewrk develpment; make recmmendatins t the LSC; and prmte the benefits f active participatin in the framewrk acrss the three regins and the three disciplines. 11

12 SECTION 3 WORKING PRACTICES 12

13 Hw and when is the Framewrk t be used? The Framewrk is t be used if a building prject under cnsideratin is likely t cst mre than 5 millin in ttal, and require LSC grant supprt. If the Framewrk is nt used, there is still a requirement t adhere t any EU regulatins that apply, tgether with any applicable institutin financial regulatins. This includes thse under the Charities Act if the rganisatin receives charitable relief and such funding cnditins as may be impsed by ther funders such as reginal develpment agencies. Step 1 - Strategy agree an educatinal/training strategy with the gverning bdy and LSC Area Office; include agreement f a five-year frecast f student numbers fr each f the Sectr Subject Areas, split between HE, FE 14-16, and apprenticeships: frm this, develp and agree a brad Prperty Strategy with yur Reginal Prperty Advisr. (Guidance fr this is in the Capital Handbk). Step 2 - Capacity decide whether there is adequate in-huse capacity at senir management team level, r whether there is a need fr additinal client-side prperty expertise t help rganise the appintment f ther cnsultants and develp feasibility studies; if it is cncluded that help is needed, prceed t Step 3; if it is cncluded that there is adequate in-huse expertise t brief a team direct, prceed t Step 4. Step 3 Prperty Advisr (Mini Tender) a strategic prperty advisr shuld be appinted frm the Framewrk fr the regin (see Appendix 2), t assist with the tender prcess; Thrugh the framewrk manager, clleges will request expressins f interest frm all cnsultants n the framewrk which are prviding the required services. Cnsultants must respnd within ne week using the scring prmpts prvided in Appendix 3. Clleges must nly apprach thse cnsultants which are within their wn regin. an expressin f interest dcument shuld include the fllwing infrmatin: 13

14 backgrund infrmatin abut the cllege, including range f curriculum prvided etc; a brief verview f the existing estate lcatin, number f sites etc; a descriptin f the prject including any prgress made t date; scpe f services required, e.g. feasibility study, preparatin f AiP etc; range f services required; key dates, including timescales fr respnse t the expressin f interest. The framewrk manager will agree a shrtlist with the cllege, and three cnsultants will participate in a mini cmpetitin. Cnsultants are expected t respnd within tw weeks including within their bid: Prpsed fee fr the services required, based upn the tender fee rates Cnfirmatin that the resurces are available t devte t the prject Respnse t ther lcal issue questins (stakehlder cmmunicatin etc) Submissins will be assessed by the cllege r FE prvider. The bid will be assessed using a simple range f 1-5; 5 = Excellent 4 = Gd 3 = Fair 2 = Acceptable 1 = Pr Fllwing the assessment prcess clleges will be required t invite the cnsultants t take part in an interview. The cllege will cmplete a tender reprt, including all scre sheets which have been used in the prcess, fr the LSC Recrds, and will appint the cnsultant. Feedback must be given t all unsuccessful firms. The LSC will mnitr the vlume f wrk being placed with Framewrk Cnsultants and act as an early warning n whether any f them might be at risk f becming ver-stretched. Appendix 4 sets ut the prcess t be fllwed t make an appintment frm the framewrks. If requested, the LSC and its nminees will assist with the cst scring, which will be frmulated frm the riginal tender reprts and be indexed each year in rder t keep csts current. If there is any dubt regarding the fees being quted by each cnsultant, the matter can be discussed with the LSC and/r its nminee wh will help t establish the reasns fr any significant difference. 14

15 Step 4 - Appintment At this stage a decisin has t be taken n hw far thrugh the prcess the cnsultant is t be appinted. This may just be fr the feasibility study stage nly, r it may be t have the ptin t cntinue with that same team thrugh t Apprval in Principle (AiP) and, ptentially, thrugh t prject cmpletin. a. Briefing Depending n the decisin, a clear brief f the services required will need t be develped, e.g. feasibility study r feasibility study plus prject develpment and executin. Guidance n what shuld be included will be given either by the Strategic Prperty Advisr r the in-huse expertise and frm the framewrk manager r the LSC s Capital Handbk. The Prfessinal Institutins f the main cnsultant bdies als have standard terms f engagement which ffer a useful reference fr the scpe f services that shuld be included. See RIBA, RICS, ACE. If listed buildings, trees r flding are likely t be majr factrs affecting a prject, then apprpriate planning and envirnmental advice will als need t be prcured. If mining subsidence r radn is a ptential prblem, then getechnical services shuld be prcured. Legal services, site searches, valuatin, prperty marketing and develpment advice are nt included in the Framewrks s it will be necessary t prcure whatever specialist advice is required, independently but the Strategic Prperty Advisr r inhuse expert can assist in develping the brief and btaining cmpetitive qutatins. The prject prcess can be managed either by the appintment f a lead cnsultant, wh will take respnsibility fr the emplyment f all thers (but frm the Framewrk); r separate appintments can be made fr each cnsultancy discipline frm the framewrk. The chice f which is the better ptin t adpt will have t be decided in cnjunctin with the advice f slicitrs and Strategic Prperty Advisr r in-huse expert. This is a very imprtant issue as it has an impact n the legal duties f care and the requirement fr cllateral warranties etc. Gateway Reviews will have t be built int the prcess, allwing review f team perfrmance befre triggering the subsequent stages f the prcess at the fllwing pints. Fees shuld be staged in line with these Gateway pints, i.e. End f feasibility study reprt End f Applicatin in Principle (RIBA Stage C)/beginning f Detailed Applicatin (RIBA Stage D). Appintment f Cntractrs r nvatin f cnsultants if applicable r submissin f detailed applicatin t the LSC Cmpletin f prject (evidenced by issue f Final Certificate). 15

16 The ptin fr nvatin f design cnsultants t a cntractr, and the retentin f the advice f thers may need t be incrprated int the varius cnsultant appintments. In cnjunctin with the Strategic Prperty Advisr (r in-huse team) careful cnsideratin needs t be given t the advantages f varius rutes f cntract prcurement and the effect n the time-quality-cst balance. Regular discussins shuld be held with the LSC s Reginal Prperty Advisr t agree the balance that is mst relevant t the prject; t ffer maximum flexibility fr whatever is likely t ffer the ptimum prcurement rute fr the prject and deliver the required prject utcme. b Mini-Tender (4 6 Weeks) This is a repetitin f the prcess set ut in Step 3 (abve); with the exceptin f the appintment f the range f cnsultants likely t be needed fr the duratin f prject, and f that appintment. Thrugh the framewrk manager, seek cnfirmatin frm all the cnsultancies n the relevant Framewrk lists that they have the resurces t prvide the services required, by issuing an expressin f interest request as befre; this will take n mre than a week and can be dne electrnically. At the next stage, shrt list at least three cnsultancies frm whm a quality and fee bid will be invited t include: Prpsed fee fr the services required, based upn the tender fee rates Cnfirmatin that the resurces are available t devte t the prject Respnse t ther lcal issue questins (stakehlder cmmunicatin etc) The expressin f interest evaluatin frms given in Appendix 3, shuld be used t scre respnses. It shuld take n lnger than 2 weeks t deliver a respnse t the request fr a bid, with a further week fr interviews (which shuld always take place) t decide n which cnsultancy is the preferred bidder. Each bid and the interview will have t be scred and the scre sheets retained as a frmal recrd. The unsuccessful cnsultancies (and the LSC and its nminees) will require feedback as t why they were nt selected. This cnstitutes gd practice and will enable the LSC t mnitr the vlume f wrk being placed with Framewrk Cnsultants and act as an early warning n whether any f them might be at risk f becming ver-stretched. The verriding principle here is keep it simple and the bids (against the brief) shuld be marked simply using a range f

17 5 = Excellent 4 = Gd 3 = Fair 2 = acceptable 1 = Pr This will enable the LSC and its nminees t check whether there is significant variatin between the cnsultants perfrmance relative t their scring fr the Framewrk. Again, this will help identify if there is perhaps a resurcing issue that the LSC and its nminees need t address with the cnsultants. The fee element quted shuld als be scred frm 1-5. This element f the scring will be undertaken using the csts submitted in the riginal tender reprts as a basis. The csts will be indexed each year t ensure prices are current. If there are any dubts as t the fees being quted by each cnsultant, these can be discussed with either the Reginal Prperty Advisr r the Framewrk Manager. c. Appint Cnsultant appintments will be made using the GC Wrks 5 Frm f cnsultancy appintment as a template, in accrdance with the infrmatin issued in the ITT (see appendix 6). The institutin s appinted slicitr will draw up the appintment dcument including any cllateral warranties and perfrmance bnds yu will have stipulated as being required in the mini-tender brief. d. Gateway Reviews Appendix 5 prvides an utline pr frma which shuld be used when undertaking gateway reviews. These need t be undertaken t carry ut a frmal review f hw the prject is prgressing at each f the gateway stages referred t abve. Ideally, this wuld take the frm f re-scring the firms against the same criteria used in the mini-tender. An additinal categry fr actual perfrmance against timely respnsiveness shuld be added. This shuld address the efficiency and effectiveness f the team with particular reference t hw it is wrking tgether, and if there are prblems hw are they t be addressed. The review scring shuld use the same 1-5 range as set ut abve but it maybe used as a mre explicit risk management tl by cnverting these scres t a traffic light (1 = red, 2-3 = amber and 4-5 = green) system which will help t identify where risks may need t be dealt with in cnjunctin with the lead partner in the appinted cnsultancy and steps agreed t address any cncerns. The utcme f the review shuld be fed back t the lead cnsultant in each f the cnsultancies and a cpy given t the LSC and its nminees t assist with verall mnitring f the Framewrk. It shuld als allw the pprtunity fr the cnsultant t feed back n the effectiveness f the client, suggesting ways in which this rle might be better perfrmed. If the prject prgress is satisfactry, the cnsultant s appintment can be cnfirmed t the next gateway review stage. 17

18 If there is a serius prblem that is nt likely t be addressed by the undertakings received in discussin with the lead partner in the cnsultancy, the appintment f that cnsultant shuld be terminated, and the same prcess f mini-tendering used t appint a new cnsultant. e. Final Review By feeding back experience frm the prject t the Cnsultant, the LSC and its nminees the Framewrk can be strengthened and thers can benefit frm this experience. Cnsultants can als benefit frm the feedback and knw exactly hw they need t imprve t meet clients expectatins better. In this way, the Gateway and Final Reviews are a way f imprving verall standards f perfrmance. Scring shuld fllw the same system as the Gateway Reviews and a shrt but specific reprt made n each appintment. This shuld be fed back t the cnsultant and t the LSC and its nminees. Frequently Asked Questins Q1 What if I have already started the prject prcess? Where clleges have already entered int cntractual arrangements with cnsultants wh are nt n the Framewrk (fllwing an apprpriate prcurement prcess), there will be n requirement t use the LSC Framewrk except where a cllege exercises a break clause at a key gateway r wuld therwise be required t OJEU the cnsultancy appintment. Befre the launch f the framewrks, where clleges have already cmmenced an OJEU/prcurement prcess t appint cnsultants fr services therwise available thrugh the framewrk then there will be n requirement t use the LSC Framewrk. This is cnditinal n the cllege cnfirming that t halt the existing prcurement prcess (e.g. OJEU) and t switch t the Framewrk wuld cause a material delay t the appintment prcess. In bth cases, the cllege must ensure that apprpriate prvisin is made in the appintment cntract t break that appintment at key gateways, i.e. at the end f feasibility, and end f AiP. At these gateway reviews, and when the cllege submits an applicatin fr AiP r AiD apprval (and/r when the cllege submits an applicatin fr prject fee supprt) the cllege will need t prvide evidence that it has been thrugh a rbust review f prject team perfrmance befre cntinuing an appintment made utside the Framewrk. This wuld be in accrdance with the perfrmance/gateway review prcess set ut in the Framewrk guidelines fr appintments within the Framewrk (using a Red, Amber, Green assessment). If Green, the cllege has established that it can cntinue with the cnsultant appintment. If either Amber r Red, the cllege will 18

19 need t use the Framewrk. In these circumstances the existing cnsultant cannt be included (under OJEU regulatins). Therefre in either f the abve cases, in the event that cntractual arrangements cease t apply, i.e. if the clleges exercise a break clause at the end f feasibility r AiP, then the Framewrk must apply. Q2 What if I like the Architect, but have cncerns abut the perfrmance f their prpsed sub-cnsultants can I use ne f the sub-cnsultants wh are n the Framewrk but under anther Architectural practice? N.
