Reginal scale gelgical, gechemical and gephysical surveys t enable initial evaluatin f the gld discvery ptential f the 90km strike length f prspective greenstne belt within the prject area. Other aspects f the agreement are: Predictive t prvide technical management, in cnjunctin with Prgress, fr wrk prgrams during the explratin phase. After Prgress has cmpleted its Stage 1 funding, the Parties equities will be PDI 30%, Prgress 30% and lcal partner, West Africa Venture Investments (WAVI), 40%. Prgress may invest a further US$1.5 millin t increase its equity t 55% (Stage 2). PDI s present intentin is t maintain its equity at 30% thrugh Stage 2, in which case the equities will becme PDI 30%, Prgress 55% and WAVI 15%. 3 INTRODUCTION The Bbss Prject cnsists f tw granted explratin permits, Bassawa and Wendene and ne permit applicatin, Dabakala, in nrthern Cte D Ivire (Figure 1), which are held by an Ivirian cmpany, XMI SARl (XMI). This grund is lcated in the suthern extensin f the well mineralised Hunde Belt in Burkina Fas, which includes Semaf s Mana mine (5 Mz in re resurces and reserves 1 ) and Rxgld s high grade Yaramk gld mine (1.6 Mz in re resurces at an average grade f 14g/t Au 2 ). PDI has earned a 37% equity in the Bbss prject thrugh a jint venture with XMI by expenditure f apprximately A$180,000 n the grund. This has invlved a series f wrk prgrams cnsisting f gelgical mapping, histrical data cmpilatin, re-lgging f histrical drill cre and RC chips, pitting and metallurgical testwrk f near-surface material and reginal target assessment. 1 See 2 See 2

4 Prir t negtiating the agreement annunced tday with Prgress, PDI had the ptin t increase its equity in Bbss t 65% by expenditure f $2.55 millin. Hwever, given the Cmpany s plan t participate at 35% in the Tr Jint Venture and in keeping with its verall strategy, it has decided t bring in a partner t carry the majrity f future expenditure n this prject. Histrical explratin has revealed a large gld mineralised system in the Bbss Prject area. AGREEMENT WITH PROGRESS MINERALS Predictive has entered int a three way agreement between Prgress Minerals Internatinal Inc (Prgress) and a lcal Ivirian Cmpany, West Africa Venture Investment (WAVI), t enable funding f explratin prgrams n the Bbss permits. This agreement supersedes an agreement between PDI, WAVI and XMI in Octber 2016 (ASX release 27/10/15) which was subsequently updated in Nvember Key terms f this agreement are as fllws: Investments in the Bbss Prject will be made thrugh West African Mine Investments Pty Ltd (WAMIL), a Western Australian based private cmpany, wned by Predictive Discvery Limited (37%) and WAVI (63%). At present WAMIL wns 50% f XMI with the remaining 50% f XMI t be transferred t WAMIL nce permissin t d s has been granted by the Cte D Ivire Minister f Mines. This is a standard requirement under Ivirian law and is expected sn. Predictive will prvide technical management f wrk prgrams during the explratin phase in cnjunctin with Prgress. WAVI will prvide lcal management supprt in Cte D Ivire. Equities in WAMIL will be earned as fllws: Stage 1: Prgress will invest US$1 millin (apprximately A$1.3 millin) in explratin n Bbss in ne year r less t earn a 30% equity in WAMIL. These mnies will be spent n a wrk plan agreed between the parties including: 1,500-2,500m f diamnd drilling n the Bbss gld mineralised system. Grund magnetics survey ver 20 km 2 n the Bbss sil gechemical anmaly and surrunding area t help interpret the detailed gelgical structure f the area prir t diamnd drilling. Gelgical mapping and BLEG gld gechemical surveys ver the granted permits. These will be extended ver the Dabakala permit applicatin (Figure 1) if it is granted prir t the rainy seasn. 5 This prgram is designed t ensure that Predictive has the key infrmatin it requires t make decisins abut its participatin in the Stage 2 wrk prgram (see details belw). Stage 2: PDI and Prgress will pay US$75,000 in cash t WAVI in the next 10 days. Equities at the end f Stage 1 will be PDI 30%, Prgress 30% and WAVI 40%. At its ptin, Prgress may invest a further US$1.5 millin (apprximately A$2 millin) in WAMIL in 12 mnths r less t earn an additinal 25% equity. Assuming that Prgress invests the US$1.5 millin, PDI has the ptin t purchase equity frm WAVI such that its equity in WAMIL will remain at 30% and WAVI will be reduced t 15%. It is PDI s present intentin t d this, hwever if PDI and WAVI cannt agree n a price fr that transactin, PDI can chse t cntribute pr rata t the Stage 2 explratin prgram t maintain its 30% equity r simply dilute t 19.1% (in the case f disappinting results). If Prgress cntributes and PDI maintains its 30% equity, the parties equities at the end f Stage 2 will be Prgress 55%, PDI 30% and WAVI 15%. After Stage 2: Any f the three partners may cntribute t pre-apprved wrk prgrams t maintain their respective equities in WAMIL r dilute dwn in accrdance with a standard dilutin frmula. Once WAVI s equity is reduced t 15%, it will be free carried at that level thrugh t decisin t mine, at which pint it will be required t either cntribute t a mine develpment r dilute dwn in accrdance with a standard dilutin frmula. The Bard f WAMIL will cnsist f representatives f PDI, Prgress and WAVI. PROGRESS MINERALS BACKGROUND Prgress is a private, Vancuver based, precius metals fcused cmpany, which aims t find and develp mid-sized gld assets in West Africa. The management and directrs f Prgress have been respnsible fr the discvery, explratin, permitting, develpment and peratin f multiple mining prjects glbally, including prjects within East and West Africa. Mr Carr was a funder and CEO f MnuRent, an African fcused equipment rental business and is nw the CEO f StarSight Pwer Utility Limited, a new Pan-African Sustainable Energy Cmpany. BOBOSSO PROJECT HISTORICAL EXPLORATION BACKGROUND The Equigld and Lihir Gld Limited histrical RC and diamnd drilling n the Wendene permit cnsisted f 569 RC and 11 diamnd drill hles. This wrk fllwed up sil sampling and widely spaced RAB drill lines n bth the Wendene and Bassawa permits (respectively the central and suthern red plygns shwn n Figure 1). The histrical sil sampling btained many anmalus results ver the Bassawa and Wendene permits. Of particular nte is a 7km 2 area in Wendene in which mst f the values are abve 100ppb Au (Figure 2). This area cntains 729 sil samples with an average arithmetic value f 394ppb Au (0.39g/t Au) and peak values f 39.8g/t Au, 20.2g/t Au and 6.89g/t Au. There are numerus plus 100ppb Au anmalus values utside f this area, many f which are untested by any drilling. 5

7 569 RC hles and 11 diamnd drill hles were cmpleted within the 7km 2 anmaly (Figure 2). Of these, 221 hles cntained at least ne 2gxm intercept 3 at a cut-ff grade f 0.5 g/t Au. Mst f these intercepts were at shallw depths. The average (vertical) depth tested by drilling was apprximately 80m. The histrical RC and diamnd drill intercepts were reprted t the ASX in the September 2015 Quarterly Reprt. 8 The drilled area cvers a majr gld mineralised system with numerus separate znes f gld mineralisatin, apparently with variable vein and/r mineralised shear rientatins. Gld mineralisatin cntinuity is nt the same everywhere. In places, cnvincing cntinuity can be seen but, elsewhere, cntinuity is nt as clear. The Cmpany believes this is partly explained by the bservatin that mst drill hles were drilled at an blique angle t a series f ENE rientated cntrlling structures which were mapped in airbrne magnetic data after the drilling was finished. Gld grades in unweathered rcks are assciated with silica-sericite-carbnate alteratin with elevated pyrite. The principal hst rcks are extensively carbnate-altered mafic vlcanics. Predictive s bservatins f drill cre in hle BDD009 indicate that the gld values in the tp 30m are hsted within primary alteratin indicating that the apparent dip f the mineralisatin n this crss-sectin is hrizntal. Drill results reprted t the ASX in September 2015 Quarterly Reprt. Predictive Discvery Limited (PDI) was established in late 2007 and listed n the ASX in December The Cmpany is fcused n explratin fr gld in West Africa. The Cmpany perates in Burkina Fas, West Africa where it has assembled a substantial reginal grund psitin cvering 1,200km 2 and is explring fr large, pen-pittable gld depsits. Explratin in eastern Burkina Fas has yielded a large prtfli f exciting gld prspects, including the high grade Bngu gld depsit n which a resurce estimate was calculated in September PDI als has interests in a large prtfli f permits and permit applicatins in Côte D Ivire cvering a ttal area f ver 6,000 km 2.
