30 Appenix Sales an elivery conitions Sales an elivery conitions vali from 1st of April 2018 GENERAL 1. In these Conitions of Sale The Company means Geberit Sales Lt. The Customer means the person, firm or company with whom The Company contracts. The Contract Any contract between The Company an the Customer for the sale an purchase of the Goos incorporating the Conitions (incluing any part or parts of them). The Goos Any Goos agree in the Contract to be supplie to the Customer by The Company (incluing any part or parts of them). 2. These Conitions of Sale apply to an govern any contract between The Company an the Customer to the exclusion of any other conitions containe on, or in, any letter, orer form, receipt of similar ocument emanating from the Customer. No variation of these Conitions of Sale shall be effective unless expressly agree by The Company in writing. 3. All quotations are for information only an are not to be consiere as an offer by The Company. No Contract shall come into existence until an orer by the Customer has been accepte by The Company. 3.1 Acceptance by The Company of any orer shall be on the basis that Goos will be invoice at the prices containe in The Company s price list current at the ate of espatch unless otherwise agree in writing by The Company. 4. Except where otherwise state in the contract or in The Company s current price list all prices inclue the cost of packaging an elivery (but not installation). The Company reserves the right to make aitional charges if the Customer requires a metho of packaging or elivery ifferent from that normally employe by The Company. 4.1 The Customer shall, in aition to the net purchase price, pay to The Company the amount of any Value Ae Tax or other sales tax at the rate in force at the time the Goos are invoice. GENERAL 5. All Goos will be invoice at the time of, or soon after, espatch. Payment for the Goos must be receive by The Company not later than the last ay of the month following the ate of the invoice. In the event of late payment The Company reserves the right to charge interest at a rate of 2% per month. 5.1 In the event of the Customer postponing elivery, or requesting that The Company suspen the manufacture of the Goos, or failing to give The Company sufficient information to enable it to process any orer, the Customer shall pay any aitional costs an expenses thereby incurre by The Company. 5.2 Unless otherwise agree in writing by The Company the Customer shall not be entitle to set off against any moneys ue to The Company uner the Contract any sums claime by or ue to the Customer from The Company uner the Contract or any other Contract between The Company an the Customer. ILLUSTRATION AND DIMENSIONS 6. The Company reserves the right to substitute Goos which are similar to the Goos orere by the Customer provie that such substitute Goos are no less suitable for the purpose for which they are generally use than Goos orere by the Customer. DELIVERY 8. The Company cannot offer a time elivery service, although we will try to meet the customer nees wherever possible. Any eliveries require outsie our elivery scheule will be at the customer s expense. 9. Delivery shall be mae to the Customer s premises only. 10. The Customer shall be responsible for unloaing the Goos at the point of elivery. 11. The Customer will confirm the goos are receive at the time of elivery by signing the Proof Of Delivery ocument (POD) proviing a signature, ate an printe name. 12. Immeiately on collection or elivery, whichever is appropriate, the Customer shall examine the goos. Any shortages, amages or other elivery iscrepancies must be notifie irectly to the Customer Support team of The Company in writing within three working ays of elivery or collection. Creits will not be given if a POD has been signe an there have been no reporte anomalies within 3 working ays of the elivery ate. 13. The Company will use its best eneavours to comply with any elivery ate, however, collection or elivery ates an times inicate by the Company shall be regare as best estimates only. The Company cannot be responsible for any loss or amage whatsoever cause by late elivery where circumstance beyon The Company s control have cause such elay. 14. The Company operates a minimum elivery value requirement for eliveries to the Customer s premises. This currently stans at Orers place below the minimum orer value will be subject to a 10 minimum orer value charge. 16. Express orers shoul be place before our cut offs for elivery the next ay. These orers are subject to a carriage charge to the customer an will be price base on weight. RETURNS 17. The Company oes not operate a returns policy for saleable stock or for stock that is efective or amage upon receipt. Any agree stock return is at the iscretion of The Company an only with prior written consent. Where such consent is given, a hanling charge of a minimum of 30% of invoice value will be mae. 32

The risk in the Goos contracte to be sol by The Company shall pass to the Customer when the Goos are elivere to or collecte by the Customer. 19. Notwithstaning any passing of risk to the Customer, The Company retains ownership of the Goos the subject matter of this Contract the property in which shall not pass to the Customer an the Customer shall keep any Goos elivere to it as bailee for an on behalf of The Company until The Company has receive full payment of the price of all Goos (whether or not the Goos are elivere in instalments an some have been pai for by the Customer) Until ownership of the Goos has passe to the Customer the Customer; (i) shall insure the Goos against any loss or amage with an insurance office of repute. (ii) shall store the Goos separately or in some other way ensure that they are reaily ientifiable as the property of The Company. (iii) irrevocably authorise the representative of The Company at any time an from time to time (whether or not payment is ue) to repossess the Goos an for such purpose to enter any premises occupie by the Customer or where the Goos are or are thought to be an to sever the Goos from anything to which they are attache without being responsible for any amage cause. (iv) shall keep the Goos free from any charge, lien or other encumbrance 19.2 If, while uner The Company s ownership, the Goos or any of them are processe or incorporate into other Goos ( the Goos ) then, provie the Goos remain a reaily ientifiable an removable part of the Goos, the provisions of conitions (a) an (b) shall apply The Company (acting on its own account, not as agent for the Customer) may sell or agree to sell any of the Goos or the Goos in The Company s possession on such terms as it may in its sole iscretion consier appropriate The Company shall be entitle to a general lien over all Goos an materials of the Customer which is in The Company s possession or control from time to time for any sums ue at any time whatsoever to The Company Nothing in this conition shall confer any right upon the Customer to refuse or elay payment therefore. In any case where it is establishe to the satisfaction of The Company that the Goos have been amage or lost (whether wholly or in part) in transit The Company will, at its own cost, repair or replace same provie that (i) in the case of partial loss or amage, the Customer has returne to The Company s representative (or where the Goos have been elivere by a Carrier his representative) The Company receipt note uly signe by the Customer s representative an inicating thereon as shortage of or amage to cartons, bunles, returnable containers, loose Goos or other such packages as shall make up the elivery an full particulars are notifie irectly to The Company in writing within three working ays of elivery: (ii) in the case of amage the Goos an their packaging are retaine by the Customer for inspection by The Company s representative. No warranty or representation given by or on behalf of The Company incluing without prejuice to the generality of the foregoing any avice as to the installation quantities use or performance of Goos supplie by The Company shall be bining upon The Company unless specifically state in writing by The Company to be incorporate in the contract. Nothing in these Conitions exclues or limits the liability of The Company for eath or personal injury cause by The Company s negligence or frauulent misrepresentation. CONSEQUENTIAL LOSS 23. Without prejuice to the generality of the foregoing provisions The Company shall not in any event be liable to the Customer for any inirect or consequential loss of or amage (whether for loss of profit, loss of business, epletion of goowill or otherwise) costs, expenses or other claims for consequential compensation whatsoever (howsoever cause) which arise out of or in connection with the Contract. INSOLVENCY AND BREAC OF CONTRACT 24. The Company shall have the option (without prejuice to any of its other rights against the Customer) by notice in writing to the Customer to rescin the contract or to suspen elivery in the following events: (i) shoul any sum owing by the Customer to The Company be overue.
