These General Conitions shall apply to all Proucts supplie by Georg Fischer to the Purchaser They shall also apply to all future business even when no express reference is mae to them.2 Any eviating or supplementary conitions especially Purchaser s general conitions of purchase an verbal agreements shall only be applicable if accepte in writing by Georg Fischer.. The written form shall be eeme to be fulfille by all forms of transmission, evience in the form of text, such as telefax, , etc. 2 Teners Teners shall only be bining if they contain a specifically state perio for acceptance. Scope of Delivery. Georg Fischer s prouct range is subject to change..2 The confirmation of orer shall govern the scope an execution of the contract. 4 Data an Documents 4. Unless agree otherwise, the prices shall be eeme quote net ex works (accoring to Incoterms of the ICC, latest version) incluing stanar packing. All supplementary costs such as the cost of carriage, insurance, export-, transit- an importlicences etc. shall be borne by the Purchaser. The Purchaser shall also bear the costs of all taxes, fees, uties etc. connecte with the contract. 7.2 If the costs of packing, carriage, insurance, fees an other supplementary costs are inclue in the tener price or contract price or are referre to specifically in the tener or confirmation of orer, Georg Fischer reserve the right to revise their prices accoringly shoul any change occur in the relevant tariffs. 8 Terms of Payment 8. The Purchaser shall make payment in the manner agree by the parties without any euctions such as iscounts, costs, taxes or ues. 8.2 The Purchaser may only withhol or off-set payments ue against counter claims which are either expressly acknowlege by Georg Fischer or finally aware to the Purchaser. In particular, payment shall still be mae when unessential items are still out-staning provie that the Proucts alreay elivere are not renere unusable as a result. 9 Retention of Title 9. The Proucts shall remain the property of Georg Fischer until the Purchaser shall have settle all claims, present an future, which Georg Fischer may have against him. 9.2 Shoul the Purchaser resell Proucts to which title is reserve, in the orinary course of business, he shall hereby be eeme to have tacitly assigne to Georg Fischer the procees eriving from their sale together with all collateral rights, securities an reservations of title until all claims hel by Georg Fischer shall have been settle. Until revoke by Georg Fischer, this assignment shall not preclue Purchaser s right to collect the assigne receivables. 9. To the extent the value of the Proucts to which title is reserve together with collateral securities excees Georg Fischer s claims against the Purchaser by more than 20 %, Georg Fischer shall re-assign the above procees to Purchaser at his request. 0 Delivery 0. The term of elivery shall commence as soon as the contract has been entere into, all official formalities such as import an payment permits have been obtaine an all essential technical issues have been settle. The term of elivery shall be eeme uly observe when, upon its expiry, the Proucts are reay for espatch. 0.2 Delivery is subject to the following conitions, i.e. the term of elivery shall be reasonably extene: a) if Georg Fischer are not supplie in time with the information necessary for the execution of the contract or if subsequent changes causing elays are mae by the Purchaser. b) if Georg Fischer are prevente from performing the contract by force majeure. Force majeure shall equally be eeme to be any unforeseeable event beyon Georg Fischer s control which reners Georg Fischer s performance commercially unpractical or impossible, such as elaye or efective supplies from sub contractors labour isputes, governmental orers or regulations, shortages in materials or energy, serious isturbances in Georg Fischer s works, such as the total or partial estruction of plant an equipment or the breakown of essential facilities, serious isruptions in transport facilities, e.g. impassable roas. Shoul the effect of force majeure excee a perio of six months, either party may cancel the contract forthwith. Georg Fischer shall not be liable for any amage or loss of any kin whatsoever resulting therefrom, any suspension or cancellation being without prejuice to Georg Fischer s right to recover all sums ue in respect of consignments elivere an costs incurre to ate. c) if the Purchaser is in elay with the fulfilment of his obligations uner the contract, in particular, if he oes not ahere to the agree conitions of payment or if he has faile to timely provie the agree securities. 0. If for reasons attributable to Georg Fischer the agree term of elivery or a reasonable extension thereof is exceee, Georg Fischer shall not be eeme in efault until the Purchaser has grante to Georg Fischer in writing a reasonable extension thereof of not less than one month which equally is not met. The Purchaser shall then be entitle to the remeies provie at law, it being however unerstoo that, subject to limitations of Art. 6, amage claims shall be limite to max. 0 % of the price of the elaye elivery. 0.4 Part shipments shall be allowe an Georg Fischer shall be entitle to invoice for such partial eliveries. 0.5 If the Purchaser fails to take elivery within a reasonable time of Proucts notifie as reay for espatch, Georg Fischer shall be entitle to store the Proucts at the Purchaser s expense an risk an to invoice them as elivere. The risk in the Proucts shall pass to the Purchaser as soon as they have left Georg Fischer s works (EX WORKS, Incoterms ICC, latest version), even if elivery is mae carriage-pai, uner similar clauses or incluing installation or when carriage is organie an manage by Georg Fischer. 2.2 If elivery is elaye for reasons beyon Georg Fischer s control, the risk shall pass to the Purchaser when he is notifie that the Proucts are reay for espatch. Notice concerning weight, numbers or apparent efects is to be given latest within 0 ays from receipt of the Proucts, notice of other efects immeiately latest within 7 working ays after iscovery, in any event within the agree warranty perio. 4. Purchaser shall not ispose of allegely efective Proucts until all warranty an/or amage claims are finally settle. At the written request of the Purchaser, Georg Fischer unertake to repair or replace at their iscretion, as quickly as possible an free of charge all Proucts supplie which emonstrably suffer from faulty esign, materials or workman-ship or from faulty operating or installation instructions. The Purchaser shall be entitle to cancel the contract or to eman a reuction in the contract price if also a secon attempt to repair or replace the Proucts has faile. 5.4 For Proucts or essential components manufacture by a thir party an supplie by Georg Fischer uner this contract, Georg Fischer s warranty is limite to the warranty provie by sai thir party. 5.5 This warranty shall not apply to amage resulting from normal wear an tear, improper storage an maintenance, failure to observe the operating instructions, overstressing or overloaing, unsuitable operating meia, unsuitable construction work or unsuitable builing groun, improper repairs or alterations by the Purchaser or thir parties, the use of other than original spare parts an other reasons beyon Georg Fischer s control. 5.6 No action or claim may be brought by the Purchaser on account of any allege breach of warranty or any other obligation of Georg Fischer after the expiration of twelve (2) months from receipt of the Proucts by the en user or at the latest within eighteen (8) months of the Proucts being espatche by Georg Fischer. 5.7 In case of Proucts for use in omestic installations or in utilities Georg Fischer will assume the costs of ismantling the efective Prouct an restoring the amage object as well as, in case of negligence, all other irect amages cause by the efective Prouct (amage to property an injury to or eath of persons) up to CHF per occurrence. the statute of limitations for warranty or amage claims contrary to Section 5.6 will be 5 years from the ate of installation. 6 imitation of iability All cases of breach of contract an the relevant consequences as well as all rights an claims on the part of the customer, irrespective on what groun they are base, are exhaustively covere by these general conitions of supply. Georg Fischer however reserves the right to file actions in any court having jurisiction over controversies arising out of or in connection with the present contract. 8.
