Information about packings and thick bituminous coating for pipe sleeves with fixed and loose flange systems Packings According to German regulations, tanking membranes must be sandwiched between durable, pliant packings. The packings must be made from the same material as the membrane or from pliant elastomers. In the case of fixed and loose flange systems, a perfect seal is only guaranteed when the thickness and elasticity of the bituminous tanking membrane is great enough to ensure that it is uniformly clamped between the flanges. In the case of tanking membranes made from very thin and/or very hard materials, com pression by the flanges alone is often inadequate. From our experience, we recommend the use of elastomer packings in conjunction with tanking Thick bituminous coating According to DIN , installation of thick bituminous compound membranes in conjunction with fixed and loose flange systems should be accompanied by a fabric inlay in the membrane in the area around the penetration. This is necessary to ensure a lasting seal, especially against pressing water. The accessories for the correct preparation of the penetration comprise a fibreglass matrix, spacer washers, rubber O-rings and coarse surface finish to the Application with existing thick coating In case of a core bore in walls which are already sealed with a thick coating, the connection to the waterproofing can be done with a pipe sleeve Curaflex 8000 under the condition of non-pressing water scenario. The seal between the flange of the pipe sleeve Curaflex 8000 and membranes made from ECB, PIB, PVC-P, EPDM, EVA as well as PE mod., PE-HD and PVC. DOYMA elastomer packings are made from EPDM or CR (Chloroprene = Neoprene). They are supplied ready for installation with pre-punched holes which align with the threaded bolts on the fixed flange. One packing is installed by placing it on the fixed flange, then the tanking membrane is trimmed to suit and the second packing is then laid in place over the membrane and, finally, the loose flange is installed and tightened. Elastomer packings are available as an extra accessory. If required, please order Curaflex fixed and loose flanges to maximise the grip of the flanges on the membrane. 38 Safe and Effective DOYMA Fire Protection Products DOYMA provides a range of fire protection products which includes pipe and cable seals for all common classes of fire resistance. It allows all important penetrations to be fitted with safe and effective preventive fire protection. Curaflam Fire Protection Collars Curaflam fire protection collars are fitted around the pipe and secured in position. The system is compact and installation is extremely easy. The mounting lugs can be secured with screws or simply bent straight and set in concrete. At temperatures of approx. 140 C, the fire protection material develops an expansion pressure up to 11 bar, safely sealing off piping. Curaflam Fire Protection Winding Tapes Die Curaflam fire protection winding tapes are made of a tough, resilient, intumescent material which, in case of fire, swells from a temperature of approx. 140 C and the expansion pressure ensures that the annular void is completely sealed. Curaflam Fire Protection Cartridge Materials Curaflam fire protection fillers, dispensed by cartridge, are easy applied intumescent materials for accomplishing a wide variety of seals for pipes and cables. page 38

Versatility, ease of use and safe materials make these DOYMA products indispensable for all upcoming work involving electrical or combination insulation. Curaflam Fire Protection / Sealant System Combinations These fire stops can be used for a wide range of flammable and non-flammable pipes. They are prefabricated and supplied to match the particular type of pipe and its dimensions. In case of fire and from a temperature of about 150 C the fire protection laminate located in the wall swells with an expansion pressure of up to 10 bar. The volume of the material increases sevenfold, completely sealing off the penetration. 51 Years guarantee of all DOYMA-products Certificate As an extension to the statutory rights of the customer, DOYMA guarantees the correct functioning of your DOYMA product for 25 years from the date of its purchase. The effective date for validity is However, should the DOYMA product fail to function correctly during this time as a result of a product defect and consequential damage occurs, then DOYMA will: Replace the defective DOYMA product. Reimburse the required installation and removal costs following prior agreement with DOYMA up to a maximum amount of 10,000. DOYMA reserves the right to carry out the work, which is necessary within the framework of the maximum amount, themselves or to have it carried out by a DOYMA approved third party. Reimburse the cost of all property damage incurred as a consequence of the defective DOYMA product, in particular damage to your property that has been caused by the ingress of water, and repair work that has become necessary, in particular drying, painting and masonry work, following prior agreement with DOYMA, up to a maximum amount of 100,000 in each individual case, in so far as the damage was foreseeable by DOYMA; DOYMA reserves the right to carry out the work required for the rectification of the damage themselves or to have it carried out by a DOYMA approved third party. This guarantee is only applicable when the actual DOYMA product itself is defective, and is therefore not applicable when the failure of the DOYMA product has occurred as a result of the product having been installed or used in a manner which is contrary to established engineering principles in the construction industry and particularly DOYMA application and installation guidelines; it also does not apply when the failure of the DOYMA product is related to damage to the product sustained prior to, during or post installation howsoever caused. Should you be unable to refute a substantiated objection from DOYMA, that one of the groands for exclusion outlined here is applicable, then the rights of the guarantee will be void. 52 DOYMA GmbH & Co GENERAL CONDITIONS OF SALE 1 Generalities / Scope of application 1. Our Conditions of Sale have exclusive application. They apply to all of our quotations, sales, supplies and services. If it should not have been possible for the Customer to be cognisant hereof on the conclusion of a contract they will nevertheless apply if the Customer knew or should have known of them from previous business transactions. 2. We do not acknowledge a Customer s contrary terms or conditions which differ from our Conditions of Sale. Where we carry out supplies or services incumbent upon us in the knowledge of a Customer s terms and conditions we do not hereby even acknowledge those terms and conditions that do not conflict with our own Conditions of Sale. 3. Our Conditions of Sale only apply to business undertakings within the meaning of 310 of the German Civil Code, i.e. they do not apply if a Customer s order cannot be attributed to either its commercial or professional activities ( consumer pursuant to 13 of the German Civil Code). 4. No verbal ancillary agreements have been reached. All future amendments to this Agreement must be made in writing; this also applies to revocation of this clause on written form. Our field staff do not have authority to verbally revoke this requirement of written form; amendments do not therefore take effect until confirmed in writing by the management or our sales department. 2 Quotations Conclusion of contracts 1. Our quotations are given without obligation unless stated to the contrary. 2. Where a Customer s order constitutes an offer to conclude a contract we may accept such offer within 10 days. 3. We retain all title to and copyright over drawings, diagrams, calculations and other documentation. This applies, in particular, to written documentation that is marked confidential. The Customer may only pass such written documentation on to third parties with our express prior written consent. 3 Prices Terms of payment 1. Unless otherwise agreed all prices are quoted ex warehouse or ex works inclusive of packaging. For a gross goods value of EUR or more our prices are quoted free at destination within Germany. Freight charges, insurance, postage and all other agreed special or ancillary services are otherwise charged extra at reasonable rates. This applies even if the Customer orders special packaging or consignment. 2. Our staff are only permitted to collect payment if prior written confirmation is given to the Customer by our management. 3. Customer payments are due and payable immediately. The Customer should note that it will fall into arrears if it does not make payment within 30 days of receiving an invoice. If the Customer falls into arrears with a payment it will be obliged to pay a flat-rate sum of EUR 1.50 for each (additional) payment demand to cover expenses. 4. The Customer may not offset counterclaims unless they have been finally established by a court of law, are undisputed or acknowledged by us. 5. We are entitled to exercise a right of retention by reason of any claims deriving from our business relationship with the Customer. 4 Delivery Delivery period 1. Delivery periods stated by us do not begin to run until all technical issues have been resolved and the Customer s obligations have been duly and properly fulfilled. We reserve the right to plead failure to perform the contract. 2. Force majeure or disruption to operations with us or our suppliers, e.g. caused by insurrection, strikes or lockouts, which temporarily prevent us, due to no fault on our part, from supplying goods by the agreed date or within the agreed delivery period will alter the delivery dates or periods stated by us by the Length of the disruption to performance caused by such circumstances. Where such disruption leads to a delay in performance of more than 2 months the Customer will be entitled to cancel the contract. 3. Unless a contract is for a specific object we will be obliged to supply an object of the same type that is of average kind and quality. This duty to procure such an object is limited to stocks in our warehouse or goods produced by us. If we do not ourselves produce the goods stipulated or if we have not taken delivery of same then our delivery of goods will be dependent upon supplies being duly made to ourselves. This applies mutatis mutandis to stipulated goods to which we have not already obtained title. We will not take responsibility for a supplier s failure to deliver over which we have no influence. This also applies to a supplier s delay in delivery over which we have no influence. 4. We reserve the right during the course of the delivery period to make changes in design or shape, changes in colour or changes to the scope of delivery on the manufacturer s part provided that the goods purchased are not significantly altered and the change is reasonable for the Customer. 5. We reserve the right to make a minimum charge for small quantities. 5 Delay in delivery 1. We have statutory liability for delay - where the contract of sale is a fixed-date transaction within the meaning of 361 of the German Civil Code and 376 of the German Commercial Code; - if a delay in delivery for which we are responsible causes the Customer to lose interest in further performance of the contract; - if a delay in delivery results from a wilful or grossly negligent breach of contract for which we are responsible; the same applies to fault on the part of our agents or representatives. 2. We have statutory liability, although limited to predictable damage that might typically occur - if a delay in delivery results from a wilful or grossly negligent breach of contract for which we are responsible; - if a delay in delivery for which we are responsible results from a careless breach of a fundamental contractual obligation. 3. If our delay in delivery should simply result from a culpable breach of a non-fundamental contractual obligation the Customer s claim will be limited to 20% of the value of the delivery. 6 Risk to performance / Insolvency 1. If it should become apparent to us after the conclusion of the contract that (further) performance of the contract is jeopardised by the Customer s unsatisfactory performance we will have the right to refuse to render advance performance under this Agreement until such time as the Customer provides appropriate counter-consideration or security for the same. 2. We have the right to cancel or summarily terminate this Agreement if, despite being given reasonable extra time to provide appropriate counterconsideration on delivery or to put up security, the Customer does not comply. 3. If the Customer should be over-indebted or insolvent or if insolvency or composition proceedings should be instigated or applied for in respect of its assets we will be entitled to cancel or summarily terminate this Agreement without giving any extra time. 4. If we should cancel or summarily terminate this Agreement pursuant to paragraphs 2 or 3 we may claim damages from the Customer instead of performance or reimbursement of expenses. 7 Acceptance 1. The Customer is obliged to take the action required in order for us to perform the contract and, in particular, to accept the object. Breach of such obligation and failure to prove that it is not then at fault will mean that it is obliged to make good the loss or damage incurred by us as a result thereof, especially additional expenditure. We reserve the right to assert further claims. 2. If the Customer should be in default with acceptance of goods more than 14 days after receiving notice of readiness for dispatch or receiving our first correct delivery we may give the Customer written notice of an extra period of 14 days stating that once such period has expired we will decline acceptance of the purchased goods. Once this extra period has unsuccessfully expired we will be entitled to give written notice cancelling the contract of sale or claiming payment for nonperformance. No extra time need be given if the Customer seriously and definitively refuses acceptance or is obviously unable to pay the purchase price even if extra time is granted. In such a case we will be entitled to claim a flat-rate sum of 10% of the agreed purchase price for loss of profit. However, the Customer retains the right to adduce evidence to show that the loss incurred by us (if any) is lower than this. We also reserve the right to adduce evidence to show that the loss incurred by us is greater and to claim same. 8 Dispatch Transfer of risk 1. Unless otherwise stated in the order confirmation it is agreed that delivery should be made ex warehouse or ex works, i.e. EXW Oyten (Incoterms 2010). 2. Transport packaging and all other packaging (except for pallets) is non-returnable. The Customer may dispose of our packaging under our agreement with Interseroh. 3. Transport insurance is only taken out by us if contractually agreed. The cost thereof is to be borne by the Customer. 4. We have the right to effect partial delivery to a reasonable extent. 9 General rules in the event of defects in goods ordered 1. All of the Customer s rights regarding defects in goods are contingent upon it having complied with its obligations to inspect same and lodge complaints pursuant to 377 of the German Commercial Code. 2. Advertising claims made by third parties are only binding on us if approved by the manufacturer or ourselves. 3. If the Customer should not follow operating or maintenance instructions laid down by us or the manufacturer, or if it should make modifications to products, swap parts or use consumables that do not meet the original specifications then the warranty will lapse unless the Customer can refute a substantiated allegation that such factor actually caused the defect. 4. Our guarantee terms and conditions also apply. 10 Replacement performance 1. If an object should be defective the Customer initially only has the right to require us to effect replacement performance insofar as replacement performance is not unreasonable for us and we have not seriously and definitively refused the same. 2. Replacement performance may take the form of delivery of a new object or repair by us or a third party brought in by us. We are always obliged to bear all costs necessary to make good defects, especially transportation costs, road charges and the cost of labour and materials, unless these are increased as a result of the goods purchased having been dispatched to a place other than the place of performance. Where a new object is supplied and the Customer is a business undertaking the Customer has to pay the costs of dismantling and installing the goods purchased. 3. The choice between different modes of replacement performance is left to our discretion ( 315 of the German Civil Code). In any event we will be entitled to refuse a mode of replacement performance selected by the Customer if another manner of replacement performance would be 15% cheaper for us. Where a new object is supplied the residual value of the object to be returned is to be offset for this purpose. 4. We are entitled to make replacement performance contingent upon a reasonable part of the purchase price having been paid. We are also entitled to refuse to effect replacement performance at all if the cost would exceed the stipulated purchase price. If we should be to blame for the defect or if we have given a guarantee that there is no defect present we may only refuse to effect replacement performance at all if the cost would exceed the stipulated purchase price by one-third. Where a new object is supplied the residual value of the object to be returned is to be offset for this purpose. 5. All replacement performance is effected by us without accepting legal liability unless we should have expressly acknowledged the defect. Our engineers and fitter do not have authority to acknowledge defects. 6. If a contract is for a specific object we are entitled to repair same if this is possible for us or a third party brought in by us. We are also entitled to supply an object later on that differs from that stipulated if it should be just as appropriate for the contractually intended purpose as the object stipulated. If the contract is for used objects the Customer, if it is a business undertaking, will be obliged to immediately inspect them for ascertainable defects. If it should fail to give notice of such defects within 3 weeks of delivery all of the Customer s rights regarding ascertainable defects will be excluded unless it can prove that such defects were already present at the time of delivery. 11 Further rights in the event of defects 1. If replacement performance should fail pursuant to 440 of the German Civil Code the Customer may, at its own discretion, provided that the statutory requirements are met and subject to the provisions of 10, 11, 12 and 13 of these General Conditions of Sale, assert rights under 437 No. 2 of the German Civil Code (cancellation or reduction) or 437 No. 3 of the German Civil Code (damages or reimbursement of expenses). 2. The Customer will not be entitled to claim damages under 280(1) of the German Civil Code in the case of minor defects in an object. The right to reduce the purchase price is also excluded in the case of minor defects. 12 Limitation period for rights concerning defects 1. The limitation period for the Customer s rights regarding defects in an object is five years from delivery of that object. This also applies to the Customer s rights to claim damages or damages instead of performance even on account of all loss or damage to the Customer s other legally protected interests arising as a result of the defect unless it is a question of harm to life and limb or the Customer s health or unless we should be responsible for the defect due to wilfulness or gross negligence. 2. Where this Agreement also covers rights the limitation period for the Customer s claims for defects will begin to run when the contracting parties have agreed on the transfer of such rights to the Customer. 13 Cancellation and damages instead of performance for breach of duty 1. A period of time set by the Customer for replacement performance must be at least 14 days long unless replacement performance should have to take place earlier for particular reasons. 2. Even after a reasonable extra period has expired without result the Customer will not have the right to cancel this Agreement or claim damages instead of performance unless it gives prior notice thereof when setting that extra period or prior notice of a reasonable Length of time. 3. Where the Customer sets a period of time for replacement performance on multiple occasions the Customer will not be permitted to cancel this Agreement or claim damages instead of performance during the continuance of such extra period. 14 Returns 1. Non-defective goods may not be returned and/or exchanged unless we have expressly agreed thereto. We do not have any legal duty to accept returns. Returns and consignments intended to be exchanged must be sent back to our place of operation as quickly as possible at the Customer s expense, to include any freight charges paid by us in advance; the delivery note number and invoice number must be stated. The Customer bears the risk for them up to acceptance. We have the right to charge for warehousing the goods or to reject returns. The minimum handling fee for returns is a net sum of If any particular expenditure should be required to identify goods returned or restore them to a flawless condition (repairs, cleaning etc.) we will be entitled to charge the Customer for any such costs. 2. The Customer is required to give us prior notice of returns. Failure to fulfil such obligation will mean that the Customer becomes liable for the resultant loss or damage. We reserve the right to either return goods sent back without such prior notice having been given and to do so unprocessed and at no cost to ourselves, or to refuse to accept such returns. 15 Liability 1. We do not accept liability for simply careless breach of duty unless it affects substantial contractual obligations or we have given a guarantee for the fulfilment of such duty or for the lack of success deriving from that breach of duty. This also applies to the acts of our executive bodies and vicarious agents. 2. This exclusion of liability does not apply where loss or damage consists of harm to life, limb or health or with regard to claims under the Producthaftungsgesetz (Product Liability Act). 3. We have both business and product liability insurance cover. Where this applies the exclusion of liability under the first paragraph of this clause will not apply provided that the total claim in damages in a particular case is limited to a maximum sum of 1,500, All of the Customer s claims in damages for grossly negligent breach of duty or grossly negligent tortious acts on our part are limited to the loss or damage foreseeable by us. 5. Paragraphs 1 to 4 of this clause apply mutatis mutandis to tortious acts on the part of our staff and vicarious agents. 16 Retention of title 1. We retain title to goods purchased until such time as all payments under the supply contact have been received. In the event of breach of contract by the Customer, especially in the event of payment arrears, we will be entitled to recover the goods purchased once an extra period of time has elapsed without result (unless this should be expendable by law). Our recovery of goods purchased constitutes cancellation of the contract. After taking back goods purchased we will have authority to realise same, whereupon the proceeds of sale will be offset against the Customer s liabilities less reasonable selling costs. 2. The Customer is under a duty to handle the goods purchased carefully; it is obliged, in particular, to adequately insure them at its own expense against fire, theft and water damage at replacement value. Where maintenance and inspection work is required the Customer must carry this out at the proper time at its own expense. 3. The Customer must promptly inform us in writing in the event of seizure or intervention by a third party so that we can issue proceedings under 771 of the Code of Civil Procedure [ZPO]. If the third party should be unable to reimburse us the judicial and extra-judicial costs of a claim under 771 ZPO the Customer will be liable for the shortfall sustained by us. 4. The Customer has the right to resell goods purchased in the ordinary course of business; however, it hereby assigns to us all accounts receivable in the amount of the final invoice sum (including VAT) which accrue to it from its purchaser or a third party as a result of such resale, irrespective of whether the goods purchased are resold with or without being processed. The Customer will still have authority to collect such accounts receivable even after the assignment. Our authority to collect such accounts receivable ourselves is not prejudiced hereby. However, we do reserve the right not to collect such accounts receivable provided that the Customer meets its payment obligations from the proceeds collected, does not fall into arrears with its payments and provided, in particular, that no application is filed for the institution of insolvency or composition proceedings and that it has not suspended its payments. Should this be the case, however, we may require the Customer to make the assigned accounts receivable and debtors known to us, to provide us with all necessary data to effect collection, to hand over the documentation concerned and give the debtors (third party) notice of the assignment. 5. The Customer s processing or conversion of goods purchased is always undertaken on our behalf. Where goods purchased are processed along with other items not belonging to us we will acquire joint title to the new object in the proportion that the value of the goods purchased (final invoice sum, including VAT) bears to the other processed items at the date of processing. The same principle applies to any object resulting from processing, as applies to goods purchased subject to retention of title. 6. Where goods purchased are inseparably combined with other items not belonging to us we will acquire joint title to the new object in the proportion that the value of the goods purchased (final invoice sum, including VAT) bears to the other combined items at the date of such combination. Where combination is effected in such a way that the Customer s object is considered to be the principal object it is deemed agreed that the Customer will assign to us the proportionate joint title. The Customer will safeguard such resultant sole or joint title on our behalf. 7. As collateral for our accounts receivable due from it, the Customer also assigns to us its accounts receivable from a third party which derive from goods purchased being attached to real estate. 8. We undertake, at the Customer s request, to release collateral provided to us in so far as the realisable value of our collateral exceeds the accounts receivable to be secured by more than 10%; selection of the collateral to be released will be our responsibility. 17 Jurisdiction Place of performance Data protection 1. Where the Customer is a business our place of business is the place of jurisdiction; however, we have the right to also sue the Customer at the court of its place of residence or business. 2. In the case of cross-border deliveries where the Customer is a business within the meaning of the German Commercial Code the exclusive place of jurisdiction for all disputes directly or indirectly arising out of the contractual relationship is Oyten, Federal Republic of Germany. However, we have the right to also sue the Customer at any other court that has jurisdiction under the European Regulation on Jurisdiction and Enforcement or any other legislation and international conventions. 3. Where the Customer is a consumer the statutory place of jurisdiction applies. The court at our place of business also has jurisdiction, however, if the consumer moves abroad or to an unknown address after the conclusion of the contract. 4. Unless otherwise stated in the order confirmation our place of business is the place of performance. 5. All legal relations between the Customer and ourselves under this Agreement are governed only, and to the exclusion of foreign law, by the law applicable to relations between domestic parties at our place of business (German law). The application of the UN Convention on the International Sale of Goods (CISG) is excluded. 6.
