2 PART I - TERMS AND CONDITIONS OF BIDDING A. BID OPENING The Board of County Commissioners will open sealed bids and publicly read them aloud at 11 :00 am on Tuesday, February 5th at the Board's offices in the Douglas County Courthouse, 213 Rainier, P.O. Box 747, WateNille, Washington , for ONE (1) NEW 8'-16'SELF-PROPELLED TRACK ASPHALT PAVER Sealed bids must be received by the Clerk of the Board of County Commissioners by mail, at the address listed above; or in person at the Department of Transportation and Land SeNices at th St. NW, East Wenatchee, Washington no later than 4:00 PM on Monday, February 4th, Bids must be received in a sealed envelope clearly marked: SEALED BID FOR ONE (1) NEW 8'-16'SELF-PROPELLED TRACK ASPHALT PAVER TO BE OPENED AT 11:00 AM ON TUESDAY, FEBRUARY srn, B. BID CONTENTS The sealed bid must contain a// pages of bidding documents: Part I - Terms and Conditions of Bidding Part II - Terms and Conditions of Purchase Part Ill - Specifications (Bidders not fully meeting specifications must identify and list exceptions. All exceptions are subject to review, inspection, testing and approval by Douglas County.) Part IV - Proposal and Signature The completed bid package submitted to Douglas County will constitute a firm offer to furnish the vehicle/equipment on the terms and conditions contained in the Specifications and signed Proposal. The firm offer may not be withdrawn for thirty (30) days after award. The sealed bid must also contain the following information and materials for each type of vehicle/equipment: 1. One or more photographs (brochure) of the vehicle/equipment; 2. Detailed illustration and specifications sheet(s); 3. The schedule for all recommended periodic maintenance; 4. Copies of all applicable manufacturer and dealer warranties, extended terms and exclusions; 5. Delivery date availability, being the date or time period required after notice of bid award for guaranteed availability of units included in bid. 2

3 C. CLARIFICATION OF BID A bidder may submit information to clarify the bid previously received by the Clerk. The information must be received in writing or by facsimile transmission prior to the date and time set for bid opening. The sole purpose of this provision is to allow clarification of any perceived ambiguity in Part Ill Specifications of the bid, or to modify responses to specifications in the bid. NO OTHER CHANGES ARE ALLOWED EXCEPT BY SUBMITTING AN AMENDED SEALED BID PRIOR TO THE DATE AND TIME SET FOR BID OPENING. Any unsealed clarification information received by the Clerk which discloses price will not be considered by the Board of County Commissioners and shall result in rejection of the entire bid. D. BID REVIEW AND EVALUATION The Board of County Commissioners reserves the right to reject any or all bids, waive informalities, and to contract as the best interests of Douglas County may require. When evaluating bids, the following criteria, in addition to price, specifications, delivery terms, quality of goods, and guaranteed efficiencies, will be considered: 1. The bidder's experience, technical qualifications and skill; 2. The guaranteed availability of units included in the bid; 3. The bidder's ability and capacity to fully perform within the time required, taking into account the bidder's existing performance commitments and past performance; 4. The bidder's qualifications and eligibility to contract under applicable laws and regulations; 5. The bidder's compliance with the terms and conditions and specifications of this request for bids; 6. Any equalizing elements or factors, in addition to price, which would affect the acquisition, maintenance and/or operation costs or benefits to Douglas County; 7. Any additional evaluation criteria or specifications set forth in Part I - Terms and Conditions of Bidding, Part II - Terms and Conditions of Purchase, and Part Ill - Specifications; 8. Any other information as may have a bearing on the bid. 9. The lowest bid price may not be considered because of any of the above criteria. E. CANCELLATION BY COUNTY In its sole discretion, Douglas County may cancel any bid award upon written notification to the successful bidder within thirty (30) days after the date of the bid award, without any cost, expense, penalty or damages payable to the successful bidder. 3

4 PART II - TERMS AND CONDITIONS OF PURCHASE A. PAYMENT Invoicing shall be directed to Douglas County Transportation and Land Services, th St. N.W., East Wenatchee, WA Payment will be made by Douglas County within thirty (30) days after the date of acceptance of the vehicle/equipment as conforming to all terms and conditions of the bid award or the date invoicing is received in the office of Douglas County Transportation and Land Services, whichever is later. B. EXCISE TAXES The purchase of vehicles/equipment is subject to Washington State sale and use excise taxes. The rate of such tax in Douglas County is 8.2%. Douglas County is exempt from federal excise taxes. C. COOPERATIVE PURCHASES The Washington State lnterlocal Cooperation Act, RCW Chapter provides a method under which governmental agencies, in addition to Douglas County, may make purchases on this bid award, in accordance with its price, terms and conditions. A bidder unwilling to extend the bid to additional purchases by Douglas County or other governmental agencies must indicate this unwillingness in the bid. D. CONFORMING CONDITION REQUIRED ON DELIVERY 1. Conform to all requirements of Part II - Terms and Conditions of Purchase and Part Ill - Specifications; 2. Meet all manufacturer's standard specifications as new and most current model; 3. Comply with all applicable Washington motor vehicle equipment requirements; 4. Comply with all applicable EPA requirements for emission and noise controls; and 5. Comply with all applicable federal (OSHA) and state (WISHA) occupational safety standards. All vehicles/equipment shall receive full and complete pre-delivery servicing prior to delivery and be in turnkey condition, with all systems and accessories fully operational. Pre-delivery service work shall be completed locally and not at the factory. Vehicles/equipment evidencing damage during shipment will not be accepted. It shall be the vendor's responsibility to remedy or repair any damages, defects or shortages prior to delivery. If Douglas County, in its sole discretion, accepts delivery of a damaged or defective unit, the vendor shall have the continuing obligation to fully and completely remedy or repair. 4

5 E. DELIVERY TERMS All vehicles/equipment must be delivered within one hundred and twenty (120) days after the date the purchase order is issued by Douglas County, unless otherwise agreed upon by Douglas County. Terms of delivery shall be F.O.B., Douglas County, Washington, at the Transportation and Land Services shop, 800 N. Monroe, Waterville, Washington F. LIQUIDATED DAMAGES Time is of the essence of these the terms and conditions of the purchase contemplated. In the event that delivery of the vehicle/equipment unit(s) is not completed on or before the date required by the purchase order issued by Douglas County, it is mutually agreed by and between the successful bidder and Douglas County as follows: A delivery delay could seriously affect public safety and welfare through lack of necessary equipment. A reduction in the unit price of One Hundred Dollars (100.00) per unit per calendar day for each and every day after the delivery date set forth in the purchase order is the nearest measure of damages for such delay that can be determined at this time. Douglas County and the successful bidder hereby agree that a reduction in the unit price of One Hundred Dollars (100.00) per unit per calendar day for each and every day of delay shall serve as liquidated damages, and not as a penalty or forfeiture, for failure to complete delivery on or before the date specified in the purchase order. However, if the successful bidder is delayed in completing delivery by any default, act or omission of Douglas County or by strikes, fires, act of God, then the date for completion of delivery shall be extended for such time as may be agreed upon. G. DOCUMENTATION All vehicles/equipment delivered shall be accompanied with the following documentation: 1. Manufacturer's Statement of Origin, if applicable; 2. All manufacturer and dealer warranties as included in bid; 3. If applicable, a completed title application made out for: DOUGLAS COUNTY TLS/ERR FUND th St. N.W. EAST WENATCHEE, WA One complete set of the following manuals and materials for each vehicle/equipment unit: One (1) Service Manual, One (1) Parts Manual, One (1) Lubrication Chart and One (1) Operator's Manual. 5

6 PART Ill - SPECIFICATIONS a. Indicate compliance by checking either a YES or NO answer. a. A 'YES' answer indicates 100% compliance with the entire statement. Manufacturer's bid is allowed to meet, or exceed, stated specifications, unless otherwise quantified. b. Explain all 'NO' answers in detail in the section at the end, clearly referencing the relevant non-conforming item(s) by section and item number. 1. The self-propelled, track driven asphalt paver specifically designed for the placement of asphalt materials. 2. Basic screed width not to be less than 8 ft. ( 2.4 m) and hydraulically extends to not less than 16 ft. 3. Operating total weight with front-mount, narrow-depth extensions screed (UltiMat) shall be 37, 100 lbs. (16,828 kg) or 4. Operating width not to exceed 1 Oft. 5 in (3.18 m). 5. Operating length not to exceed 19 ft. 5 in. ( 5.9 m) 6. Operating height not to exceed 11 ft. 2 in. ( 3.4 m) 7. Paving depth to be no less than.25 inches to 10 in. (6-254mm) 8. Minimum shipping width shall be no more than 8 ft. 2 in. (2.5 m) 9. Truck Clearance width (hoppers down) not to be less than 1 O ft. (3 m) 10. Shipping height not to exceed 8 ft. 10 in. (2.7 m) 11. Shipping Length (screed down-walkway up) not to exceed 17 ft. 10 in. ( 5.4 m) 12. Deck height not to exceed 5 ft. (1.5m) 13. The paver shall meet all OSHA and ISO sound-level requirements. 14. Maximum tractor operator ear sound level, with machine at full speed, shall not exceed 88.5 dba, measured at the right hand operator station and not exceed 86.1 OBA at the left-hand operator station. 1. The paver to be equipped with no less than 155 hp engine, with power to operate all functions for continuous paving 2. The engine must meet or exceed T4 Final US EPA emission regulation. 3. The engine must be equipped with fuel filter with water separator. 4. The engine starting system shall be capable of starting the engine to 32 degree ambient temperature 5. The paver to be equipped with general purpose pump unloader that during starter crank, assists in cold starting. 6. The engine must have the capability to operate without de-rate to 5000 ft. ( 1,524 m.) 7. The paver must have a ignition key, located at the operator station 8. The paver must be equipped with a master switch disconnect accessible from the operator platform. 9. The paver must be equipped with a safety interlock switch to prevent engine cranking when the screed vibration is active. _ 10.
