1 Overview for Contract Prior to utilizing a contract, the user should read the contract in it's entirety. DESCRIPTION Contract covers Scrap Rubber Removal Services for all agencies within the Commonwealth. MINIMUM ORDER: State agencies shall dispose of scrap rubber in accordance with the Department of Environmental Protection regulations and the Commonwealth's Waste Tire Recycling Act 190 as Amended by Act 111 of Section 106 regulates the disposal of whole waste tires, it Prohibits Landfill Disposal unless the landfill Operator provides Shredding, Chopping or Splitting of whole used or waste tires prior to disposal. The Commonwealth must receive a Certificate of destruction provided by the Landfill Operator. However, small usage facilities under the Governors Jurisdiction that do not have large fleets and generate less than 101 tires in any (12) month period are exempt from this contract. 2 Department of General Services GSPUR-13BRev. 12/30/02 SCRAP RUBBER REMOVAL SERVICES SPECIAL CONTRACT TERMS AND CONDITIONS CONTRACT SCOPE/OVERVIEW: This Contract identified here and in the other documents as the Contract will cover the requirements of Commonwealth agencies for Scrap Rubber Removal Services. ORDER OF PRECEDENCE: These Special Contract Terms And Conditions supplement the Standard Contract Terms And Conditions For Statewide Contracts for Services. To the extent that these Special Contract Terms And Conditions conflict with the Standard Contract Terms And Conditions For Statewide Contracts for Services, these Special Contract Terms And Conditions shall prevail. TERM OF CONTRACT: The Contract shall commence on the Effective Date, which shall be no earlier than November 1, 2003 and expire on October 31, OPTION TO EXTEND: The Department of General Services (DGS) reserves the right, upon notice to the Contractor, to extend the Contract or any part of the Contract for up to three (3) months upon the same terms and conditions. This will be utilized to prevent a lapse in Contract coverage and only for the time necessary, up to three (3) months, to enter into a new contract. OPTION FOR SEPARATE COMPETITIVE BIDDING PROCEDURE: DGS reserves the right to purchase services covered under this Contract through a separate competitive bidding procedure, whenever the department deems it to be in the best interest of the Commonwealth. The right will generally be exercised only when a specific need exists or the price offered is significantly lower than the Contract price. OPTION TO RENEW: The Contract or any part of the Contract may be renewed for three (3) additional one (1) year terms by mutual agreement between the Department of General Services and the contractor(s). If the Contract is renewed, the same terms and conditions shall apply. If the Contract is renewed, a new performance security or a rider supplementing the original security will be required for each renewal term. E-CATALOG: The Commonwealth may require the awarded bidder(s) to supply its price list/catalog and any updated price lists/catalogs in electronic format. Price lists/catalogs must be provided in one of the following formats: word document, Excel spreadsheet, or PDF file on 3.5-inch diskette or CD- ROM. ENDORSEMENTS: Successful bidders shall not advertise or publicize in any way a written or verbal endorsement that their service is being used by the Commonwealth of PA without written approval of the Department of General Services. PRICE LISTS: Price lists must be submitted with the bid proposal. If price lists are not submitted, bidders will be given two (2) business days to submit price lists. The date of the price list must be cited on bid sheets, Bidder s prices cannot be based on weight. Bidders Price List shall contain Prices to remove Loose Scrap tires (i.e. the cost to Remove 101 tires is $400.00) the cost if Delivered by the Commonwealth to the Contractor (i.e. 101 tires ($250.00). The Contractor may negotiate or offer lower prices than those provided on the Contractors Official Price List to Commonwealth agencies, but may not charge higher prices than those provided on their Price List submitted to DGS. Any terms and conditions that may appear on the price list, including but not limited to, FOB shipping point; prices subject to change; and any additional items will not be part of the Contract and will have no force or effect on the Contract. Within ten (10) days after a request from a Commonwealth agency, a Contractor shall furnish the requesting agency with a copy of the price list or their Quote for the services under the scope of this Contract. Contractors may not publish any price list for use by Commonwealth agencies with alternate pricing or additional terms and conditions. The price list must apply to all agencies of the Commonwealth and shall definitely be a factor in an agency's final selection of a Contractor. Bidders should be creative in developing a comprehensive price list that includes all the services associated with scrap rubber removal for which the bidder will seek payment. 1

3 Department of General Services GSPUR-13BRev. 12/30/02 SCRAP RUBBER REMOVAL SERVICES UPDATE PRICE OPTION: Contractors may adjust their prices one (1) time every twelve (12) month period from date of award, or at any renewal period. A Contractor seeking to update its price list shall submit a letter to the Buyer requesting to adjust their prices in accordance with Table 2. COMPENSATION (NOT SEASONALLY ADJUSTED) Employment Cost Index (ECI) for total compensation occupational group. The adjustment shall be on the Contractors Original Bid Price. Scroll to Occupational Group sub-category, Blue Collar, published by the U.S. Department of Labor Bureau of Labor Statistics to the nearest month. 4 SCRAP RUBBER REMOVAL SERVICES SPECIAL CONTRACT TERMS AND CONDITIONS DEFINITION OF SCRAP RUBBER: For the purposes of this Contract Scrap Rubber is defined as follows: Road kill generated on state roads, i.e. rubber mud flaps, pieces of tires or tire tread or tires that can or cannot be recapped. AGENCY PURCHASING AGENTS: Please read the Minimum Order paragraph on the page two (2) of this Contract. ADDITIONAL INFORMATION: Commonwealth agencies who use commercial companies to transport their tires to a recycler are required to use a Licensed Transporter. (to send their tires to a recycler). A searchable list of Transporters may be accessed at the following address: PURCHASING AGENCY OPTIONS: (a) (b) (c) (d) Loose Pick-Up: Contractor must provide their own Personnel to load the scrap rubber onto their own equipment. Loose Pick-UP: Contractor must provide their own Equipment, but agency personnel shall load. Container Pick-Up: Contractor shall supply various size containers to meet the needs of the requesting agency. Contractor shall remove the container when requested by the agency. Delivery by agency to the Contractor: Agency shall deliver with their own personnel and equipment to Contractors place of business. METHOD OF AWARD: (MULTIPLE AWARD): Award of the Contract shall be made to all responsible and responsive bidders. Commonwealth agencies shall then select from the list of awarded Contractors in each Region based upon best value. The "Best Value" determination by the ordering Commonwealth agency shall take into consideration such factors as price, service, and reliability. Agencies may at their discretion transport the scrap rubber in their own vehicles to a Contractor in a different region if a better price can be obtained. STATEMENT OF WORK/SPECIFICATIONS: The Awarded Bidders shall receive or remove Scrap Rubber from ordering Commonwealth agency facilities with their own vehicles and personnel or licensed waste haulers. Using agencies may contact any Contractor(s) listed for the Region where the services are to be provided and request a quote or transport tires to a different region in their own vehicles if a better price can be obtained. Using agencies will provide the Contractor(s) with their requirements indicating the estimated amount of Scrap Rubber to be removed, frequency of removal, and location. The agency at its option may choose the type of service (i.e. Delivery to the Contractor, choose Pick-up by the Contractor, load Contractor equipment or may be asked to provide roll-off containers or other enclosures). The Contractor shall have ten (10) business days after notification from the Commonwealth agency to remove the Scrap Rubber utilizing the Contractor s own resources No information is available on the specific needs of each agency. Scrap Rubber must 4

5 SCRAP RUBBER REMOVAL SERVICES be shredded within seven (7) days after receipt from Commonwealth agencies. Additional Contractors may-be-added through the Bidding process at any renewal period or sooner, if the Commonwealth determines its in its best interest. REGIONS: Region page 3 separates the Commonwealth into Eighteen (18) Regions. The Bidder may select One (1) or more regions, however all Counties in the selected region must be serviced. Agencies that have, generate or find scrap rubber on state roads in those regions, will issue an order to one of the Contractors listed for the region in which the rubber is located to provide scrap rubber removal. Contractors shall provide Service on as needed basis to all Commonwealth agencies within the awarded region. Agencies may at their discretion transport the scrap rubber in their own vehicles to a Contractor in another region if a better price can be obtained. BILLING REQUIREMENTS: The Contractor(s) shall be required to establish separate billing accounts with each using agency and invoice them directly. The invoice shall be itemized with adequate detail to assist agencies in verifying charges. The charges on the invoice shall be in accordance with the prices quoted by the Contractor to the Commonwealth agency, and shall, in no event, exceed the prices quoted on the price list included with the Contractor s bid. The invoice shall include a certificate indicating the delivery date to the Scrap Rubber Processor/dealer and the date the Scrap Rubber was processed. In no instance shall any payment be made for services that are not performed at the prices quoted by the Contractor to the Commonwealth agency and in accordance with the specifications of the Contract. BLANKET CONTRACT PURCHASE ORDERS: Commonwealth agencies may issue Blanket Purchase Orders against this Contract. Such orders may cover all anticipated requirements for a set period of time (i.e. a month, quarter, or year.) Note: The maximum period of a Contract Purchase Order shall be one year. These orders constitute the Contractor s authority to perform the services at the requesting agency site(s). AGENCY PURCHASING AGENTS PLEASE NOTE: All Contract Purchase Orders received by the Contractor up to and including the expiration date of the Contract are acceptable and must be performed in accordance with the Contract Purchase Order and the Contract. The period of performance under any Contract Purchase Order can extend beyond the expiration date of the Contract, but cannot exceed the performance time periods specified in the Contract. While no Contract Purchase Orders can be issued under the Contract after the expiration date of the Contract, the Contract does not expire and continues to be in effect for all existing Contract Purchase Orders until the performance time periods of the existing orders have expired. Each Contract Purchase Order will be deemed to incorporate the terms and conditions set forth in the Contract. PERFORMANCE SECURITY: There is no Performance Security for this contract. LIMITATION OF LIABILITY: Except as otherwise provided, the Contractor s liability to the Commonwealth under the Contract shall be limited to One Hundred Thousand dollars ($100,000.00). This limitation will apply, except as otherwise stated in this clause, regardless of the form of action, whether in contract or in tort including negligence. This limitation does not, however, apply to damages for bodily injury, illness or death, or damage to real property or tangible personal property for which the Contractor is legally liable, nor will the limitation apply to the Contractor s indemnity of the Commonwealth for patent, copyright, or trademark infringement. ************************END*************************** 5
