8 TERMS AND CONDITIONS ( Seven and Super Seven and Caterham are registered trademarks of Caterham Cars Limited.) 1. In these Terms: a) Purhaser means the person named on the Order Form for whom the Seller has agreed to provide Goods in aordane with these Terms; b) Terms mean the standard terms and onditions set out in this order and (unless the ontext otherwise requires) inluding any additional speial terms and onditions agreed in writing elsewhere between the Purhaser and the Seller; ) Goods means the motor vehiles or parts of motor vehile ordered by the Purhaser; d) Seller means Caterham Cars Limited or its duly appointed agent; e) Deposit means the deposit payable by the Purhaser set out in the Order Form (onsisting of the First Deposit and the Seond Deposit as referred to in Clause 4). 2. These Terms, and any allowane in respet of used Goods offered by the Purhaser, is subjet to aeptane and onfirmation in writing by the Seller. 3. The Seller will endeavour to seure delivery of the Goods by the estimated delivery date (if any), but does not guarantee the time of delivery and shall not be liable for any damages or laims of any kind in respet of delay in delivery, even if the Purhaser informs the Seller of a requirement to deliver by a ertain date. The Seller shall not be obliged to fulfil any orders in the sequene in whih they are plaed. 4. The desription and prie of the Goods ordered will be as set out in the prie list at the time of delivery. The Purhaser shall be required to pay a First Deposit on plaement of the order for the goods of 2,000, and a Seond Deposit of 6,000 shall be payable no later than 12 weeks prior to the sheduled build date for the vehile ordered. Additional monetary deposits may be required for speial order items (inluding items detailed within the Caterham Signature range of options), and shall be in addition to the deposits detailed above. 5. If the Goods to be supplied by the Seller are new, the following provisions shall have effet: a) If after the date of this order and before delivery of the Goods to the Purhaser the Seller s reommended prie for any of the Goods is altered, the Seller shall give notie of any suh alteration to the Purhaser, and in the event of the reommended prie being inreased, the amount of suh inrease shall be payable by the Purhaser unless within 7 days after reeipt of suh notie he gives notie to the Seller that he delines to pay suh amount, in whih ase the Seller shall have the option, by notie in writing to the Purhaser, to anel these Terms. b) The Seller reserves the right to anel these Terms if it at any point eases to manufature the Goods ordered by the Purhaser. If the Seller anels these Terms under either of the foregoing provisions, the Deposit shall be returned to the Purhaser and the Seller shall be under no further liability. 6. If the Purhaser fails to ollet or take delivery of and pay for the Goods within 7 days of notifiation that the Goods have been ompleted for delivery, the Seller shall be at liberty to treat these Terms as repudiated by the Purhaser and thereupon the Deposit shall be forfeited without prejudie to the Seller s right to reover from the Purhaser by way of damages any loss or expense whih the Seller may suffer by reason of the Purhaser s default. Even if the Seller manages to sell the Goods to a third party the Purhaser shall not be entitled to a refund of the Deposit if the Purhaser has defaulted under this lause a) The provision of this lause 7 shall apply if the Seller, in its absolute disretion, allows the Purhaser to anel an order, but there shall be no general right of anellation. b) If the Purhaser anels an order after the First Deposit has been paid but before the Seond Deposit has been paid the Seller shall retain 250 of the First Deposit by way of administration fees and osts and repay the remainder of the First Deposit to the Purhaser pursuant to lause 7(d) below. ) If the Purhaser anels an order after the Seond Deposit has been paid, or within 12 weeks of the sheduled prodution date, whihever ours first, then: (i) provided that the Seller has not ommened building the ar forming the Goods, then the Seller shall retain 500 of the Deposit by way of administration fees and osts and repay the remainder of the Deposit to the Purhaser pursuant to 7(d) below; and (ii) if the Seller has ommened building the ar forming the Goods then the Seller shall retain the whole of the first Deposit by way of administration fees and osts and repay the remainder of the Deposit(s) paid to the Purhaser pursuant to 7(d) below. d) Deposits shall be refunded within 30 days after the Purhaser gives the Seller notie of anellation (and suh anellation is aepted by the Seller) PROVIDED THAT if anellation takes plae pursuant to lause 7()(ii) above and at the time of anellation the ar forming the Goods has been materially ompleted, then the Seller shall not be required to refund the remainder of the Deposit until the 30 days after the Seller has sold the relevant ar to another ustomer. e) In addition to the above provisions, if the Purhaser has ordered any speial order item (inluding items available under the Caterham Signature range of options), and the Purhaser anels an order whih inludes those speial order items, then the Seller shall reserve the right to retain further amounts of the deposits paid against these speial order items if they are non-anellable or non-returnable to the respetive supplier. The additional amount of deposit to be retained shall be the ost of the part to the Seller or 50% of the retail prie(s) of the speial order option(s), whihever shall be the lower. 8. The Goods shall remain the property of the Seller until the prie has been disharged in full. A heque or eletroni payment made by the Purhaser in payment shall not be treated as a disharge until the monies have been reeived by the Seller in full. The Seller reserves the right to reharge to the Purhaser and request additional payment of any redit ard or bank transations osts inurred as a result of the payment method used by the Purhaser for the Goods. 9. Where the Seller agrees to allow part of the prie of the Goods to be disharged by the Purhaser delivering a used motor vehile to the Seller, suh allowane is hereby agreed to be given and reeived, and suh used vehile is hereby agreed to be delivered and aepted as part of the sale and purhase of the Goods and upon the following further onditions: a) (i) That suh used vehile is the absolute property of the Purhaser and is free from all enumbranes, or (ii) That if suh used vehile is the subjet of a hire purhase agreement or other enumbrane apable of ash settlement by the Seller, the allowane shall be redued by the amount required to be paid by the Seller in settlement thereof; b) That if the Seller has examined the said used vehile prior to its onfirmation and aeptane of the order, the said used vehile be delivered to it in the same ondition as at the date of suh examination (fair wear and tear exepted); ) That suh used vehile shall be delivered to the Seller on or before delivery of the Goods to be supplied by him hereunder, and the property in the said used vehile shall thereupon pass to the Seller absolutely; d) That without prejudie to () above, suh used vehile shall be delivered to the Seller within 7 days of notifiation to the Purhaser that the Goods to be supplied by the Supplier have been ompleted for delivery; e) That if the Goods to be delivered by the Seller through no fault on the part of Seller shall not be delivered to the Purhaser within 60 days after the date of this order or the estimated delivery date, where that is later, the allowane on the said used vehile shall be subjet to redution by an amount not exeeding 2.5% for eah ompleted period of 30 days from the date of order or estimated delivery date, as the ase may be, to the date of delivery to the Purhaser of the Goods. In the event of the non-fulfilment of any of the foregoing terms in this lause 9 other than (e) the Seller shall be disharged from any obligation to aept the said used vehile or to make any allowane in respet thereof and the Purhaser shall disharge in ash the full prie of the Goods to be supplied by the Seller. 10. Any notie given hereunder must be in writing and may sent by post to the residene or plae of business of the person to whom it is addressed and shall be deemed to have been reeived two working days after the date of posting. Notie may also be sent by to the Purhaser where the Purhaser has provided an address to the Seller. 11. Notwithstanding the provisions of these Terms, the Purhaser shall be at liberty before the expiry of 7 days after notifiation to him that the Goods have been ompleted for delivery to arrange for a finane ompany to purhase the Goods from the Seller at the prie payable hereunder. Upon the purhase of the Goods by suh finane ompany, the preeding Clauses (other than Clause 5(b)of this agreement) shall ease to have effet, but any used vehile for whih allowane was hereunder agreed to be made to the Purhaser shall be bought by the Seller at a prie equal to suh allowane, upon the onditions set forth in Clause 9 above (save that in (), (d) and (e) thereof all referenes to delivery or delivered in relation to the Goods shall be onstrued as meaning delivery or delivered by the Seller to or to the order of the finane ompany) and the Seller shall be aountable to the finane ompany on behalf of the Purhaser for the said prie and any deposit paid by him under that agreement. 12. The Seller will take all reasonable preautions to keep the details of the Purhaser s order and payment seure, but unless the Seller is negligent, the Seller will not be liable for unauthorized aess to information supplied by the Purhaser. The Seller will only use the personal information provided for the purpose of fulfilling the order unless the Purhaser agrees otherwise. The Purhaser an orret any personal information about himself or herself, or ask for that information to be deleted by giving notie to the Seller. 13. The Caterham Seven in omponent form is sold for amateur onstrution. The Purhaser is responsible for its assembly and road-worthiness and good engineering standards should always be employed. Contat the Seller (UK) or importer (overseas) or the loal Caterham agent for any advie. The Seller or importer or agents for the Seller are not liable for any fault due to faulty assembly. 14. If this agreement has been onluded without any fae to fae ontat between the Seller and the Purhaser, or anyone ating on behalf thereof, the Purhaser may give notie anelling this agreement within 7 days of taking delivery of the Goods, whereupon the Purhaser must either return them to the Seller or make them available for olletion at the Purhaser s expense. The Purhaser must take reasonable are of the goods and will be responsible for any loss or damage from when the Goods were delivered to the Purhaser until they are returned to the Seller. If the Seller has agreed to aept a part exhange used vehile at an agreed prie, pursuant to lause 9 of this agreement, in part payment of the Purhase Prie of the Goods, the Seller shall have the option of either returning the part exhange used vehile or refunding the allowane agreed in respet of the part exhange vehile. 15. SELLER S WARRANTY FOR NEW CARS Please refer to the Car Handbook whih is supplied with the Goods on delivery and is available for inspetion on purhase of the Goods. The Warranty terms in the Car Handbook form part of these Terms. 16. If the Goods develop a defet while under warranty or the Purhaser has another omplaint, the Purhaser should follow the proedure set out in the Car Handbook. 17. All shortages must be notified within 30 days of the Purhaser s reeipt of Goods, failing whih the Seller shall be under no obligation to provide replaement parts. 18. a) These Terms onstitute the entire agreement between the parties relating to the subjet matter of the agreement. These Terms supersede all previous agreements whether oral or in writing between the parties on the subjet matter of this agreement. Eah of the parties agree that it did not rely on, and shall have no remedy in respet of, any statement misrepresentation or warranty whether oral or in writing of any person (whether or not a party to this agreement), and whether suh misrepresentation is innoently or negligently made other than those expressly set out in these Terms. Nothing in these Terms shall limit or exlude any liability of any party for fraud; b) These Terms shall be governed by and onstrued in aordane with the laws of England and the parties agree to submit to the exlusive jurisditions of the English ourts; ) A person who is not a party to these Terms has no right under the Contrat (Rights of Third Parties) At 1999 to enfore these Terms; d) Where the Purhaser is dealing as a onsumer, nothing in these Terms shall purport to limit or exlude its statutory rights; e) nothing in these Terms shall purport to limit or exlude the Purhaser s liability for personal injury or death aused by the negligene of the Seller, its employees or agents.
