Warranty Hydraulic tools are warranted for a period of one year against defects in material and workmanship. The warranty does not apply to tools which have been damaged by misuse or accident. Specifically excluded are hydraulic heads which have been damaged by operation dies.. Tool Repair Program The following tool repair program will exist for hydraulic tooling. a. Tools which are deemed defective in material and/or workmanship during the one year warranty periods will be repaired (or replaced at our option). Customer pays the shipping cost to HMC INDUSTRIES. HMC INDUSTRIES pays the shipping costs back to the customer. b. Tools which become inoperative beyond the warranty period will be repaired by HMC INDUSTRIES at the customer s expense. If in our estimation the cost to repair a tool exceeds 50% of the purchase price for a new tool (at the then-current list price) the customer will be advised and repairs delayed until authorization to proceed is received back from the customer. The customer pays shipping costs both ways. HMC INDUSTRIES sole obligation (and buyer s sole and exclusive remedy) for any breach of warranty under the foregoing warranty shall be to repair or, at HMC INDUSTRIES option to replace FOB the original point of delivery and goods which are nonconforming or defective and are so specified by buyer in a written certified mail notice to an officer of HMC INDUSTRIES within 90 days after receipt of such goods by buyer. Buyer expressly disclaims any and all express or implied warranties other than the warranty of its title to goods and the warranty herein above set forth. Payment terms for special quotes are net 0 days unless stated otherwise on the quotation. Interest will be charged at the rate of ½% per month on invoices unpaid after 0 days. FREIGHT TERMS A. All shipments will be made F.O.B. shipping point with freight costs being collect, prepaid and added or prepaid and allowed. Shipments are freight allowed on orders of $500 net value or more to delivery points within the continental USA using standard shipping methods and service. B. Buyer is responsible for filing claims for damage, shortages or losses in shipment with the carrier. C. Air shipments are provided upon Buyer request with Buyer responsible for all transportation charges. PRICES A. All prices are subject to change without notice. Orders will be billed at prices in effect at time of shipment, including orders scheduled for shipment at a future date. MINIMUM ORDER SALES TAX DELIVERY EXCEPTIONS. Back ordered materials on orders received prior to the effective date of a price increase will be billed at prices in effect at time of order for a period of 60 days following the effective date.. Orders held firm by a HMC INDUSTRIES quotation number for non-cancelable, scheduled or contract orders will be billed at prices in effect at time of order. These prices will be held firm for a period not to exceed six months from the effective date of the price increase. This exception does not apply to general blanket orders that do not contain specific item quantities and firm scheduled ship dates. B. Orders will be billed at applicable column prices in accordance with the quantity purchased. C. Purchase orders must reference a current quotation number and quoted prices to receive quoted discounts. Failure to include this information will result in orders charged at standard pricing. D. Requests to add items to orders in process, in production or in which a shipment has been made will be accepted on terms applicable to the addition only. A minimum net charge of $00.00, plus freight charges, is applicable for any single order. All quotations and agreements as to shipment or delivery dates and other matters, including estimation of all delivery dates are subject to current and future Federal and State laws, rulings and regulations. HMC INDUSTRIES will not be responsible for any delay in performance due to strikes, labor stoppages, supplier conditions, embargoes, accidents, delays in transportation, shortage of fuel, labor or materials, fires, floods or other acts of God, and all other causes beyond the reasonable control of HMC INDUSTRIES. No material may be returned without the Seller s consent. Permission to return goods must be obtained from HMC INDUSTRIES in writing through the local representative. HMC INDUSTRIES products are warranted to be free from defects in material and workmanship for one () year from the date of shipment. As it is impossible to detect all imperfections and to control field application, the Buyer s sole and exclusive remedy for breach of this warranty is expressly limited. HMC INDUSTRIES may, at HMC INDUSTRIES sole option repair or replace only such goods as prove defective. Under no circumstance will HMC INDUSTRIES be liable for damages, costs or losses beyond the price of the goods. HMC INDUSTRIES shall not be liable for any incidental, direct, indirect or consequential damages caused by breach of the warranty. This warranty applies provided that conditions of operation, installation and application have been as specified and/or recommended by the manufacturer and provided that the product has not been subject to abnormal stresses. This warranty does not cover damage in shipment. Claims for damage in shipment should be made to the carrier in accordance with the Seller s Freight Terms. THIS WARRANTY IS IN LIEU OF ALL OTHER WARRANTIES, WHETHER EXPRESS, IMPLIED OR ORAL INCLUDING THE IMPLIED WARRANTY OF MERCHANTABILITY AND ANY IMPLIED WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE. Prices quoted include HMC INDUSTRIES standard packaging unless otherwise indicated on the quotation. For special packaging, consult the factory. HMC INDUSTRIES reserves the right to round to the standard carton for items shipping to regular ship-to locations for make-to-stock items. Make-to-order items are subject to minimum order quantities and are non-cancelable and non-returnable. Orders for special make-to-order items may be shipped and charged above or below the quantity ordered and may then be considered complete. Although HMC will endeavor to make the actual quanity ordered. Buyer may cancel an order prior to shipment but the Buyer is liable for reimbursing the Seller for work performed, including labor and overhead costs and materials used.
