Selection and technical advice Information provided on the catalogues, prices, diagrams and prospectuses is given for illustrative purposes only, and may not be amended without notice, in particular the technical specifications of the ranges, in case of changes to technology or regulations. As a distributor, FRANCE AIR's liability is limited to advising on the technical specifications of the equipment. The Customer, as a skilled professional, must ensure that the equipment he orders is suitable for his needs, and remains responsible for the choice of product and its commissioning. With this in mind, most of the technical information relating to the equipment is provided in the latest Air flow systems guide and at Likewise, when selecting equipment, FRANCE AIR accepts no liability for errors arising from information that may be inaccurate, imprecise, incomplete or contradicting the standards of professional practice provided by the Customer. These selections (including any theoretical diagrams, dimensional drawings or plans created using the software provided to the customer) shall under no circumstances constitute a study of the installation concerned, since the Customer is responsible for engaging a design office to perform such work. 2. Orders and acknowledgement All orders must be dated, written and signed by the Customer, indicating the desired delivery date, and delivered in person, by post or by fax. Orders sent by must bear the Customer's official address, be sent by an authorised person employed by him, and may include an attached purchase order on his headed paper meeting the requirements set out in the previous paragraph. The sale is only concluded when an acknowledgement of receipt is sent by FRANCE AIR specifying the order acceptance conditions; after this, it may no longer be cancelled. The Customer shall have no right to compensation if FRANCE AIR cancels a pending order in cases of Force Majeure and, notably, inability to procure materials from its suppliers, social conflict, partial unemployment at FRANCE AIR or its suppliers, subcontractors or service providers, insolvency of its subcontractors or service providers, etc. 3. Delivery and lead times Delivery shall be defined as direct provision to the Customer at either his premises or his designated site or, failing this, on the date agreed for provision in his stores or the counter of FRANCE AIR. The Customer is obliged to take possession of the equipment on the day and at the location agreed for delivery. Failing this, all costs and surcharges generated will be billed to him, and he may not seek to prevent FRANCE AIR from making changes to the regulations governing the Products that come into force after the date agreed for delivery. The delivery times indicated in the receipt of acknowledgement are approximate, and given for information only. Delays may under no circumstances justify the cancellation of the order by the Customer, the application of late penalties and/or a request for compensation, without the prior written consent of FRANCE AIR. If the Customer fails to meet his contractual obligations (e.g. delays or failure to pay), or in case of Force Majeure, any agreed delivery times shall not be binding on FRANCE AIR. 4. Transport Loading and transport operations are performed at the Customer's expense (except delivery carriage paid) and at the risk of FRANCE AIR. Customs, handling and unloading operations are performed at the Customer's risk, unless agreed otherwise. The Customer must ensure the compliance (quantity and quality) and condition of the equipment provided to it by FRANCE AIR or the carrier, and describe the exact nature of any reservations on the delivery note before granting discharge and, if necessary, in case of damage, loss or missing items, exercise any rights against the carrier within the legally required time, even if the delivery was carriage paid. He agrees to notify FRANCE AIR immediately of any reservations issued at delivery. In the absence of notification and/or acceptance of the equipment without reservations, the Customer shall be deprived of any subsequent redress against FRANCE AIR. 5. Price and invoicing Prices are exclusive of tax, ex FRANCE AIR warehouse and include any packaging, except for special packaging which shall incur an extra charge. The prices and shipping rates indicated in current catalogues do not constitute a firm offer, and may be amended without notice, in particular if there is a change in the economic conditions (fluctuation in the price of raw materials, fuel, taxes and charges, unusual variation in the exchange rate, market collapse, shortage of materials, change in legislation, etc.) The price offers included in quotes are valid for 2 months, subject to changes in the economic conditions. Equipment orders with an overall total of less than 50 excluding tax shall be invoiced at a flat rate of 50 excluding tax. 6. Payment Unless agreed otherwise, sales are payable in cash to the head office. Complaints shall not release the Customer from the obligation to settle his invoices on time, and no deductions may be made to their amount. Likewise, the Customer may not, without the express prior consent of FRANCE AIR, make payment conditional upon the provision of invoices meeting specific requirements or any other document not required by law. Only the contractual deadline indicated on the FRANCE AIR invoice is enforceable. Failure to pay by the deadline shall automatically result in accelerated payment and immediately render all due sums payable, even those not yet due. Moreover, in accordance with article L of the French Commercial Code, any late payment shall give rise to the application, from the day following the unpaid instalment: of late payment interest equal to the European Central Bank's latest refinancing rate, plus a further ten points, of fixed compensation for recovery costs of 40, of additional compensation, upon presentation of receipts, if the recovery costs incurred are greater than the amount of the fixed compensation. Payment shall be defined as the actual cashing of the sale price, and not just the submission of a promise to pay. France Air general terms and conditions of sale Orders placed with FRANCE AIR are exclusively governed by these General Terms and Conditions, which may be supplemented or amended by Special Terms and Conditions issued by FRANCE AIR. All orders placed by the Customer imply acceptance of these Terms and Conditions, and a complete waiver of his own General Terms and Conditions of Purchase. From 6th March 2017, they cancel and replace the previously issued General Terms and Conditions. FRANCE AIR reserves the right to request, at any time, the provision of guarantees by the Customer if his credit has deteriorated and, in particular, if a change in his financial or legal situation has had an unfavourable effect on his credit. Orders in progress will be cancelled or suspended by FRANCE AIR if these guarantees are not provided or appear insufficient, or in case of failure to pay by the deadline, with no penalties applicable to FRANCE AIR in such cases. Likewise, documentation relating to the equipment ordered may be retained until all sums owed are paid in full by the Customer. 7. Contractual warranty Unless otherwise specified in the quote, the equipment is guaranteed (excluding consumables and fluid top-ups) for all causes, including hidden defects, for 24 months from the invoice date (except for the air conditioning unit compressor and VRF, which are guaranteed for 36 months, and the hermetic circuit for the Xinoe heat pump, which is guaranteed for 60 months). The replacement of a part during this period shall not extend the equipment warranty duration. To benefit from the warranty, the Customer must notify FRANCE AIR in writing and without delay of any equipment malfunction, confirm that the warranty application conditions have been met and provide evidence of the malfunction. The warranty shall not apply: if the Customer is not up to date with his payments, if the equipment has not been installed, maintained and used in line with its intended purpose and in accordance with industry standards, as per the recommendations of FRANCE AIR, and, if the equipment and/or its accessories have been modified without the prior written consent of FRANCE AIR, for wear parts, in case of Force Majeure. The warranty is limited to the replacement of parts or equipment deemed to be operationally defective following an expert assessment by FRANCE AIR, to the exclusion of all compensation or penalties; the labour, transport and removal/refitting costs shall always be payable by the Customer. The expert assessment costs incurred by FRANCE AIR may be invoiced to the Customer if the Customer is deemed to be responsible for the malfunction. FRANCE AIR's liability is strictly limited to the obligations set out in this article, and never includes non-material or indirect damage such as loss of earnings, third party claims, etc. 8. Return Material Authorisation (RMA) at the customer's request Specific equipment and that not held in stock cannot be returned or exchanged. Equipment normally held in stock can be returned subject to the written consent of FRANCE AIR within 30 days of the invoice date (increased to 60 days from the RMA date for Chronopost returns), at full value for Standard stock products and 90 % value for that held in Central Beynost stock, provided that it is in its original condition and packaging, with the Customer liable for all risks and expenses. If these conditions are met, a credit note will be issued upon return. Otherwise, all equipment returned postage due, without prior consent or after the agreed deadline, will be refused and returned to the Customer, at his own expense. 9. WEEE In accordance with articles R to R of the French Environmental Code, FRANCE AIR is registered as a manufacturer in the national register of manufacturers and, as such, contributes to the selective collection of waste. For Household and Professional WEEE, FRANCE AIR has a contract with the "Eco-systèmes" and "Eco-systèmes PRO" environmental organisations, which are responsible for collecting and processing waste on behalf of FRANCE AIR. Invoices issued by FRANCE AIR indicate the costs of collecting and recycling products at end of life, known as "Eco participation", on a unit basis per line of the invoice, and as a total at the end of the invoice. It is therefore the Customer's responsibility to pass these on in full to the end customer. Consequently, the Customer may either dispose of professional equipment at end of life through a national collection network, or request free removal of equipment over 500 kg. For all other products not subject to this contribution, the Customer will pay for and organise the disposal of waste produced by his equipment, under the conditions set out in articles R and R of the above Code. 10. Retention of title FRANCE AIR shall retain ownership of the equipment sold until all goods have been effectively paid for in full. Failure to pay by any of the deadlines may result in the equipment being reclaimed. However, the buyer shall assume, from delivery and as set out in article 3, the risks for loss or damage to the equipment, as well as the liability for any damage he may cause. Consequently, the Customer agrees to take out insurance, with a company known to be solvent, against all risks relating to transport, loss, theft or complete or partial destruction of the goods. 11. Resolutory clause In the event that the Customer fails to meet any of its contractual obligations, FRANCE AIR reserves the right to cancel the sale as of right via registered letter with acknowledgement of receipt, or to pursue the sale, with any deposit paid to be retained as compensation, without prejudice to any damages. 12. Jurisdiction and applicable law All operations set out in these Terms and Conditions are subject to French law. Failing amicable agreement, all disputes shall fall under the exclusive competence of the COURTS OF LYON, even in the event of third party appeals or multiple respondents. Special Warranty Terms and Conditions for Start-Up These Special Terms and Conditions shall be interpreted restrictively, and leave intact all provisions of FRANCE AIR's General Terms and Conditions of Sale, from which they do not expressly derogate. 1. Mandatory or non-mandatory nature of the Start-up Services and application of the warranty FRANCE AIR's services include optional or mandatory start-up of certain equipment. The mandatory nature of the service is indicated in the quote, and FRANCE AIR shall refuse any order that does not include the service when this is stated as mandatory. The Customer may not avail itself of the warranty or invoke FRANCE AIR's liability in case of failure to pay for the equipment or the service, or to implement a mandatory start-up. 2. Warranty start point in case of start-up If the start-up, which is ordered at the same time as the equipment, is performed by a FRANCE AIR-authorised service provider, the parts warranty shall run from the start-up date for 24 months (without exceeding 30 months from the invoice date). 3. Labour and travel warranty Some equipment may benefit, either automatically or for an additional fee, from a labour and travel warranty (excluding access and lifting equipment). The terms and any cost of the labour and travel warranty are included in the quote. If no labour and travel warranty is indicated in the quote, only the parts warranty shall be applicable, notwithstanding FRANCE AIR's own start-up. For on-site after-sales service operations concerning faults not covered by the labour and travel warranty, the corresponding costs will be passed on to the Customer in full, excluding the cost of replacing the parts in question. 4. Start-up service The start-up service cannot be considered as validation by FRANCE AIR of the choice of equipment or its location by the Customer and/or installer, who are skilled professionals. Nor shall it be substituted for mandatory maintenance of the equipment. A detailed description of the operations covered by the start-up service and its scope can be found in the offering or the quote memo from France Air. Any other services not mentioned therein are not included in the start-up package. 5. Start-up prerequisites The operations to be performed by the installer prior to start-up are set out in the "Start-up request" form available at the Customer's request. The involvement of the FRANCE AIR-authorised service provider will depend on the execution of these operations. Any Customer who has ordered a start-up service must return the completed and signed "Start-up request" form to the FRANCE AIR Service department no more than 15 days prior to the start of the required intervention. Otherwise, no intervention will be scheduled. The Customer must attend the start-up. In case of cancellation less than 48 working hours prior to the intervention date, or if start-up cannot be performed for reasons attributable to the Customer, and/or to his failure to meet his obligations, the service will be invoiced to him at the applicable rate as a penalty. Important: The Customer must be familiar with all the regulations specifying the authorisations or certificates required for any intervention (installation, maintenance, etc.) and agrees to be in possession of them during his interventions, in particular as regards products equipped with a refrigerant circuit or requiring gas or electrical authorisation. 26 Special terms and conditions applicable to the services In addition to the sale of equipment, which is governed by the General Terms and Conditions of Sale, FRANCE AIR offers Customers certain services which are subject, unless otherwise provided by an express contractual derogation, to the Special Terms and Conditions, as well as the provisions of FRANCE AIR's General Terms and Conditions of Sale, from which the Special Terms and Conditions do not expressly derogate. For the application of the Special Terms and Conditions, the following are defined as services: The installation in a workshop of parts supplied by the Customer, at the Customer's request, on the equipment provided by FRANCE AIR (under the sole responsibility of the Customer). The installation or assembly on site, of equipment supplied by FRANCE AIR (filter ceilings for professional kitchens, air handling equipment for hospital hygiene or clean rooms and certain equipment for industry) and services in addition to installation (checks and start-up). Services provided at an earlier date to maintain and upgrade FRANCE AIR fire protection equipment on site. 1. Quotes and orders The quote sets out the conditions and scope of the service offering. It is drawn up using the data and specifications (in particular the installation instructions for the parts required for execution of the service) submitted by the Customer, which are deemed sufficient for the creation of the offering. The Customer, as a skilled professional with sole responsibility for managing the entire project, is in charge of precisely defining his technical requirements and ensuring that FRANCE AIR's offering meets these requirements. Any errors, omissions, inaccuracies or subsequent amendments to the data and specifications which have led to the creation of the quote shall entitle FRANCE AIR to readjust its conditions. The service contract is concluded when FRANCE AIR sends the Customer an acknowledgement of receipt. 2. Price and payment The services described in the quote are not offered for a fixed price. Consequently, the following shall be invoiced separately: All operations and services not included in the quote. Any unnecessary travel to the site due to the Customer, and any costs, particularly for accommodation that may result from this, with the work being scheduled as a single operation. All surcharges incurred if the work cannot be performed during normal working hours. Equipment, parts and accessories not mentioned in the quote. The Customer agrees to notify FRANCE AIR of any eventuality likely to affect the lead times and costs of the service. FRANCE AIR shall refuse any holdback that it has not expressly agreed in writing, and before the acknowledgement of receipt was sent to the Customer. 3. Work deadlines The stated work deadlines are always the minimum deadlines required to organise FRANCE AIR's intervention, and provided the Customer has met his obligations. Specifically, the receipt of installation plans validated by the Customer is a prerequisite for the start of production of certain equipment, and the lead times required for this production, as indicated in the quote, cannot be shortened. The indicated work deadlines shall run from the latest of the following dates: date on which the FRANCE AIR acknowledgement of receipt is sent, date on which FRANCE AIR receives the components necessary for the service, specifically the parts supplied by the Customer or a third party depending on the selection stipulated by the Customer, or installation plans created by him. Delays cannot be used to justify cancellation of the Customer's order, and no penalty may be passed on to FRANCE AIR as a result, unless expressly agreed in writing, no later than the time at which the acknowledgement of receipt is sent by FRANCE AIR. FRANCE AIR shall be released from all obligation as regards these deadlines, in the event that the Customer fails to meet any one of his obligations, in case of Force Majeure or for any other reason not attributable to FRANCE AIR. Moreover, expenses incurred as a result of delays or interruptions to the service will be invoiced to the Customer. 4. Special terms and conditions for equipment delivery prior to the intervention Service offerings do not include unloading or handling of the equipment. For services including on-site intervention, the equipment supplied by FRANCE AIR for the service may be supplied prior to the intervention. In this case, there is no derogation from the provisions of the General Terms and Conditions of Sale as regards transport or preservation of the equipment. In particular, the Customer shall assume the risks for the equipment from delivery as set out in the General Terms and Conditions of Sale. In order to avoid delays in executing the service, the Customer must supply the equipment to FRANCE AIR, complete and in perfect condition, on the day and at the location agreed for the intervention. To this end, he must notify FRANCE AIR without delay if he notes any damage, missing items or deterioration, and also handle the equipment with care and ensure that it is kept safe. 5. Intervention conditions FRANCE AIR shall engage subcontractors for all of its services. All subcontractors shall be systematically presented to the Customer for approval, in accordance with the provisions of the law of 31 December The document "Intervention request" shall specify, for each type of service on the site, the tasks for which the Customer is responsible, the execution of which is required for FRANCE AIR's intervention. The Customer must therefore return this document to FRANCE AIR, completed and signed, at least 15 working days before the required intervention date. The Customer shall grant FRANCE AIR free, safe access to the intervention site, or to the equipment, if already installed, and provide, at his own cost and risk, in accordance with regulations and under his own responsibility, the agreed additional human and material resources, for example for removal/refitting or handling. If the service relates to equipment that must be provided or made available by the Customer, the latter shall insure and assume all associated risks. For testing and start-up services, the Customer's presence is required for the execution of FRANCE AIR's intervention. Otherwise, FRANCE AIR may refuse the intervention. Moreover, in this case, the services provided and observations made may not be contested by the Customer. In the event that the service cannot be provided for reasons attributable to the Customer, and/or to his failure to meet his obligations, he shall be invoiced for the service at the applicable rate as a penalty. In any case, the risks associated with the work shall be the Customer's responsibility. 6. Health and Safety The Customer is responsible for safety on site and must, in particular, ensure: That a prevention plan is created. In this case, the Customer shall provide FRANCE AIR with the General Coordination Plan drawn up by the general safety coordinator. That the applicable regulations are complied with if external providers are involved. That all necessary measures are taken to guarantee the safety of the work site and workers, in accordance with applicable regulations. That FRANCE AIR is provided with locked, dry and well-lit premises near the work site to protect equipment, tools and workwear from theft and damage. The services provided by FRANCE AIR do not imply participation in any general or special attendance arrangements, unless expressly agreed otherwise before the acknowledgement of receipt is sent to the Customer. 7. Acceptance Services requiring an intervention on site shall be subject to joint acceptance confirmed by an acceptance report when FRANCE AIR takes its leave. Acceptance without reservations confirms that: The agreed services have been provided in accordance with the contractual specifications, The site is clean and in good order. Consequently, the Customer may no longer contest any apparent defects (i.e. any visible or hidden defects he would be expected to note as a professional). If the Customer has reservations that fall under FRANCE AIR's responsibility, FRANCE AIR must remedy these and perform any repairs necessary. Under no circumstances may the Customer claim any damages or request termination of the contract on such grounds. If the Customer, despite regular invitation, fails to attend the acceptance meeting or refuses, without grounds, to sign the acceptance report, the service shall be deemed to have been accepted on the same date without reservation. In all other cases, the service shall be deemed to have been accepted on the date on which FRANCE AIR has met its main contractual obligations; specifically, taking possession and unreserved payment shall constitute tacit acceptance. In exceptional cases, subject to express prior agreement, the risks shall be transferred to the Customer upon acceptance, if not already transferred at delivery. Acceptance may only be concurrent with general project acceptance if the parties have expressly agreed to this in writing and before the acknowledgement of receipt was sent by FRANCE AIR. However, this derogation shall only take effect if the Customer invites FRANCE AIR to the acceptance meeting. 8. Contractual warranty The equipment provided shall be guaranteed under the conditions set out in the General Terms and Conditions of Sale, including cases where it is part of a service provided by FRANCE AIR. However, the guarantee shall not apply in case of defects originating: either in the material or equipment supplied by the Customer or by a third party selected as directed by the Customer, in a design or execution imposed by the latter, from execution errors resulting from incorrect information provided by the Customer. 9. Liability Since it is never involved in the construction process, FRANCE AIR is not bound to provide a guarantee of perfection completion, and shall accept no contractual extension in this regard. Likewise, FRANCE AIR accepts no post-contractual liability (as a manufacturer of equipment other than for professional use that may invoke joint liability), with the latter applicable only to the Customer of FRANCE AIR, the prime contractor and party to the construction. FRANCE AIR shall only respond in cases where its own error is proven in the execution of its services, with its liability limited on the one hand to compliance with the contractual specifications and, on the other hand, with best industry standards. FRANCE AIR shall never be bound to remedy either the harmful consequences of the Customer's errors or those of third parties as regards performance of the agreement, nor damage arising from cases of Force Majeure, resulting from the quality of the existing building, interference by the Customer or the Project Owner, or their requirements regarding which FRANCE AIR has expressed reservations. Under no circumstances shall non-material and/or indirect damage including, in particular, operating losses, loss of earnings, increased overheads, loss of profit, loss of customers or expected savings be compensated by FRANCE AIR. In any case, FRANCE AIR's civil liability, excluding personal injury, deceit or gross negligence, shall never exceed the capped guaranteed amounts of FRANCE AIR's Civil Liability policies. 374 Guide - Created by France Air All reproduction rights reserved.
