5 DIRECTORS REPORT Dear Shareholders, On behalf of the Board of Directors, I have great pleasure in presenting the 58 th Annual Report on the working of your Corporation together with the audited Statement of Accounts and the Auditors Report thereon, for the financial year ending the 31 st March, CAPITAL STRUCTURE During the year under report, the authorized and paid up capital of the Corporation remained unchanged at Rs. 100 crore and Rs crore respectively. The shareholding pattern also remained unchanged. The shareholders are the Government of India, State Bank of India, 35 other Scheduled Banks, 401 Cooperative Societies, 7 Insurance Companies and 6 Recognized Associations/Companies dealing in agricultural produce. 2. 7 2.3 Dividend In view of improved financial results and adequate distributable surplus, the Board of Directors of your Corporation have recommended for payment of 54% on the paid-up capital of Rs crore for amounting to Rs crore (excluding corporate dividend tax of Rs crore) against 48% paid for the previous year. You will recall that your Corporation has been paying dividend to its shareholders continuously ever since its inception in PHYSICAL PERFORMANCE 3.1 As on 31 st March, 2015, your Corporation operated 464 warehouses with a total storage capacity of lakh MT. This included 57 Custom Bonded warehouses, 31 CFSs/ICDs and 4 Air Cargo Complexes with storage capacity of 3.09 lakh MT, lakh MT and 7401 MT respectively. During the year, 1.78 lakh MT of storage capacities was added and a capacity of 69,565 MT was reduced [at six Central Warehouses namely, Ahmedabad-I (6250 MT), Abohar-I (10000 MT), Sahibabad-II (3145 MT), Ankapally (10000 MT), Vizag-I (20170 MT) and Vizag-II (20000 MT) as these godowns had to undergo major repairs/re-construction as some of these capacities had got damaged due to natural calamities. The average capacity utilization during the year under report declined to 80% from 86% achieved during mainly due to reduction in usage of storage by FCI in view of shortfall in wheat procurement, creation of huge capacity under PEG Scheme as well as liquidation of stocks through PDS and export. Commodity-wise (average) utilization (in lakh MT) a Foodgrains b Fertilizers c Others Total Operation of ICDs/CFSs/Air Cargo Complexes Despite continuous decline in export shipments as a whole due to weak demand in Euro Zone and US markets and volatility in Forex Trade, your Corporation handled 9.51 lakh TEUs during the year under report at its 31 Container Freight Stations (CFSs)/ Inland Clearance Depots (ICDs) as against lakh TEUs handled during Your Corporation also operated four Air Cargo Complexes at Delhi, Goa, Virugambakkam and Singanallur during the year. The Ministry of Civil Aviation has issued policy guidelines in October, 2014 for development and operation of Air Freight Stations away from International Airports so as to decongest these Airports. In pursuance of the said guidelines, the Corporation has identified six locations of the existing CFS facilities to convert part of these into Air Freight Stations. 3.3 Cargo Terminals, Integrated Check Posts (ICPs) and Land Custom Stations (LCS) CWC continued to operate the truck terminal at the Land Customs Station (LCS) at Petrapole (West Bengal) on the Indo Bangladesh border. This facility is spread over an area of acres and supporting the import/export trade with Bangladesh through the land route. During the year under report the facility handled 1.71 lakh Export/ Import trucks and earned revenue of Rs lakh, as against 1.18 lakh import/export trucks handled and revenue of Rs lakh during The management of the Cargo Terminal of the Integrated Check post (ICP) at Attari (near Amritsar on Indo Pak border) was entrusted to CWC by the Land Ports Authority of India (LPAI), Ministry of Home Affairs initially for a period of one year effective 9 th April, 2012,

Satisfied with the performance and services rendered by the Corporation to the trade at ICP- Attari, the arrangement was extended for a further period of three years i.e. up to April, The performance of this facility continued to be encouraging in and it handled 79,867 export / Import trucks earning gross revenue of Rs crore as against 85,484 Export/ Import trucks handled and earning gross revenue of Rs crore during Further, satisfied with the performance of CWC at ICP, Attari, the management of Cargo Terminal at ICP, Agartala (Tripura) on Indo Bangladesh border has also been assigned by LPAI to CWC initially for a period of one year on similar terms and conditions as of ICP, Attari. The ICP, Agartala has started operation from This facility handled 30,480 Export / Import trucks and earned gross revenue of Rs.7.14 crore during the year as against 7167 Export / Import trucks and earned gross revenue of Rs.1.85 crore during the period November 2013 to March Container Rail Transportation (CRT) Operations CWC continued to run container trains between JN Port and ICD, Loni (Ghaziabad), besides transporting export containers ex-loni to Mundra and Pipavav Ports through trains of other Container Train Operators (CTOs). CWC could handle 161 trains and transported TEUs and earned a revenue of Rs crore during inspite of overall decline in IMPEX trade and stiff competition. 3.5 Registration of warehouses under WDR Act. During the year, the Corporation got another 3 (three) warehouses (Hubli, Gadag-II in Karnataka and Pathankot in Punjab) registered with Warehousing Development& Regularity Authority (WDRA). With this the corporation has 178 warehouses with a capacity of 6 lakh MT registered with WDRA with the objective to extend credit facilities to the farmers and others on the strength of Negotiable Warehouse Receipts (NWRs) issued by such WDRA registered warehouses. The Corporation also entered into Memorandum of Agreements (MOAs) with ICICI bank on , Andhra bank on and IDBI bank on to facilitate extending easy credit facilities to the farmers and others against pledge of NWRs issued by the registered warehouses. During the year, numbers of NWRs were issued covering value of commodities around Rs crore.

13 3.6 Development and operation of PFTs In pursuance of revised PFT policy by the Ministry of Railways, your Corporation had applied for development and operation of two Brownfield Private Freight Terminals (PFTs) in the jurisdiction of Northern Railways administration. Administrative approval in respect of development and operation of two Brownfield Private Freight Terminals at Bamanheri (Muzaffarnagar) and Nabha (Punjab) was received during the year under report. Civil work and installation of Electronic In-Motion Weighbridges is being carried out based on which commercial notification would be issued by the Northern Railways. In principle approval has also been received from North Western Railway (NWR) for setting up Greenfield Private Freight Terminal at Sitapura (Jaipur), Rajasthan. During the year under report civil work on the facility has been taken up based on Engineering Scale Plan prepared by RITES. 4. TECHNICAL & QUALITY CONTROL 4.1 Preservation As a bailee of goods deposited with it, CWC undertakes the responsibility for safe storage and preservation of stocks deposited with it and delivering the same to the valued depositors in the same condition in which it is accepted, subject to natural driage in case of foodgrains and other agri commodities. To achieve this objective, the technical personnel undertake periodic inspection of stocks and carry out required prophylactic and curative treatment. During the year under report, lakh MT of foodgrain stock was prophylactically treated and lakh MT fumigated (including initial fumigation) for ensuring safe storage. Overall storage loss in foodgrain stocks during was 0.23%, which was within the limit fixed in the MOU for the year. 4.2 Sample Analysis Facilities: To assess the quality at the time of receipt and to maintain health of stocks during storage, analysis of samples of foodgrains stocks is regularly done at the warehouses. CWC has also set up Central Warehousing Corporation Grain Analysis Laboratories at Chandigarh and Hyderabad. In order to have verification of the quality of the stocks received at the warehouses, some of the samples drawn during inspections were referred to Chandigarh and Hyderabad Laboratories. During the year , 1498 samples were analyzed at these Laboratories.

15 4.3 Farmers Extension Service Scheme The Farmers Extension Service Scheme (FESS) is being operated by your Corporation since under which the technical staff visit the adjoining villages to impart training to the farmers on the techniques of scientific storage and preservation of foodgrains at farm level, demonstrate methods of spraying, fumigation, rodent control, etc., and educate farmers about benefits of Public Warehouses and assist them in securing loans from the banks against pledge of Negotiable Warehouse Receipts. This scheme is being operated through 314 warehouses all over the country. The technical staff visited 4933 villages and farmers were educated during the year under this scheme. 4.4 During the year , the Corporation organized training programmes of two days duration for 6320 farmers for educating farmers on scientific storage at farm level and Post Harvest Loss minimization techniques. At the end of the training programme, all the trainee farmers were given metallic storage bins free of cost under the CSR scheme of the Corporation. 4.5 In order to acquaint the farmers about benefits of Warehousing (Development & Regulation) Act, 2007 & Negotiable Warehouse Receipt system,15 special training programmes were also organized under which 750 farmers were trained. 5. PEST CONTROL SERVICES 5.1 CWC has been providing Pest Control Services for the benefit of Farmers, Traders, Exporters, Importers, Shipping Agents etc since 1968 and is now focusing on these activities as a distinct segment of income generation. The services have been extended for Railway coaches, Aircrafts, Hospitals, Hotels & Restaurants, Exportable fumigable Cargo in Containers and Ships. 25 7.2 During the year under report, CWC was awarded Second prize for implementation of official language for the year by the Department of Food and Public Distribution, Govt. of India among its undertakings and subordinate offices. Besides, Regional Office, Delhi was also awarded special appreciation prize by the Department of Food & Public Distribution. 7.3 CWC received special appreciation prize from Town Official Language Implementation Committee (Undertaking), (TOLIC) Delhi for implementation of official language for the year and also for its quarterly house magazine Bhandaran Bharati, published during the year Besides, two officers of CWC were also awarded First and Third prize by TOLIC. Under the aegis of TOLIC, Delhi, CWC also organized an Essay Competition in which 29 participants from various PSUs participated. 7.4 During the year CWC also published four issues of the quarterly house magazine Bhandaran Bharati. Articles on scientific warehousing and other subjects as well as various activities were also published in these magazines. As in the past, Hindi Smarika was released during the Annual General Meeting of the shareholders of the Corporation held on Besides, Hindi Fortnight was observed from the 1 st to 15 th September, 2014 throughout the Corporation. During this period various competitions relating to progressive use of Hindi were held and cash prizes were awarded to the winners. During the year cash prizes were also awarded to the officers and employees for doing maximum noting/drafting/dictation in Hindi. Five Divisions of the Corporate Office were also awarded Rajbhasha Shield for doing commendable work in Hindi. RESEARCH AND DEVELOPMENT 8.1 Over the years the Research & Development Division of your Corporation has formulated Code of Storage Practices for more than 200 commodities including agricultural produce, industrial chemicals and other notified commodities. It has also been working on improving existing storage practices to provide guidelines to the field units to maintain quality of the stock. 8.2 During the year, the following R&D activities were undertaken: a. A study on determination of storage losses norms is being jointly carried out by CWC, FCI, SWCs and Indian Council of Agricultural Research (ICAR) at 13 warehouses of CWC. b. 31 11. VIGILANCE ADMINISTRATION 11.1 During the year , Vigilance Division conducted 28 preventive checks under preventive vigilance including CVO s visits. Emphasis was laid on expeditious completion of disciplinary proceedings. Investigation in 32 cases was completed during the year under report. Major penalty proceedings in 24 cases involving 93 officials and minor penalty proceedings in 9 cases involving 29 officials were initiated. As a result of concerted efforts, 10 minor penalty charge-sheets involving 27 officials and 7 major penalty charge-sheets involving 20 officials were decided during the period. A sum of Rs lakh has been recovered from the contractors due to preventive checks Vigilance Awareness Week was observed from to On this occasion 14 th edition of booklet titled Vigilance- An- Overview containing articles on vigilance matters including important CVC circulars was released in order to sensitize CWC officials on vigilance matters. Greater emphasis has been laid on implementing CVC guidelines towards improving vigilance administration by leveraging technology, in creating a culture of transparency through effective use of website, in discharge of regulatory enforcement and other functions of the Corporation. MANAGEMENT DISCUSSIONS ON INDUSTRY STRUCTURE AND DEVELOPMENTS, STRENGTHS, WEAKNESSES, OPPORTUNITIES & THREATS 18.1 The major strength of the Corporation is its wide network of warehouses, diversified commodity portfolio, wide clientele base and core competency in storage and preservation of stocks looked after by the trained technical manpower. However, the Corporation, presently operating in a highly competitive business environment, is facing stiff competition in all its business verticals such as agri-warehousing, industrial warehousing, operation of CFSs/ICDs, CRT operations and PCS operations. In order to be competitive, a large number of steps are being taken by the Corporation as elaborated in subsequent paragraphs Agri Warehousing In the field of agri warehousing, the competition has become more intense following entry of a large number of private warehouse operators in view of various fiscal incentives rolled out by the Government of India since 2009 in the form of tax incentive, capital investment subsidy, liberalized Grameen Bhandaran Yojana (GBY), Warehousing Fund of NABARD, etc. to incentivize private sector participation for creation of storage capacity for foodgrains and other agri commodities. Most of the capacities created under GBY is being utilized for storage of foodgrains by agencies competing with CWC in agri warehousing eco system Utilization of Storage Capacity by FCI Under the Private Entrepreneurs Guarantee (PEG) Scheme, the Food Corporation of India has so far approved lakh MT of storage capacity to be created through private entrepreneurs. Out of this, as on , lakh MT has already been sanctioned to various agencies including private investors ( lakh MT), SWCs (28.89 lakh MT) and CWC (7.26 lakh MT). Against this, lakh MT has already been completed and taken over by the FCI putting pressure on utilization of storage space of CWC by FCI. 41 18.4 During Rabi Marketing Season (RMS) 2015, FCI procured about lakh tonnes of wheat as against lakh tonnes procured during RMS Further, in order to contain the food inflation, the Government of India has decided to release wheat stocks under Open Marketing Sale Scheme (OMSS). During Kharif Marketing Season (KMS) , FCI procured about lakh tonnes of Rice as against lakh tonnes procured during KMS and contemplating sale of Rice also through OMSS. Less procurement of foodgrains coupled with release of additional quantity of foodgrains through PDS and OMSS is likely to result in decline in stock position of foodgrains in the Central Pool in which case FCI may reduce its utilization of storage capacity of CWC on reservation basis in view of capacity created under PEG scheme through private sector/swcs under 7/10 years guarantee basis. All these have already started posing serious threat to capacity utilization of CWC s warehouses. Therefore, steps are being taken by the Corporation for alternative uses of warehousing space including participation of Private Sector to increase the utilization of space vacated by FCI. The Corporation is also planning to get into the business of bulk storage and handling and transportation of foodgrains through silos Industrial Warehousing and CFSs/ICDs In the field of industrial warehousing, the competition is still severe. Large number of 3PL service providers including companies backed by MNCs with large scale automation have entered the market offering highly competitive rates, flexible timing, etc. and posing challenge in the area of industrial warehousing. Adequate steps are being taken by the Corporation to remain competitive in this area. Some of the steps include large scale upgradation of warehousing, tapping the potential of e-commerce business, encashing the opportunity offered by bulk handling of cement and steel. Similarly, with the overall reduction in EXIM trade and cut throat competition among CFSs/ICDs operators offering discounts/incentives, the utilization of CFSs/ICDs is getting impacted. There is an over supply of CFS infrastructure in JN Port area and as many as 30 other CFS operators excluding CWC have come up in the JN Port region. While the Corporation is taking various measures to improve the throughput of the CFSs/ICDs by holding regular trade meets, improving the service level through engagement of competent service providers with adequate mechanical handling equipments, the Corporation has gone for appointment of Strategic Alliance Management Operators (SAMOs) as a strategy to improve the operation of some of its CFSs. Engagement of SAMO at CFS, Impex Park is paying good dividend and operation of CFSs at Tuticorin and Distripark under SAMO has already commenced operations during July & August, 2014 respectively.
