4 About us: Having manufactured office seating now in five consecutive decades, we at OCISitwell realize that the look of an office chair and the consumer needs have changed. That is why over the past eight years we have transformed our thinking and designs to meet todays ever changing environments. The ultimate goal has been making a quality product at a good value in a timely manner. Founded in 1974, owned and operated as a family business to date, we have grown from a small facility in Whittier, CA to our current facility in Santa Fe Springs, CA. We have 60,000 square feet of manufacturing space to make what we think is the best value in the industry. We started making budget wood seating many years ago and have grown into a company making a wide selection of products for the contract market today. Our main philosophy has been that our commitment to customer satisfaction begins from the time an order is placed to well after the customer has received their chair. With over 38 years of experience in manufacturing office seating, we maintain the highest industry standards by standing behind our product with a full written guarantee. Our success is also attributed to the many representative, dealers and customers who have been affiliated with our company. Because of these efforts, OCISitwell has become a name that means reliability. At OCISitwell our products range from Executive, Conference, Guest, Reception and Soft seating. Through our relationship with Momentum Textiles, CF Stinson, Mayer and many other textile firms we offer a palette of over 500 fabrics from which to choose. As part of our service, we offer lead times that range from 2-3 weeks. These lead times are some of the best and most reliable in the industry. Our chairs meet ANSI-BIFMA X certified by an independent laboratory. They are engineered, designed and constructed to conform to the proper ergonomic dimensions as defined by the National Standard for Human Factors. In today s ever changing office environment, OCISitwell has positioned itself in providing a product that is a great value, produced in a timely manner with many options from which to choose. 5 Sustainability/Footprint: The Biosphere is the global ecological system integrating all living things and their relationships. In other words, it is the Earth and everything that lives on it and is sustained by its existence. From one viewpoint, the Biosphere is a zero-sum game. Mankind probably didn t fully comprehend that until after WWII when the returning GI s started buying shiny new automobiles, which spawned the creeping of suburbia, which eventually led to a consumption boom, which necessitated the exponential explosion of technology. In the latter part of the 20th century, the world finally realized that we are the stewards of this globe and we determine its fate; which means we determine our fate. At that time, a few forward thinkers began to sound the alarm, but it wasn t until the dawn of the 21st century that the multinational corporate world figured out that this wasn t a drill; there are no do-overs regarding the Biosphere. It really is a zero-sum game. OCISitwell may not fit into the category of a multinational but we certainly understand our responsibility to minimize our disruption to the Biosphere. There are many green bandwagons out there to jump on, but our gut feel tells us that we want to reach these goals Use as much recycled material in the manufacture, fabrication and administration of our products in order to minimize the effect on our world s natural resources. Design our products so that as much material as possible is recyclable, that is, can be reused in the making of other products. This minimizes the impact on the world s waste disposal systems. Finally, to create products that, during their functional life, emit as few toxic or harmful contaminants as possible. Although invisible, these emissions accumulate to destroy organic and, eventually, human life. Recycled material is interesting; there is both post-consumer waste recycling [old tires can get ground up and used as input for new tires] and post-industrial [manufacturing rejects, setup waste, overruns]. Because the technology [and therefore the cost] of recycling post consumer waste to any significant extent is still in the lab stage, most companies are in the post industrial recycling category. Specifically, OCISitwell uses raw materials [and office materials] that all have some percentage of recycled input. [the percentages are ever changing, please ask your rep for current details]. 2

6 Customer Service Policies Order Placement OCISitwell requires that all orders be submitted in writing via a formal company Purchase Order form. Orders may be submitted by fax or to: Orders@OCISitwell.com Fax (866) All orders are subject to acceptance by OCISitwell Credit Department. Possession of this Price List does not constitute an offer to sell. All submitted orders will be confirmed to the purchaser by way of OCISitwell s Order Acknowledgement. It is the purchaser s responsibility to review this document for accuracy and to contact Customer Service within 24 hours should an error exist. Lead Times Please note lead times indicate our standard production time only and do not include transit times. We reserve the right to modify our production times should business needs require us to do so. Business days are from receipt of a clean order and approved credit terms. OCISitwell Leather seating is business days. Wood/Reception seating is 2-3 weeks. In-Stock OCISitwell seating is 2-5 business days, all others options are business days. If a rush order is needed, please call Customer Service. When ordering non-stocked or C.O.M. fabrics, lead times may be adjusted. Selected models are exclusively contained in our QUICK SHIP program, whereas orders meeting the QUICK SHIP guidelines are ready to ship in 3 business days or less. Credit Terms, Prices & Payment Prices presented in this book, as well as those quoted by OCISitwell are suggested list price and are subject to change without notice. Prices are effective as of the date printed on the cover and supersede all other published prices. We make every effort to notify all customers of such changes. Orders are invoiced at time of shipment. Whereas terms have been established, terms are net 30 days from date of invoice. Unpaid balances are subject to a late charge of 1.5% per month, or 18% per year. A $30.00 fee will be charged for returned checks. OCI accepts Mastercard, Visa and American Express There will be a 1% convenience fee for all transactions using this method. Purchase Order Requirements 1. Purchase order number and date 2. Whether you want to Will Call or use OCISitwell Landed Freight. 7. Required delivery date To prevent a delay in processing orders please specify delivery requirements. Dealer/purchaser is solely responsible for providing correct information when placing an order. Orders with incomplete information or pricing discrepancies will be held as pending. Orders with a pending status will be scheduled for production when incomplete or incorrect information is resolved. If needed a new lead time will be provided. Customers with Will-Call orders will be notified directly when orders are ready for pick-up. Orders not picked up after 1 week from date initial contact will be invoiced and due within stated terms. Order Modification and Cancellations An order may be changed prior to an order being placed into production or fabric has been ordered and not cut. Changes made to an order once it has been placed into production or after fabric has been ordered or cut is subject to a 30% change order charge. All changes/modifications must be made in writing and approved by OCISitwell. Orders cannot be canceled without written approval from OCiSitwell Cancellations cannot be accepted once fabric has been cut, order is in production or materials have been ordered. A deposit may be required on all special order fabric. Wood Disclaimer Due to natural variations and distinctive characteristics of wood, the furniture that you receive may have a slight variation in color and grain. Customer s Own Material (C.O.M.) Use of C.O.M must be approved by OCISitwell prior to order acceptance. Please complete our C.O.M. Form located on page 5. Fabric yardage requirements are an estimate and additional yardage may be required if pattern matching is required. A deposit of 50% may be required on C.O.M. orders. A 30% restocking charge on any cancelled orders may apply. Custom Stain Matching OCISitwell will accept stain match orders. There is a $195 net upcharge per order. All future orders with the same special stain will incur a 6% upcharge per order. Please send us the wood sample you would like us to match along with your completed purchase order. We will produce a strike-off and send it to you for approval. Once we have received final approval, we will place the order into production. Shipping and Freight Claims OCISitwell freight terms apply to the contiguous 48 United States. Arranged freight is pre-paid, dock-to-dock and scheduled to deliver Monday through Friday 8:00am to 5:00pm local time via a common carrier unless otherwise noted. OCISitwell is not responsible for costs to the customer due to carrier transit delays or missed appointments. Additional charges may apply for non-standard delivery requirements not limited to lift-gate, drop shipments, inside delivery, residential delivery, curbside delivery, delivery appointments, limited or remote (areas outside of a major metropolitan area) access, after-hours, and re-delivery charges. All weights listed in this price book reflected the cartooned/shipping weight. All goods are sold FOB OCISitwell plant in Santa Fe Springs, CA. OCISitwell is not responsible for product damage occurring in transit to the consignee noted on the Bill of Lading, in transit to a location other than the consignee noted on the BOL or during storage due to a delay installation. We strongly encourage our customers to inspect shipments and packing lists completely and thoroughly before accepting. In the event damage or suspected damage is present you may: Accept the shipment and promptly note the carriers BOL as damaged. Contact our Customer Service Team and provide pictures as needed. Refuse the shipment and immediately contact our Customer Service Team. Concealed damage must be reported within 10 days of receipt. We will actively assist in promptly resolving claims for lost or damaged shipments. Returns Returns will not be accepted without prior authorization and shipping instructions from OCISitwell. Returns are subject to minimum re-stocking charge of 35% provided goods are received in the same condition in which they left OCISitwell. No credit will be given if the goods cannot be resold as new. Special orders, and C.O.M. products are not eligible for return. OCISitwell is not responsible for freight costs incurred in returning product. OCISItwell reserves the right to refuse unauthorized returns. OCI Product Lines Minimum Freight Shipments in California, Southern Nevada and Phoenix Metropolitan area are landed for a minimal drop charge of $85, except in areas classified as remote, not within a major metropolitan area. Please contact customer service to confirm whether an area is deemed remote or outside of standard delivery regions. Minimal delivery charge of $ within all other 48 contiguous states. Sitwell Product Lines Minimum Freight A $45 net fee will be charged on all orders from 1-4 chairs, this fee is waived on orders of 5 chairs or more. Drop Shipments Additional charges may apply. All drop shipments must be pre-approved and quoted by OCISitwell. CAL 133 and TB OCISitwell s product line meets CAL 117 fire standards for foam and fabric. Reference the individual OCiSitwell fabric and model cut-sheets to review the specifications. An upcharge may apply. OCISitwell assumes no responsibility for flame retardant standards of C.O.M. fabrics. 3

7 Warranty Policy OCISitwell s warranty applies to product manufactured after May 1, OCISitwell warrants from the date of purchase, the structural frame construction of any of our chairs to be free from defects in materials and workmanship for a period of 10 years to the original purchaser. OCISitwell will repair or replace, at our sole discretion, any defect covered by the warranty. Exceptions to the warranty are as follows: Seat suspension and control mechanisms are warranted for 3 years Fabric, foam and mesh materials are 3 years. OCISitwell does not warrant C.O.M. fabrics or graded in materials. Power units are warranted for 1 year. OCISitwell warranties are limited to the original purchaser under normal commercial use, defined as a 40 hour work week and by users weighing up to 250 pounds, unless where noted; certain models (HD and bariatric designation) accommodate users up to 350 and 450 pounds. This warranty does not apply to any condition resulting from normal office use such as abrasion or friction, negligence, misuse, fires, improper cleaning or accidents. Altering or reupholstering product will void this warranty. Should any part fail, please contact our Customer Service Team or complete our on-line Warranty Repair Request Form. Returns/Repair Service requests are the responsibility of OCISitwell s authorized dealers. Whereas service cannot be obtained locally, service requests should be referred to our Customer Service team. Upon authorization from OCISitwell, the dealer may return defective product to our warehouse, freight prepaid. OCISitwell will repair or replace defective parts, at our discretion, and return to the dealer freight prepaid. This warranty does not cover dealer labor, field service or delivery charges. Except as provided herein, OCISitwell makes no representation or warranty of any other kind, express or implied. Any implied warranty of merchantability or fitness for a particular purpose that may be applicable to the furniture frames shall be the written warranty relating to the particular item as set forth above. OCISitwell recommends that moving parts such as chair controls and casters be examined periodically, lubricated and cleaned as necessary, and screws checked for tightness. Vacuum or brush fabrics at least once a week. Protect from glaring sunlight. For cleaning instructions, please contact your dealer. OCISitwell reserves the right to change or substitute any component(s) of our product(s) at any time without notice. 4

8 C.O.M. / Fabric Information Customer s Own Material (C.O.M.) All shipments to OCISitwell must be prepaid. OCISitwell assumes no responsibility for the quality, durability or suitability of C.O.M. materials. Surplus C.O.M. will be returned to the customer only if specifically requested. All yardage figures are based upon our receipt of plain 54" wide material. A C.O.M. information sheet must be completed and submitted with a fabric sample for approval prior to order being processed. Information sheets can be obtained by calling our Customer Service Team. Stripes, patterns, or prints will require additional material. Extra fabric is required to match any pattern with matching repeats. Please use chart below as a guide and add to plain yardage requirements listed in your price book. Since durability and color fastness vary according to usage and warranties vary from supplier to supplier, OCISitwell s warranty is limited to the extent of suppliers warranty. There is no warranty for fading, normal wear or misuse. COM/COL is not warranted for wear or long-term adhesion. Flammability All OCISitwell upholstery covers and filling meet California Bureau of Home Furnishings Bulletin # All C.O.M. materials sold in the State of California must be accompanied by certification that they meet this code. It is the customer s responsibility to supply OCISitwell with this certification or order cannot be processed C.O.M. Pricing The approved C.O.M. price for non-directional fabric is the Grade1 price. For all Chair Series, hand cut and matched stripes, patterns or prints, you must add the upcharges below: Chair $65 List Love Seat $85 List Sofa $120 List Please Note: All C.O.M. orders are not put into production until all C.O.M. is received and approved. Upon receipt, it will then go into our normal production schedule. If there is a combination of OCISitwell fabrics and C.O.M., please advise if you wish to split the order for shipping.
