8 Utz in the United Kingdom George Utz UK is a manufacturer of storage and transport containers, pallets, component holders and technical parts from recyclable plastic. The production site in Alfreton is the UK subsidiary of the Georg Utz Holding company, which has its head office in Bremgarten. Utz is a supplier of a very extensive product range. We operate two production processes: Containers and pallets are usually injection-moulded, while component holders are thermoformed. 12 Examples of Bespoke Customer Solutions A solution for every task Sometimes, tasks that are based on individual customer requirements can simply be solved by the modification of standard containers. However, they often require totally new ideas and solutions Fish container This transport container for fish consists of three elements, an E-Performance container, a plastic insert and a matching lid. After the fish is placed on the insert, the container is filled with ice. As the ice melts the water flows through appropriate openings into the cavities under the insert. 2 E-Performance meat container This new meat container replaces the red container, used numerous times on the market. E-Performance containers are available in three sizes: 600 x 400 x 125 mm (E1), 600 x 400 x 200 mm (E2) and 600 x 400 x 300 mm (E3). Four inmould labels with container identification and GS1 code permit the container s unique identity. The light blue colour guarantees that only new material is used for the production of this container. 3 Box for the transport of ball bearings High-quality ball bearings of various sizes are transported in this reusable container. Individually adjustable elements are used to fit the ball bearings securely into the container. 12

13 INDIVIDUAL CUSTOMER SOLUTIONS Autostore containers with dividers Special containers offered by Autostore for a precision automation storage system with grooves in the short and long walls for compartment dividers. 2 EUROTEC with dividers This 600 x 400 x 280 mm EUROTEC has grooves injected into the internal walls of the longitudinal sides, which are able to incorporate up to three dividers, if necessary. 3 UPAL-V with RFID transponder A UPAL-V, comprised of individual components that are replaceable in the event of repairs, is fitted with RFID transponders to identify the pallet. 13

14 EUROTEC and RL-KLT with retractable flap A retractable side wall was attached to the short side of a EUROTEC and a RL-KLT. This enables access to the contents of the container when stacked. Layer tray 800 x 1000 mm Trays are used when different packaging, usually consisting of cardboard, must be transported on automatic conveyor systems. If the tray is stored on a shelf, the rear boxes can be pulled into the work area with a pushing device. Container for gaskets This container is used to transport cylinder head gaskets for engines by inserting a base with holes into a RAKO. Steel pins matching the openings in the gaskets are inserted into the base with the gaskets placed on top. EUROTEC with retractable short side The short side of this EUROTEC is connected to the base by a locking mechanism. After opening the lock, the short side can be retracted through a guide in the upper rim of the long sides. 14

15 INDIVIDUAL CUSTOMER SOLUTIONS Container for coffee jars Jars mechanically filled with coffee granules are automatically inserted into the nests of this container. The jars are transported to the POS in the container. 2 Container with matching inserts for paternoster storage These are thermoformed containers with matching dividers to assist in the sorting of small parts. The entire unit is placed on one level of the paternoster, making this container an alternative to visible storage boxes. 3 Engine frame A simple solution for transporting engine blocks to the assembly line. The engines are placed onto the layer of the frame and locked with stoppers. The engines are removed at the assembly line and de-stacked layer by layer. The entire unit is then placed on a UPAL-H ISO pallet. 15

16 FixFlat module pallet Solar modules are attached to the FixFlat module pallet with clamping devices. The entire construction is used on flat roofs, especially when the roof s load capacity is so low that previous metal constructions could not be used for weight reasons. 2 Base boards for concrete blocks Fired concrete blocks are stored on this load carrier for cooling purposes. To ensure the appropriate stability, two pallet halves are welded together. The carrier plate consists of WPC (Wood Plastic Composite), a mixture of the renewable resource wood and PP. 3 Glas Manager These inserts developed for the catering industry are used to transport glasses. The entire unit is then cleaned in a dish washer and can be inserted into a RAKO without having to remove the glasses. The Glas Manager is available in four grid widths. The height can be individually adjusted to the inserted glasses. 16

17 INDIVIDUAL CUSTOMER SOLUTIONS RAKO used for drilling tools This container transports vertically upright drills. The bottom part of the deep drawn insert is attached with a snap lock. The clear cover is height adjustable due to the grid features. This serves to protect the drills during transit. 2 Conveyor aid A special container, developed for a postal distribution centre, with elastic mounting belts inside and barcode labels attached to both the exterior and interior walls. 3 KLAPA Special with component holders Component holders in a metal frame are inserted into a KLAPA Special. The component holders are used to transport assembly parts for the automotive industry. If parts are removed from one layer, the component holder can be folded up to allow access to the next, subjacent layer. 17

18 From the Idea to the Product The idea All requirements related to the planned product are summarised in specifications within the framework of an extensive checklist. 3D-display Technical drawings form the basis of further development. This results in three-dimensional displays which give us an initial idea of what the future product will look like. Rapid prototyping Based on the techincal drawings, details of the planned load carrier can be produced as rapid prototyping samples within a very short period of time. Model production In order to ensure that everything is accurate we will also produce a model of the planned load carrier. Tool constructions We have our own tool-making facilities so that we can rely on our own experts in as many intermediate stages as possible. Mass production Mass production can start once the tool has been approved by the customer after sampling. 18

20 The Production Process Thermoforming Thermoforming Thermoforming is a manufacturing process which reforms thermoplastics synthetics. The resulting load carriers are usually called component holders. Component holders are able to perfectly incorporate the stored products into so called nests. The raw material Component holders are formed from plastic plates, which are stacked in a special appliance, lifted by suction pads and then individually fed into the thermoforming machine for further processing. 20

21 INDIVIDUAL CUSTOMER SOLUTIONS Heating process A plate or sheet of thermoplastic material is fitted into a clamping frame and heated up to the plastic state using a suitable heat source. Start of the formation Once the plate is suitably heated to enable moulding, the radiators are retracted. Formation: Create overpressure The base plate and the tool are lifted. A pump creates over pressure (pre-blowing). Formation: create a vacuum The heated plate is prestretched using air pressure and the moulding tool is advanced to the prestretched plate. The air between the tool and plate is removed by creating a vacuum. The tool To manufacture thermoformed component holders, a plastic plate is heated and pulled across a tool through the production of a vacuum. The plastic plate is clamped between the tool and a heating device. Finished! The external atmospheric pressure pushes the soft plate to the wall of the mould to such an extent that the contours are accurately copied. 21

22 The Production Process Injection Moulding Injection moulding Plastic storage and transport containers or pallets are usually injection-moulded. With regard to costs and material, this process is more complex than the thermoforming process, as it requires massive tools and very large machinery. The raw material The initial material required to manufacture plastic containers is called granulate. These are small plastic pellets, which are often tinted. The granulate is stored in large silos, from where it is fed into the injection-moulding machine. The tool The manufacture of a steel injection moulding tool, able to accept impressive dimensions depending on the size of the container, is far more complex than the manufacture of an aluminum thermoforming tool. Production A cylinder with a corkscrew bolt is an important component of the machine. In it, the raw material is transported to a nozzle, from which the injection-moulding tool is clamped into the machine. Stamps press the two halves of the tool together and the viscous plastic is injected into the tool cavities. The two tool halves separate and the completed product is removed by a robot. 22

23 INDIVIDUAL CUSTOMER SOLUTIONS Preparing the injection process The tool is open and granulate is available. The injection process begins The tool is closed, the granulate is moved to the spiral. The injection process The granulate is heated and, in the form of a viscous plastic mass, is injected through a nozzle into the cavities of the closed tool. The injection process is completed Once the cavities are fully injected, the material feed is discontinued and the container is allowed to cool. Finished! The tool moves apart and the container is removed by a robot. 23

24 Recycling and UIC Recycling and Utz Industrial Compound UIC Utz produces millions of new plastic boxes every year. Where do the load carriers of the previous years end up when there is such continuous high demand? The positive answer is... in continuous use! However, what if the plastic containers or pallets do have to be discarded? Utz takes these load carriers back! The containers are collected and stored in groups of identical material in the Utz Recycling Centre, then moved to a companyowned compounder, in which the granulate is processed for reuse. In its physical properties, the processed and prepared material is comparable to new material. Standard material properties are tested and documented, so that the former plastic container can be further processed following this revitalising treatment. This Utz-specific alternative to the continuous production of new material from finite resources is therefore logically offered as Utz Industrial Compound (UIC ). UIC is a raw plastics material with documented properties and in the usual Utz quality. 24

Component holders are able to perfectly incorporate products. There are stackable and rotary stackable component holders consisting of frame tools or as intermediate layers. Examples of component holders manufactured according to individual customer specifications follow below. 28

29 Stackable Frame Tools THERMOFORMED COMPONENT HOLDERS Frame tool system An individual base plate is developed and clamped into a standardised frame tool for the products to be packed. Frame tools are characterised by the special contour of the frame. This allows precise positioning so that the component holders can also be used on automatic conveyor systems An individually designed base plate is clamped into a standardised frame tool, so that the frame can be reused for other base plates. 30 Component Holders, Stackable Highly efficient Thermoformed component holders can be constructed so that they can be stacked on top of each other. This means: more stored products per surface area Contamination prevention Sensitive parts stored in stacked component holders are protected from dust and pollution, whereby only the top-most layer needs to be covered with a lid Plastic pins Stackable component holders with plastic pins to hold gear wheels of various diameters. Handles When stackable component holders are transported in a container, Handles simplify the removal of the component holders from the container. Coloured labels Stackable component holders with a coloured label to ensure correct orientation. Electrically conductive ESD Stackable ESD component holders are vacuum formed load carriers consisting of electrically conductive material. See chapter Electro Conductive ESD Products

31 Alternative Stacking, Component Holders THERMOFORMED COMPONENT HOLDERS Stackable - nested Alternative stacking component holders are stacked in filled condition. Once the products are removed, the empty component holders can be nested by a 180 degree rotation. Space-saving effect This enables up to 80% of space to be saved during empty transport Stacking The component holders are stackable in this position. Nesting The empty component holders can be nested by a 180 degree rotation. Coloured material Alternative stackable component holders can also be manufactured in different colour tones. Electrically conductive ESD Alternate stackable ESD component holders are thermoformed load carriers consisting of electrically conducive material. See chapter Electro Conductive ESD Products

32 Component Holders as Interim Layers The sandwich principle The packable products are placed inside the nests of a component holder. A further component holder is then placed directly onto the products, whereby the base contour of the carrier must be accurately fitted to the surface of the products below. Special requirements The construction of interim layers is challenging: 1 Firstly, the nests must be designed for accurately fitted acceptance of the workpieces. Secondly, the base of the component holders must be designed in such a way that it can be stacked onto the subjacent parts. 2 1 Stackable component holders Interim layers are initially stackable component holders with products inserted into their nests. 2 Egg carton principle The base contour of this interim layer accurately fits onto the subjacent component holders like an egg carton, so that the component holders can be stacked on top of each other in an interconnected manner. 32

33 Component Holders in the Container THERMOFORMED COMPONENT HOLDERS Transport safety If precision parts need to be delivered in a plastic container, it makes sense to first secure these parts in a component holder which is then inserted into the appropriate container. Reusable packaging The plastic containers can still be used even if the range should change at a later stage. Only the insert needs to be replaced Stackable component holders can be layered and stacked on top of each other in one container. For identification purposes, the container must feature a colour deviation from VDA specifications. Medium-Containers M The interior of the panels of a Medium-Container M feature grooves, so that thermoformed component holders can be flexibly connected to the container. 33

40 Injection moulded component holders Specifications to precision and tolerances are sometimes so extensive that component holders need to be injection-moulded. It may also occur that struts and indentations make injection-moulding seem the only sensible method of production. If very large quantities of a component holder need to be manufactured, injection-moulding is frequently the more economical production process. 40

46 The all rounder in Euro-Dimensions Versatile and flexible Every basic RAKO container enables a large number of variations by combining various sides, bases and handles. When selecting the perfect container, you can choose between perforated and slotted side walls, a grid or ribbed base, depending on its purpose and load capacity, insert a perforated base or an enclosed double base and decide on a profile handle, a handle slot or a shell handle. These versatile selection options in combination with the container s high load capacity are what make the RAKO an extremely adjustable universal container. 46

66 Hi-Tec container for automatic handling The EUROTEC is suitable primarily for the automatic handling on all major storage and conveyor systems. The EUROTEC has a number of interfaces for robotic handling. Recessed handles and handle slots also allow for manual handling of the container. The reinforced base variants of the EUROTEC with the slightly recessed base means that floor flexing is virtually non existent even with a heavy filling weight. 66

As empty foldable boxes can be reduced to 25% of their original size, a maximum of four times as many empty collapsible containers can be stored on the same floor space than would be possible with rigid containers. 95 FOLDABLE CONTAINERS Foldable container with rectangular locking In this version the short sides of the foldable boxes are connected to the base with a lock. To fold up the box, the lock on the inside of the box has to be opened. With the rectangular locking this is done by lifting the rectangular closure mechanism with four fingers. Foldable container with circular locking The short sides of the foldable boxes with lock are secured not only to the upper frame, but are also connected to the base by means of the lock. To fold up the box, the lock on the inside of the box has to be opened. Foldable container without lock with opening flap In the case of a foldable box without a lock but with a opening flap, the short sides can be folded up either by pressing from the outside or by pulling on the opening flaps mounted on the inside. 130 Plastic or wood? Plastic pallets are not an economical alternative to wooden pallets. Plastic pallets have key advantages: they have a constant tare weight, and are robust and durable. Plastic pallets have a longer life than wooden pallets and with metal reinforcing, are particularly study and suitable for use in high-rack warehousing. If desired, plastic pallets can be produced in a version which is electrically conductive or equipped with a non-slip top deck. Fully enclosed pallets are easy to clean and are particularly suitable for the food, hygiene and clean room sectors. Utz Pallets (UPAL) are available as Euro, ISO or half pallets. 130

Therefore, a rubber-like glossy surface with excellent non-slip properties is created. Elastomer-coated strips In this case, the elastomer coating is not applied over the entire surface, but distributed on two strips. An anti-slip effect is only possible, however, when the load is in contact with the elastomer strips. Grip paint or silica sand Grip paint and silica sand result in a fine, grainy texture on the top deck of the pallet. Therefore, the pallet maintains particularly good anti-slip properties. 150 VDA-GLT The VDA large load carrier is a foldable pallet box on the basis of ISO (1200 x 1000 mm) certified by the VDA as recommendation Removal apertures For loading and unloading, flaps can be folded down within the side walls so that access to the contents of the container is made easier. Reinforced corner areas Corner areas reinforced with plastic plates increase the stability of the VDA large load carrier. Runners Plastic runners in the lower edge area are specifically attached for use by fork trucks. As a result, the container can be moved on these plastic runners so that damage to the side walls by the forklifts is prevented. Reduced transportation costs When transporting empty containers in a jumbo lorry, 8 VDA large load carriers can be transported stacked on top of one another instead of 7 conventional large load carriers. This enables a reduction in the transport costs of more than 14%. EUROTEC with retractable short side The short side of a EUROTEC hangs in the upper frame and is connected to the base with a foldable box-lock. After opening the lock, the side wall can be retracted into the upper edge of the long side. Reach-through opening Individual sizes are possible. Foldable box with transparent access opening For this, the short side of a foldable box has been cut out and sealed again with a transparent window. This means that the contents are visible when the container is stacked. RAKO with partition There are moulded grooves on the inner sides of this container for partitions on the long and short sides. Stacking container with bevelled longitudinal sides With this stacking container, the long sides bevelled in the upper edge are higher than the short sides, so that access to the contents of the container is possible when stacked. Not only containers are stacked on pallets, but often individual packaging units required for special circumstances. Here are a few examples: Transport unit as a standard solution Plastic container stacked on a Euro pallet and covered with a lid. Transport unit for the delivery of assembly parts to a European aircraft manufacturer. Made of stacked plastic containers and trays, some with special measurements, stacked on a pallet and secured with a cover. Pallet with component holders For this transport unit, rotary stacking Component holders for receiving assembly parts have been attached to a half-pallet. Further workpiece carriers can be stacked on the base element and nested when empty. The entire unit is sealed with a lid on the top layer. Transport unit on Castors For a department store s delivery process to its branches, a combination of foldable and collapsible boxes, folding and combination frames have been put together on transport dollies. The entire unit can be built on dollies with basic measurements of 1200 x 800 mm, 800 x 600 mm and 600 x 400 mm. Combination of a food and non-food solution For the supply to sales branches, a folding box filled with non-food items has been combined here with a sandwich solution: The packs of coffee are enclosed like a sandwich on trays. The base of the tray corresponds to the rim of the foldable box. Transport unit from Euro pallet, stacking frame and cover The stacking frames for pallets can be stacked one on top of each other and so form a transport unit at any height. Mould and bacteria do not find any nourishment on our food-safe plastic. In addition, the containers can be cleaned quickly and thoroughly. Stack nest containers solve this problem: empty they can be nested into one another. This allows up to 80 % of space to be saved. When rotated 180, the containers are stackable. Insulating boxes Insulating boxes enable the storage and transportation of fresh, chilled or frozen foods and enable in conjunction with cooling elements the cold temperature to be maintained. RAKO insulation box This allows chilled goods to be transported and stored in a plastic container. One simple example: the shroud for the porthole on a washing machine is a technical plastic part which is incorporated into the overall mechanism of a washing machine, and without this part it would not work. There are technical plastic parts which are simple in structure and those with complicated, sophisticated structures. What is common to all of them is that they fit seamlessly into the overall technical apparatus. Technical plastic parts construction industry In the construction industry, technical plastic parts are mostly used for electrical or plumbing installations. Wall sleeves for airing and ventilation or leaf filters are further examples of the use of technical plastic parts in building construction and civil engineering. Interpretation In these Conditions: BUYER means the person who accepts a quotation of the Seller for the sale of the Goods or whose order for the Goods is accepted by the Seller CONDITIONS means the standard terms and conditions of sale set out in this document and (unless the context otherwise requires) includes any special terms and conditions agreed in writing between the Buyer and the Seller CONTRACT means the contract for the purchase and sale of the Goods GOODS means the goods (including any instalment of the goods or any parts for them) which the Seller is to supply in accordance with these Conditions SELLER means George Utz Limited (registered in England and Wales under number ) of Grange Close Clover Nook Industrial Estate Alfreton Derbyshire DE55 4QT WRITING includes , facsimile transmission and compa-rable means of communication. The Seller shall sell and the Buyer shall purchase the Goods in accordance with any written quotation of the Seller which is accepted by the Buyer, or any written order of the Buyer which is accepted by the Seller, subject in either case to these Conditions, which shall govern the Contract to the exclusion of any other terms and conditions subject to which any such quotation is accepted or purported to be accepted, or any such order is made or purported to be made, by the Buyer No variation to these Conditions shall be binding unless agreed in Writing between the authorised representatives of the Buyer and the Seller The Seller s employees or agents are not authorised to make any representations concerning the Goods unless confirmed by the Seller in Writing. In entering into the Contract the Buyer acknowledges that it does not rely on any such representations which are not so confirmed Any advice or recommendation given by the Seller or its employees or agents to the Buyer or its employees or agents as to the storage, application or use of the Goods which is not confirmed in Writing by the Seller is followed or acted upon entirely at the Buyers own risk, and accordingly the Seller shall not be liable for any such advice or recommendation which is not so confirmed Any typographical, clerical or other error or omission in any sales literature, quotation, price list, acceptance of offer, invoice or other document or information issued by the Seller shall be subject to correction without any liability on the part of the Seller. 3. Orders and specifications 3.1. No order submitted by the Buyer shall be deemed to be accepted by the Seller unless and until confirmed in Writing by the Seller s authorised representative The Buyer shall be responsible to the Seller for ensuring the accuracy of the terms of any order (including any applicable specification) submitted by the Buyer, and for giving the Seller any necessary information relating to the Goods within a sufficient time to enable the Seller to perform the Contract in accordance with its terms The quantity, quality and description of and any specification for the Goods shall be those set out in the Seller s quotation (if accepted by the Buyer) or the Buyers order (if accepted by the Seller) If the Goods are to be manufactured or any process is to be applied to the Goods by the Seller in accordance with a specification submitted by the Buyer, the Buyer shall indemnify the Seller against all loss, damages, costs and expenses awarded against or incurred by the Seller in connection with or paid or agreed to be paid by the Seller in settlement of any claim for infringement of any patent, copyright, design, trade mark or other industrial or intellectual property rights of any other person which results from the Seller s use of the Buyers specification The Seller reserves the right to make any changes in the specification of the Goods which are required to conform with any applicable statutory or EC requirements or, where the Goods are to be supplied to the Seller s specification, which do not materially affect their quality or performance No order which has been accepted by the Seller may be cancelled by the Buyer except with the agreement in Writing of the Seller and on terms that the Buyer shall indemnify the Seller in full against all loss (including loss of profit), costs (including the cost of all labour and materials used), damages, charges and expenses incurred by the Seller as a result of cancellation. 4. Price of the goods 4.1. The price of the Goods shall be the Seller s quoted price or, where no price has been quoted (or a quoted price is no longer valid), the price listed in the Seller s published price list current at the date of acceptance of the order. Where the Goods are supplied for export from the United Kingdom, the Seller s published export price list shall apply. All prices quoted are valid for 30 days only or until earlier acceptance by the Buyer, after which time the Seller may alter them without giving notice to the Buyer The Seller reserves the right, by giving notice to the Buyer at any time before delivery, to increase the price of the Goods to reflect any increase in the cost to the Seller which is due to any factor beyond the control of the Seller (such as, without limitation, any foreign exchange fluctuation, currency regulation, alteration of duties, significant increase in the costs of labour, materials or other costs of manufacture), any change in delivery dates, quantities or specifications for the Goods which is requested by the Buyer, or any delay caused by any instructions of the Buyer or failure of the Buyer to give the Seller adequate information or instructions Except as otherwise stated under the terms of any quotation or in any price list of the Seller, and unless otherwise agreed in Writing between the Buyer and the Seller, all prices are given by the Seller on an ex works basis, and where the Seller agrees to deliver the Goods otherwise than at the Seller s premises, the Buyer shall be liable to pay the Seller s charges for transport, packaging and insurance The price is exclusive of any applicable value added tax, which the Buyer shall be additionally liable to pay to the Seller The cost of pallets and returnable containers may be charged to the Buyer in addition to the price of the Goods, but full credit will be given to the Buyer provided they are returned undamaged to the Seller before the due payment date. 5. Terms of payment 5.1. Subject to any special terms agreed in Writing between the Buyer and the Seller, the Seller shall be entitled to invoice the Buyer for the price of the Goods on or at any time after delivery of the Goods, unless the Goods are to be collected by the Buyer or the Buyer wrongfully fails to take delivery of the Goods, in which event the Seller shall be entitled to invoice the Buyer for the price at any time after the Seller has notified the Buyer that the Goods are ready for collection or (as the case may be) the Seller has tendered delivery of the Goods The Buyer shall pay the price of the Goods (less any discount to which the Buyer is entitled, but without any other deduction) within 30 days of the date of the Seller s invoice, and the Seller shall be entitled to recover the price, notwithstanding that delivery may not have taken place and the property in the Goods has not passed to the Buyer. The time of payment of the price shall be of the essence of the Contract. Receipts for payment will be issued only upon request If the Buyer fails to make any payment on the due date then, without prejudice to any other right or remedy available to the Seller, the Seller shall be entitled to: cancel the contract or suspend any further deliveries to the Buyer; appropriate any payment made by the Buyer to such of the Goods (or the goods supplied under any other contract between the Buyer and the Seller) as the Seller may think fit (notwithstanding any purported appropriation by the Buyer); and charge the Buyer interest (both before and after any judgment) on the amount unpaid, at the rate of 8 per cent per annum above Bank of England base rate from time to time, until payment in full is made (a part of a month being treated as a full month for the purpose of calculating interest). 6. Delivery 6.1. Delivery of the Goods shall be made by the Buyer collecting the Goods at the Seller s premises at any time after the Seller has notified the Buyer that the Goods are ready for collection or, if some other place for delivery is agreed by the Seller, by the Seller delivering the Goods to that place Any dates quoted for delivery of the Goods are approximate only and the Seller shall not be liable for any delay in delivery of the Goods however caused. Time for delivery shall not be of the essence of the Contract unless previously agreed by the Seller in writing. The Goods may be delivered by the Seller in advance of the quoted delivery date upon giving reasonable notice to the Buyer Where delivery of the Goods is to be made by the Seller in bulk, the Seller reserves the right to deliver up to 10 per cent more or 10 per cent less than the quantity ordered without any adjustment in the price, and the quantity so delivered shall be deemed to be the quantity ordered The Seller reserves the right to deliver the Goods in instalments. Where the Goods are delivered in instalments, each delivery shall constitute a separate contract and failure by the Seller to deliver any one or more of the instalments in accordance with these Conditions or any claim by the Buyer in respect of any one or more instalments shall not entitle the Buyer to treat the Contract as a whole as repudiated If the Seller fails to deliver the Goods (or any instalment) for any reason other than any cause beyond the Seller s reasonable control or the Buyers fault, and the Seller is accordingly liable to the Buyer, the Seller s liability shall be limited to the excess (if any) of the cost to the Buyer (in the cheapest available market) of similar goods to replace those not delivered over the price of the Goods If the Buyer fails to take delivery of the Goods or fails to give the Seller adequate delivery instructions at the time stated for delivery (otherwise than by reason of any cause beyond the Buyers reasonable control or by reason of the Seller s fault) then, without prejudice to any other right or remedy available to the Seller, the Seller may: store the Goods until actual delivery and charge the Buyer for the reasonable costs (including insurance) of storage; or sell the Goods at the best price readily obtainable and (after deducting all reasonable storage and selling expenses) account to the Buyer for the excess over the price under the Contract or charge the Buyer for any shortfall below the price under the Contract. 7. Risk and property 7.1. Risk of damage to or loss of the Goods shall pass to the Buyer: in the case of Goods to be delivered at the Seller s premises, at the time when the Seller notifies the Buyer that the Goods are available for collection; or in the case of Goods to be delivered otherwise than at the Seller s premises, at the time of delivery or, if the Buyer wrongfully fails to take delivery of the Goods, the time when the Seller has tendered delivery of the Goods Notwithstanding delivery and the passing of risk in the Goods, or any other provision of these Conditions, the property in the Goods shall not pass to the Buyer until the Seller has received in cash or cleared funds payment in full of the price of the Goods and all other goods agreed to be sold by the Seller to the Buyer for which payment is then due Until such time as the property in the Goods passes to the Buyer, the Buyer shall hold the Goods as the Seller s fiduciary agent and bailee, and shall keep the Goods separate from those of the Buyer and third parties and properly stored, protected and insured and identified 224

225 INFORMATION as the Seller s property, but the Buyer shall be entitled to resell or use the Goods in the ordinary course of its business Until such time as the property in the Goods passes to the Buyer (and provided the Goods are still in existence and have not been resold), the Seller shall be entitled at any time to require the Buyer to deliver up the Goods to the Seller and, if the Buyer fails to do so forthwith, to enter upon any premises of the Buyer or any third party where the Goods are stored and repossess the Goods The Buyer shall not be entitled to pledge or in any way charge by way of security for any indebtedness any of the Goods which remain the property of the Seller, but if the Buyer does so all moneys owing by the Buyer to the Seller shall (without prejudice to any other right or remedy of the Seller) forthwith become due and payable. 8. Warranties and liability 8.1. Subject to the conditions set out below the Seller warrants that the Goods will correspond with their specification at the time of delivery and will be free from defects in material and workmanship for a period of 6 months from the date of their initial use or 6 months from delivery, whichever is the first to expire The above warranty is given by the Seller subject to the following conditions: the Seller shall be under no liability in respect of any defect in the Goods arising from any drawing, design or specification supplied by the Buyer; the Seller shall be under no liability in respect of any defect arising from fair wear and tear, wilful damage, negligence, abnormal working conditions, failure to follow the Seller s instructions (whether oral or in writing), misuse or alteration or repair of the Goods without the Seller s approval; the Seller shall be under no liability under the above warranty (or any other warranty, condition or guarantee) if the total price for the Goods has not been paid by the due date for payment; the above warranty does not extend to parts, materials or equipment not manufactured by the Seller, in respect of which the Buyer shall only be entitled to the benefit of any such warranty or guarantee as is given by the manufacturer to the Seller Subject as expressly provided in these Conditions, and except where the Goods are sold to a person dealing as a consumer (within the meaning of the Unfair Contract Terms Act 1977), all warranties, conditions or other terms implied by statute or common law are excluded to the fullest extent permitted by law Where the Goods are sold under a consumer transaction (as defined by the Consumer Transactions (Restrictions on Statements) Order 1976) the statutory rights of the Buyer are not affected by these Conditions Any claim by the Buyer which is based on any defect in the quality or condition of the Goods or their failure to correspond with specification shall (whether or not delivery is refused by the Buyer) be notified to the Seller within 7 days from the date of delivery or (where the defect or failure was not apparent on reasonable inspection) within a reasonable time after discovery of the defect or failure. If delivery is not refused, and the Buyer does not notify the Seller accordingly, the Buyer shall not be entitled to reject the Goods and the Seller shall have no liability for such defect or failure, and the Buyer shall be bound to pay the price as if the Goods had been delivered in accordance with the Contract Where any valid claim in respect of any of the Goods which is based on any defect in the quality or condition of the Goods or their failure to meet specification is notified to the Seller in accordance with these Conditions, the Seller shall be entitled to replace the Goods (or the part in question) free of charge or, at the Seller s sole discretion, refund to the Buyer the price of the Goods (or a proportionate part of the price), but the Seller shall have no further liability to the Buyer Except in respect of death or personal injury caused by the Seller s negligence, the Seller shall not be liable to the Buyer by reason of any representation (unless fraudulent), or any implied warranty, condition or other term, or any duty at common law, or under the express terms of the Contract, for any indirect, special or consequential loss or damage (whether for loss of profit or otherwise), costs, expenses or other claims for compensation whatsoever (whether caused by the negligence of the Seller, its employees or agents or otherwise) which arise out of or in connection with the supply of the Goods or their use or resale by the Buyer, and the entire liability of the Seller under or in connection with the Contract shall not exceed the price of the Goods, except as expressly provided in these Conditions The Seller shall not be liable to the Buyer or be deemed to be in breach of the Contract by reason of any delay in performing, or any failure to perform, any of the Seller s obligations in relation to the Goods, if the delay or failure was due to any cause beyond the Seller s reasonable control. Without prejudice to the generality of the foregoing, the following shall be regarded as causes beyond the Seller s reasonable control: Act of God, explosion, flood, tempest, fire or accident; war or threat of war, sabotage, insurrection, civil disturbance or requisition; acts, restrictions, regulations, bye-laws, prohibitions or measures of any kind on the part of any governmental, parliamentary or local authority; import or export regulations or embargoes; strikes, lock-outs or other industrial actions or trade disputes (whether involving employees of the Seller or of a third party); difficulties in obtaining raw materials, labour, fuel, parts or machinery; power failure or breakdown in machinery. 9. Indemnity 9.1. If any claim is made against the Buyer that the Goods infringe or that their use or resale infringes the patent, copyright, design, trade mark or other industrial or intellectual property rights of any other person, then unless the claim arises from the use of any drawing, design or specification supplied by the Buyer, the Seller shall indemnify the Buyer against all loss, damages, costs and expenses awarded against or incurred by the Buyer in connection with the claim, or paid or agreed to be paid by the Buyer in settlement of the claim, provided that: the Seller is given full control of any proceedings or negotiations in connection with any such claim; the Buyer shall give the Seller all reasonable assistance for the purposes of any such proceedings or negotiations; except pursuant to a final award, the Buyer shall not pay or accept any such claim, or compromise any such proceedings without the consent of the Seller (which shall not be unreasonably withheld); the Buyer shall do nothing which would or might vitiate any policy of insurance or insurance cover which the Buyer may have in relation to such infringement, and this indemnity shall not apply to the extent that the Buyer recovers any sums under any such policy or cover (which the Buyer shall use its best endeavours to do); 9.2. the Seller shall be entitled to the benefit of, and the Buyer shall accordingly account to the Seller for, all damages and costs (if any) awarded in favour of the Buyer which are payable by, or agreed with the consent of the Buyer (which consent shall not be unreasonably withheld) to be paid by, any other party in respect of any such claim; and 9.3. without prejudice to any duty of the Buyer at common law, the Seller shall be entitled to require the Buyer to take such steps as the Seller may reasonably require to mitigate or reduce any such loss, damages, costs or expenses for which the Seller is liable to indemnify the Buyer under this clause. 10. Insolvency of buyer This clause applies if: the Buyer makes any voluntary arrangement with its creditors or (being an individual or firm) becomes bankrupt or (being a company) becomes subject to an administration order or goes into liquidation (otherwise than for the purposes of amalgamation or reconstruction); or an encumbrancer takes possession, or a receiver is appointed, of any of the property or assets of the Buyer; or the Buyer ceases, or threatens to cease, to carry on business; or the Seller reasonably apprehends that any of the events mentioned above is about to occur in relation to the Buyer and notifies the Buyer accordingly If this clause applies then, without prejudice to any other right or remedy available to the Seller, the Seller shall be entitled to cancel the Contract or suspend any further deliveries under the Contract without any liability to the Buyer, and if the Goods have been delivered but not paid for the price shall become immediately due and payable notwithstanding any previous agreement or arrangement to the contrary. 11. Tools The Seller shall not be liable for any indirect, special or consequential loss or damage (whether for loss of profit or otherwise), costs, expenses or other claims for compensation whatsoever in respect of tools provided by the Buyer to the Seller (whether caused by the negligence of the Seller, its employees or agents or otherwise) and the entire liability of the Seller under or in connection with such tools shall not exceed the price of the Goods, except as expressly provided in these Conditions Any tools not provided by the Buyer to the Seller shall remain the Seller s property notwithstanding any payments made in regard to them by the Buyer directly or indirectly in whole or part. 12. General The Seller is a member of the group of companies whose holding company is Georg Utz Holding AG, and accordingly the Seller may perform any of its obligations or exercise any of its rights hereunder by itself or through any other member of its group, provided that any act or omission of any such other member shall be deemed to be the act or omission of the Seller Any notice required or permitted to be given by either party to the other under these Conditions shall be in Writing addressed to that other party at its registered office or principal place of business or such other address as may at the relevant time have been notified pursuant to this provision to the party giving the notice No waiver by the Seller of any breach of the Contract by the Buyer shall be considered as a waiver of any subsequent breach of the same or any other provision If any provision of these Conditions is held by any competent authority to be invalid or unenforceable in whole or in part the validity of the other provisions of these Conditions and the remainder of the provision in question shall not be affected Any dispute arising under or in connection with these Conditions or the sale of the Goods shall be referred to arbitration by a single arbitrator appointed by agreement or (in default) nominated on the application of either party by the President for the time being of the Law Society of England and Wales The laws of England shall govern the Contract, and the Buyer agrees to submit to the non-exclusive jurisdiction of the English courts The parties agree that they do not intend any term of the Contract shall be enforceable by any other party not privy to it by virtue of the Contracts (Rights of Third Parties) Act
