13 Purpose of the warranty R.P.M. TECH INC. Base warranty Limited warranty for the Cameleon vehicle The present warranty applies to CAMELEON sold by RPM Tech Inc. ("RPM"). All purchased components not manufactured by RPM such as engines, transmissions, tires, attachments, etc. are sold "AS IS", subject to any warranty available through their respective manufacturers under their own terms and conditions. In the text of the present warranty, CAMELEON excluding major components not manufactured by RPM is referred to as the "Product". Coverage period The Product will be free from defects in material and workmanship under normal use, maintenance and service for a period of one (1) year or 1,500 hours, whichever occurs first, from first day in service, provided first day in service is no later than sixty (60) days from delivery to original buyer. The central pivot will be free from defects in material and workmanship under normal use, maintenance and service for a period of five (5) years or 5,000 hours, whichever occurs first, from first day in service, provided first day in service is no later than sixty (60) days from delivery to original buyer. The said central pivot is defined as the frame link allowing a longitudinal rotation between both front and rear frame portions. The longitudinal rotation represents the clockwise and counterclockwise movements, on the vehicle axis that goes from head to stern, throughout the vehicle whole length. RPM warrants each part replaced under this warranty to be free from defects in material and workmanship for ninety (90) days following its installation in a Product. RPM s responsibilities The Buyer's sole remedy is limited to the repair or replacement, at RPM's option, of the Product or parts proven defective. For the application of the warranty, RPM will pay for the new or repaired parts and labor required in such instances and, when necessary, for reasonable expenses directly associated with the removal and reinstallation of the part if such work is done by an authorized or designated service representative. RPM s liability for losses, damages or expenses of any kind arising from the design, manufacture or sale of the Product covered by this warranty, whether based on warranty, negligence, contract, tort or otherwise is limited to an amount not exceeding the cost of correcting the defects as herein provided and at the expiration of the applicable warranty period all such liability shall terminate. If a breakage occurs on a component purchased from but not manufactured by RPM and that component is under warranty, RPM commits to assist the customer during the warranty claiming process with the concerned manufacturers. RPM is not responsible for the repair or replacement of the Product required because of normal wear, accident, improper installation, lack of maintenance, unauthorized modifications, improper storage, negligence, or from use of parts that do not meet RPM s specifications. 14 Buyer's responsibilities and restrictions to the warranty The Buyer must complete and return the Warranty Registration Form attached in order to activate the warranty on its equipment. The Buyer has the responsibility of getting approval from the RPM technical service when installing any major attachments (such as heavy and/or unbalanced attachments) before using the vehicle with said attachments. This is to prevent accidents or breakage of the equipment and to determine impacts on the performance of the vehicle (braking distance, autonomy, etc.). Using any such attachment without prior approval from RPM may void the warranty or worst, cause serious accidents. The Buyer will be responsible for any failure resulting from an abuse or a misuse of the Product. The Buyer will also be responsible for consequential damages resulting from hydraulic oil contamination while or after using accessories on CAMELEON. In case of abuse or misuse of the Product, the warranty will not apply. The Buyer has the obligation to perform the normal maintenance on the Product. Should the Buyer contravene to such obligation, the warranty will not apply. The warranty will not cover repair where normal use has exhausted the service life of a part or of the Product and in any case, the warranty will not apply after the above-mentioned coverage period is over. The warranty does cover traveling time and mileage to a maximum of 250 km (150 miles) round trip per claim and does not cover for food or lodging expenses. The Product needs periodic parts replacement and services to perform adequately. The service life of any Product is dependent on the care it receives and conditions under which it has to operate and be stored. RPM is not responsible for any other damage, incidental, consequential or special, resulting directly or indirectly from the use of the Product, an attempt to use the Product or from a failure of the Product, even if such failure is covered by the warranty. Remedies available to any person claiming under this warranty are exclusive and expressly limited to obtaining the parts and the labour, where applicable, in accordance with terms of this warranty. No other express or implied warranty, except herein provided for has been made, and no person is authorized to give any other warranties or to assume any other liabilities on RPM's behalf unless made or assumed in writing by an officer of RPM. Warranty does not apply to (unless failure results from workmanship issue): consumable parts such as but not limited to, tires, full rubber wheels, tracks, sprockets, wiper blades, belts, filters, lubricants, cables, bulbs, fuses, glass products, etc; normal maintenance parts, such as but not limited to, all fluids, filters and lubricant, hoses, batteries, o-rings, grease fittings, etc.; any hydraulic components that have been contaminated due to dirt or foreign materials; components operated beyond their capacity; wear items such as but not limited to pneumatic suspension components, hydraulic cylinders, cutting edges, fan shovels, side cutters, skid shoes, rotating knives, bristles, etc.; oil analysis. If the paint surface of the equipment body requires attention during the initial coverage period due to a manufacturing defect, the necessary repairs will be performed by RPM at no charge. 15 failure to properly maintain paint and bodywork by regular cleaning, factors beyond RPM control, such as airborne contamination, storm damage, stone chips, scratches and the use of unsuitable cleaning agents, and repairs using methods that have not been approved by RPM. NOTWITHSTANDING ANYTHING CONTAINED HEREIN TO THE CONTRARY, RPM'S LIABILITY ARISING OUT OF THE MANUFACTURE, SALE OR SUPPLYING OF THE PRODUCTS OR THEIR USE OR DISPOSITION, WHETHER BASED UPON WARRANTY, CONTRACT, TORT OR OTHERWISE, SHALL NOT IN ANY CASE EXCEED THE ACTUAL PURCHASE PRICE PAID BY THE BUYER FOR THE PRODUCT. IN NO EVENT SHALL RPM BE LIABLE TO THE BUYER OR ANY OTHER PERSON OR ENTITY FOR SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES (INCLUDING, BUT NOT LIMITED TO, LOSS OF PROFITS, LOSS OF DATA OR LOSS OF USE DAMAGES) ARISING OUT OF THE MANUFACTURE, SALE OR SUPPLYING OF THE PRODUCTS, EVEN IF RPM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR LOSSES. THE PROVISIONS OF THE FOREGOING WARRANTIES ARE IN LIEU OF ANY OTHER WARRANTY, WHETHER EXPRESS OR IMPLIED, WRITTEN OR ORAL (INCLUDING ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE). The laws of the province of Québec in Canada will govern any and all litigation resulting directly or indirectly from this warranty and/or from the sale contract of the Product by RPM. The Courts of the Montreal district jurisdiction shall be the exclusive ones to be seized of such litigation. The Buyer accepts this warranty and the limitations of liability and disclaimers set forth herein as part of purchase of the Product or part to which this warranty applies.
