6 LIGHTING Why choose Weltico LED lighting? French R&D, based on specialized engineering department. Made in France in our St Philbert-de-Grand-Lieu (44) factory. 8 ˇ LIGHTING ĽIGHTING PAR56 LIGHT BULBS DIAMOND and RAINBOW PATENT PENDING Designed and manufactured in our factory. HIGH POWER LED LIGHT BULBS WITH PAR56- STANDARD POWER, COMPATIBLE WITH ALL 300W POOL PROJECTORS ON THE MARKET. The Rainbow Power (colour LED) and Diamond Power (white LED) models are equipped with latest-technology high power OSRAM LEDs, delivering exceptional lighting. The light bulbs are available in 6-LED or 12-LED versions for the white range and in 12-LED for the colour range. For Rainbow Power colour versions, the 3 base colours are integrated in different LEDs to deliver perfect colour mixing and optimal output for the 10 colours available in fixed, changing or fading patterns, depending on the program selected. They remain synchronised thanks to power-line communication. 10 colours & 5 programs to choose from. A wide range of colours to infinitely vary your pool s ambiance. The RAINBOW light bulbs are synchronised with each other to the mains frequency (with powerline communication). A remote control BPL module kit can be used to change the programs (BPL = broadband over powerline). Colour changes are controlled by the projector power switch. This kit consists of a BPL (Broadband over powerline unit) and a remote control. Weltico light bulbs also offer the possibility of rotating colours and programs by simply cutting the power from the edge of your pool, thanks to the Weltico remotecontrolled switch. In the event of apparent defects, We will replace the defective parts, subject to verification of the alleged defects. You shall provide all proofs confirming the reality of the defects declared and We reserve the right to directly or indirectly carry out on-site observation and verification, which You agree to from here forward. Defective and damaged delivered products following storage and/or conservation under abnormal conditions on customer premises, notably in the case of an accident of any type that is not attributable to Us, shall not entitle the Customer to any guarantee from Our company. You cannot initiate any non-compliance actions more than two (2) days after product delivery. By accepting these GTCs, You expressly recognize that after the above mentioned time period expires You cannot invoke product noncompliance or raise it in a counter claim to defend Yourself from legal action to recover debts engaged by Us. 7.2 Hidden defects: We guarantee Our products against all hidden defects as per French law, customs and jurisprudence and under the conditions defined here below. Our guarantee only applies to products: - that legally became Your property - and that are entirely manufactured by Our company As Our customers are professionals, «hidden defect» refers to a product manufacturing defect causing it to be unfit for customer use and not likely to be detected by the customer before use. A design defect is not a hidden defect and Our customers are deemed to have received all technical information concerning Our products Our guarantee for hidden defects is limited to a period of: - two (2) years - this period is extended to five (5) years exclusively for resin-coated motors (excluding bearings and condenser) This guarantee starts from the date of product purchase by the end consumer from You in the store. Our guarantee automatically ceases: - upon expiration of the two- or five-year periods mentioned above, according to the nature of the product in question - and also when You do not inform Us of the alleged defect within twenty (20) clear days following its discovery. You are responsible for providing proof of the defect discovery date The guarantee for hidden defects shall be granted after: We receive a photocopy of the delivery slip and purchase invoice. We assess the equipment in Our facilities.

123 ˇ GTC 2018 acis The item has been returned (postage paid) after receiving a return slip with Our acceptance number Under the guarantee for hidden defects, Our company shall only be responsible for replacing or repairing defective merchandise and/or original parts, free of charge, that are confirmed as defective after Our assessment, without You having the right to claim damages for any reason. If You perform maintenance, the guarantees are limited to supply of the part and/ or equipment recognized as defective, excluding all transport, transfer and outside maintenance costs and other damages The guarantee for hidden defects is void when: - Our products have been used under abnormal or unintended usage or performance conditions - Our products have been subjected to insufficient maintenance, defective installation or connections, or normal wear and tear - The usage instructions delivered by the Seller were not strictly followed - There is damage and/or wear resulting from an abnormal or normal special assembly or adaptation of Our products, unless performed under Our supervision - The equipment is modified, repaired or disassembled, even partially, outside Our facilities or without the presence of one of Our technicians When products involving a hydraulic and/or electrical connection are installed and/or initially started up by a non-professional, in violation of the safety rules and recommendations defined in paragraphs 2 and 3 of Article 6 of these GTCs. Furthermore, the guarantee shall be suspended until all late payments are cleared. You are expressly informed that this suspension does not result in any extension of the guarantee period. Application of the guarantee shall not give rise to payment of any compensation Repair: The equipment submitted to Us for repair must always be shipped to Us with postage paid. All repair requests shall but subject to a prior acceptance estimate. Article 8 - Industrial property You are prohibited from modifying, concealing or removing Our distinctive marks placed on products. All technical documents (instructions, product sheets, photos, prices, etc.) provided to Our customers remain Our exclusive property, with Our company being the sole proprietor of intellectual property rights over these documents, which shall be returned upon request. You agree to make no use of these documents that is liable to infringe upon Our industrial or intellectual property rights and will not disclose them to any third parties. Non-compliance with these obligations may lead to the automatic termination, with no prior notice, of orders in progress and closing out of all sums owed by You. This is without prejudice to any liability lawsuits We could take out against You. Article 9 - Transfer of custody and risks From delivery, the risks and custody of products are transferred to You. You shall, at Your own cost, take out an insurance policy covering all risks to the product and provide proof of this cover upon request. You agree to inform Us, within forty-eight (48) hours, of any seizure operated by a third party on merchandise in Your stores or warehouses. Article 10 - Retention of ownership Ownership of Our products is not transferred until full payment of the product price is made by You, for the principle and accessory costs, even if later payment deadlines are granted. Any clause to the contrary, notably those inserted in the general terms and conditions of purchase, is deemed unwritten, as per Article L of the French Commercial Code. By express agreement, We may exercise the rights We hold as part of this retention of ownership clause for any of Our debts, for the totality of Our products in Your possession as they are conventionally deemed not to have been paid for and We can reclaim or request them as compensation for all unpaid invoices, without prejudice to Our right to close out any sales in progress. In the event of default on payment, You are prohibited from reselling Your stock up to the quantity of unpaid products. Under no circumstances may You pledge or create a security interest in the products delivered by that have not been paid for. We may unilaterally, after sending a notice, take an inventory or have one carried out on the unpaid products delivered to You. Given this, and by accepting these GTCs, You expressly agree to provide free access to Your warehouses, stores and other premises for this purpose, making sure that it is still possible to identify Our company s products. If an insolvency procedure is opened or in the case of goods liquidation, the orders in progress will be automatically canceled and We reserve the right to reclaim the merchandise held in stock. This clause does not prevent the risks of merchandise being transferred to the Customer as soon as they are delivered. Article 11 - Force majeure Events independent of the will of the parties, that they could not reasonably be responsible for foreseeing and that they could not reasonably avoid or overcome are considered cases of force majeure or fortuitous events when their occurrence makes the execution of obligations totally impossible. The following are notably considered cases of force majeure or fortuitous events, releasing Us from Our obligation to deliver within the initially planned timeframe: labour strikes of all or part of Our company workforce or usual transport services, fire, flood, war, production stoppages caused by unexpected breakdowns, the impossibility of procuring raw materials, epidemics, thaw barriers, road blockages, electricity or gas utilities strike or outage, or procurement disruption for a reason not attributable to Our company, as well as any procurement disruptions attributable to Our suppliers. Under these circumstances, We will inform You of the event in writing, including by fax or , thus automatically suspending the contract between Us and You, without compensation or damages, starting from the date the event occurs. Article 12 - Attribution of jurisdiction Our company elects residence at Our head office. Any disagreement as to the application of these GTCs and their interpretation, execution and sales contracts signed by Us or as to the payment of the price shall be taken to the commercial court of Our company s head office, regardless of order, delivery or payment location or the mode of payment, and even in the case of thirdparty claims and multiple defendants. Any indications written on Your bills of exchange, invoices or notices and any clauses to the contrary will not exempt You from this attribution of jurisdiction, which You expressly accept in agreeing to these GTCs. Article 13 - Applicable law Any questions regarding these GTCs or the sales to which they apply, and which are not covered by these contractual stipulations, shall be governed by French law, to the exclusion of any other law, and in a supplementary capacity, by the Vienna Convention on the international sale of goods. Article 14 - Modifications to these GTCs Given changing regulations, Our commercial strategy and evolving products, We reserve the right to modify these GTCs at any time.
