3 Program Rules Eligible Customers are defined in these Program Rules have the opportunity to participate in an exciting program designed to launch the all-new 2011 Chevrolet Camaro Convertible. It s the 2011 Neiman Marcus Edition Camaro Convertible Program. The following Program Rules are designed to ensure that all customers have a fair opportunity to purchase this limited quantity vehicle. Please note that only 100 NM-Camaro Convertible units will be built to these specifications and they will be sold exclusively through this special program to Eligible Customers through Eligible Chevrolet Dealers. These Program Rules govern the sale and distribution of all new 2011 NM-Camaro Convertible models available for sale. 1. Program Name The name of this Program is the 2011 Neiman Marcus Edition Camaro Convertible Program. In these Rules, it is referred to as the Program. 2. Program Time Period October 19, 2010 through May 31, 2011 NM-Camaro Convertible models must be ordered by Eligible Customers through Eligible Dealers as provided in these Rules from October 19, 2010 through December 31, Chevrolet will not accept any orders for NM-Camaro Convertible models after December 31, 2010, other than replacement orders where the original order was cancelled (see Paragraph 10.) Vehicles will be delivered subject to availability. 3. NM-Camaro Convertible models will be assigned to customers without regard to the order in which they received their PIN or the order in which the vehicles are produced. NM-Camaro Convertible models must be ordered by Eligible Dealers for Eligible Customers as retail sales orders. Orders must be documented and submitted as detailed in these Rules in Paragraph (8), The Sales Process and Paragraph (9), Order Process. 4. Eligible Dealers All U.S. Chevrolet Dealers are eligible to submit orders for the 2011 NM-Camaro Convertible model for Eligible Customers. These units may be sold by Eligible Dealers only to Eligible Customers only as set forth in these Program Rules. 5. Eligible Customers To be eligible to order a 2011 NM-Camaro Convertible model from an Eligible Dealer, customers must meet the following requirements: (1) Customers must be individuals or companies located in the United States (the 50 states and the District of Columbia) purchasing the vehicle for personal use or primary business use (other than resale) in the United States (the 50 states and the District of Columbia). Persons or parties (or their agents) engaged in the business of reselling, brokering (including but not limited to buying services) or wholesaling motor vehicles are not Eligible Customers. (2) Customers must have a valid PIN. Customers may obtain a PIN in one of two ways. First, customers may call NMCMARO ( ) beginning October 19, 2010, at Noon, EDT, to request a PIN. Only 100 PINs will be issued through the toll-free number on a first-come, first-served basis. Second, if Program Headquarters does not receive confirmation of a customer s order from an Eligible

4 Dealer by the end of 15 calendar days starting with the date a PIN was assigned to that customer, that PIN is cancelled and the original customer is no longer eligible to purchase the vehicle. Program Headquarters will attempt to contact the next customer on the waiting list and offer that customer a PIN. PINs may not be sold, assigned or transferred and a PIN obtained in any other way is not valid. No customer may obtain more than one PIN. (3) Dealer companies, dealer operator(s), dealer owner(s), employees of a dealer company or immediate family members of any of the foregoing are not Eligible Customers. 6. Program Description Chevrolet Motor Division and Neiman Marcus have announced that the 2011 NM-Camaro Convertible model will be featured in advertising in the 2010 Neiman Marcus Christmas Book, which will be mailed to customers starting October, 5, Only 100 NM- Camaro Convertible models will be available for sale. To help ensure that customers have a fair opportunity to purchase a 2011 NM-Camaro Convertible, beginning October 19 at Noon, EDT, interested customers may call a Chevrolet sponsored toll-free number NMCMARO ( ). A Program Headquarters Representative will offer to check for a PIN. PINs will be issued through the tollfree number on a first-come, first-served-basis. A PIN does not guarantee the customer will be able to order or purchase an NM- Camaro Convertible model. A PIN reserves the customer s opportunity to place an order for one of the vehicles at an Eligible Dealer, subject to the customer complying with eligibility and all other Program requirements under these Rules. Customers who receive a PIN have 15 calendar days starting with the date a PIN was assigned to them to complete and sign a sales order agreement and place a deposit with an Eligible Dealer. The Eligible Dealer must confirm the customer s PIN with Program Headquarters, ensure that the customer meets all eligibility requirements as set forth in these Rules and confirm the customer s order with Program Headquarters as set forth in these Rules. General Motors intends to produce 2011 NM-Camaro Convertible models starting in late winter 2011 and deliver vehicles to dealers as early as April or May Vehicle Price The manufacturer s suggested retail price (MSRP) of the 2011 NM-Camaro Convertible model is $75,000, including destination freight charges and excluding tax, title, license and dealer fees. The retail purchase price of the vehicle will be determined by negotiations between each Eligible Dealer and each Eligible Customer. 8. The Sales Process When an Eligible Customer visits an Eligible Dealer and presents a PIN to purchase an NM-Camaro Convertible model, the following steps will be taken: The Eligible Customer will present the PIN to the Eligible Dealer The dealer will contact Program Headquarters to verify that the PIN is valid The dealer will also confirm that the customer meets all other requirements to be an Eligible Customer as set forth in Paragraph (5) A sales order agreement will be completed and (if required by the dealer), the customer will provide a deposit The dealer will present the customer with an Order Confirmation Form for review. It states that the Eligible Customer must read or have read the Official Program Rules, which can be found at A box must be checked and initialed by both the dealer and the customer acknowledging that Official Program Rules have been read Additional boxes are to be checked and initialed stating that a sales order agreement has been completed Customers must also check and initialize their selection of either a manual or automatic transmission When the Order Confirmation Form is completed, it is to be signed by both the Eligible Customer and the Eligible Dealer, and the Eligible Dealer must provide the Eligible Customer with a copy of the document The dealer will then fax the Order Confirmation Form to Program Headquarters 9. Order Process Order Confirmation Forms received by Program Headquarters will be reported to Chevrolet, which will be placing the orders on behalf of the selling dealer. Actual NM-Camaro Convertible orders will be placed after November 17, Notification of Customer Cancellation In the event than an Eligible Customer cancels the order with the dealer for the NM-Camaro Convertible model, dealer must a Notification of Customer

5 Cancellation to Program Headquarters immediately. The dealer order for that customer will be cancelled and the dealer will not be eligible to purchase that vehicle. The next customer on the waiting list will be contacted, offered a PIN and will have the opportunity to order that vehicle from an Eligible Dealer of the Eligible Customer s choice, subject to all the terms and conditions of the Program. NM-Camaro Convertible models may be sold by Eligible Dealers only to Eligible Customers, as set forth in these Program Rules. Dealers may not purchase an NM- Camaro Convertible model unless they have a signed sales order agreement and deposit from an Eligible Customer and sell and deliver that vehicle to that Eligible Customer. If an Eligible Customer cancels the order for the NM-Camaro Convertible model, the dealer must return the customer s deposit promptly and completely. CUSTOMER MAY NOT CANCEL THE TRANSACTION ONCE THE DELIVERY IS MADE TO THE CUSTOMER. 11. Chevrolet Customer Confirmation Through Program Headquarters, Chevrolet will confirm each Eligible Customer s order with that customer prior to shipping any NM-Camaro Convertible model to dealer. In the event a customer indicates they do not wish to purchase the vehicle, they must first confirm this cancellation via to Program Headquarters. Then, Program Headquarters will contact the dealer to confirm the cancellation. 12. Compatible Incentive/Allowance Programs None NM-Camaro Convertible models are not eligible for any retail or fleet incentives or allowances of any kind, or for purchase or lease under the GM Employee Purchase Programs (including GMO, GMS, EVP, and PEP), the Supplier Purchase Program, College Grad Program, Driver Education Program, GM Dealership Employee Purchase Program and GM Tourist Policy. In addition, retired employee vouchers, Customer Assistance Center Goodwill Certificates and GM Card Points may not be used toward the purchase or lease of a 2011 NM-Camaro Convertible. 13. Delivery Chevrolet plans to deliver the 2011 NM-Camaro Convertible to dealers in spring Many factors affect the availability and distribution of motor vehicles to dealers including component availability and production capacity, weather, transportation conditions and other conditions beyond the control of General Motors. General Motors reserves to itself discretion in accepting orders and distributing vehicles, and its judgements and decisions are final. Through Program Headquarters, Chevrolet will notify both the dealer and the customer two weeks before it intends to deliver the NM-Camaro Convertible model to the dealer; and dealer is responsible for delivering the vehicle promptly following the dealer s receipt of the vehicle. Prior to delivery, the dealer and customer must settle all financial commitments for the purchase or lease of the NM-Camaro Convertible unit. The 2011 NM-Camaro Convertible is covered by the GM New Vehicle Limited Warranty and the 100,000-mile/5- year Powertrain Limited Warranty. 14. General Rules No customer may obtain more than one PIN number. No customer may purchase or lease more than one NM-Camaro Convertible model. Submission by a participating dealer of an Order Confirmation for an NM-Camaro Convertible model constitutes the dealer s agreement to comply with and be bound by all Program Rules. In the event a participating dealer violates any of these Program Rules, Chevrolet has the right to take any and all appropriate actions to maintain the integrity of the Program. Chevrolet reserves the right to cancel, amend, revise or revoke this Program at any time with written notice to participating dealers. This Program may be amended only by written notice from Chevrolet to participating dealers. Final decisions in all matters relating to the interpretation of any rules or phase of this Program rest solely with Chevrolet. Chevrolet reserves the right to audit dealer records to determine compliance with these Program Rules. Dealer must retain records to substantiate their compliance with Program Rules. 1.
