Dealer may count up to 4 units of on hand inventory towards their 8 unit stock order requirement. Dealer is required to maintain a minimum stock level through the season of 8 TURBO FORCE models including one unit from each of the following categories: Z Master GrandStand Mid-Size walk behind Dealer agrees to purchase a minimum of $100,000 in LCE equipment during 2012 program year. Dealer must agree to register online all sales to landscape professionals within 1 week of sale. Dealer must agree to conduct a commercial customer event sometime between February 15 and April 30, Event can be conducted in conjunction with dealer pro day event. Dealer must place an Elite PWP+ parts order for the 2012 season and agree to sell only Toro Original parts to all Toro customers and in your shop. Dealers must be registered for the Commercial Dealer Program via the Toro on-line form located at Dealers failing to maintain minimum stocking inventory levels or not performing other requirements will immediately lose benefits including demo rebates fleet program benefits Residential & Landscape Contactor Dealer Program Page 2

3 Commercial Fleet Program The Commercial Fleet Program provides Toro Commercial dealers with assistance in obtaining multiple unit sales of Toro LCE, Turf Renovation and Tree Care equipment. Eligible Products All Toro LCE (not including Z Master 2000 series), Turf Renovation, Tree Care, Z Master E- Z Vac Collection Systems, Recycler mulching kits, Toro Z Stands, Toro roller striping kits, deluxe suspension seats, suspension seat kits and operator controlled discharge chutes qualify for fleet support. Z Master 2000 series and third party accessories are not eligible. Commercial Fleet Rebate Details Landscape contractors can qualify for Commercial Fleet pricing by purchasing a minimum of 12 points (use chart below) in any combination of LCE, Turf Renovation and Tree Care products on a maximum of two (2) purchase orders within a 12-month timeframe. Commercial Fleet pricing will begin with the qualifying purchase order (does not apply to 1 st order if 2 orders are used) and will continue for all Toro purchases for 24 month (12 months plus a 12 month extension period) from original qualification date. To extend Commercial Fleet pricing the landscape contractor must purchase a total of 9 additional points during the 12 month extension (months 13 through 24) to qualify for an additional 12 month extension (36 months total from original qualification date). Landscape contractors can continue to extend their Fleet pricing with purchases of at least 9 points during all subsequent 12-month extension periods. Dealers must sell at a minimum discount of 28% off Suggested Retail to earn a rebate of 15% of dealer cost. 5 Mini Fleet Program The Mini Fleet Program is being offered to provide Toro Commercial dealers with programming assistance to retail any combination of 7 points (see points chart below) of LCE (not including 21 mowers or Z Master 2000 Series), Turf Renovation and Tree Care products to landscape contractors that are unable or unwilling to meet the initial 12-point Fleet Program purchase requirement. Eligible Products All LCE, Turf Renovation and Tree Care products with assigned point values shown below. Z Master 2000 Series, 21 Commercial and Heavy Duty, and third party accessories are not eligible. Minimum Discount Off Dealer Rebate Suggested Retail Price as % of Dealer Cost 23% or more 10% Program Details Landscape contractors can qualify for Mini Fleet pricing by purchasing any combination of seven (7) points or more according to the chart below. 7 S Contractors Maintaining Government/Non-Profit/Tax-Exempt Properties Independent landscape contractors may qualify for a 23% off MSRP bid assistance discount provided that the Toro equipment is purchased primarily for fulfillment of a maintenance contract with an agency that is eligible for bid assistance. This program is not available to contractors who simply have contracts with eligible agencies, the product being purchased must be used a majority of the time on such properties. Program Eligibility Requirements To be eligible for consideration under this program, landscape contractors must provide proof of performance in the form of a signed contract between the landscape contractor and the Government Agency or non-profit/tax-exempt organization being maintained. Contract must include the name and federal tax ID# of the account. Contract must be for a minimum of one complete mowing season and must reflect start and end dates. Contract must define the work to be provided by the contractor, including the amount of turf that will be mowed / maintained by the landscape contractor. Rebate Claim Process To claim the dealer rebate, the dealer must submit the following proof of performance (within 60 days of sale) and file the product registration on line with Toro. 9 S Commercial Dealer Zero Down Time / Demo Program Page revised On their initial stock order a dealer can designate one demo model from any or all of the following families of products: Mid-Size, GrandStand, Z Master 2000, Z Master 3000, Z Master 5000, Z Master 6000, Z Master 7000, Stand-on Aerator, Walkbehind Aerator, Slit Seeder, Brush Chipper, Log Splitter, Stump Grinder Demo units are not to be used as rentals. Any equipment found in rental applications will be due in full. Dealers can sell their demo units at any time at their discretion. Units sold prior to 7/31/12 are not eligible for rebates (see Demo Rebate below). Dealers can replace a qualified demo that has been sold by ordering a designated demo replacement unit shipped from Toro inventory (Toro will not designate any previously shipped or on hand dealer inventory as a demo). Dealers placing their own inventory into demo status will be required to pay a curtailment (amount based on condition of product) to Red Iron Acceptance upon inspection. These units are not eligible for demo rebates. Qualified Demo Units Will Receive: Free floor plan to 10/31/12 including allowance to be in used condition or off premises for a short period. Special Commercial Dealer Demo Rebate Commercial dealers are eligible for rebates on demo units according to the following: Toro will reimburse the dealer $10 per hour up to a combined 100 hours on designated demo units with hour meters. Maximum reimbursement per dealer is $1,000. o Only demo units on hand at the dealer after 7/31/12 are eligible for reimbursement. o To receive a demo rebate, the dealer must submit a completed claim form after 7/31/12 and before 10/31/12. The claim form requires the Toro territory sales person verify the hours on each demo then sign the claim form. o Toro will credit the dealer s account within 45 days of receipt of claim. Toro reserves the right to audit all demo units and claims. Demo Verification Toro sales personnel will verify that the dealers who opted to take part in the demo program are actively demonstrating the designated Toro demo units during the Demo period. Floor Plan Audit Red Iron Acceptance, LLC, dealer floor plan auditors must be able to verify information relating to use of all units under this program. This information must be current and accessible to the floor plan auditor at all times. If at the time of the audit the loaner information is not current or available, the unit will be considered sold and out of trust. Payment will be due immediately and the program rebate will be automatically waived. 11 S Direct Mail Program Toro will conduct a FREE direct mail program on behalf of Toro Commercial Dealers. Three direct mail postcards, imprinted with the dealer s name and address, will be mailed by Toro to landscape customers and prospects provided by the dealer. o Postcards will feature images of Toro Landscape Contractor Equipment and promote the superiority of Toro equipment and TURBO FORCE cutting technology o Customers will be directed to visit Toro.com to learn more about: Toro s offering of Landscape Contractor Equipment TURBO FORCE cutting technology and product features & benefits Fleet savings and retail financing Commercial Dealer locations and events Actual execution details of the program will be released at the time that completed programs are released. Commercial Customer Event In 2012, Toro will be supporting a pre-season promotion aimed at getting more contractors to demo Toro Mid-Size, GrandStand and Z Master mowers. Similar to the 2011 TURBO FORCE Challenge events, Toro will use direct mail and trade advertising to raise awareness for the promotion and to direct landscape professionals to the Toro web site. Customers will be encouraged to attend their local Toro commercial dealer open house event and sign-up for a Toro product demonstration so they can experience first hand how a Toro mower can improve their overall quality of cut and jobsite productivity. Dealer Requirements Commercial Dealer will be supported with product demo materials if their open house event occurs between Feb 15 and April 30, Commercial Dealers must take delivery of their demo units prior to the dealer s event date. Commercial Dealers must notify their sales representative of their event date prior to January 15, Toro Support Commercial Dealers will receive a free demo event kit containing the following elements: o Outdoor banner: Demo Toro Today o Toro branded Hats 24 quantity o Toro branded T-shirts 24 quantity o Z Master ROPS flags: Demo Today Toro will post the date of all dealer events on Toro.com Toro will use trade magazines and direct mail to encourage contractors to demo Toro Landscape Contactor Equipment Toro will promote free hats to the first 25 contractors to attend the dealer s event and sign up for a Toro Landscape Contractor Equipment demonstration Residential & Landscape Contactor Dealer Program Page 11
