18 ADVANCE Price list Conditions of sale DELIVERY Terms of delivery, specified in the order confirmation, have to be considered indicative and however date of delivery has to be understood as the date in which the goods are going to be given to the forwarder. No complaints or damages will be accepted for delays in the delivery of the goods. CONDITIONAL SALE AGREEMENT Goods are sold under a Conditional Sale Agreement (art Civil Code and followings), for this reason the buyer takes possession of an item, but its title and right of repossession remains with the seller (TECNOPLUS s.r.l.) until the buyer pays the full purchase price. PAYMENTS The payment terms have to be respected accordingly to the terms indicated into the invoice. TRANSPORT Goods are despatched at total risk and danger of the buyer EX WORKS, according to the official trade terms INCOTERMS Therefore, in case of delays, shortages, damage, thefts, etc., claims must be directed to the forwarder as unique responsible. QUANTITY Quantities can be decreased or increased without notice according to availabilities and in the respect of original packaging. For all the articles with a lower quantity than the standard packaging, 3% price increase will be debited as contribution for the non standard manipulation. Articles listed in the present price list can be modified or removed by the seller without advance notice. RETURNS Returns of goods are not allowed without preventive written authorization by Tecnoplus srl: returns of not authorized goods and debit of the expenses of transport not arranged will be postponed to the sender. ARBITRATION For any possible disputes the arbitration place will be in Vigevano (PV) - Italy. Conditions of sales are governed by italian laws. All prices exclude VAT. 16
