8 Quality Environment System certification GENERAL TERMS AND CONDITIONS OF SALE PRICE: prices are subject to change without prior notice. This means that prices in force at time of shipping radiators shall stand unless orders have already been confirmed. Material errors in printing, wording, calculation etc shall not constitute a commitment in terms of the order. PAYMENT: only payments made at our head office against regular receipt are considered as paid in full, all other payments remaining at the Customer s risk and expense. The Company has the right to issue sight drafts with expenses should the customer fail to pay the invoice within ten days of the payment term indicated therein, the order constituting acceptance thereof. Once said payment term has expired annual interest at the rate in force at the time shall be debited to the sum due. Issuing a draft or accepting out-of-town bills or cheques simply constitutes a facility offered to customers and shall not be invoked as waiver to the peremptory clause set out in art. 2. The company reserves the right to suspend or cancel supplies that are ready to be shipped or any other order that has been accepted, if payments are not made within the terms agreed. Any disputes do not entitle the customer to defer payments. TERMS OF DELIVERY, DELAYS OR IMPEDIMENTS: all terms of delivery indicated are simply indicative and not binding, as subject to unforeseeable circumstances and in general any other cause beyond the company s control, thus releasing Global from observing those terms of delivery indicated, however without entitling the customer to cancel the order or seek compensation for any damages. TRANSPORT AND RISKS: radiators are sold free our plant in Rogno. Materials are always transported at the recipient s risk even when delivered free the recipient s destination on the understanding that all shipments are carried out on the customer s behalf. Therefore, it is up to the customer to file complaints regarding delays, misunderstandings, breakages, thefts and knocks to the Railway Administrations, Shipping Companies or other Carriers on receipt. Therefore no complaints are accepted or credits awarded for the aforementioned. In particular, the company is not liable for any radiators shipped loose. Complaints for defects shall not be accepted if not reported within the term fixed by the civil code. PACKAGING: cardboard boxes are used for packaging both complete loads and smaller quantities. Packaging is not returnable. LIABILITY: our liability does not extend in any way to the consequences of both the use of our products and failed delivery as limited purely to replacing those pieces returned free our plant in Rogno if we acknowledge them to be faulty. Our liability does in no way extend to any type of direct or indirect damage. We do not accept any radiators returned without prior agreement. MEASUREMENTS, WEIGHT AND MODELS: Global does not assume any responsibility for product measurements and weights and any other indication in this regard is not of a binding but simply an indicative nature. Illustrations on catalogues and brochures are purely to give an idea of individual articles and do not bind the company in any way. COMPLAINTS: all invoices are deemed to be accepted if no complaints are filed within eight days of receiving the radiators. Complaints must be made with registered letter within eight days of receipt of radiators to be considered. RESERVE OF OWNERSHIP: radiators delivered remain the property of Global until bills or cheques are collected in full. LEGAL DOMICILE: any dispute between Global and the customer shall be submitted to the Court of Bergamo. In any case the customer shall not invoke binding statements or guarantees made by our employees or representatives that are not set out in these terms and conditions or other documents written or signed by our company.
