22 High-erformnce chine Tps Generl Terms nd onditions 1 Scope of ppliction rivcy 1. Our Generl Terms nd onditions shll pply exclusively to ll our deliveries nd services including ny ssocited consulting nd informtion. We do not ccept ny conflicting Terms nd onditions or ny Terms tht differ from our Terms unless we hd pproved their vlidity in writing. 2. Our Terms nd onditions shll lso pply, if we fully execute delivery to the customer knowing ny conflicting or differing Terms nd onditions of the customer. 3. These Terms shll lso pply to ll future contrctul reltions with compnies ccording to 310 G (Germn ivil ode). Terms nd onditions tht re identified s such shll lso pply to them. 4. Within business reltionship between entrepreneurs, receipt of our deliveries nd services implies tht the customer ccepts the legl vlidity of our Terms nd onditions. Any greements including collterl greements tht differ from our Terms nd onditions or contin ny kind of confirmtion from our side shll only be effective in writing. 5. ustomer informtion will be sved (cc. to Sections 28, 33 DSG, Germn Federl Dt rotection Act). 2 Quottions onclusion of the contrct 1. The customer s order shll be binding. Upon our choice, we shll be entitled to ccept this order within 14 dys by providing n order confirmtion or by shipping the ordered goods. 2. Our quottions in business trnsctions with compnies shll lwys be non-binding unless otherwise provided in the order confirmtion. Orl greements nd confirmtions only pply if we hve confirmed the sme in writing. 3 rices Delivery nd pyment terms 1. Unless nother price greement hs been greed upon in written form, our prices re net plus pplicble VAT ccording to our ltest ctlogues nd price lists vlid on the dy of order. tlogues nd price lists re ccessible t our premises or cn be ordered from us. 2. Our deliveries re supplied crrige pid including pckging from n net order vlue of 200,00. Any other orders will be shipped t the owner s expense. 3. Unless otherwise greed, our invoices re pyble within 8 dys from dte of invoice with 2% discount or 30 dys net. hecks nd pyment orders will only be ccepted on ccount of performnce. yment shll be deemed completed when the mount is credited to our ccount. 4. The customer is in defult t the ltest, if he fils to py within 30 dys when n invoice is due or fter the receipt of the invoice or nother pyment schedule. Thereupon, we shll be be entitled to chrge the pplicble defult interest nd chrge 10,00 for ech pyment reminder. We shll reserve the right to furnish proof of higher dmge cused by defult. 5. Any discounts or periods llowed for pyment grnted by us cn be refused if the customer defults on pyment of previous invoices or following filings for insolvency. In these cses we shll be entitled to declre ll due s well s ny deferred invoice mounts immeditely pyble. In such cses, delivery of ordered goods will only be mde on csh pyment. 6. Set off rights cn only be grnted to the uyer, if his counter clims hve been stted leglly binding, undisputed or recognized by our compny. The customer s rights of retention only exist for counter clims resulting from the sme contrctul reltionship. 7. In the cse of the cse of returned goods, we shll be entitled to retin fee of 20% of the goods vlue s contribution to the coverge of costs. We cn only tke bck tools in good order nd condition nd without ny lbels or with the TOOL FATORY lbel only. Specil tools nd products with customized lbelling re excluded from return. If the return shll be due to fult of TOOL FATORY, the tke-bck is free of chrge to the customer. Only tools delivered within the lst 6 months cn be returned. 4 Delivery terms Receipt of the goods 1. Delivery times or dtes shll only be binding upon greement in writing. 2. rticulrly in the cse of lrger deliveries, we shll be entitled for prt-in deliveries to n extent tht is resonble for the customer. 3. As long s the customer is in dely with trde ccounts pyble, our obligtion to deliver is in rest. 4. From our prt, delivery term shll be deemed complied when the delivered goods hve been sent to the customer prior to its expiry. The delivery period shll be resonbly extended ginst the bckground of mesures tken within the scope of industril ction, prticulrly with regrd to strikes nd lockouts, s well s upon the occurrence of unforeseeble obstcles tht re beyond our will, s fr s such obstcles hve provble mteril influence on the delivery objects completion or delivery. This shll lso pply to circumstnces which my occur t sub-suppliers. The forementioned circumstnces shll lso be deemed to be beyond our control if they rise from pre-existing dely. In importnt cses, we will inform the customer s soon s possible of the beginning nd the end of such circumstnces. If delivery or performnce is rendered impossible or unresonble by virtue of the indicted circumstnces, we re relieved from the delivery obligtion. 5. If we re in defult towrds compnies due to resons for which we ber responsibility, the client is entitled to reimbursement for dmges cused by rrers to the sum of 1% of the vlue of the declred vlue of goods for ech full week of the dely, limited however to mximum of 15% of the vlue of goods. Any dditionl clims due to dely of delivery re exclusively subject to 8 of these onditions. 6. If we re in defult nd if the customer under the considertion of the sttutory exceptions grnts to us resonble period of time for performnce nd if this period of time is not dhered to, the customer shll be entitled to withdrwl in ccordnce with sttutory regultions. Any dditionl clims due to dely of delivery re exclusively subject to 8 of these onditions. 7. If the customer defults in tking delivery or infringes other duties to cooperte, we shll be entitled to clim compenstion for the dmge suffered by us, including ny dditionl expenses. In this cse, the risk of ccidentl loss or of ccidentl degrdtion of the item purchsed shll trnsfer to the customer t the time the customer flls into defult of cceptnce. 8. Where the customer does not ccept the goods within the extension period, we re entitled, to request compenstion for dmges without ny specil proof due to non-fulfilment to n mount of 20% of the rejected goods vlue, s well s the incurred shipping cost plus pplicble VAT. oth the customer nd we reserve the right to provide evidence of higher or lower dmges in the individul cse. 5 Trnsfer of risk Disptch 1. The goods shll be delivered or disptched t the customer s risk in ny cse. Type nd route of disptch re left to us, unless otherwise greed upon. As soon s the goods hve been hnded over to the forwrder/ crrier, or, t the ltest, when they hve left our wrehouse, the risk for the goods shll pss on to the customer. 2. If disptch is delyed due to circumstnces for which the customer bers responsibility, then the risk shll be trnsferred to the customer from the dy on which the goods re redy for disptch. 3. Delivered items shll be ccepted by the customer even if there is evidence of minor fults, regrdless of the rights rising from 7. 6 Retention of title 1. We shll retin full title of the goods tht hve been delivered in ccordnce with the delivery contrct until the receipt of the full pyment. 2. If the relisble vlue of the securities held by us exceeds the totl vlue of our clims by more thn 20%, we shll be obliged by request of the customer to the relese of securities of our own choice. 3. The customer must inform us immeditely in writing in reltion to ny ttchments sserted by third prties, or ny other such interventions, nd it is lso required to inform the ttching creditor of the existence of the retention of title. 4. In cse of brech of contrct by the client, in prticulr in cse of defult of pyment, we shll be entitled to tke bck the object of sle. Our repossession of the object of sle shll not constitute withdrwl from the contrct, unless we mke explicit written declrtion thereof or impertive provisions of the consumer credit ct shll pply to the contrct. If we obtin the ttchment of the object of sle this shll lwys be construed s cncelltion of the contrct. We shll be entitled to re-mrket goods tken bck from the compny by implementing resle t our sole discretion, provided tht we hve given dvnce resonble notice of the thret of resle. After tking bck the purchsed goods, we shll be entitled to dispose of them. We shll offset the proceeds from such sle ginst the client s libilities, less pproprite dministrtive cost, in gener0% of the goods vlue. 5. If we re entitled to tke bck the goods, the customer is obliged to enble one of our employees to perform stock check of the reserved goods. 7 Defects of qulity 1. We ber libility for defects s to qulity s follows: All those prts which within the limittion period prove to hve defect, shll t our choice nd t no expense to us be either repired, delivered new or performed gin, insofr s the cuse for the defect existed t the time of the trnsfer of risk. 2. The customer shll notify us in writing of ny defects of qulity immeditely fter their discovery. 3. If notice is given of defects, pyments by the customer shll only be retined to such extent s is justified in proportion to the defects tht hve occurred. The customer my withhold pyments only if the complint s to defects is justified nd incontestble. If the subsequent fulfilment fils, the customer my withdrw from the contrct or reduce the remunertion irrespective of ny eventul indemnifiction clims pursunt to There shll be no clims for defects where the discrepncy from the greed condition is insignificnt, where the impirment of use is insignificnt, where there is norml wer nd ter or where dmges rise fter the pssing of risk s consequence of incorrect or creless hndling, excessive opertionl demnds, unsuitble equipment or s consequence of specil exterior influences which in the greement were not ssumed.
