5 HOW TO USE THIS MANUAL This manual is being provided to you in PDF format rather than printed, which provides several key benefits: Searching You can run searches to find specific items in PDFs using either the Find or Advanced Search option within Adobe s Acrobat Reader. In the menu bar there is a Find box that you can type right into. Otherwise you can go to the menu bar and click on Edit. Under this tab you can choose Advanced Search. It is best to search for only one or two words. If searching by more than one word, make sure that you are using words that will occur next to each other such as Litter Bag. NOTE: Please understand that abbreviations are used throughout the manual and so you may need to modify your search in order to accommodate these abbreviations. The Advanced Search tool will also give you options for making your search case sensitive or looking for whole words only. This can be a useful feature when you are not sure if what you are looking for might be an abbreviation such as top, or the whole word stop. If you were trying to find something with the word top in the description, you would want to put this word into your search and then click the Whole Words Only option to avoid finding occurrences of the word stop in the document. Once you have filled in your search text, simply click enter and the computer will begin to show you each occurrence of your search text in the document consecutively. Printing Another feature of this PDF manual is the ability to print the whole manual or only a page or two just like any Microsoft Word document. Simply click on file then print to open the print window, then select your print option. 7 ORDERING MERCHANDISE Our large variety of high quality merchandising items offer car wash operators branded customer messages to be used at multiple touch points in their operation. Stock merchandising items can be ordered through your MyZVC portal. Any of these items can be customized with your customer s logo. For custom merchandising items, fill out the Marketing Services Request Form (page 67-68) and it to ZVCMarketingSvcsGrp@zep.com. REFRESH AND ROTATE Worn and dirty merchandising gives customers the perception that they get what they pay for, the wash doesn t care, and the wash doesn t value the details. Refresh signs every 4-6 months or when business plans include: Seasonal focus Promotional focus New offerings New positioning Rotate signs rather than try to put a sign out for each and every service. Be proud of brand names offered and the signage that presents the brands. ADDING VALUE THROUGH MARKETING 6

8 CUSTOMER PRESENTATION There is a simple way to include images and merchandising ideas from this manual and copy them into your customer presentations. Your laptop has an easy-to-use tool, called the Snipping Tool, which allows you to snip a portion of your computer screen and paste it into your customer presentation. Locate the Snipping Tool function in the lower left hand corner of your screen. Click on the NEW scissors icon; your screen will slightly fade. Click and drag to capture the portion of the screen you want to snip and add into your customer presentation. Click the copy icon to copy it and then paste it into your document. TRADEMARK USAGE You requested it and we heard you; a new streamlined version of the Trademark Usage Agreement. We ve worked with the legal team to create a 1-page version of the Trademark Usage Agreement. There is no need to have customers re-sign this version if they already have signed the one released last month. NOTE: Even if you don t have any art in progress at this time, we encourage you to get the Trademark Usage Agreements signed and submitted for each of your customers now so as to not delay any future art requests. 7 ADDING VALUE THROUGH MARKETING

9 TRADEMARK USAGE AGREEMENT - ZEP VEHICLE CARE INC. Zep Vehicle Care Inc. ( ZEP ) has authorized you, as a user or distributor of our vehicle care products and equipment, to use certain trademarks (including without limitation ARMOR ALL PROFESSIONAL, RAIN-X, BLACK MAGIC, BLUE CORAL and ZEP ) (the "Marks") in connection with the operation of your business. The following provisions of this agreement (the Agreement ) will confirm our understanding concerning your use of the Marks: 1. ZEP grants you a revocable (at ZEP s sole discretion) and non-exclusive license to use copyrighted materials and the Marks associated with products that your purchase solely for the purpose of promoting your washing facilities that use such products. 2. You agree that all uses of the Marks shall be in accordance with ZEP s trademark guidelines and quality control standards, and that any use of the trademarks and goodwill associated therewith shall inure solely to the benefit of ZEP. 3. You agree that you will not use or seek to register any trademarks (including domain name registrations) confusingly similar to the Marks. 4. No rights in any ZEP patents, copyrights, trademarks or other intellectual property of ZEP, its affiliates, its licensors or its suppliers is granted to you except as expressly provided. 5. Upon termination or expiration of this Agreement, you shall cease all use of any copyrighted materials, trademarks or any other intellectual property of ZEP, and shall return to ZEP (or confirm as destroyed) all materials including the Marks or copyrights (whether in hard copy or electronic formats). 6. You shall display and make reference to the Marks only on materials provided to you by ZEP. You shall not display or make reference to the Trademarks in a manner that indicates, expressly or impliedly, that any goods or services other than those purchased from ZEP are approved or endorsed by ZEP or by the owner of any of the Trademarks that you display. You will submit to use for our prior approval, any and all signage, advertising, promotional and other materials you use in connection with your business which utilize the Marks. Notwithstanding anything to the contrary in this agreement, you may use the Marks as proposed, IF AND ONLY IF we give our express written consent, at our sole discretion. 7. You are prohibited from using the Marks on any marketing or sales materials other than materials that are approved in advance by Zep. 8. You acknowledge that the sole and exclusive rights to the Marks are owned by ZEP or the companies that license the Marks to ZEP and that they are valid in law; and you agree that you shall not directly or indirectly question, challenge, attack, jeopardize, impair or diminish such rights for any goods or services at any time during the life of this agreement, or at any time after the termination of this agreement. 9. You agree that you will operate your business in strict compliance with all applicable laws and regulations. You shall at all times conduct your business in such a way as not to discredit, dishonor, damage or harm the reputation and goodwill of the Marks, or any goods or services associated with the Marks. You further agree that we shall have the right to enter your business premises during regular business hours in order to make sure that you are operating your business in conformity with the provisions of this agreement, including the right to enter and remove signage or materials bearing the Marks that we do not authorize for use. 10. You acknowledge that the owners of the Marks make no representation or endorsement of any item, material, equipment, installation or service that is not a product bearing the Marks provided by ZEP, upon which, or in connection with which, you display any of the Marks. Furthermore, you agree to defend and hold the owners of the Marks harmless from all liability, claims and demands, including costs and attorney s fees, arising in any way from your display of the Marks, including any claims of injury to persons or property related to the Items, materials, equipment, installations or services that is not a product bearing the Marks provided by ZEP upon which you display the Marks, or any claims that the display of the Marks authorized hereby is an endorsement of your own products or services. 11. You agree and warrant that you will only use the Marks in association with vehicle care products purchased from ZEP or ZEP s authorized distributor that bear the corresponding Mark, and that you will not represent to anyone that any other products are associated with the Mark. You agree that you will display signage depicting the Marks only if you are purchasing vehicle-care products branded with the corresponding Mark from ZEP or ZEP s authorized distributor. Furthermore, you agree and warrant that you will not resell any vehicle-care product branded with a Mark that is sold to you in bulk by third parties. 12. This agreement and permission to display the Marks is non-exclusive and may be terminated by ZEP, with or without cause, at any time, effective immediately upon delivery of a written notice of termination to such business address as ZEP currently has on file. Upon termination, you shall immediately cease any and all use of the Marks, or any term, symbol or device confusingly similar thereto. 13. You acknowledge that the owners of the Trademarks are third party beneficiaries of this Agreement and they reserve all rights and remedies in relation to any improper use of their Marks under the terms and conditions of this Agreement. 14. Nothing in this agreement will be construed to create a fiduciary relationship or intend to make us an agent, legal representative, subsidiary, partner, servant or party to a joint venture. This agreement does not permit you to bind us to any other agreements or authorize you to act on our behalf in any respect. 15. 13 ORDERING We have a new process for ordering custom merchandising; many of you have been using the online marketing services portal to submit your custom merchandising and print-on-demand requests, but now you can order through MyZVC. Any item that has a ZVM or ZVA number can be ordered through MyZVC. If you would like to add your customer s logo, or require custom design, simply fill out the Marketing Services Request Form (page 67-68) and it to ZVCMarketingSvcsGrp@zep.com. 16 LOGO SUBMISSIONS To add your customer s logo on menus, signs, banners and other custom merchandising collateral we need to have ready to use artwork. The following guidelines are presented as a way to expedite the production process so your customer receives the best possible product in a reasonable time frame. Acceptable Sizes Logo must be larger than 1 inch in the smallest dimension Logo must be high-resolution (300dpi Photoshop or a vector Illustrator file) Acceptable Formats JPG, JPEG TIF, TIFF EPS Acceptable Colors Use CMYK or PMS (pantone) values Note: For specific colors, please provide the CMYK or PMS values with logo Scanning Logos Scan from a high-quality print Scan logo with at least 600dpi File size should be smaller than 5MB & larger than 700KB DO NOT fax logos DO NOT send logos saved from a website or screen graphic DO NOT use a photo manipulation program to enlarge logos or increase quality DO NOT scan logos from business cards. They are too small. SERVICE PROMISE Digital Proofs: Upon receipt of your custom order with all necessary information attached, a proof will be returned to you in 2-5 business days. Revisions: Each revision will take 2 business days to be returned to you. Approval: Proofs must be approved in writing (fax or ) in order to be put into production.
