3 Introduction Čezeta is looking for an exclusive group of Čezeta Authorised Partners (ČAPs) to form a European-wide Sales and Service network for the new electric Type 506 in the following European countries: Austria, Belgium, Denmark, France, Germany, Hungary, Italy, Monaco, Netherlands, Poland, Portugal, Slovakia, Slovenia, Spain, Sweden, Switzerland and the United Kingdom. ČAPs are EU Individuals or companies that work in the current business model of auto dealerships to offer some or all of the following services: 1. Sales of new Type Sales of used Type Lease hire and financial services 4. Registration 5. Local delivery 6. Repair and maintenance 7. Test rides 8. Sales marketing promotion 9. Sales and promotion of approved merchandise and accessories ČAPs have defined territories where they will be the exclusive single physical location in the Territory, however they are non-exclusive in two ways: reservations to the waiting list for new Type 506s are allowed via Čezeta s company website configurator customers have the right to buy outside their territory through another ČAP (according to EU law) A Territory is typically defined as a city or county. Single country licences are not offered. ČAPs with a suitable presence in multiple locations within one or many countries may be awarded exclusivity across multiple territories but only at the sole discretion of Čezeta. 4 Sales Services Requirements The only financial requirement from you is to initially order a minimum of 1 x Type 506 to hold for resale as a demonstrator. A deposit of 3000 is required at the time of ordering a Type 506 with the balance payable at the time of production. The deposit is generally non-refundable unless local consumer law clearly recognises some form of breach by Čezeta. Any breach made by a ČAP shall be the responsibility of the ČAP to solely remedy including any financial liability. You must be able to provide local registration services, either directly or via local third-parties in order to use your Čezeta to provide test rides and sales support services to customers in your territory. You must have a representative sales point, though there is no requirement for a traditional showroom and it can be eg. a pop up shop, tour company, hotel company, cafe or other innovative or artistic gallery space. From this location the ČAP will offer test rides. Finally, ČAPs must help with local language translations of global English marketing materials and be able to offer local finance and leasing options. Benefits A commission of 7.5% is earned on each 506 sold provided in the form of a discount off both the deposit invoice and final invoice from the MRRP (ex-works). The final invoice must be paid prior to delivery to the ČAPs. Larger discounts are possible depending on the volume of orders. A further yearly volume discount of 2.5% is granted if targets are achieved. A commission of 15% is earned on accessories provided in the form of a discount off final invoice off the MRRP which is required to be paid prior to delivery to the ČAPs. ČAPs may add up to 10% extra to the MRRP as stated on our company website. This means a potential margin up to 20% is possible in total on each 506. Other potential income comes from traditional motor dealer services: Registration and delivery Second hand 506 sales Financing and insurance Brand merchandise G lobal marketing materials will be provided by Čezeta. Further help will be provided with extra demo bikes and staffing for events according to availability.

5 Repairs Services Čezeta Authorised Partners may provide warranty and non-warranty repairs, upgrades and maintenance inspections at their option. Requirements Partners are required to hold a minimum parts or consumables stock (details to be advised later). The majority of parts will be couriered to your Service Centre. The only special tool required to buy is a connector between laptop and MCU (microprocessor control unit) plus a tyre changer for a 13 hub motor. The only non-warranty repairs you must manage will commonly be to change tyres and brakes. Čezeta supports service partners by offering the following services for free: training at Čezeta, either at our factory or at your premises subject to availability; after-sales warranty claim administration; technical support by phone/skype; and spare parts catalogue. See Appendix 4 for a checklist of all the service documents we provide. Benefits For warranty repairs paid by Čezeta, hourly labour rate varies by territory - as agreed with each individual service centre. For a guide, we expect to pay an average of around VAT per hour. The same rates apply for other work like upgrades. Replacement parts will be provided so as to guarantee a 30% margin to the Partner. Annual Maintenance is purchased by customers from you. Estimated time to do an annual Maintenance Inspection: 90 minutes and Recommended Retail Price 100 plus VAT per annual maintenance check-up.

6 Appendix 1: Product Description Introduction Čezeta Type th Anniversary Series is the first of the Type 506 series, a limited production run of 2,000 scooters hand-built to order using high quality materials and components manufactured by or for Čezeta Motors in the Czech Republic and assembled at Čezeta Motors facility in Prostejov, Czech Republic. Each scooter is serial numbered #1 - #2000 and has a special plate. Weight with battery: 137 kg (506/01) / 147 kg (506/02) MOTOR 506/01 nominal 5.7kW / boost 8kW offers acceleration 0-50 km/h in 4.3 seconds and top speed of 85km/h (better than a 125cc scooter). 506/02 nominal 9.2kW / boost 11kW offers acceleration 0-50 km/h in just 2.7 seconds and top speed of 120 km/h (equivalent to a 300cc sport scooter). BATTERY PACK Čezeta battery pack uses the proven high performance Panasonic cells (same as Tesla) integrated with the Čezeta Battery Management System. The 506/01 features a 4kWh capacity pack with a nominal voltage of 84V offering a typical range of 80 km -100 km. The 506/02 features the 50% larger 6kWh pack with a nominal voltage of 84V offering a typical range of 120 km -150 km. CHARGING Powerful 1.8kW on-board charger enables charging at any standard domestic socket (90V-260V) at a rate of 42 km per hour of charging. An 80% charge takes 2 hours (506/01) or 3 hours (506/02). A charging lead with a Type 2 connector is available as an optional accessory for public charging (see below). COLOURS Single colour scheme available as standard. Two tone 1950s colour scheme also available. When leaning and turning the lamp will automatically activate additional LEDs and optics on either side to keep the beam pattern on the road where it is needed for leans up to thirty degrees. Bluetooth speaker - Useful for increased safety. Connects to your smartphone. Charging lead adapter for use at public charge points - 3m charging lead with Type 2 connector for use at public charge points. Charging capacity up to twice as fast as charging at home using a standard domestic socket. Standard Warranty included in the price of the vehicle: 2-year / 40,000 km vehicle parts and labour. 1 year Europ Assistance breakdown assistance or recovery of scooter to a Čezeta Authorised Service Partner and for rider and passenger taxi up to 50 km plus train/bus onward journey home as required. Except in the cases of a collision, opening of the battery pack by non-čezeta personnel or intentional abuse, all damage is covered by warranty. The battery will be replaced at no cost by a

9 factory reconditioned unit with an energy capacity equal to or better than the original pack before the failure occurred. Extended Warranty Available as an optional extra in lieu of the Standard Warranty: 5-years / 80,000 km (506/01) or 5-years / 100,000 km (506/02) vehicle parts and labour. 1 year Europ Assistance breakdown assistance or recovery of scooter to a Čezeta Authorised Service Partner and for rider and passenger taxi up to 50 km plus train/bus onward journey home as required.

10 Appendix 2: Sales and Service Details 1. Sales All orders are placed online by the partner via a special Partner configurator. The estimated delivery date is calculated automatically as part of the configuration process. On receipt of a partner order, we confirm the order and serial number to the partner by and give the partner our bank details for them to pay the deposit by bank transfer. 14 days before production we send the partner another requesting the balance payment, which they pay by bank transfer (note the partner must pay their bank s sending fee). On receipt of balance payment we organise the delivery (process varies by country). 2. VAT In the Czech Republic all customers are invoiced including VAT. In major overseas markets are delivered ex-works and the VAT amount is paid separately to the local Customs directly or via a chosen registration provider. 3. Registration We provide the EU CoC (Certificate of Conformity) and the partner registers the 506 and obtains the number plate. 4. Delivery All partners order their 506 from the factory and pay us to deliver it to their premises at a discount of 25% of the advertised delivery rate on cezeta.com. For orders of 2 or more 506s, this discount rate is increased to 50%. For orders of 5 or more, delivery is free. 5. Key terms Order = when a partner configures their bike and places send they have placed their Order Sale = when we have received the balance payment from the partner we have completed the Sale. Registration Partner (RP) = if applicable, the company you contract with to provide VAT, registration and number plate services on your behalf. Čezeta Authorised Partner (ČAP ) = the companies we contract with to provide sales and/or service (warranty and maintenance) support. Service = after-sales service support comprising Warranty and Maintenance (annual check-up) Warranty = the 2-year/40,000km or 5-year/80-100,000 km period of free product and labour support to repair or replace the 506 provided to the customer if something goes wrong with the 506 Maintenance = annual check-up Accident Repair = repair of the 506 as a result of an accident not covered under warranty

11 Appendix 3: Service Documents Checklist 1. Maintenance Check List - a list of the actions to be completed by a service centre for an annual check-up and the time it takes each action, and the total time. 2. Parts Price List - a list of all Parts and the price to be charged to service centres, and the margin allowed per item. This is a document for service centres that states the price to them, the price to the customer, and the margin. 3. Warranty Standard Times document - a list of the actions to be completed by a service centre for repairs and the time it takes each action, and the total time. 4. Service Manual - detailed description in words and photos of any complicated service procedures 5. Owners Manual - product manual for customers 6. Service History - record of annual check-ups for customers purchased by the customer.

12 Appendix 4: Frequently Asked Questions Can I transfer the Standard Warranty to a new owner if I resell my demonstrator Čezeta?, you may transfer your Standard Warranty at no cost to you or the new owner as long as it remains in your territory. If I choose not to offer a Maintenance service for Čezeta, will this void the warranty? No, if you do not follow this recommendation, the Standard Warranty will not be affected. Can Maintenance be purchased at any time?, there is no time limit. What happens during a Maintenance Inspection? During the annual inspection, your experts will take the 506 through a comprehensive inspection. If wheel alignment is necessary, this service can be performed. MCU logs will be examined, and all systems will be tested for operation. The mechanical assemblies will be inspected, and the battery management system will be checked. Brakes will be inspected. If the brake pads are outside of recommended specifications, they can be replaced for an additional charge. Normal items, such as brake fluid will be replaced as needed. Tread wear is inspected and if new tyres are needed additional charges will apply if new tyres are installed. Please note that normal wear and tear is not covered as part of the Maintenance or under the Standard Warranty. Can I offer Maintenance inspections at home?, and you can charge an additional fee to come to home, office etc. Please note that in case of certain repairs requiring special equipment, the 506 may have to be taken to your location. What happens if the customer takes their Čezeta to another garage for maintenance? If they choose to take their Čezeta to a non-čezeta partner s garage for any maintenance or repairs and if problems occur, this could affect coverage under the Standard Warranty.
