1 Key Largo Wastewater Treatment District Overseas Hwy, Key Largo, FL Tuesday, July 11, 2017 MINUTES The Key Largo Wastewater Treatment District Board of Commissioners met for their regular scheduled meeting at 4:00 PM on July 11, Present were Chairman David Asdourian and Commissioners Andrew Tobin, Susan Heim, Stephen Gibbs and Robert Majeska. Also present were General Manager Peter Rosasco with Bishop, Rosasco & Co., General Counsel Nicholas Mulick, District Clerk Katherine Jackson and other appropriate District Staff. Ms. Dottie Moses led the Pledge of Allegiance. AGENDA ADDITIONS, CORRECTIONS, OR DELETIONS (D) Commissioner Tobin requested that item G-3 be moved after public comment and that item N-2 be removed from the agenda. Commissioner Heim requested that item J-1 be changed from action to discussion. Chairman Asdourian disagreed and after polling the remaining commissioners, ruled that item J-1 would remain an action item. Commissioner Majeska requested that a discussion concerning commercial use of residential property be added to Roundtable Discussion. Chairman Asdourian requested that a discussion concerning Board Member s be added to Roundtable Discussion. Mr. Peter Rosasco requested that a discussion concerning the low vacuum issue at Vacuum Station D be added to Operations Report. APPROVAL OF AGENDA (D-1) Commissioner Gibbs made a motion to approve the agenda and Commissioner Tobin seconded the motion. The motion passed without objection. GENERAL MANAGER'S REPORT (G) IT Sefvice Proposals (G-3) Mr. Peter Rosasco presented the updated IT Service Matrix and informed the Board that a representative from each of the IT service companies was available to answer questions from the Board. Mr. Ernesto Milian of Codified Consulting Corp. Mr. John Redrup, Jr. of EssentialNet Solutions, and Messrs. William Mikalson and Travis Mikalson of TerraNovaNet, Inc. addressed the Board and answered questions. Commissioner Tobin informed the Board that in view of the fact he has previously represented the Mikalsons and TerraNovaNet, Inc., he will recuse himself from the vote to choose an IT service contractor. 2 staff answered questions from the Board. Commissioner Majeska made a motion to accept the proposal of TerraNovaNet, Inc. The motion failed to receive a second. Commissioner Gibbs made a motion to accept the proposal of Codified Consultation Corp and for the General Manager to negotiate a contract, and Commissioner Helm seconded the motion. Vote on Motion Commissioner Gibbs - Commissioner Helm - Commissioner Majeska - Commissioner Tobin - Chairman Asdourian - Motion Passed: 3 to 1 Nay Abstain 5 MIN BREAK: 5:22 PM APPROVAL OF MINUTES OF PREVIOUS MEETINGS (F) Minutes of June 20, 2017 (F-1) Commissioner Majeska made a motion to approve the Minutes of June 20, 2017 and Commissioner Helm seconded the motion. The motion passed without objection. GENERAL MANAGER'S REPORT (G) May 2017 Monthly Report (G-1) Mr. Jered Primicerio presented the Plant Operations Report section and staff answered questions from the Board. Commissioner Helm made a motion to reopen the agenda and move item J- 3 after item G-1, and Commissioner Tobin seconded the motion. The motion passed without objection. OPERATIONS REPORT (J) Low Vacuum Issue at Vacuum Station D (J-3) Mr. Ed Castle informed the Board that there was a low vacuum problem at Vacuum Station D during the weekend prior to the Board meeting. Mr. Castle stated that the issue was related to the normal wear of the vacuum station pumps, since they were nearing the maximum recommended run times before being rebuilt. Mr. Castle informed the Board that the Operations crew worked around the clock to prevent any damage to the system until the problem was identified and remedied. July 11, I P a g e

3 Mr. Castle stated that the 5 pumps that are housed at Vacuum Station D were switched with backup pumps from Vacuum Station G and pumps borrowed from Marathon and the pump vendor. Staff answered questions and informed the Board that more information was being collected at this time relating to the incident and will be brought back as a report at a future meeting. EXTENSION: 6:03 PM Commissioner Heim made a motion to extend the meeting 30 minutes. The motion passed without objection. Commissioner Tobin made a motion to reopen the agenda and move item J-1 and J-2 after item J-3, and Commissioner Gibbs seconded the motion. Vehicle Purchase (J-1) Mr. Ryan Dempsey presented a purchase order for 1 service vehicle in the amount of $22, He informed the Board that the vehicle is being purchased to replace plant truck #4, and answered questions from the Board. Commissioner Heim requested the handouts presented to the Board by Mr. Dempsey be attached to the minutes as "Attachment A." Commissioner Gibbs made a motion to approve the purchase of 1 new service vehicle in the amount of $22,803.25, and Commissioner Tobin seconded the motion. CMMS (J-2) Mr. Ed Castle presented a memo and Power Point to the Board that introduced a computerized maintenance management system (CMMS), which automates preventive maintenance requests and scheduling. Mr. Castle informed the Board that such a program would be beneficial to the District, and would help to avoid possible negative situations, such as the low vacuum issue that occurred Vacuum Station D. Board members shared their concerns regarding the District investing in software that might not be the best fit for staff. Staff answered questions from the Board. The Board suggested staff look at other alternative software and bring this item back in the future. EXTENSION: 6:30 PM Commissioner Gibbs made a motion to extend the meeting 30 minutes. GENERAL MANAGER REPORT (G) Legal Counsel Employment Contract (G-2) Mr. Nick Mulick presented the termination agreement and a subsequent agreement for legal services for Mr. Ray Giglio. Commissioner Heim requested that the two agreements be July I P a g e

4 considered separately. The Board discussed division of the workload between Mr. Gigllo and Mr. Mulick. Staff answered questions from the Board. Commissioner Helm made a motion to accept the termination agreement between Mr. Ray Gigllo and the Key Largo Wastewater Treatment District effective July 31, 2017, and Commissioner Gibbs seconded the motion. Vote on Motion Commissioner Heim - Commissioner Gibbs - Commissioner Majeska - Commissioner Tobin - Chairman Asdourian - Motion Passed: 4 to 1 Nay Commissioner Gibbs made a motion to accept the agreement for legal services between Mr. Ray Giglio and the Key Largo Wastewater Treatment District effective August 1, 2017, and Commissioner Tobin seconded the motion. Vote on Motion Commissioner Gibbs - Commissioner Tobin - Commissioner Majeska - Commissioner Heim - Chairman Asdourian - Motion Passed: 4 to 1 Nay EXTENSION: 7;05 PM Commissioner Tobin made a motion to extend the meeting 30 minutes. General Manager Position Discussion (G-4) Mr. Peter Rosasco presented a matrix detailing the top candidates that each commissioner was interested in interviewing. The Board discussed how to proceed in choosing candidates to invite for an in-person interview. The Board decided to contact Mr. Bert Warner, Mr. David Gaipo, Mr. Gary Hubbard, Mr. James Moore, Mr. Robert Smith, Mr. John Mzrozek and Mr. Timothy Martin to find out if they are still interested and to let them know they are being further considered for the Wastewater Utility Manager position. The Board also decided and that if a candidate is invited down for an interview, the District would provide accommodations to and from Key Largo, 2-night hotel stay, and $200 for other expenses. 5 The Board directed Commissioner Gibbs, Mr. Rosasco and Ms. Kim Carpenter to contact the 7 applicants listed above, check their references, and report back to the Board at a future meeting. EXTENSION: 7:59 PM Commissioner Gibbs made a motion to extend the meeting 30 minutes. 5MINBREAK: 8:00 PM Commissioner Heim suggested that the Board consider holding a meeting on July 18, 2017 and table the remaining items on the agenda until that meeting. Commissioner Heim made a motion for the Board to schedule a regular meeting on Tuesday, July 18, 2017 and table the remaining item on the agenda until then, and Chairman Asdourian seconded the motion. Vote on Motion Commissioner Heim - Chairman Asdourian - Commissioner Gibbs - Commissioner Majeska - Commissioner Tobin - Motion Passed: 5 to 0 Review ofassessment Resolutions (G-5) Mrs. Diane Bockelman presented the assessment resolutions and informed the Board that a public hearing on the resolutions will be held on Tuesday, July 25 at 5 PM.
