4 TERMS AND CONDITIONS PRICES AND TERMS: All prices and specifications are subject to change without notice. All prices quoted are F.O.B. factory, High Point, North Carolina. Terms are net 30 days, pending credit approval. A service charge of 1.50% per month is charged on all past due accounts. ORDER SCHEDULING: Orders will be filled once the following is received: All COMs have arrived Finish sample forms have been approved All deposits have been made DESIGN SPECIFICATIONS: All dimensions in the Marquis catalog are approximate. Varying thickness of coverings and the individual upholstery technique of each craftsman account for small variations in the dimensions. Marquis reserves the right to make changes in dimensions, style or specifications of an item shown. SHIPPING: Marquis will ship in accordance with customer instructions stated on the order. If not specified, or if specified carrier offers no service for the shipping point, Marquis will exercise its best judgment in selecting a carrier. Marquis is not responsible for any difference in freight charges. Orders in production will be shipped as scheduled and cannot be held. Every effort will be made to ship orders within delivery dates specified. Acknowledged shipping dates however, are contingent upon conditions beyond our control. SPLIT SHIPMENTS: Split shipment is available only with written authorization. CHANGE ORDERS: All reasonable requests for changes in order will be honored if received in writing prior to six weeks of acknowledged ship date. However, Marquis will evaluate changes on an individual basis. Marquis reserves the right to charge for labor, material and administration cost for order changes. CANCELLATIONS: All cancellations must be made in writing to the factory. Orders involving special finish, special sizes or any custom change cannot be cancelled. If the cancellation is received prior to fabric being cut, a 10% of the order amount will be charged. In addition, fabrics ordered through our suppliers are subject to their specific return policies, which could result in restocking charges that the customer will be responsible for. 5 5 YEAR PRODUCT WARRANTY Marquis will repair or replace at its discretion and without charge to the original purchaser, any seating product or part thereof which fails as the result of defects in material and workmanship under single shift use and normal care, five years from the date of shipment effective January 1, This warranty does not cover misuse or abuse of product, damages caused by contact with tables, desks or other surfaces or normal tear associated with the use of the product. This warranty does not cover any furniture sold for use in a hospitality environment. Repair or replacement of discontinued product will be at the discretion of Marquis. Natural color changes, variations or movements in lumber or veneer products, exposure to extreme temperature changes and direct sunlight may cause color changes and/or surface damage. These are circumstances beyond the control of Marquis and are not warranty issues. Certain chair styles with exposed wood require construction methods that accent color variations in light and natural stains. These variations are not considered product defects and are not warranty issues. This warranty excludes fabrics, leather and any other textiles. Since manufacturers of upholstery fabrics do not guarantee their products for wearing quality, color fastness, or fabric shrinkage, wrinkling, and stretching these properties are not covered under warranty. Except as states above, Marquis makes no express or implies warranties as to any product, and in particular makes no warranty of merchantability or of fitness for any particular purpose. Marquis shall not be liable for any consequential or incidental damages or for commercial loss arising from any product defect. The Marquis customer is the dealer. All complaints must be resolved through the dealer from which the furniture was purchased. To obtain warranty the dealer must supply dated proof of purchase. This warranty gives you specific legal rights. You may also have other rights which vary from state to state. Some states do not allow limitations on how long an implied warranty will last or the exclusion or limitation of incidental or consequential damages, so the above limitations or exclusions may apply. Please check all factory acknowledgements to confirm your original purchase order. Once an order is acknowledged to you, the factory will be responsible for shipping exactly the items acknowledged and the prices acknowledged. No adjustments can be made to an order once it has been placed into production without penalty (see Cancellations). Marquis reserves the right to alter frames, wood species and/or upholstery technique for improved construction and method of manufacturing. Dimensions may differ from printed specifications since upholstery material and foam filling may vary slightly. Due to monetary fluctuations and changing material costs, Marquis reserves the right to change pricing without notification. All orders are subject to prices prevailing at time of order and shipment within standard lead times. Marquis reserves the right to extend a discount, beyond our standard level, based on the total yearly sales volume and/or single project order to a contracted dealer/end user. 7 CUSTOMERS OWN MATERIAL: COM AND/OR COL All C.O.M. fabrics will be applied at Marquis s discretion, unless customer specifies pattern face and direction to be applied. This is done with a sample accompanying the purchase order prior to order placement for fabric approval and yardage requirements. ALL COM AND COL SHIPMENTS MUST BE SENT TO THE FOLLOWING ADDRESS: Marquis Contract Seating 231 South Rd. High Point, NC RR = Railroad or Top Selvage See table below for pricing guide RW = Right way (as woven) or Top Right on In and Out of Bolt or Up the Goods. ALL SHIPMENTS MUST BE PREPAID AND COLLECT SHIPMENTS WILL BE REFUSED. COM and COL must be identified as follows: 1. Name and address 2. Purchase order number 3. Marquis style number with direction of how fabric should be applied 4. Supplier name and fabric name, number and color Shipment schedule will be given when all fabric is received for entire order. Yardage requirements listed in price list are based on plain goods 54 wide. Fabrics less than 54 or those requiring matching (stripes, plaids, large patterns) will require additional yardage based on the fabric used and the item ordered. While our binders may not include cards from every supplier, we do maintain graded-in programs with Momemtum, CF Stinson and Mayer Fabrics. SPECIAL FINISHES: Special finishes are available at an extra charge of $50.00 list per item. Marquis will match the finish sample upon request, sending a strike-off for approval from customer. Once the sample match has been signed and returned, the order will be placed in production. 9 GUARANTEED ZONE FREIGHT RATE PROGRAM Marquis offers a Guaranteed Zone Freight Rate Program designed to make the purchasing and shipping process easier for our customers. This program offers a guaranteed freight rate based on COM LIST PRICING for product(s) shipping into specific geographical zones. This simplified program allows you to determine your exact freight costs at any time. Freight charges do not apply to fabric and product options under the Guaranteed Zone Freight Rate Program. GUIDELINES: Freight charges must be shown on purchase orders. Freight will be prepaid and added to the product invoice. Orders for FOB destination. Marquis responsibility ceases when goods are receipted for in good order by the consignee and all claims thereafter must be settled directly with the carrier. Marquis will ship orders utilizing the Guaranteed Zone Freight Rate Program via commercial carriers cartoned or blanket wrapped at our discretion. Guaranteed Zone Freight Rate charges are for normal dock-to-dock deliveries. Delivery must occur during normal business hours (8:00am - 5:00pm). A charge of $15.00 will apply for call-beforedelivery requests. INSTRUCTIONS: 1. Determine the zone where products are to be shipped using the map on this page. 2. Calculate your Guaranteed Zone Freight Rate as a percentage of the total LIST BASE PRICE (COM) by utilizing the percentages assigned to each geographical zone. 3. Add your calculated Guaranteed Zone Freight Rate to the list price of your chosen fabric group list price. 4. Indicate on your purchase order Guaranteed Zone Freight Rate Program. 10 WARNINGS AND INSPECTIONS Users are urged to make periodic inspections to look for damages or signs of structural fatigue incurred in daily handling and use. Examinations must include structural joints, corner blocks, screws or fasteners, welds, glides, casters and any other points of stress. If any defects are found, the product should be taken out of service. Coats and articles should not be hung on the backs of chairs. This practice may render the chairs unstable. FLAMMABILITY WARNINGS Marquis s seating products incorporate flame retardant urethane foam, synthetic or plastic components and upholstery cardboard. ALL THESE COMPONENTS ARE FLAMMABLE UNDER CERTAIN CONDITIONS. Chairs stacked or concentrated for storage create additional hazards and can accelerate flame spread in fire scenario. Once ignited, chairs can burn rapidly, releasing heat, toxic fumes, and smoke while consuming oxygen. In an enclosed space, the resulting conditions can be incapacitating or fatal to human beings. Building managers should take appropriate precautions to protect occupants from fire sources and provide adequate detection systems, warning systems, suppressions systems, and exits in the event of a fire. NOTE: Due to the vast choice in upholstery covers with varying degrees of inherent flame retardancy and the availability of different flame retardants, specifiers, and purchasers are responsible for evaluating the published data and selecting upholstery which addresses conditions of the installation and meets applicable fire and building codes.
