56 General sales conditions 1. INTRODUCTION 1.1 The present General sales conditions ( General Conditions ), together with the special conditions foreseen in the order confirmation ( Order Confirmation ), shall govern all the sales of goods between TONUTTI WOLAGRI S.p.A. ( Seller ) and any purchaser ( Buyer ) and shall prevail over any other possible conflicting provision contained in forms or other documents utilized by the Seller and/or the Buyer (hereinafter also jointly the Parties ). 1.2 The General Conditions are regarded as accepted by the Buyer failing any written communication to the contrary within ten days from receipt thereof. 1.3 These General Conditions can be derogated only by the provisions contained in the Order Confirmation. 1.4 Unless otherwise agreed between the Parties, the sales subject to these General Conditions are governed by the Laws of Italy, with the express exclusion of the 1980 Vienna Convention on Contracts of International Sales of Products (except for articles 8 and 11 thereof, which shall prevail over any conflicting provision of Italian law). 1.5 Any dispute, which might arise in relation to these General Conditions and to each contract regulated by the same, shall be submitted exclusively to the Court of Udine, Italy. 2. PRODUCTS 2.1 The object of the contracts of sale governed by these General Conditions are any agricultural, commercial and consumer equipment inserted in the Seller s price list ( Products ) in force at the time of submission of the order by the Buyer, with the specifications indicated therein. 3. ORDERS 3.1 Each Buyer s order ( Order ) shall be deemed accepted upon receipt by the Buyer of the Order Confirmation issued by the Seller. Offers submitted by agents or other intermediaries are not binding unless confirmed in writing by the Seller. 3.2 Descriptions, data, capacities, weights, drawings and other data stated in the Seller s catalogues or publications are indicative and, in any case, not binding, unless otherwise stated in the Order Confirmation. 3.3 Drawings and other technical documents are not included in the delivery. They belong to the Seller and, consequently, the Buyer shall not reproduce, transfer or show them to third parties. 3.4 The prices of the Products shall be determined having regard to the Seller s price-lists in force at the date of receipt of the Order - unless otherwise agreed in the Order Confirmation. 3.5 The Seller reserves the right to change its price-lists at any time. 4. PAYMENTS 4.1 Unless otherwise provided in the Order Confirmation, the payment is due from the date of the invoice issued by the Seller and in the currency specified therein. 4.2 Any payment shall be deemed effected at the Seller s place of business upon receipt thereof by the Seller. The issue of bills of exchange shall not be considered as payment nor shall be deemed a novation of the original obligations. In any case all stamp duties and bank costs shall be at expense of the Buyer. 4.3 If payment is to be made by Letter of Credit ( L/C ), the same shall be issued pursuant to the ICC Uniform Customs and Practice for Documentary Credits in force at the time of the Order. Furthermore, the L/C shall be irrevocable and confirmed by a first class bank located in Italy and satisfactory to the Seller, transferable in whole or in part, payable on the due date specified in the Order Confirmation and negotiable against the documents mentioned therein. Should Seller not require confirmation of the L/C, payment and ne gotiation thereof shall be in any event effected at the counters of the advising bank. The opening of the L/C shall be notified to the Seller by the confirming or advising bank, as the case may be, within 10 (ten) banking days from receipt of the Order Confirmation by the Buyer. Failure to do so shall automatically cause the cancellation of the order, unless the Seller otherwise communicates. The L/C shall be effective and binding until 30 (thirty) days after expiry of the payment term indicated in the Order Confirmation. If, for any reason, the original payment terms are extended, the Buyer undertakes to renew the letter of credit. Failing the Buyer to renew the L/C within 5 (five) days from the extended date, the payment shall deemed as immediately due. 4.4 Should there be a total or partial delay in the payment, the Buyer will be liable to pay to the Seller interests on the invoiced amount, under Italian Legislative decree , no The Seller shall in any case and under these circumstances have the right to suspend any supply in progress. If said delay exceeds 60 days, the Seller shall be entitled to terminate the contract and retain all sums already cashed, as liquidated damages, without prejudice to its right to claim for further damages. 4.6 The price for the Products shall be exclusive of any value added tax or tax duty and all costs or charges in relation to packaging, loading, unloading, carriage and insurance all of which amounts the Buyer shall pay in addition and under the same terms and conditions of payment of the Products. 5. DELIVERY TERMS 5.1 The delivery terms are stated in the Order Confirmation. Unless otherwise agreed in writing by the parties, the delivery terms are to be calculated with reference to the working days under the Italian calendar. The Terms indicated in the Order Confirmation are indicative and in case of delay in delivery the Buyer shall not be entitled to cancel the Order. 5.2 Deliveries shall take place Ex Works (Incoterms 2000) at Seller s premises. Therefore, if for any reason the Buyer fails to accept delivery of any of the Products when they are ready for delivery, or the Company is unable to deliver the Products on time because the Buyer has not provided appropriate instructions, documents, licenses or authorizations: (a) risk in the Products shall pass to the Buyer (including for loss or damage caused by the Seller s negligence); (b) the Products shall be deemed to have been delivered; and (c) the Seller may store the Products until delivery whereupon the Buyer shall be liable for all related costs and expenses (including without limitation storage and insurance). 6. RISK AND PROPERTY TRANSFER 6.1 Ownership of the Products remains vested with the Seller and shall not pass to the Buyer until full and complete payment of the Price is effected by the latter and, should the payment be made by means of cheques or bills of exchange, until their clearance, even if such documents are delivered in advance. Nevertheless, the Parties agree that all the risks deriving from loss or damage to the Products due to any cause whatsoever will pass to the Buyer as from the time of delivery Ex Work Incoterms All possible costs for the registration of the retention of title shall be deemed totally due by the Buyer. Before the total payment of the Price is effected, the Buyer is not entitled to resell, hire or allow third parties to use the Products. 6.3 The Buyer shall have the obligation to inform the Seller, within 24 hours, of any enforcement proceeding or interim injunction by third parties on Products under reservation of title. The Buyer shall remain, in any case, liable to the Seller for any expense or damage, which the Seller may suffer in relation with such acts. 7. WARRANTY AND CLAIMS 7.1 The Seller warrants that the Products are free from defects in material and workmanship under normal use. Unless specifically indicated in writing by the Selle r, this warranty will be valid for a period of 12 months from the delivery Ex Works of the Products and may not, in any case, be suspended or extended as a consequence of the non-use of the Product by the Buyer, even if due to warranty interventions. The Seller grants no other warranty to the buyer, who expressly waives any further legal or conventional warranty, whether implied or expressed. 7.2 At the time of delivery, the Buyer shall examine carefully each Product in order to verify the conformity of the supply to the agreed quantity and quality, verifying also the existence of patent defects. Should the Buyer discover any defect or non-conformity in the agreed Product, it shall give immediate notice to the Seller by signing the delivery note with an endorsement of reservation of right to inspect and notifying its claims to the Seller, on penalty of forfeiture, within the following 8 days. After such term has elapsed, the supply shall be deemed accepted without reservation by the Buyer, with consequent waiver by the same to contest any defect in the Product. 7.3 Any latent defects, which are not discoverable at the time of delivery, shall be notified on penalty of forfeiture within 8 days from discovery thereof in the same way as patent defects. 7.4 Notwithstanding the provisions of Paragraphs 7.2 and 7.3 hereof, in no event shall a complaint be accepted by the Seller after twelve (12) months from the date of delivery of such Products to the Buyer. 7.5 In case of acknowledgement of the defects and of timely report of such defects by the Buyer, the Seller shall at its discretion and in accordance with its technical standards, repair and/or replace free of charge Ex Works (Incoterms 2000) Tonutti Wolagri S.p.A. product plant the Product or its defective parts, or refund the Buyer the price paid for the defective Product. 7.6 The warranty mentioned in the present Article 7 shall cover only defects in material or workmanship under normal use of the Product. In no case can the warranty be extended to cover (I) Products on which the identification number or trademark has been altered or defaced; (II) the defects caused by: (a) improper assembly or installation of the Product by the Buyer or third parties, (b) insufficient maintenance thereof, (c) improper or non-conforming use with respect to the normal functioning methods, (d) normal wear and tear (particularly of knives, bolts, nuts, gaskets, shear pins, pto shafts, oil, hydraulic hoses), (e) repairs, additions, alterations or interventions made by third parties without the written consent of the Seller, (f) the transit from the place of delivery to the final destination, (g) misuse or incorrect storage, (h) use of non-original spare parts, (i) fire, natural calamities, or any other unforeseen events not ascribable to the Seller. 7.7 No other form of intervention under warranty and/or refund shall be claimed by the Buyer; in particular Seller shall not be liable for direct, indirect, incidental of consequential damages (also according to article 1519-quinquies of the Italian civil code) which may derive from the defective nature and/or non-conformity of the products, such claims for damages being, to the extent permitted by law, expressly excluded and waived by the Buyer. 7.8 Any possible claim by the Buyer, as well as any judicial action by the same, shall not, in any case, entitle the Buyer to suspend or delay the payments due under the sales contract. 8. NON-ASSIGNABILITY AND SEVERANCE 8.1 The Buyer s rights, credits and obligations may not be transferred to third parties without the Seller s previous written consent. 8.2 The invalidity of one or more clauses of the General Conditions or Order Confirmation shall not affect the validity of the remaining clauses.
