4 GOLF NEW PRODUCTS Already available RAIN WATCH EXCLUSIVE TO RAIN BIRD CENTRAL CONTROL RainWatch TM makes rain an extension of the irrigation system! Rain Watch measures the amount of rain falls accruing and adjusts irrigation to match it. Competing systems can only stop irrigation completely not adjust it. Page 18 to 27 Already available V6 MAXI SOFTWARE STRATUS LT, STRATUS II, NIMBUS II, CIRRUS Version 6.0 offers several exclusive features and enhancements: WS PRO LT and Automatic ET now included in Stratus LT. With an Automatic ET software module and a WS PRO LT weather station, you can now add sophisticated ET management to any Version 6.0 Stratus LT system. Cirrus now supports up to 4,000 decoder stations. Decoder capacity for Cirrus is now doubled from 2,000 addresses to 4,000 addresses. This means Cirrus is capable of controlling up to 8,000 electric valves. All Central Controls now support 250 stations per area. An increase of 150 stations per area. This change is perfect for the longer fairways, larger driving ranges and higher density sprinkler design of modern irrigation systems. Actual Flow and Pressure are now logged by Smart Pump. Version 6.0, now logs both pressure and flow then stored this information in yearly logs. (Previous versions retained this information for 7 days.) New Response Conditions for static sensors. Two new programmable static sensor reactions, Cancel While and Interrupt While have been added. Only one sensor is needed in cases where two were previously required. Control is built right in. Page 21 to 29 NEW GO SOFTWARE Cirrus, Nimbus II, Stratus II, Stratus LT and GO are the Central Control applications that are available to operate with the IC System. The software is used to establish the irrigation system parameters, operate the system and perform troubleshooting tasks GO Software is a newly created level of central control software designed only for use with the IC System. Page 22 NEW ACME ROTORS & ACME SWING JOINTS A SUPERIOR THREAD Rain Bird is first again to generalize ACME thread to all Golf Rotors. ACME threads now replace the BSP threads on all EAGLE rotors. Page 9 11 ACME threads are the preferred solution in the golf irrigation market, due to the superiority in regards to installation and durability. They have many advantages: Seal is independent of tightening torque No teflon tape required Easier to install, very difficult to cross thread Debris resistant O ring helps to wipe the sealing surface Less susceptible to damage from frost heave Rain Bird is recommending ACME threads in new installations: BSP to ACME Swing Joints (with ACME outlet) in 1, 1 ¼, 1 ½ are currently available for all new course installations. BSP to ACME adapter are available for rotor replacement applications where BSP is already used. Page

40 CONDITIONS CONDITIONS Title I PRODUCT Article 1 Scope 1.1. Sales made by Rain Bird shall be exclusively governed by these standard terms and conditions The fact of placing any order with Rain Bird entails full acceptance of these standard terms and conditions, notwithstanding any statement to the contrary in the Customer s purchase order or standard terms and conditions of purchase or in any other document issued by the Customer. Article 2 Order 2.1. The order must be placed in writing by the Customer with Rain Bird. No order shall be final and no sale agreement shall be entered into unless and until the order has been accepted by Rain Bird. The acceptance of the order by Rain Bird shall result from the sending to the Customer of a written order confirmation or from the commencement of the performance of the contract by Rain Bird. No commitment made by any representative shall be valid unless and until the same has been ratified by Rain Bird Unless otherwise stated in the acceptance of the order, any sale shall be deemed made at the place indicated on the order acceptance form Any order served by Rain Bird shall be complied with by the Customer, which shall in particular be required to take delivery thereof. Article 3 Delivery Transfer of risks 3.1. Unless otherwise expressly provided for, the delivery shall be made through direct delivery of the Products to the Customer, on the premises of Rain Bird, or to the carrier selected by the Customer or, in default, to the carrier selected by Rain Bird. The Products shall be sold ex works from the Rain Bird premises and shall travel at the intended recipient s risk, notwithstanding the Rain Bird title retention clause, as set forth in Article 9 hereof Unless otherwise expressly provided for, the Products shall be transported at the Customer s expense by the carrier selected by the Customer or in default by Rain Bird. The Customer is responsible for stating any observations and reservations to the carrier in the event of any loss or damage occurred during the transportation, such notice to be given either by registered mail return receipt requested or by extra judicial instrument within three days from the date of receipt of the Products (Article L of the French Commercial Code). Article 4 Terms Applicable Time Periods 4.1. The Products delivered in accordance with the order shall be deemed finally delivered and shall not be returned or exchanged. Rain Bird reserves the right to make partial deliveries with issuance of corresponding partial invoices Unless otherwise expressly provided for, the lead times for delivery are provided as indications only and may not give rise to any penalty for late payment, damages, withholding or cancellation of current orders, regardless of the causes, importance and consequences of the delay Rain Bird shall be released from its delivery obligation in the event of force majeure, including, but not limited to, any war, riot, fire, strike, act of God, or impossibility of receiving supplies If the Customer fails to accept the delivery at the place and dates indicated in the contract, then the Customer shall nevertheless be required to comply with the contractual payment dates. In such event, the Products shall be stored by Rain Bird at any place of its choosing, at the Customer s risk and expense. Article 5 Non conformance Returns 5.1. If any Products are not in conformance with the order, the Customer shall inform Rain Bird in writing within five (5) days from the date of delivery. After the said deadline, no complaint based on non compliance shall be accepted by Rain Bird Any return of Products not in conformance with the order shall be subject to approval by Rain Bird. Any return made without Rain Bird s approval shall not give rise to any replacement or the issuance of any credit note In the event of return of the Products, the risks shall remain borne by the Customer. Article 6 Price Payment Terms 6.1. Unless otherwise expressly provided, the Products shall be sold on the basis of the prices in force upon acceptance of the order, and the prices indicated in this Price List shall be regarded as indications only. The prices are denominated in euro (i) not including VAT, (ii) on a net basis, and (iii) ex Aix Les Milles The standard shipping quantity is indicated on the price list under the Dealer quantity column. All products may be ordered under non dealer quantity against payment of a 10% supplement Failing payment within the time period agreed when placing the relevant order, the Customer shall owe penalties for late payment at a rate equal to three times the statutory interest rate, plus any collection costs Notwithstanding any complaints, the Customer shall be required to pay its invoice when due Failure to pay all or part of the price on its due date shall trigger the obligation to pay immediately any and all amounts remaining due to Rain Bird by the Customer, even where the said amounts are not yet payable, and regardless of the stipulated payment mode. In addition, in the event of failure to pay, 48 hours after a formal notice has been sent by registered mail return receipt requested, Rain Bird shall be entitled to rescind the sale and any and all current orders and seek the return of any already delivered Products In the event of termination of the sale, any amounts already paid to Rain Bird shall remain vested with Rain Bird as an indemnity Rain Bird reserves the right to amend its terms of payment in the event that the Customer encounters any financial difficulty. Article 7 Warranty Liability 7.1. Rain Bird shall be responsible for the repair or replacement of any products sold that are found defective following any normal use, during the warranty periods indicated below. The Rain Bird Customer shall be required to return any defective products to the distributor from which they have been acquired. In addition to the statutory warranty set forth in EU Directive 1998/44/EC, the Rain Bird products shall be covered by a warranty against any initial defect, whether affecting the manufacture or the materials used, during a period of three years from the date of their manufacture. The 1800 series, the series U, the 1400 series and the 5000, UPG, 5505, 7005, 8005 and Falcon sprinklers are covered by an extended warranty, with a total duration of five years; also the Eagle sprinklers are covered by an extended warranty, with a total duration of five years, provided that they are installed jointly with a Rain Bird Swing Joint. The Rain Bird Swing Joints are also covered by a five year warranty. The said warranty may be activated without any formality, save for the return of the full defective product. Rain Bird shall replace any parts that have proved defective when used normally during the said warranty period and shall make any repairs free of charge. Any defective products shall be returned to Rain Bird at the Customer s expense. 40

41 CONDITIONS 7.2. The warranty shall not apply in the following cases: in the event that the defect is due to wear and tear, to any carelessness or to any abnormal use. in the event of any incident due to any act of God or case of force majeure, and in particular, but not limited to, any stoppage of any electrical facility, stoppage of telecommunications, strike, war, riot or any natural disaster. in the event that the defect is attributable to any maintenance or assembly that is defective or fails to comply with any of the Rain Bird specifications or fails to comply at any time with the Product s environmental specifications or electric al supply specifications. In this respect, it is indicated that the Rain Bird products shall be lubricated with water and must be installed without any addition of any chemicals In any event, Rain Bird s liability shall be limited to the amount of the sale price and shall only cover tangible loss, excluding any intangible loss, such as any lost profits, business interruption, commercial losses or additional expenses, etc. In this respect, the Customer shall be personally responsible for taking any step necessary and in particular taking out any insurance policy providing any necessary coverage in excess of the said warranty (whether in value or in kind). Article 8 Waste Management In accordance with Article 18 of Decree of 20 June 2005 concerning the composition of electrical equipment (EEE) and the removal of waste derived from the said equipment, the organization and financing of the collection and processing of professional EEE waste covered by this sale Agreement are transferred to the customer, which hereby so agrees. The customer shall be responsible for the collection, processing and recycling of the EEE covered by the sale in accordance with Article 21 of the said Decree. The above obligations shall be conveyed to any and all successive customers until the final user of the EEE. Article 9 Retention of title The transfer of title to the products is subject to full payment of the price on its due date by the Customer. Article 10 Governing law Jurisdiction Any sales made by Rain Bird shall be governed by French law. Any dispute arising between the parties in relation to the interpretation and/or construction and/or termination of the agreement shall be referred to the Aix en Provence courts even in the event of any third party claim or if there are several defendants. Title II SERVICES (special provisions) Article 11 Scope These special services terms shall be applicable in addition to the products standard terms and conditions of sale, insofar as the said terms and conditions cannot be applied to the relevant services. Article 12 Technical Support Agreement The technical support agreement shall apply solely to the materials and software supplied by Rain Bird The Customer agrees to provide the name(s) of the manager(s) of the system who may call on Rain Bird s services. The said persons shall beforehand undergo training in the use of the Rain Bird system. The Customer shall provide Rain Bird with a detailed description of the facility. The Customer shall be equipped with a telephone line dedicated to and reserved for the operation of the centralized sprinkling management system, or an Internet connection. The Customer shall maintain the system in good working condition and carry out any and all necessary maintenance. The sprinkling system s electrical and hydraulic as built plans shall be precise and regularly updated Rain Bird waives any liability as regards the implementation of the recommendations or instructions given by telephone The commitments assumed by Rain Bird shall not be binding if any action is taken by any untrained or unauthorized third party. The commitments assumed by Rain Bird do not apply in the event of installation on a centralized PC of any application disrupting the operation of the sprinkler management system The Customer agrees to backup its files and programs prior to the supply of any services by the support unit. Article 13 Studies Rain Bird shall supply the services entrusted to it in accordance with professional rules and standards and shall comply with any applicable rules, standards and recommendations As regards the performance of its engagements, Rain Bird shall comply with the assignments, data, rules and basic information issued by the Customer Each study s completion lead time shall be determined beforehand by mutual agreement between Rain Bird and the Customer. Article 14 On Site Services The Customer agrees to make available to the persons responsible for providing services on behalf of Rain Bird the necessary staff having sufficient knowledge of the site in order to respond to any requests The Customer agrees to give the Rain Bird staff access to the equipment and further agrees to inform the Rain Bird staff of any rules or instructions concerning the site s safety This clause does not apply to any spare parts not covered by the warranty and necessary for the repair of any defective equipment. Article 15 Training The Customer agrees to make available to the persons responsible for providing services on behalf of Rain Bird premises suited and equipped for the purposes of training operations (classes organized on the site), and further agrees to comply with the requirements related to the number, training and knowledge level of participants and with the schedule agreed between the parties, in particular as regards the date and hour of beginning of the training. Article 16 Warranty concerning the parts replaced under the replacement program THE REPLACEMENT PROGRAM ONLY APPLIES TO THOSE PARTS NOT COVERED BY THE WARRANTY. THE DURATION OF THE WARRANTY OF THE SPARE PARTS IS APPROXIMATELY 6 MONTHS, IN ACCORDANCE WITH THE RAIN BIRD STANDARD TERMS AND CONDITIONS OF WARRANTY.
