4 WAYEL, AN ENTREPRENEURIAL PROJECT LOOKING TO THE FUTURE 2007 Termal Group, which over the years has established a deep experience in the Far East concerning the field of air conditioning, enters the market of electric mobility and founds Wayel: this with the goal to give the Italian interpretation of the phenomenon of the electric bike, that represents a real boom in China In cooperation with the University of Bologna within the program of battery testing, OneCity is born, the electrically assisted pedal bike with shaft drive transmission. Concept & design are Made in Italy exclusively; OneCity is presented at RtoB Innovation Show in Bologna One City is selected by the town of Genoa for Mobike service, the first project in Italy of bike sharing, with electrically assisted pedal bicycles. In April, during G8 Environment in Syracuse, 150 OneCity bicycles were selected as courtesy bikes for ministers and staff s transfers to Ortigia island, where the authorities meetings took place. In October, OneCity was selected to be presented, as excellence product, at ZIG ZAG fair, National Museum of New Sciences and Technological Innovation in Tokyo. Promoted by the Region of Emilia-Romagna, the event presented the most advanced entrepreneurial realities, particularly attentive to eco-friendly solutions and innovative even with regard to low costs and high performance within the mobility sector Wayel launches on the market the SUV model Shopping Utility Vehicle which is the ideal solution for carrying large volumes and heavy loads. The concept of proximity electric mobility is taking shape in utility interpretation, that is suitable to daily use, as for example for the shopping at the supermarket. This model has achieved a great success, so much so that even today the SUV is a big of the catalogue The range extends: Wayel presents 3 new models: E-Bit, OneCity Long Ride and Eco. With E-Bit, acronym of E-bike in trolley, Wayel faces the intermodal trasport: E-bike can be easily loaded and stored in its trolley supplied. The bicycle can be quickly folded in 3 simple moves and easily carried by all means of transport: car, camper, train, subway, bus, boat, plane. The electric bike becomes intermodal and represents a sort of addition to people mobility: a personal e-bike.

5 OneCity Long Ride is the ideal leisure bike for long distances, with a range higher than the average, while Eco is the easy electric bike, having a price within everybody s reach and suitable for different users. Wayel stands out again by introducing on the market a line of lightweight Lithium Polymer batteries: interchangeable on all models, certified UN38.3 and in 3 different energy sizes, these batteries give their customers the opportunity to determine the electric bicycle s range according to their needs Wayel faces the performance and proposes new models, designed for responding to the particular needs that a normal electric bike can hardly satisfy. Wayel introduces on the market OldTown, OneCity Long Ride Special and FUTURA. OldTown is the electric bicycle suitable to the old town centres: with its lively acceleration and triple cushioning, OldTown allows you to face uneven pavements with great comfort. OneCity Long Ride Special, combined with the 4th battery size and the new ESEB software, achieves a record range with only one recharge: 160. FUTURA is a technological goal of Wayel. An electric bike that does not fear upward slopes and which loves long distances. FUTURA is highly comfortable and innovative even regarding the antitheft N lock device. The enjoyable race of St. Luke s challenge, organized in Bologna on the occasion of the European Week of Sustainable Mobility, marks the record of climbing for an electric bicycle: 8 minutes to cover 2 of prohibitive slopes Wayel launches on the market Trilogia, the bike made in three versions. An industrial project, which starts from a single model platform and characterizes into three different types of service, by using customized components. But Wayel s story does not stop and the year 2013 sees the start of work of the new production factory in Bologna. In contrast to the strong economic crisis, Termal Group decides to invest and expand its mobility proposal. The new factory will cover an area of about 12,000 mq - of which 7,700 covered - and will operate in a completely ZEB logic (Zero Energy Building). The building self-generates not only the energy used for the living comfort, but also the energy necessary for its industrial production, that is all the energy needed for the activity. The new complex is designed to house the creation of new models, including an innovative electric city motorbike. After three years of study and research, the prototype of this motorbike will be presented within With the production of a motorcycle wholly Made in Italy, Wayel extends the field of its action and runs for the Italian leadership in two-wheel electric mobility. 3

6 E-BIKE WHAT A PASSION! Current studies as well as of course, personal experiences, have shown that in rush hours a bike is 25% faster than a car and 50% faster than the public transport vehicles. Moreover, thanks to the electric bike you can do regularly always with no effort - a bit of physical activity, follow paths through the parks and proceed along dedicated cycle ways. Here are 4 good reasons to choose an electric bike for your travels. 1 2 It is functional The electric bike is particularly suitable for short daily commute, such as going to work, running errands or doing the shopping. A site of exclusive technologies, where there is always the right solution to face the peculiarities of each route in the city, in the suburbs, outside the town. Which are the features that make our product successful? Front-wheel drive with Brushless motor on the wheel, and traditional mechanical freedom on the rear so that the rider can select the most appropriate ratio as to the muscular effort he wants to exert. Unlike the torque sensor, the speed sensor provides the symbolic pedalling to the lovers of the zero effort, but also allows a greater muscular effort by operating on the gearbox; lightweight and removable battery (from 1.9 kg), to bring the energy of the e-bike always with you. The shaft drive and belt drive transmission of Wayel bikes allow the use of the bicycle even in office clothes, thus avoiding the problems caused by the chain drive transmission. These devices give a typically urban dimension to Wayel models, expressing the desire to make these models the instrument of the alternative mobility pre-eminently. 5

Our mission expresses exactly what we pursue: a site of exclusive technologies, where there is always the right solution for facing the peculiarities of each route in the city, in the suburbs, outside the town. Today Wayel presents Trilogia, a complete line of electric bicycles with shaft drive transmission, offering a high quality standard and an excellent value for money. The newborn e-bikes of Wayel s City Bike segment, are stable and responsive: they include in a single line the appropriate response to three different needs of route. Trilogia speedy is the electric bike suitable for typically city use, characterized by asphalt and flat roads, flyovers and traffic lights. Reaching 30 of actual range with 6Ah & 24V battery is an extraordinary technological result, obtained thanks to the sparing motor and the implementation of ESEB technology (Energy Saving Electric Bikes), the control software of the battery-motor system. Trilogia torque has a more powerful motor, with more torque, and allows you to face challenging climbs. The driving position and the suspension fork provide a very relaxed riding: an excellent solution for walks during your weekends outside the town. Trilogia soft street: powerful motor and a frame to ride with maximum comfort thanks to the triple cushioning: fork, seat and big size tyres. Besides the riding comfort, more safety is provided in case of tramlines ESEB2 Software: up to 18% of more range to batteries The updating of ESEB software (Energy Saving Electric Bike) has allowed to optimize the use of the supplied energy in such a way as to increase the range of the batteries supplied with Trilogia. It s like switching off the engine when you are in a stationary position: ESEB2 deactivates the battery and then provides to restart as soon as necessary, after introducing further optimizations. When the biker accelerates and the rotation increases, the system communicates to the control unit to increase the power supply to the motor. This system provides a perfect synchronization between the biker s wishes and the performance of the vehicle. You can choose to push a little or a lot, the system detects and complies to your needs, without obliging to any excessive effort. Contrary to what occurs with the torque motor technology, the option of max power supply with no effort is always left available to the biker, by operating on the gearbox. Suspensed fork and saddle, extra large wide tread tyres 1.9 : these are the secrets that make OldTown an e-bike able to face smoothly and easily the irregularity of our cities old town centres. OldTown is quick and suitable for those who are seeking an alternative vehicle for daily urban mobility. When starting from rest, OldTown already reaches the maximum speed after 50 metres and ensures 20 /h on the first level of assistance. It easily exceeds overpass and city slopes of 10%. Strong but light, it weighs 21.9 kg only. 14 BORN FOR LONG DISTANCES, ONECITY LONG RIDE S 7M ALLOWS A RANGE OF 160KM WITH ONLY ONE RECHARGE OneCity Long Ride S is the model of Wayel s Leisure segment. Available in 7-speed gear version, OneCity Long Ride S is equipped with ESEB software (Energy Saving Electric Bike), introducing the concept of reserve and extending the range up to 160 with only one recharge cycle. The response time of soft start function is more reactive: 1.2. The adjustment of speed sensor permits the start of the electric motor just only after 1/3 pedal stroke. Shaft drive transmission, grand touring riding position, super comfort seat, wide tread tyres with anti-puncture gel and suspension front fork make OneCity Long Ride S a perfect leisure bike for long distances. Shimano Nexus 7-speed gear allows an excellent integration with the rider s pedalling frequency on flat routes. 16 FUTURA: THE IDEAL BICYCLE FOR LONG DISTANCES AND VERY CHANGELLING CLIMBS FUTURA is the electric bicycle of Wayel s Hill Leisure segment. Designed and built to accompany the rider in any desired trip, FUTURA electric bikes are available in man & unisex models and are a perfect synthesis of style and technology. Adjustable air-cushioned saddle, Suntour forks, shaft drive transmission and antitheft system N lock with steering unlock, ensure constant elegance, comfort and safety. All FUTURA models are characterized by a Brushless electric motor, 38Nm torque, which together with the 7-speed Shimano Nexus gear and 5 levels of assistance, provide a surprising integration between the desired speed and the pedalling frequency of the biker. The ultra light and ultra flat Lithium Polymer batteries 37V, are available in 2 sizes, have a thickness of only 5 cm and weigh 3.3 kg (10Ah version). FUTURA is equipped with ESEB software, which is able to optimize the use of the supplied energy and so obtain excellent autonomies: up to 78 with SLIM HP battery, at medium assistance level. The backlit LCD display controls a multifunction control unit with 5 different assistance levels in addition to zero assistance, kilometer indicator, charge and speed meter. Motor starts after 1/3 pedal stroke, but soft start function enables starts from a stationary position and can be activated by keeping pressed the button on the keypad near the display (upward arrow). Soft start operates at max. speed of 6 /h and it is very useful when moving off at traffic lights and when restarting along a hill up to 30%. This device is also helpful when wheeling the bicycle up very steep slopes or pushing it by hand in pedestrian only areas.

When facing very steep climbs, it is advisable to engage the 5th speed. The cooling of the motor in oil bath reduces the risk of overheating. The engine is always safeguarded by safety thermal protections in the event of excessive performance requirements. The engine is supercharged and expresses its full power. The use of the 5th speed on the plain tends to exceed the limits of law, and therefore the control unit is able to limit the power through tachymetric on-off. Carrying with you the lightweight SLIM & SLIM HP batteries is now easy thanks to the bag in standard equipment, made of soft canvas: a practical and functional solution for holding and carrying the battery easily, bringing it on your shoulder as a comfortable walking bag. With E-Bit S, Wayel has focused the restyling of its folding bike on three main aspects: comfort, electronics and customization. The new cushioned seat gives riding pleasure even on the paved streets of old town centres. With the new electronics, soft start device and ESEB2 software are supplied in standard equipment. In just 30 and three moves (four moves if pedals are folded), E-Bit S is reduced to minimum overall dimensions: these operations are made even more easy and clean thanks to the belt drive transmission. Lightweight and foldable, E-Bit S is Wayel testimonial of the Intermodal segment: in the city or on holiday, it is the ideal choice for little and medium trips. 26 LIGHT AND MANAGEABLE BATTERIES 25.2V & 37V Wayel Lithium Polymer batteries have a long life, up to 800 recharge cycles* with a gradual decrease in performance of just 20% 6 different power ratings - 4 of 25.2 Volt and 2 of 37 Volt -, reduced dimensions, ultra light and removable in one only move: Wayel offers its Customers the chance to choose their desired battery capacities, thus ensuring the electric bike range that best satisfies their requirements. All Wayel batteries make use of Lithium Polymer technology, a solution that provides for maximum electric performance, along with top- Why lithium polymers of-the-line characteristics in terms of capacity, discharging and recharging. This technology allows for a significant reduction in both size and weight, thus further simplifying battery charging operations at home, in the office, in the basement, in the garage, or anywhere else that an electrical outlet is available for connecting the battery charger. Wayel Lithium Polymer batteries can be recharged at any time and always guarantee exceptional performance, with no memory effect. In contrast to other types of lithium batteries, with the Lithium Polymer solution there are no secondary reactions during the charging process, thus guaranteeing an energy efficiency of 95%. Lightweight and compact batteries can be easily taken with you, and this surely represents an important part of value of the electric bike. In this way, the risk of theft is strongly reduced. Lithium Polymers represent the technological evolution of lithium-ion batteries. The electrolyte (in lithium salt) is not contained within an organic solvent, but rather within a solid polymer composite (usually polyacrylonitrite), which is more stable than lithium ions. One of the main advantages that these units offer with respect to lithium ion batteries is that this solid polymer is not flammable. The danger levels associated with these batteries is therefore significantly reduced, as guaranteed by the UN38.3 tests to which all Wayel batteries are subjected, indicated on the opposite page. Another advantage is related to the temperature effect: while the life cycle of lithium-ion batteries can be reduced when exposed to high temperatures, lithium polymer batteries remain unaffected. Finally, Lithium Polymer batteries do not require a metal container. This has resulted in an improved battery packing design, which provides for a reduced weight and allows the battery to take on the shape that s best suited to the device in which it will be utilized. 27 BATTERIES Some of the tests prescribed by the UN38.3 Standard include Test 1: Altitude simulation This test simulates air transport under low-pressure conditions. The batteries are tested for at least 6 hours under temperature conditions of 20 C + -5 C and pressure conditions of bar or less Test 2: Thermal test This test simulates rapid and extreme temperature changes in order to verify the integrity of the electrical circuits, the connection and the battery itself. The batteries are tested for at least 6 hours under temperature conditions of 75 C + -2 C and within a maximum time of 30 min. The test is repeated under temperature conditions of -40 C + -2 C. The test is repeated 10 times Test 3: Vibration test This test simulates various types of typical vibrations during transport. The battery is subjected to a continuous vibration, ranging from 7Hz to 200Hz, for 15 minutes. The cycle is repeated 12 times, for a total of 3 hours Test 4: Shock test This test simulates possible impacts during transport. The battery is subjected to an acceleration of 150 g, with a duration of 6 ms Test 5: External short circuit test This test simulates an external short circuit. The battery is subjected to a short circuit condition with a total external resistance of less than 0.1 ohm at 55 C for one hour. After having passed the test, the battery is observed for an additional six hours Test 6: Impact test This test simulates an impact with a given mass. The battery is subjected to an impact against a 15.8 mm diameter bar with a weight of 9.1 kg. The bar is placed at a height of 61 cm above the battery and is dropped onto its centre Test 7: Overcharge test This test evaluates the battery s ability to withstand an overcharge condition. The battery is charged using a current equal to twice the maximum continuous charge current indicated by the Manufacturer. Wayel is registered with the National Registry Office of Batteries & Accumulators, and with ECOPED Association for the collection and disposal of the exhausted batteries.
