3 NOTICE OF THE 26TH ANNUAL GENERAL MEETING NOTICE IS HEREBY GIVEN that the 26th Annual General Meeting of the Institute of Marketing Malaysia (IMM) will be held as follows: Date : Saturday 3 June 205 Time : 0.00 am -.00 pm. 4 ORGANIZATION PROFILE About IMM The Institute of Marketing Malaysia (IMM) is the only registered institute in the country established for the purpose of serving the marketing fraternity in Malaysia, IMM was founded in 977 by YBM Tengku Razaleigh Hamzah who also became the Institute s first Patron. Currently the Patron of IMM is YB. Dato Sri Mustapa Mohamed, Minister of International Trade and Industry Malaysia. Vision To be the only leading non-profit professional body for sales and marketing practitioners in the country. Mission As the national professional body for sales and marketing practitioners, IMM s mission is to promote marketing as a philosophy of business to enhance the professional standards of marketing practices and to be the leading centre for marketing in the region. Roles & Functions As the national professional body for sales and marketing practitioners, IMM is responsible for the promotion of efficient and effective marketing management practices in Malaysia, the administration of the Institute s membership, the safeguard and advancement of its member s interest, and the enhancement of the professional image of sales and marketing practitioners. International Affiliation IMM is a member of the Asia Marketing Federation (AMF), a recognized body which was set up in 99 and is now made up of members comprising twenty (20) national marketing bodies from Asia region. Country Members of AMF are Bangladesh, Cambodia, Canada, China, Hong Kong, India, Indonesia, Japan, Korea, Malaysia, Mongolia, New Zealand, Pakistan, Philippines, Singapore, South Africa, Sri Lanka, Taiwan, Thailand and Vietnam. The Institute is also a member of the World Marketing Association (WMA). IMM and its members currently have global access to a truly international platform for marketing networks, which is a valuable infrastructure for building businesses in this emerging borderless world. 2

The 5 Council Members are individuals representing various sectors and industries as well as academicians and entrepreneurs. The Council Members are elected and their services are on voluntary basis. The operation is based on income derived from membership fees, publication as well as training and education programs managed and provided by the Institute. 5

8 PRESIDENT S REPORT This is the 26th Annual General Meeting (AGM) and the period under review is from January 203 to December 204. On behalf of the Council, I am pleased to present this Performance Report of the Institute for the year Over the years of its establishment and during the period under review the Institute has organized several training programmes and activities for the benefit of our members as well as other professionals in the industry. Our focus has always been towards enhancing the knowledge and skills of our marketeers. DATO SHARIFAH MOHD. ISMAIL During the period under review a total of Forty (40) public seminars and training sessions were conducted by the Institute and these have benefitted more than Two Thousand (2000) participants representing various sectors and industries across the nation. We also had international delegates at a few of these sessions. Besides public programmes we have also managed to secure a few in-house training programmes. This is a testimony to the confidence of our members towards the capability and capacity of IMM to do the training for their organization. We hope there will be more of such opportunities from our members in the coming years. From participants feedback our training programmes, trainers as well as contents are of world-class standards with quality delivery and above all value-for-money. We certainly appreciate these feedback and comments and shall continue to improve and perform better in all our training initiatives. The Institute also continued with its training programmes specifically for SMIs/SMEs under the Skills Upgrading Training programmes with a 70% training grant provided by the Small Medium Enterprise Corporation (SMECORP) until 204 whereby the grant is now administered by Pembangunan Sumber Manusia Berhad (PSMB). These sessions covering topics on sales, marketing, customer service, business communication as well as coaching and mentoring has benefitted more than 500 entrepreneurs nationwide. During the term the Institute signed two (2) Memorandum of Understanding (MOU) namely with Curtin University Sarawak and Putra Business School. These MOUs will enable all parties to explore opportunities for partnership as well as collaboration especially in the areas of training and education and in enhancing the quality and marketability of our graduates. These MOUs will certainly pave the way for a more effective industrial linkage for the Universities. Another great achievement for the Institute for the year is our CEO Talk series which has indeed received overwhelming support and recognition from the industry. We provided the platform for CEOs of organizations who are our corporate members to host this CEO Talk series not only to share their business success and philosophy but also their personal leadership style in managing their organization. To many of us these CEOs are role models and great leaders to emulate and the Institute is proud to bring this opportunity to all our members. For the year we organized a total of SI (6) CEO Talks - hosted by Telekom Malaysia, Media Prima, Malaysia Airports, Neuro Power, SMECORP Malaysia and PLUS Malaysia Berhad. We have plans for many more CEOs to take the stage for 205 and beyond. On the social and networking front, for the first time in the history of the Institute we organized a Treasure Hunt for our members in December 204 and received overwhelming support and participation from our members and everyone in the industry. All these achievements for the Institute would not have been possible without the support and participation of all of you our members. Despite all the challenges faced by the Council we shall continue with our efforts to bring more success and make you proud to be part of the Institute. 6

9 FINANCIAL PERFORMANCE MAJOR ACCOMPLISHMENTS For the year , our financial performance is satisfactory. The Institute s income is derived mostly from seminars, training programmes, membership fees and publications. We would like to thank all our valued members and everyone in the industry who have supported and participated in all our activities and programmes which have ultimately contributed to our good financial performance. MEMBERSHIP There are six (6) categories of membership and these are Corporate, Fellow, Ordinary/Individual, Associate, Student and Life Member. 10 AND EDUCATION As a Training provider registered with Pembangunan Sumber Manusia Berhad (PSMB) since December 2006, IMM has organized several training programmes, seminars, conferences and workshops which are HRDF claimable under PSMB s various schemes such as SBL, SBL-KHAS and others for the benefit of our members. For the coming years, we are working very closely with PSMB to develop new training programmes and courses for employees as well as professionals and entrepreneurs from the various industries and sectors to prepare them for the competitive global markets. To cater to the needs of dynamic business environment, the Institute offers a wide range of marketing related education and training programmes to equip those who are keen in pursuing a career in sales and marketing with the relevant knowledge as well as to enable practicing marketing professionals to further develop and enhance their professional skills. The Institute was appointed as a professional training provider for Small and Medium Enterprise Corporation (SMECORP Malaysia) in May 2007 and has since provided training to more than 3000 entrepreneurs representing various sectors and industries. Since carrying out these training programmes for the SMIs/SMEs, the Institute has been receiving annual grant from SMECORP based on the number of participants trained. Participants only pay 30% of course fees while the balance 70% is borne by SMECORP until 204, when the grant is now administered by Pembangunan Sumber Manusia Berhad (PSMB), an Agency under the Ministry of Human Resources. On behalf of the Council, I would like to place on record our sincere appreciation and gratitude to both SMECORP and PSMB for this opportunity and for their confidence in our training programmes in enhancing the skills and knowledge of our entrepreneurs in the areas of sales, marketing, branding, customer service as well as business communication. 11 CEO TALK SERIES IMM introduced its inaugural CEO Talk series in 2009 with the main objective to build effective and winsome platform which woos members and inspire action to emulate the success stories from the experiences and first-hand information shared by decision makers and current leaders from different businesses and industries. In addition, it also creates productive networking sessions and provides opportunity for personal interaction between participants and CEOs. We even had overseas delegates attending some of these sessions. Organizing such programmes has always been a huge challenge for the Institute from all aspects, such as participation, financial and other resources as well as in getting the support from employers and the industry. Nonetheless with lots of perseverance and determination, we shall continue to bring the best in terms of experiential learning and knowledge-sharing for all our members. We advocate learning as a life-long process and we strongly believe that marketeers in Malaysia need to listen and learn from the best. This bold vision and execution of such programmes has indeed made us the Sole Non-Profit Organization in the country that brings in world-class speakers and renowned CEOs for the benefit of our members and all Malaysians. 9

12 PUBLICATION MARKETEER The Institute published Three (3) issues of its official publication, MARKETEER during the year and these were circulated to all members and affiliates. The MARKETEER which contains news on the institute s seminars and events, marketing tips and insights as well articles of interest is widely read by senior and middle level managers of corporate companies and organizations. The Institute shall continue to publish the MARKETEER on a regular basis and hope to make it a publication of distinction for all its members and the marketing fraternity in the country and around the region. FUTURE The Institute is now 36 years in it s role as a non-profit professional body for the sales and marketing fraternity in the country and it has certainly come a long way starting from its simple beginning in 979. Over the last couple of years, the Institute had recorded good financial performance which all members could be proud of and with all the initiatives undertaken by the Institute, we are confident of further growth and expansion of our roles in the future. At the same time, we have to be observant and watchful of the changes in the marketing landscape not only locally but also regional and globally which not only could affect our performance but also our relevance in the years to come. Thus, we need to acknowledge the importance of staying relevant to the industry and above all providing value-added benefits to all our members. We believe that partnership and collaboration is the best way in achieving more. On this note for the year 203 and 204, we signed Memorandum of Understanding (MOU) with Curtin University, Sarawak and Putra Business School to further enhance and complement our roles in the areas of training and education. 0

13 As a Registered Training Provider with PSMB, we shall continue to further strengthen this role in bringing the best to the industry in terms of Human Resource Development. In its long-term vision, the Institute is looking beyond the shores of Malaysia in its training and education offerings as well as research initiatives. The Institute is also looking for more In-House Training opportunities and consultancy work so as to give a more holistic approach and input on marketing related activities for organizations and enterprises. Other efforts include strengthening our membership base especially our corporate and individual Membership. We are also taking every effort to ensure that we deliver the benefits to our members. With your help, fellow members, we hope that we will be able to recruit more members and take the Institute to the next level of excellence. APPRECIATION On behalf of the Council, I would like to express our sincere gratitude and appreciation to our Patron, YB Dato Sri Mustapa Mohamed, Minister of International Trade & Industry Malaysia for his continued support and guidance in the Institute s affairs. Jalal ITEM SUBJECT MATTER Welcome Remarks The outgoing President, Dato Sharifah Mohd. Ismail officially declared the 25th Annual General Meeting of Institute of Marketing Malaysia open at 0.5 am, after a quorum was established. The President welcomed and thanked all members and guests for their attendance at this AGM. She recorded the Institute s special thanks and appreciation to Dato Lawrence Chan and Mr. B.K. Ng for their untiring support and valuable advice to IMM as advisers and Life Members. After the formalities, the President proceeded with the first item on the Agenda, which is to confirm the Minutes of the 24th Annual General Meeting of the Institute held on 2st May 20. Confirmation of Minutes of 24th Annual General Meeting The Hon. Secretary, Cik Haslina Azlan proceeded to read through the Minutes of the 24th Annual General Meeting held on 2st May at Singgahsana Hotel. Having gone through the Minutes, the President then proposed that the Minutes be adopted, and was seconded by Mr. Ganeshwaran. To Receive The Annual Report of the Council President s Report Before proceeding with the Report, the President called on all the outgoing Council Members who had served the Council for Term and thanked them for their support and hard work. Dato Sharifah also added that having completed five terms as President, she was proud that the Institute had achieved a lot to reach its current status, although it had taken 0 years to do so. The President also thanked all IMM members for their continuous support of the Institute. The President reported that the period under review from witnessed the continuous growth of the Institute s membership from strength to strength, especially in the Ordinary membership category. Up to the end of 202, there were over 600 ordinary members and over 00 Corporate members registered with IMM. However, the Institute still faced difficulties in getting some Corporate members to renew their memberships. Nevertheless, the Institute will continue to work hard to retain its members and deliver the benefits of membership as well as to create value for all its members. ACTION 6

19 AGM MINUTES OF 25TH ANNUAL GENERAL MEETING ITEM SUBJECT MATTER ACTION 2..3 With training and education being the Institute s core business, IMM continued to focus its efforts on this area by organizing 27 training sessions and 8 public seminars which have benefitted over two thousand participants not only from within the country but also from overseas. These have been made possible by the training grant provided by SME Corporation under the Skills Upgrading Training Programme On the Institute s Publication, Marketeer, the President reported that IMM will continue to publish at least two issues annually. The President highlighted that for the first issue for 203, Marketeer featured Malaysia s Prime Minister, YAB Datuk Seri Mohd. Najib Tun Razak on its front page with a cover story. The President gave assurance that the Institute will strive to remain relevant in the industry in the face of challenges and changes in the marketing landscape not only locally but also globally. Most importantly, the Institute will continue to provide valueadded benefits to all its members. Looking ahead, the President remarked that the Institute will turn 35 in 204 and has come a long way to leave its mark in the industry. She hoped more will be achieved in the coming years. In conclusion, the President put on record the Institute s appreciation and thanks to its Patron, YB Dato Sri Mustapa Mohamed, Minister of International Trade & Industry for his support and guidance in the Institute s affairs. Appreciation and thanks was also recorded for IMM s Founder, Past Patrons, Advisors and Fellows for their guidance and support of the Institute. The President also thanked all the Council Members and staff at IMM for their commitment and dedication towards the Institute. The President then handed over the meeting to the Hon. Secretary to deliver her Report. Honorary Secretary s Report The Honorary Secretary, Cik Haslina Azlan read through her Report which recorded the appointment of seven new Council Members at the 24th Annual General Meeting on 2st May 20. The Honorary Secretary also reported that a total of 0 Council meetings were held for the Term and the attendance record of Council members at these meetings. The Report also recorded the resignation of Encik Mohammed Salim Ashedoff as Council Member in April 202. After concluding her Report, the Honorary Secretary handed the meeting over to the Honorary Treasurer to present Agenda Item 3. To receive and if approved to pass the Accounts for the year ended 3st December 200 and 3st December 20 The Honorary Treasurer, Dr. Leow Chee Seng, reported on the Income and Expenditure Statement for the Year Ended 3st December 200 and 3st December 20 together with the Balance Sheet. Mr. S.S. Lee, IMM member queried why the Institute s bank balance as at st January 20, as reported in the Balance Sheet as at December 20 showed a deficit of RM6, Mr. Lee also wanted to know if IMM had arranged for an overdraft facility with the bank and the amount involved. The President responded by confirming that the Institute has not taken out any overdraft with the bank. The deficit in question was an amount carried forward from previous years accounts which was not rectified, hence it still showed in the current balance. The President assured that IMM will get its auditors to rectify the accounts. Mr Lee also drew attention to the negative amount against sale of books reported as income in the Income and Expenditure Statement for year ended 3st December 20 (page 50 of the Performance Report). To this, the Honorary Treasurer responded that 7

20 MINUTES OF 25TH ANNUAL GENERAL MEETING ITEM SUBJECT MATTER ACTION IMM normally buys the stock first, thus the amount represented the advance purchase of books before it was placed for sale to participants at IMM s events - seminars and training programs Mr. Lee also requested clarification on the expenses against Subscription-IMM Corp. Member on page 5 of the Performance Report. The President explained that this amount represented subscription of the Harvard Business Review (HBR) magazine for new Corporate Members or renewal of the HBR subscription for Corporate members who renewed their membership. The meeting took note that all the questions raised with regards to the Institute s accounts will be rectified by IMM accordingly. No other questions were raised on the accounts. Overall, Mr. B.K. Ng from the Marketing Institute of Singapore (MIS), an affiliate of Institute of Marketing Malaysia, commended Dato Sharifah for her leadership at IMM and the achievements made although the workforce at IMM only comprised of 4 staff, compared to MIS which had a workforce of 35 staff. He was particularly impressed that IMM had managed to get the Prime Minister of Malaysia featured on the front page with a cover story in its latest issue of the Marketeer publication. Being a resident in Johor Bahru, Mr. B.K. Ng also remarked that Johor Bahru would be a good place for IMM to expand its business. The President thanked Mr. B.K. Ng for his kind words and concluded that IMM will look forward to start a new chapter in Johor Bahru. There being no other questions raised on the Accounts of the Institute, it was proposed to adopt and accept the Accounts for the Year ended 3st December 200 and 3st December 20. To Elect Council Members for the Term The outgoing President, Dato Sharifah Mohd. Ismail, informed the meeting that IMM had prepared a Nomination List and invited someone from the floor to moderate the election process. Mr. Vincent Leong, IMM member offered to be the moderator. Hon. Treasurer, Ms Tan Mee Loo (Sarah) as the second Authorized Signatory (Signatory B ) together with the Hon. Treasurer, Dr. Leow Chee Seng alongside the President, Dato Sharifah Mohd. Ismail (Signatory A) This is to ensure that the Institute s day-to-day administration is not interrupted when the Hon. Treasurer is out of the country on business. IMM will notify the bank duly, in writing of the additional name for its Current Account s Second Authorized Signatory (Signatory B ). Mr. Vincent Leong invited all the Council members for the Term to the front table to be introduced. Dato Sharifah congratulated all Council members who were re-elected and welcomed the newly-elected Council members to IMM. Mr. Shawn Augustine, proxy for Mr. Valentino Lee of Taylor s University informed the President that although Mr. Valentino Lee could not attend the meeting, he had informed him of his interest to serve on IMM s Council, if he was elected at the AGM. The President then invited all the newly-elected Council members to briefly introduce themselves to the meeting. Mr. Nitthiyanathan Lachumanan or better known as Ananth, informed that he has been a member of IMM since 2005, and has been involved in the industry for the past 8 years. He is now attached to Quest International University, Perak as its Deputy Director, Marketing Division. He expressed his hope to be an active member of the Council and to be able to contribute to the well being of the Institute. Dr. Nor Azila Mohd. Noor, introduced hereself as Director of DBA program at Othman Yeop Abdullah Graduate School of Business, UUM, and also an Associate Professor of Marketing at the School. She hoped to be able to contribute towards collaboration arrangement between her University and IMM, as well as do her part in helping to increase the Institute s members. Mr. Shawn Augustine, proxy for Mr. Valentino Lee, spoke on behalf of Mr. Valentino Lee who was unable to attend the AGM. He conveyed Mr. Valentino Lee s assurance to support the President in all IMM s undertakings. Puan Fairuz Muchtar informed that she is currently attached at Universiti Putra Malaysia (UPM), and as a member of IMM she has been actively involved with the Institute s programs and activities for many years. 9

She added that with a bigger line-up of 5 members in the Council, she hoped to have everyone s support to bring IMM to the next level. To elect Auditors for There was no election of Auditor for the Term at this AGM. Any Other Matters Appreciation for Past Council Members The President recorded the Institute s thanks and appreciation to past Council Members Puan Atikah Sulaiman, Encik Mohamed Salim Ashedoff and Mr. K.K. Lai, for their support to the Institute during their term in office. Comments from the floor and general observations Sarah Tan and Tengku Nila both recorded their thanks for being re-elected to the Council for another term and re-affirmed their continued support of the Institute. Tengku Nila also added that her first task would be to get Malaysian Technology Development Corporation Sdn Bhd, where she is currently attached to as its Senior Vice-President of Nurturing Services, to sign up with IMM as a Corporate Member. Prof. Dr. Samsinar thanked everyone for electing her on the Council again and will continue to give her assistance and support to the Institute in whatever way she can. As the Head of Accreditation at UPM s Faculty of Economics & Management, Prof. Dr. Samsinar also offered her help and advice on accrerditation matters to those who would need it. Dato Rozalila said she looked forward to working with the Council again for the next 2 years, and will find ways of bringing more value for IMM s members and raising the standards of IMM. Datuk Dr.N.Marimuthu was pleased to note that the Institute is getting respect and recognition in the industry, and everyone in the Council should look towards the future for IMM and at the same time continue to help attract more members. Datuk Dr. N.Marimuthu also did not forget to thank all IMM staff for their hard work. Haslina Azlan said that her experience in sales and marketing for the past 0 years at Telekom Malaysia Selangor has helped her at IMM and she will continue to lend her support to the President and Council for the betterment of the Institute. Dr. Leow Chee Seng spoke of his profession as a consultant and trainer and as Adjunct Professor at Help University. He has also been helping IMM with its training programs. Siti Badarny pledged to give her best in helping IMM to bring in more members. She also hoped that Putra Business School-UPM, where she is currently attached, will complement the role of IMM. Encik Mohamed Sallauddin thanked the President, Council and all members for their trust in re-electing him on the Council again for another term. Having worked at Malaysia Airports Holdings for the past 3 years in marketing, he said he still had more to learn. He also hoped to be more involved in seminars organized by IMM in future, but as his job entails a lot of travel, he was not able to attend every meeting of the Council. Announcements and Proposals Before concluding the AGM, the President made a few announcements as follows : i) First CEO Talk 203 organized by IMM - Telekom Malaysia s CEO, YBhg. Tan Sri Zamzamzairani Mohd. Isa, has agreed to do the Talk on 3rd July 203. ii) Membership drive - stress will be given on registering more new Corporate Members. 20

This can be done through distributing promotional flyers on the Institute. Mr. S.S. Lee, another IMM member commented he was impressed with the achievements made by IMM as a non-profit organization. But he suggested that IMM should organize a monthly get-together among members so that they can meet each other often to exchange ideas, instead of meeting only during IMM s events and seminars. Veronica Lourdes, Managing Director of ACE Professional Studies, said that the company offered many training programmes and hoped to work together with IMM Council to promote the programmes. Dato Lawrence Chan, IMM Life member and Adviser also recorded thanks and appreciation to past Council members who had contributed to the success of the Institute. He also commended IMM for having a very capable leader as its President. Conclusion There being no other matters to be discussed, the President officially declared the Annual General Meeting closed and thanked everyone present for their attendance.
