This vent can be powder coated to any BS or RAL colour Tailpiece option replaces the need for glass above the vent so lead flashing can be brought down straight on to the tailpiece. 21 TERMS AND CONDITIONS In these conditions Ventec 100 Ltd is referred to as the Company and the person contracting with the Company is referred to as the Customer. All contracts made by the Customer with the Company shall be on the terms hereof and the Customer shall not be entitled to rely upon any statement (other than the terms of this Contract) whether oral or written and whether express of implied given or made by or on behalf of the Company. AVAILABILITY All delivery dates are subject to war strikes civil commotions lockouts breakdown of machinery or any other cause beyond the Company s control and also to the Customer giving to the Company all particulars necessary for delivery to be made within any stated delivery times. PRICES All prices are subject to change without notice and are exclusive of value added tax carriage and delivery charges. QUOTATIONS Any quotation given by the Company is a) To be regarded as an invitation for the Customer to make an offer and the quotation itself is not an offer by the Company and b) Subject to any fluctuation in the price to be paid by the Company for the goods import or any other duty and foreign exchange rates and also subject to the availability of the goods to the Company. c) All quotations are valid for a period of 30 days unless otherwise agreed. TERMS Payment shall be made by the Customer by the 21st day of the month following the date of invoice. If payment is not made on the due date the Company shall have the right to require payment of interest on the outstanding amount at the rate of 3% per month from the due date until the date of actual payment (whether before or after Judgement) and any discount which may have been given to the Customer will be disallowed and the full price payable in accordance with the terms of this condition. The Customer hereby agrees to reimburse the Company on a full indemnity basis all costs and expenses incurred in either the repossession of goods sold to the Customer and not paid for or in the collection of payment for goods sold and delivered to the Customer. OWNERSHIP a) The title to any goods purchased from the Company shall only pass to the Customer upon payment in full of the price thereof. b) Until such payment the Customer shall store the goods in such a way to show clearly they are the property of the Company. c) The Company reserves the right to repossess any of the goods and equipment to which it has title hereunder and for this purpose the Customer hereby grants an irrevocable right and licence to the Company its servants and agents to enter upon all or any of the Customer s premises with such transport as may be necessary during normal working hours to collect the said goods. Notwithstanding that title to the goods has not passed to the Customer by reason of the foregoing the goods and equipment shall be at the Customer s risk from the time of delivery to him or to any carrier or agent acting on his behalf. The right of the Company to recover possession of the goods from the Customer shall be in addition to all other rights the Company has against the Customer. WARRANTY a) The Company s liability in respect of any faulty goods shall be limited to damage caused to the goods by the Company and shall not extend to any defect in manufacture nor to any consequential loss or damage howsoever caused by such or any other defect. b) The Company shall not under any circumstances whatsoever be liable for any loss (which expression in this clause included injury damage or delay) or for any consequential loss arising out of any cause whatsoever relating to the goods and in particular due to any malfunctioning of or defect in or failure of any of the goods or any part thereof or any loss of the use of the goods or any part thereof. c) Any warranties or conditions statutory or otherwise whether express or implied as to the quality or fitness for the purpose of the goods are expressly excluded in so far as such exclusion is allowed at law. d) This agreement shall unless otherwise stated be governed by the laws of England. CLAIMS The Customer shall inspect the goods and equipment immediately on delivery and shall within three days of such inspection give notice in writing to the Company of any matter or thing by reason whereof it is alleged that the goods are not in accordance with this Contract. If the Customer shall fail to give notice these said goods and equipment shall be deemed to be in all respects in accordance with this Contract. RETURNS Goods supplied in accordance with Customer orders cannot be accepted for return without our written consent. If approval is given a handling charge will be made. Returned goods must be confirmed and carriage paid. GUARANTEE Our products are guaranteed for a period of 12 months from date of invoice against electrical breakdown or mechanical failure resulting from defective materials and/or workmanship providing the breakdown or failure is not due to misuse or operation under adverse conditions. Any unit proving faulty and covered by the provisions of this guarantee must be returned to our works complete carriage paid, for examination when it will be repaired or replaced at our option, stating the relevant sales invoice no. Units that have been dismantled, or cables that have been cut or removed, are exempt from this guarantee. Issue 2
