1 Fortis Wind Energy dealer price list DELIVERY CONDITIONS All orders are subject to our General Conditions of Sale, please read the last pages of this price list. Prices are F.C.A. Groningen in Euro s, including packing for container/air freight & transport, excluding taxes (VAT) and duties. Delivery time : 2-12 weeks (subject to supplier's stock). Warranty: 5 years from date of installation (see also our General Conditions of Sale), if both the turbine, the inverter and the pole are supplied by Fortis Wind Energy and installed according to our specifications. Otherwise warranty will be limited. Prices valid from to Order and Payment: 50% of contract price at order, and 50% of contract price on advice of goods being ready for despatch. Shipping ground anchors in advance of the pole costs Euro 100 per order. All Bank Charges are for the account of the buyer. Terms of payment are stated on our offer, order confirmation and invoice. N.B. We are obliged to charge all residents of EC countries 19% VAT, over and above the catalogue price, on all goods sold. Customers who can demonstrate a legally registered and controlled VAT code will not be charged VAT.

5 GENERAL CONDITIONS OF SALE FOR MACHINERY AND EQUIPMENT 1. General These general conditions are operative with all tenders and contracts of Fortis Wind energy, unless explicitly agreed otherwise in writing. 2. Tenders Tenders are made by Fortis Wind energy without engagement and open for acceptance within the period states therein, or, if no period is stated, within 30 days. 3. Contracts a) A contract becomes effective on the date the contract is signed by Fortis Wind energy, or upon the date the written confirmation of an order is mailed by Fortis Wind energy. b) Verbal promises and arrangements with subordinate employees of Fortis Wind energy shall not be binding upon Fortis Wind energy until and insofar as they have been confirmed by Fortis Wind energy in writing. 4 Price a) Prices quoted by Fortis Wind energy are FCA Haren, excluding VAT and including packing and loading on carrier. Costs of transportation and insurance will be charged separately. Import duties and taxes levied in the country of destination are for the account of purchaser. b) If one of the cost-price factors should be raised after the date of offer, Fortis Wind energy shall be entitled to increase the contract price accordingly. 5. Drawings, calculations, descriptions, etc. a) Any data mentioned in catalogues, illustrations, drawings, statements of weight and measures etc. shall not be binding for Fortis Wind energy unless explicitly inserted in a contract, signed by Fortis Wind energy, or in a confirmation of order, signed by Fortis Wind energy. b) Tenders made by Fortis Wind energy, drawings, calculations, descriptions etc, supplied by Fortis Wind Energy shall remain the property of Fortis Wind energy. The purchaser shall see to it that no data, concerning the methods of fabrication and/or constructions of Fortis are copied, shown to third parties, made public or used without previously written permission by Fortis Wind energy. 6 Assembly If assembly works make part of the contract: a) no civil construction works are assumed to be included in contract, unless explicitly stated in the contract. b) lifting equipment is assumed to be part of purchaser s responsibility. c) if the contract is part of a bigger work, the purchaser is responsible for timely execution of those parts of it which are necessary to enable Fortis Wind energy to execute its part. Costs forthcoming from delays in the part for which purchaser is responsible are for the account of the purchaser. d) if purchaser should make personnel available to Fortis to carry out its task, purchaser is responsible for timely availability. Fortis Wind energy is only responsible for the work carried out by personnel made available by purchaser, if and insofar this personnel carried out the instructions of the supervisor of Fortis Wind energy. e) the purchaser shall to see to it, at his own expense and risk that: personnel of Fortis can start work as soon as they have arrived and are given the opportunity to perform their duties during normal working hours and moreover, if Fortis Wind energy should deem it necessary, outside normal working hours, after having notified the purchaser of this within in proper time. -suitable accommodation and/or facilities as required by Dutch Law are made available to personnel of Fortis Wind energy.

Payment Payment shall be done after notice by Fortis Wind energy, that the goods are ready for despatch. 8 Time of delivery The delivery period starts at the date the contract is signed by Fortis Wind energy, or the date the written confirmation of order is mailed by Fortis Wind energy respectively. The delivery period ends at the date Fortis Wind energy gives notice to the purchaser that the goods are ready for despatch. The delivery period is based upon normal working conditions and the timely delivery of materials ordered by Fortis. In case of deviating working conditions or a delay in delivery of materials ordered in time, or force majeur, the delivery period shall be extended with such a period as is reasonable. 9. Responsibility The delivery shall take place loaded on carrier in Haren. Transportation to the purchaser s destination shall be the responsibility of the purchaser. 10 Passing of risk and ownership a) immediately after delivery FCA by Fortis Wind energy the purchaser shall bear the risk of the goods. b) the ownership of the goods supplied by Fortis will only pass to the purchaser after receipt by Fortis Wind Energy of all amounts due to Fortis Wind energy forth coming from the contract c) Fortis Wind energy shall be irrevocably authorised by the purchaser to dismantle and recover the goods, mounted to movable or immovable property on demand, if purchaser should not meet his payment obligations, without any notice or judicial intervention. 11 Warranty Fortis Wind energy guarantees the quality of the design, the materials applied and its workmanship for a period of 5 years after installation, if: personnel of Fortis or/and personnel of an agent of Fortis, which is accredited by Fortis Wind energy carry out the installation. a warranty registration form has been received by Fortis Wind energy. The warranty comprises the repair or replacement of the components, or components, which are damaged by malfunction, due to faults in the design, the quality of the materials applied, or workmanship. No warranty is given if purchaser makes changes to the goods supplied by Fortis Wind energy, or applies other materials or components which are not supplied by Fortis Wind energy or do not follow the installation instructions properly. In case of a warranty claim, purchaser will send on his account the concerning components or component to Fortis Wind energy and shall provide Fortis Wind energy with reasonable prove that the damage is caused by fault in the design, the materials or workmanship. Fortis wind energy shall treat the claim as soon as Fortis Wind Energy acknowledges the claim on the basis of the received prove, or by photographs/inspection report. Freight of the returned goods to be paid at destination by purchaser. 12 Applicable law All contracts and tenders shall be governed by Dutch Law. Any disputes shall be settled by a board of arbitration, which shall be appointed in accordance with the regulations of the Stichting Raad van Arbitrage voor Metaalnijverheid en Hande in The Hague.
