This reputation has coe about because of our unparallelled expertise in irrigation technology and back-up services, our coitent to high standards of installation and our association with Rain Bird, the global leader in irrigation products. Arden Lea is a copletely self-contained copany, without reliance on sub-contractors or hired-in plant. We use only state-of-the-art achinery and equipent, aintained by ourselves in our own purpose-built workshops. Arden Lea Irrigation is part of the Arden Lea group of copanies Our core activity is in golf course irrigation. In our early years, we installed systes in the North West of England, where our offices are based. Courses such as the prestigious Royal Birkdale, Open Chapionship course, Forby and Lytha Green Drive were also copleted. As our reputation spread, we undertook installations further afield and now cover all of the UK and Eire. We were the ain contractors at the world faous Wentworth and have installed irrigation at soe of the countries top links courses used for final Open qualifying such as Southport & Ainsdale, West Lancs and North Berwick. We have also worked on soe of the top courses on the west coast of Ireland at Ballybunion, Killarney and Lahinch. Work has also been undertaken at European PGA courses such as The Forest of Arden. Away fro golf, we have installed irrigation systes in soe of the country s top race courses, including York, Aintree, Goodwood, Haydock Park, Hailton, Sedgefield and Pontefract. We have also worked on irrigation for the Scottish Rugby Union at Murrayfield stadiu, Manchester United training ground at Carrington and were the ain contractors for the Manchester International Airport Terinal 2. Our success is due in part to the care we take in the choice of coponents. We do not coproise on quality and therefore only use recognised anufacturers - try the yourself and you ll see why. This process involves coating the fittings with zinc which, in addition to its natural resistance to corrosion, provides electro-cheical protection where the iron of the fitting is exposed by daage. Mild steel fittings can be supplied with a proprietary zinc based coating. The thickness of the zinc coating on Crane galvanised fittings confors to the requireents of BS EN and BS143 & the surface related ass of the zinc coating shall not be less than 500 g/ 2 as an average of 5 fittings. 39 Ters & Conditions 1 DEFINITIONS In this docuent the following words shall have the following eanings: 1.1 Agreeent eans these Ters and Conditions together with the ters of any applicable Specification Docuent; 1.2 Custoer eans the organisation or person who purchases goods and services fro the Supplier; 1.3 Intellectual Property Rights eans all patents, registered and unregistered designs, copyright, trade arks, know-how and all other fors of intellectual property wherever in the world enforceable; 1.4 Specification Docuent eans a stateent of work, quotation or other siilar docuent describing the goods and services to be provided by the Supplier; 1.5 Supplier eans Arden Lea irrigation, 160 Moss Lane, Hesketh Bank, Preston, PR4 6AE 2 GENERAL 2.1 These Ters and Conditions shall apply to all contracts for the supply of goods and services by the Supplier to the Custoer. 2.2 Before the coenceent of the services the Supplier shall subit to the Custoer a Specification Docuent which shall specify the goods and services to be supplied and the price payable. All Specification Docuents shall be subject to these Ters and Conditions. 2.3 The Supplier shall use all reasonable endeavours to coplete the services within estiated tie fraes but tie shall not be of the essence in the perforance of any services. 3 PRICE AND PAYMENT 3.1 The price for the supply of goods and services are as set out in the Specification Docuent. The Supplier shall invoice the Custoer within 28 days. 3.2 Invoiced aounts shall be due and payable within 30 days of receipt of invoice. The Supplier shall be entitled to charge interest on overdue invoices fro the date when payent becoes due fro day to day until the date of payent at a rate of 2% per annu above the base rate of the Bank of England. In the event that the Custoer s procedures require that an invoice be subitted against a purchase order to payent, the Custoer shall be responsible for issuing such purchase order before the goods and services are supplied. 4 SPECIFICATION OF THE GOODS All goods shall be required only to confor to the specification in the Specification Docuent. For the avoidance of doubt no description, specification or illustration contained in any product paphlet or other sales or arketing literature of the Supplier and no representation written or oral, correspondence or stateent shall for part of the contract. 5 DELIVERY 5.1 The date of delivery specified by the Supplier is an estiate only. Tie for delivery shall not be of the essence of the contract and the Supplier shall not be liable for any loss, costs, daages, charges or expenses caused directly or indirectly by any delay in the delivery of the goods. 5.2 All risk in the goods shall pass to the Custoer upon delivery. 6 TITLE Title in the Goods shall not pass to the Custoer until the Supplier has been paid in full for the Goods. 7 CUSTOMER`S OBLIGATIONS 7.1 To enable the Supplier to perfor its obligations under this Agreeent the Custoer shall: co-operate with the Supplier; provide the Supplier with any inforation reasonably required by the Supplier; obtain all necessary perissions and consents which ay be required before the coenceent of the services; and coply with such other requireents as ay be set out in the Specification Docuent or otherwise agreed between the parties. 7.2 The Custoer shall be liable to copensate the Supplier for any expenses incurred by the Supplier as a result of the Custoer s failure to coply with Clause Without prejudice to any other rights to which the Supplier ay be entitled, in the event that the Custoer unlawfully terinates or cancels the goods and services agreed to in the Specification Docuent, the Custoer shall be required to pay to the Supplier as agreed daages and not as a penalty the full aount of any third party costs to which the Supplier has coitted and in respect of cancellations on less than five working days written notice the full aount of the goods and services contracted for as set out in the Specification Docuent, and the Custoer agrees this is a genuine pre-estiate of the Supplier s losses in such a case. For the avoidance of doubt, the Custoer s failure to coply with any obligations under Clause 7.1 shall be deeed to be a cancellation of the goods and services and subject to the payent of the daages set out in this Clause. 7.4 In the event that the Custoer or any third party, not being a sub-contractor of the Supplier, shall oit or coit anything which prevents or delays the Supplier fro undertaking or coplying with any of its obligations under this Agreeent, then the Supplier shall notify the Custoer as soon as possible and: the Supplier shall have no liability in respect of any delay to the copletion of any project; if applicable, the tietable for the project will be odified accordingly; the Supplier shall notify the Custoer at the sae tie if it intends to ake any clai for additional costs. 8 ALTERATIONS TO THE SPECIFICATION DOCUMENT 8.1 The parties ay at any tie utually agree upon and execute new Specification Docuents. Any alterations in the scope of goods and/or services to be provided under this Agreeent shall be set out in the Specification Docuent, which shall reflect the changed goods and/or services and price and any other ters agreed between the parties. 8.2 The Custoer ay at any tie request alterations to the Specification Docuent by notice in writing to the Supplier. On receipt of the request for alterations the Supplier shall, within 5 working days or such other period as ay be agreed between the parties, advise the Custoer by notice in writing of the effect of such alterations, if any, on the price and any other ters already agreed between the parties. 8.3 Where the Supplier gives written notice to the Custoer agreeing to perfor any alterations on ters different to those already agreed between the parties, the Custoer shall, within 5 working days of receipt of such notice or such other period as ay be agreed between the parties, advise the Supplier by notice in writing whether or not it wishes the alterations to proceed. 8.4 Where the Supplier gives written notice to the Custoer agreeing to perfor alterations on ters different to those already agreed between the parties, and the Custoer confirs in writing that it wishes the alterations to proceed on those ters, the Specification Docuent shall be aended to reflect such alterations and thereafter the Supplier shall perfor this Agreeent upon the basis of such aended ters. 9 WARRANTY 9.1 The Supplier warrants that as fro the date of delivery for a period of 12 onths (or in accordance with the anufactuers warranty where this exceeds 12 onths) the goods and all their coponent parts, where applicable, are free fro any defects in design, workanship, construction or aterials. 9.2 The Supplier warrants that the services perfored under this Agreeent shall be perfored using reasonable skill and care, and of a quality conforing to generally accepted industry standards and practices. 9.3 Except as expressly stated in this Agreeent, all warranties whether express or iplied, by operation of law or otherwise, are hereby excluded in relation to the goods and services to be provided by the Supplier. 10 INDEMNIFICATION The Custoer shall indenify the Supplier against all clais, costs and expenses which the Supplier ay incur and which arise, directly or indirectly, fro the Custoer s breach of any of its obligations under this Agreeent, including any clais brought against the Supplier alleging that any goods and/or services provided by the Supplier in accordance with the Specification Docuent infringes a patent, copyright or trade secret or other siilar right of a third party. 11 LIMITATION OF LIABILITY 11.1 Except in respect of death or personal injury due to negligence for which no liit applies, the entire liability of the Supplier to the Custoer in respect of any clai whatsoever or breach of this Agreeent, whether or not arising out of negligence, shall be liited to the price paid by the Custoer to which the clai relates In no event shall the Supplier be liable to the Custoer for any loss of business, loss of opportunity or loss of profits or for any other indirect or consequential loss or daage whatsoever. This shall apply even where such a loss was reasonably foreseeable or the Supplier had been ade aware of the possibility of the Custoer incurring such a loss Nothing in these Ters and Conditions shall exclude or liit the Supplier s liability for death or personal injury resulting fro the Supplier s negligence or that of its eployees, agents or sub-contractors. 12 TERMINATION Either party ay terinate this Agreeent forthwith by notice in writing to the other if: 12.1 the other party coits a aterial breach of this Agreeent and, in the case of a breach capable of being reedied, fails to reedy it within 30 calendar days of being given written notice fro the other party to do so; 12.2 the other party coits a aterial breach of this Agreeent which cannot be reedied under any circustances; 12.3 the other party passes a resolution for winding up (other than for the purpose of solvent aalgaation or reconstruction), or a court of copetent jurisdiction akes an order to that effect; 12.4 the other party ceases to carry on its business or substantially the whole of its business; or 12.5 the other party is declared insolvent, or convenes a eeting of or akes or proposes to ake any arrangeent or coposition with its creditors; or a liquidator, receiver, adinistrative receiver, anager, trustee or siilar officer is appointed over any of its assets. 13 INTELLECTUAL PROPERTY RIGHTS All Intellectual Property Rights produced fro or arising as a result of the perforance of this Agreeent shall, so far as not already vested, becoe the absolute property of the Supplier, and the Custoer shall do all that is reasonably necessary to ensure that such rights vest in the Supplier by the execution of appropriate instruents or the aking of agreeents with third parties. 14 FORCE MAJEURE Neither party shall be liable for any delay or failure to perfor any of its obligations if the delay or failure results fro events or circustances outside its reasonable control, including but not liited to acts of God, strikes, lock outs, accidents, war, fire, the act or oission of governent, highway authorities or any telecounications carrier, operator or adinistration or other copetent authority, or the delay or failure in anufacture, production, or supply by third parties of equipent or services, and the party shall be entitled to a reasonable extension of its obligations after notifying the other party of the nature and extent of such events. 15 INDEPENDENT CONTRACTORS The Supplier and the Custoer are contractors independent of each other, and neither has the authority to bind the other to any third party or act in any way as the representative of the other, unless otherwise expressly agreed to in writing by both parties. The Supplier ay, in addition to its own eployees, engage sub-contractors to provide all or part of the services being provided to the Custoer and such engageent shall not relieve the Supplier of its obligations under this Agreeent or any applicable Specification Docuent. 16 ASSIGNMENT The Custoer shall not be entitled to assign its rights or obligations or delegate its duties under this Agreeent without the prior written consent of the Supplier. 17 SEVERABILITY If any provision of this Agreeent is held invalid, illegal or unenforceable for any reason by any Court of copetent jurisdiction such provision shall be severed and the reainder of the provisions herein shall continue in full force and effect as if this Agreeent had been agreed with the invalid illegal or unenforceable provision eliinated. 18 WAIVER The failure by either party to enforce at any tie or for any period any one or ore of the Ters and Conditions herein shall not be a waiver of the or of the right at any tie subsequently to enforce all Ters and Conditions of this Agreeent. 19 NOTICES Any notice to be given by either party to the other ay be served by eail, fax, personal service or by post to the address of the other party given in the Specification Docuent or such other address as such party ay fro tie to tie have counicated to the other in writing, and if sent by eail shall unless the contrary is proved be deeed to be received on the day it was sent, if sent by fax shall be deeed to be served on receipt of an error free transission report, if given by letter shall be deeed to have been served at the tie at which the letter was delivered personally or if sent by post shall be deeed to have been delivered in the ordinary course of post. 20 ENTIRE AGREEMENT This Agreeent contains the entire agreeent between the parties relating to the subject atter and supersedes any previous agreeents, arrangeents, undertakings or proposals, oral or written. Unless expressly provided elsewhere in this Agreeent, this Agreeent ay be varied only by a docuent signed by both parties. 21 NO THIRD PARTIES Nothing in this Agreeent is intended to, nor shall it confer any rights on a third party. 22 GOVERNING LAW AND JURISDICTION This Agreeent shall be governed by and construed in accordance with the law of England and the parties hereby subit to the exclusive jurisdiction of the English courts.
