2 A National Electric Power Regulatory Authority (NEPRA) Islamabad Pakistan GENERATION LICENCE SGC/50/2009 In exercise of the Powers conferred upon the National Electric Power egulatory Authority (NEPRA) under Section-26 of the Regulation of Generation, ransmission and Distribution of Electric Power Act, 1997 (XL of 1997), the uthority hereby modifies the Generation Licence granted to AL-NOOR SUGAR ILLS LIMITED (issued on July 30, 2009 and expiring on July 29, 2029), to the )(tent of changes mentioned as here under:- (i). The Installed Capacity mentioned in the Face Sheet may be read as MW instead of MW; (ii). Changes in Schedule-I attached as Revised Schedule-I; and (iii). 8 Generation Licence AI-Noor Sugar Mills Limited INTERCONNECTION/TRANSMISSION ARRANGEMENT FOR THE DISPERSAL OF POWER FROM THE POWER PLANT The Power generated by the (ANSML) from its Baggasse based Thermal Power Generation facility shall be dispersed to the Load Center of Sukkur Electric Supply Company Limited (SEPCO). The Interconnection/Transmission Arrangement for the above mentioned facilities will be at 11 KV voltage as given in the Agreements for Power Purchase (PPA) of 30th May 30, 2009 signed between ANSML and SEPCO. The final Interconnection and Transmission Arrangement(s), for the dispersal of power, as agreed by ANSML and SEPCO shall be communicated to NEPRA in due course of time. Page 6 of 10 of Schedule I

15 National Electric Power Regulatory Authority (NEPRA) Determination of Authority in the Matter of Licensee Proposed Modification of AL-Noor Sugar Mills Limited ANSML June 18, 2013 Application LAG-136 (A). Background (i). NEPRA granted a Generation Licence ( SGC/50/2009, dated July 30, 2009) to ANSML for its Captive Power Plant (CPP) located at Noor Jahania, Taluka Dulatpur, in the Province of. (ii). ANSML was also allowed supplying 5.00 MW of surplus of electricity from this facility to Hyderabad Electric Supply Company Limited (HESCO) through a Bi-lateral Contract on take and pay basis which was subsequently increased to 8.00 MW. (B). Communication of Licensee Proposed Modification (i). ANSML in accordance with Regulation-10 of the National Electric Power Regulatory Authority Licensing (Application & Modification Procedure) Regulations, 1999 (the Regulations), communicated a Licensee Proposed Modification (LPM) to the Authority on June 27, (ii). The Registrar scrutinized the submitted request and observed that the ANSML did not pay the required non-refundable fee at the time of submission of the LPM for the modification of the licence as required under Regulton-10 (3) of the Regulations. Accordingly, Registrar directed ANSML for depositing the required fee. ANSML deposited the requ July 18, c._) 23. p,zgistrar NE PO* Page 1 of 4

16 (iii). ANSML in the "Text of the proposed Modification" & "Reason in Support of Modification" statements informed that it was planning to install a new MW Steam Turbine at its existing CPP. The proposed installation would increase the total Install Capacity of its CPP. Further, the CPP is now stands located in the Service Territory of Sukkur Electric Power Company Limited (SEPCO) instead of HESCO thus requiring modification. (iv). Regarding the "Impact on Tariff', "Quality of Service (QoS)" and "Performance", ANSML submitted that the installation of Steam Turbine would not have any adverse effect on the tariff, QoS and on performance of its obligations under the already granted Generation Licence. In fact QoS and performance of ANSML would be greatly improved with the installation of new Steam Turbine and additional 7.00 MW would be made available to National Grid through SEPCO. (C). Processing of LPM (i). After completion of all the required information as stipulated under the Regulation 10 (2) and 10 (3) of the Regulations by ANSML, the Registrar accepted the LPM as required under the Regulation 10 (4) of the Regulations. (ii). A Notice about the Communicated LPM was published in the Newspapers of July 29, 2012, seeking comments from general public and other stakeholders in favor or against the proposed LPM. (iii). Apart from the notice in the press, separate notices were also sent to experts, government ministries and representative organizations etc. inviting their views and comments. (D). Comments of Stakeholders (i). In response to the above published notice of LPM in the press and subsequent correspondences mad with other stakeholders, NEPRA received comments from two (02) stal e ER R included Central Power Purchasing Agency (CPPA) of Nation ransmission Despatch Company (NTDC) and RE_G1STRAR Page 2 of 4

17 Ministry of Water and Power (MoW&P). The salient points of the comments offered by the above mentioned stakeholders are summarized in the following paragraphs: - (a). CPPA confirmed about its no objection for acceptance of the LPM in the Generation Licence of ANSML subject to the fulfillment of all the conditions laid in the relevant Rules and Regulations; (b). MoW&P in its comments stated that it has no objection in granting the proposed modification in the generation license of Al-Noor Sugar Mills Limited provided there is no impact in the QoS and increase in supply tariff. (ii). As explained at B(iv) above, ANSML had already confirmed that the communicated modification would not have any impact on QoS, therefore, due to the supportive comments of CPPA and MoW&P, it was considered appropriate to process the communicated LPM expeditiously. (E). Approval of LPM (i). The Authority considers that in order to meet the growing demand of electricity in the country, it is imperative that efforts should be made to add more Generation Capacity on urgent basis not only by setting up new power plants but also by enhancing capacity of the existing power plants wherever possible. (ii). Further, the Authority is of the considered view that the proposal of ANSML for addition of Generation Capacity is worth considering as installation of new Steam Turbine at its generation facility will not only result in better performance with respect to provision of service without any adverse impact on consumer end tariff or any other stakeholder but will provide MW of additional (a total of MW cumulative) relatively cheap electricity to power starved SEPCO. The additional supply of power to SEPCO will not only reduce load shedding in its service area but will also improve its bility. 14\ REGISTRAR Nt-- Page 3 of 4

In view of the above, the Authority hereby approves the LPM, in the Generation Licence of ANSML for addition of one Steam Turbine (1 x MW), increasing its total installed capacity to from the existing MW. (iv). Accordingly, the already granted Generation Licence SGC/50/2009, dated July 30, 2009 in the name of ANSML is hereby modified. The Face Sheet indicating the required changes alongwith Modified Schedule-I & II of the Generation Licence are attached as Annexure to this determination. The grant of such a Licensee Proposed Modification would be subject to the provisions contained in the NEPRA Act and relevant rules framed there under.
