The applicant seeks to add the following terms and conditions to its licence. Special Authorization Service 2 Maximum Fleet Size (Service 2 Only) Vehicle Capacity (T) Specialty Vehicles: Flip Seat Authorization: Eco-Friendly Taxis Originating Area: Destination Area: Passenger Directed Vehicle (PDV) Proposed Terms & Conditions of Licence: Vehicles 150 vehicles of which a maximum of 123 may be conventional taxis. All other vehicles are accessible taxis. A driver and not less than 2 and not more than 7 passengers. The accessible taxis must be operated in accordance with the Motor Vehicle Act Regulations including Division 10 (motor carriers) and Division 44 (mobility aid accessible taxi standards), as amended from time to time, and in accordance with any other applicable equipment regulations and standards. Accessible taxis may be equipped with flips seats that are installed in accordance with Division 10.07(5) of the Motor Vehicle Act Regulations. Conventional taxis approved for this licence must be operated as `ecofriendly taxis' as defined by Board rules and policy in effect at the time the vehicle is issued a passenger transportation identifier. Service Transportation of passengers may only originate from points in the Greater Vancouver Regional District. Transportation of passengers may terminate at points in the Greater Vancouver Regional District. Express Authorizations: (i) Vehicles must be equipped with a meter that calculates fares on a time and distance basis. (ii) Vehicles may be equipped with a top light. Service Limitation: Taxi Cameras & Meters: Service Priority Requirement: Minimum Operating Requirement: Transportation may only be provided when passengers book the transportation service electronically through Ripe Holdings Inc. s digital booking and payment system. Other Operating Requirements Licensees must install taxi camera equipment and taxi meters, including taxi soft meters, in compliance with applicable rules, standards and orders of the Passenger Transportation Board. Persons with mobility aids who require an accessible taxi for transportation purposes are priority clients for the dispatch of accessible taxis. The licensee must at all times use a dispatch and reservation system that dispatches accessible taxis on a priority basis to clients who have a need for accessible vehicles. Licensees must ensure that accessible taxi service is available to passengers throughout a 24 hour day in a reasonable manner and that Page 2 Application Summary Passenger Transportation Board

Taxi Bill of Rights: Taxi Identification Code: accessible taxi availability is, at a minimum, proportionate to conventional taxi availability. a) A Taxi Bill of Rights issued by the Ministry of Transportation ( Taxi Bill of Rights ) must be affixed to an interior rear-seat, side window of each taxicab operated under the licence. b) The Taxi Bill of Rights must at all times be displayed in an upright position with the complete text intact and visible to passengers. c) Licensees may only display a current Taxi Bill of Rights. Each vehicle operated by the licensee must have a unique taxi identification code (TIC) affixed to the inside and outside of vehicles in a manner that complies with applicable rules, specifications and orders of the Passenger Transportation Board. The applicant seeks the following rates (and rules governing rates) for operations under Service 2: Proposed Rates & Rules (Service 2) Rates Metered rates as set out in Part I of the Board Rule Respecting Lower Mainland Taxicab Rates effective March 1, 2016 Standard Rules Standard Rules for Taxicab Rates effective November 16, 2016 Supplemental, Company-Specific Rules Taxi Pool Fare-Splitting: Metered rates are shared by parties (and automatically calculated by the app) when they choose the taxi pool option, in which case: (a) flag rate charges are shared equally by all parties that are in the vehicle together, and (b) charges for other rates (distance and waiting time) are shared equally by the parties for the portion of the trip that they are traveling together. Payment Method Verification: As a pre-condition for confirming a requested trip, Ripe Holding Inc. may verify that the customer s appregistered credit card (or other electronic payment method) is active at the time of booking. This is done by a temporary, pre-authorization (not a charge) for a nominal amount that is reversed promptly when either (a) a trip request is cancelled, or (b) the trip is complete and payment has been processed. The Licence is a special authorization issued pursuant to the Passenger Transportation Act, and in the case of an extra-provincial undertaking pursuant to the Motor Vehicle Act, 1987 (Canada), and is authorized to provide the passenger transportation services within the meaning of a special authorization, under the Passenger Transportation Act under the terms and conditions as specified below. At the time of initial activation of a special authorization vehicle identifier (SAVI), any vehicle associated with the SAVI must not be more than 2 years old as calculated from the year of manufacture. 2. At the time of renewal of a SAVI, any vehicle associated with the SAVI must not be more than 5 years old as calculated from the year of manufacture. For a period of five years following the initial activation of any special authorization vehicle identifiers (SAVIs), approved in this application, any vehicles attached to a SAVI must remain in the ownership of Ripe Holdings Inc. and in no circumstances can the company issue shares, beneficial or otherwise, with respect to the SAVIs, or vehicles associated with the (SAVIs). 2. For a period of four years following the initial activation of any SAVIs approved in this application, Ripe Holdings Inc. must, at the time of licence renewal, submit a notarized letter confirming that the SAVIs and any vehicles associated with the SAVIs remain in the ownership of the company and no shares have been issued with respect to the operation of the vehicles or the SAVIs associated with the vehicles. Ripe Holdings Inc. must not make any changes to the digital payment and booking system that affects the calculation of time, distance and rates without Passenger Transportation Board approval. This special authorization may not be assigned or transferred except with the approval of the Board pursuant to section 30 of the Passenger Transportation Act. Etc.) - Ripe TX is a fully digitally-dispatched taxi service, meaning no top lights, flagging, or use of taxi stands. This is unique in the GVRD that will fill the public need not only for more and improved taxi services, but also for passenger transportation that meets their needs in a digital world. - Our application is for pickup and drop-off across the Greater Vancouver Regional District (GVRD), which will address common customer concerns and complaints about going to and from the suburbs to downtown Vancouver. 2.
