EDITORIAL Recommendations of IIM (A) on Revival of BSNL IIM Ahmadabad was assigned with a task to give its recommendations for Revival/ restructuring of BSNL in accordance with the DPE guidelines dated 29/10/2015. The team met officers at DOT and at BSNL Corporate office CMD Directors of HR/Finance and Marketing. A sample survey was conducted at five circles namely Kerala, Punjab, Gujarat, Calcutta Telephones and NE1. The team members met with the CGMs, Heads of HR, Admin, Finance, TR CFA,CM, EB, Sales and Marketing Operations of circles as well with the representatives of unions and associations. The interim report addresses four specific issues out lined in an interim meeting with DOT on 26.12.2018. The teams assessment categorized in parts A,B,C,D. 1. What should be the role of BSNL in the Telecom Sector? 2. Should BSNL be allocated 4G Spectrum? 3. What are the salient challenges necessary necessary to be addressed for revival / restructuring of BSNL 4. What steps to be taken for revival / restructuring of BSNL and how the restructuring will be financed? Part A: Role of BSNL in the Indian Telecom Sector Fast changing Telecom Technology, falling prices of technology,and competition ensured that coverage expanded, prises fall and the consumer base grew exponentially. Accompanied by intense rivalry in the sector.the subscribers market share of BSNL as on March 31st 2018 is 12%, The relative performance of BSNL compared to other Private Operators gone down and revenue also steadily declined and also its per subscriber cost of operations is also highest amongst Telecom Operators.Even the concern of maintaining a competitive telecom sector by revival of BSNL is difficult to justify in its current organizational and functional condition of a revenue market share of 8% and subscriber market share of around 12% and mounting losses of nearly Rs. 56,000 Cr. With predatory pricing by a dominant player(jio), it is obvious that BSNL - MTNL can not play any meaningful role due to their lack of innovation, high costs, very few relevant content partnerships and rapidly declining market share. The need of the nation from BSNL is necessity of serving rural and underserved regions. Being involved in strategic sectors like providing services to Armed forces or being the major backbone provider BSNL as state supervised entity could continue. Even for this limited role BSNL needs to undergo substantial restructuring.the immediate steps need to be taken for short term (0-5) are dealing with issues such as 4G spectrum allocation, creation of infrastructure and project organization. The reduction in HR by transferring employees to new organisations,digital India, Smart Cities,other networking projects for other PSUs. and also Voluntary Separation of Employees, superannuation in the next 4-5 years. The longer term sustainability should be reviewed after 5 years. If BSNL is able to turn around and emerge as a competitive player, then the options may include privatization through listing or/and a strategic sale. If BSNL is not able to compete effectively and failes to obtain meaningful market share and generate operating profits. Then a scaled-down version of BSNL may be contemplated. Part B Policy Decision on 4G Spectrum Allocation to BSNL Government needs to take an immediate decision on allocation of 4G Spectrum to BSNL. At the time of allocation of 4G Spectrum to private bidders in 2010, BSNL did not get the spectrum. BSNL found the price to be too high vis=avis its financial situation. After JIOs entry, any operator not having 4G spectrum can effectively close its operations. Sustainability of BSNL without giving 4G spectrum is not foreseen. The market share and financial health of BSNL is already very poor. Non allocation of 4G would make it impossible for BSNL to be able to sustain in the future, Allocation of 4G spectrum to BSNL is imperative. Non-allocation, de facto may make BSNL virtually defunct in next few years in mobile services are concerned. TELECOM 25 FEBRUARY, 2019

BSNL may be given conditional allocation of 4G Spectrum for an initial period of five years provided there is a commitment by DOT and BSNL to address manpower, real estate and operating performance related issues. Not allocating the spectrum to BSNL will be a clear signal that the government wants the BSNL close down and die. Many citizens are using BSNL services and are expecting that they will be given 4G services soon. The spectrum should be allocated to BSNL for 5 years, based on performance, for another 15 years. For BSNL this mechanism could mean a reduced flow of spectrum licence fee..giving the spectrum to BSNL will also be perceived as a positive decision by the employees of BSNL Capital expenditure required for the existing 80,000 2G and 3G sites to be upgraded to 4G and for additional 20,000 towers that BSNL intend to deploy for 4G would be around Rs11,000 Cr. BSNL should do tower sharing and use managed service operations to reduce Capex. From the third year post the allocation of 4G spectrum, strict mandate is to be given to each circle that it should become operationally self sustaining. BSNL may be able to undertake on its own such as redesign of its organizational policies and structures but it will need DOT,s support in dealing with its excess human resource. Further allocation of other spectrum bands 5G etc., will be conditional upon BSNL s performance as monitored from the third year of post 4G allocation. Part C Identified Challenges in Revival/ Restructuring of BSNL BSNL faces challenges in the areas of Technology/Market, Policy Environment and Organizational. The rapid evolution of technology 5G, IOT, fast evolving consumer needs of data consumption and increased role of content in driving businesses. BSNL should have agility, build partnership reduce costs and be innovative. BSNL being owned by Government, it is often subject to the delays and decisions made by the Government. BSNL operates as a single entity under a UAS License. It has to pay 8% revenue share. It leads to BSNL Bid for Projects is higher due to the revenue share. This makes its bid uncompetitive MTNL serves the national capital region and Mumbai. BSNL serves rest of the country. MTNL has been suffering mounting losses. The operation of BSNL and MTNL as two separate entities is economically, operationally and financially sub-optimal. The delays in allotment of projects and the payments from DOT leads to demotivation and financial loss for BSNL. In order to infuse capital and also to being in market/financial efficiency, it may think of listing of BSNL. BSNL has a huge legacy workforce, majority 70% pf this workforce was transferred to BSNL from DOT. The average age of workforce is 55 years, This work force lacks interest in improvement of services, providing good quality customer service and even lacks technical knowledge. The middle level management mostly dominated by promoted from JE/JTO cadre, mostly above 55 years of age and have very little motivation to improve the condition of BSNL The Circle heads CGM and PGM are not empowered to make decisions regarding the procurement of equipment, handling of finances, tariff plans, recruitment etc., BSNL even after about 19 years of existence, does not have well thought out people related policies. The promotion happens in a time bound manner and there is no recognition of merit in the system. There is lack of professional leadership in the organization. There is no serious manpower planning. The recruitment has happened over the year in a very ad hoc manner.people hired at the same level job titles have been given different job designations. There is no clear policy/ decision being taken so for about shutting down of unviable exchanges. There is a demotivation in the BSNL workforce due to the Poor performance of the PSU, ill thought policies, lack of commitment of the leadership, aging workforce, non-implementation of 3rd PRC, suspension of staff amenities and other dues like the reimbursement of medical bills, LTC, etc. The lack of enthusiasm transferred into poor customer service leading to a reduction in customer connections over time. Part D Suggestions for Revival/Restructuring of BSNL Key areas for transformation of BSNLare TELECOM 26 FEBRUARY, 2019

1 DOT should work closely with BSNL to identify all lands and buildings that have not yet been transferred to BSNL. The land and real estate not required by BSNL for telecom operations need to be monetized to finance revival of BSNL. This needs to be done within six month period. It requires an independent entity specializing in real estate development. The amount assessed. As of now is not significant enough to help finance BSNL revival completely. 2. BTCL- BSNL Tower Corporation Limited company is not totally operational as BSNL has not transferred all the towers to it. While having a separate company will bring in the required efficacies, BSNL also do variety of projects. Being infrastructure company it need not pay 8% revenue share charges. BSNL should complete the transfer of towers from BSNL to BTCL limited. 3. Creation of fiber infrastructure division under BTCL.given the projected growth of Broadband,Optical fibre network is an asset. FTTH is an important service. BSNL has to release the potential, it should create a separate fibre infrastructure division. This divisin should be done over a time frame of six months. 4. Create a Project Division as a part of BTCL This would allow BSNL project bids to be more competitive as the projects under this division would be not subject to 8% revenue share. Relevant staff from BSNL should be transferred to this division. 5. Immediately 4G spectrum (5Mhz of 2100 band as 4G) should be allotted to BSNL. But for a limited period of 5 years.this will required around Rs1875/- crores of license fee payment for 5 years. Given financial condition of BSNL this can be financed by either injection from Government or by borrowing. Within six months of allocation of 4G spectrum DOT and BSNL should come up with a plan to how best utilize its resources. Possibilities of VRS, reduction of Superannuation age, business plan,pay-revision,transfer of employees to different proposed infrastructure and project divisions of BSNL,Digital India, Smart Cities, Solar mission., Further allotment of other spectrums 5G etc., will depend upon each circles performance. 6 Organizational Restructuring : The average age of BSNL workforce is about 55 years. Reduction of retirement age to 58 years will result in 33,568 employees being reduced. The total saving due to reduction of retirement age to 58 years over the next six years will be about Rs13,895 Cr. Even if the reduction can be done at the cost of implementing 3rd PRC with 15% fitment the saving will be about Rs7,505/- A VRS scheme as per DPE guidelines and the Gujarat Model is to be brought in for all employees in the age group of 50 or more years.if 25% of employees opt for VRS it will be around 20,880.. The employees cost saved due to VRS will be Rs1670 Cr per year without implementing 3rd PRC and Rs1921 Cr per year after implementing 3rd PRC. The estimated cost of VRS will be about Rs13049 Cr Board of directors should also include professionals and academicians. Top management position should not be left vacant for more than 3 months. Performance driven culture is to be Implemented in BSNL. All employees should be evaluated on a performance criteria. Merit based culture should be created in the organization. All appointments(recruitments and promotions) 7. BSNL with its present financial condition require financial support for it to be revived. BSNL already requested authorisation to take loans for 50% of its operating expenses for next 2 years.. BSNL need to be provided this much support on circle wise business plans and its continuation/ enhancement should be based on key milestone to be achieved going forward. 8. Given BSNL s current financial situation and the market sentiments, it is not appropriate time to list BSNL. After five years, if BSNL is able to implement critical suggestions to improve its financial and organizational situation, then at that point BSNL should be considered for privatization,either through a listing or strategic role. 9. In working out the steps identified above, the government must set up an independent on going review mechanism for assessing the efficacy of BSNL s board decisions. Such a mechanism will strengthen the board processes and provide visibility to BSNL,s efforts. TELECOM 27 FEBRUARY, 2019
