1 2016 VICTORY MOTORCYCLES PPIHC THUNDER VS LIGHTNING SWEEPSTAKES OFFICIAL RULES NO PURCHASE NECESSARY TO ENTER, PLAY OR WIN. A PURCHASE WILL NOT IMPROVE YOUR CHANCES OF WINNING. ELIGIBILITY: The 2016 Victory Motorcycles PPIHC Thunder vs Lightning Sweepstakes (the Sweepstakes ) is open only to eligible individuals who, as of the date of entry, are legal residents of and residing in the contiguous 48 United States (including the District of Columbia, excluding Alaska and Hawaii) or a legal resident of Canada (excluding Quebec), are 18 years of age or older, and who have reached the age of majority in their state/province of residence. Employees of Polaris Industries Inc., ( Polaris and Sponsor ), GMR Marketing LLC ( GMR and Administrator ), and their respective parent companies, affiliates, dealerships, promotion and other vendor agencies involved in this Sweepstakes (the Released Parties ), as well as the immediate family members (spouse, parents, siblings and children) and household members of each such employee, are not eligible to enter or win. Void for residents of Alaska, Hawaii, Quebec and where prohibited or restricted by law. Sweepstakes is subject to all applicable federal, state, provincial, and local laws and regulations. TIMING: The Sweepstakes will be open for entry between 12:01 a.m. Eastern Time ( ET ) on June 1, 2016 and 11:59 p.m. ET on June 26, 2016 (the Sweepstakes Period ). HOW TO ENTER: To enter the Sweepstakes, for U.S residents, visit for Canada residents, visit vote for one (1) Victory Motorcycle model listed (the Vote ), complete the Official Online Entry Form, including the required entry fields, and acceptance of Official Rules and Sponsor s Privacy Policy to receive one (1) entry into the Sweepstakes during the Sweepstakes Period. To submit your Vote, select the Victory Motorcycle model you like best during the Sweepstakes Period. The Victory Motorcycle model that has the highest number of votes will be the Grand Prize to be awarded for the Sweepstakes. Limit one (1) entry per person/authorized account holder during the Sweepstakes Period. Subsequent entries from the same eligible individual will be automatically disqualified from the Sweepstakes. Any attempt by any person to obtain more than the stated number of Sweepstakes entries will void all of that person s Sweepstakes entries. Sponsor, GMR, and their affiliates are not responsible for lost, late or misdirected entries. PRIZE AND APPROXIMATE RETAIL VALUE: One (1) Grand Prize: One (1) Victory Empulse Motorcycle OR one (1) Victory Octane Motorcycle, Grand Prize is dependent upon the motorcycle model that receives the highest number of votes among entrants during the Sweepstakes (motorcycle subject to availability and Sponsor s discretion). Motorcycles awarded to a California, Massachusetts, New York, or Vermont resident will include required emissions equipment, if

2 applicable. Winner must take delivery of the Grand Prize motorcycle at an authorized Victory Motorcycles dealer or other location as designated by Sponsor. The Grand Prize does not include any additional costs beyond delivery to the delivery location designated by Sponsor. Winner must show evidence of insurance and a valid license to operate a motorcycle in order to accept delivery, or prize will not be awarded and an alternate winner may be chosen. Winner is solely responsible for the costs of any vehicle options beyond the standard equipment on the motorcycle at the time of delivery. The Approximate Retail Value ( ARV ) of the Victory Empulse Motorcycle is $19,999. The Approximate Retail Value ( ARV ) of the Victory Octane Motorcycle is $10,499. The Grand Prize winner will also receive a single cash payment in the form of a corporate check, if the winner is a U.S. resident. The single cash payment will be based on a 34% tax rate of the final Grand Prize value, which may vary based on factors described. The single cash payment is intended to assist with any federal or state tax obligations related to the Grand Prize, but in no event will the single cash payment exceed $10, for the Victory Empulse Motorcycle or exceed $5, for the Victory Octane Motorcycle. All additional taxes, fees, surcharges and costs associated with the prize, are the sole responsibility of the winner. The Grand Prize winner is responsible for all federal, state, and local income taxes and other taxes associated with the prize. The Sponsor will comply with all tax reporting requirements. The total ARV of the Victory Empulse Motorcycle is $30, The total ARV of the Victory Octane Motorcycle is $15, The Grand Prize will come with a standard factory warranty. Any and all guarantees and warranties for the Grand Prize are subject to Victory Motorcycles warranty and terms and conditions, and the winner agrees to look solely to Victory Motorcycles for any warranty or guarantee claim. SPONSOR MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, AS TO THE QUALITY OF CONDITION OF THE MOTORCYCLE AND EXPRESSLY DISCLAIMS ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. Prize consists only of items specifically listed as part of the prize. Prize is non-transferable and no substitution or cash equivalent is allowed except in Sponsor s sole discretion. Sponsor reserves the right to substitute prize of the same approximate retail value. Sponsor will issue an IRS Form 1099-MISC to the winner, if the winner is a U.S. resident. Approximate Retail Value is as of the time the Official Rules were printed, and the value of the prize may fluctuate. The winner is not entitled to any difference between the ARV and the actual value of the prize at the time the prize is awarded. Odds of winning are based on the number of eligible entries received during the Sweepstakes Period. GRAND PRIZE WINNER SELECTION AND NOTIFICATION: The potential Grand Prize winner will be selected in a random drawing on or about June 28, 2016 in accordance with these Official Rules on Sponsor s behalf by GMR, an independent

3 organization. The potential Grand Prize winner will be notified by /phone to the address/daytime phone number provided by the potential Grand Prize winner during the Sweepstakes entry process on or about June 29, 2016 by GMR. The potential Grand Prize winner will have seventy two (72) hours from the time of the first /phone notification to respond with their shipping address (no P.O. Boxes accepted) or the prize will be forfeited and an alternate winner selected, time permitting. The potential Grand Prize winner must complete, sign, and return an Affidavit of Eligibility, Mutually-Acceptable Liability Release, and Publicity Release (where permitted by law), and the appropriate tax documents if a U.S. resident, or the Grand Prize winner must complete, sign, and return a Declaration of Eligibility and a Release of Liability and must correctly answer a time-based mathematical skill-testing question without assistance of any kind, if a Canadian resident, (the Documents ), within seven(7) calendar days of delivery of the Documents, or the Grand Prize will be forfeited in its entirety and an alternate winner may be selected. Further proof or verification of identity and qualifications may be required along with a background and/or records check. Failure to oblige will result in disqualification. Sponsor reserves the right, in its sole discretion, to disqualify a potential Grand Prize winner for any of the following reasons: (a) non-compliance with these Official Rules; (b) in the event that a Grand Prize notification is returned as undeliverable or prize is declined; (c) information showing that the entry was defective or failed to comply with these Official Rules and randomly select an alternate potential Grand Prize winner, time permitting. Return of any prize or prize notification as undeliverable or failure to accept any prize within the specified time period may, in the Sponsor s sole discretion, result in disqualification and forfeiture of prize. Upon prize forfeiture, no compensation will be given. The Grand Prize will be fulfilled approximately weeks following winner confirmation. Grand Prize winner must take delivery of Grand Prize within fourteen (14) days of notification of availability or prize will be forfeited. If any prize is returned as undeliverable, original winner will forfeit prize in its entirety and an alternate winner may be selected, time permitting. ONLINE REGISTRATION: If for any reason the Internet portion of this Sweepstakes is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of Sponsor which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Sweepstakes, Sponsor reserves the right, at its sole discretion, to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify, or suspend this Sweepstakes. In any such event, Sponsor, at its sole discretion, will randomly select the winner(s) from eligible, non-suspect entries received prior to the event requiring such termination, suspension or cancellation. The Released Parties assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries. The Released Parties are not responsible for any problems or technical malfunction of any telephone network or lines, computer online systems, servers, or providers, computer equipment, software, failure of any or entry to be received by Sponsor on account of technical problems or traffic congestion on the Internet or at any Web site, or any combination thereof, including any injury or damage to participant s or any other person s computer related to or resulting from participation or downloading any materials in this Sweepstakes. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS SWEEPSTAKES MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND

4 SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES TO THE FULLEST EXTENT PERMITTED BY LAW. Entries made by Internet will be declared made by the authorized account holder of the address submitted at time of entry. Authorized account holder is defined as the natural person who is assigned to an address by an Internet access provider, online service provider or other organization (e.g., business, educational, institution, etc.) that is responsible for assigning addresses for the domain associated with the submitted address. LIMITATION OF LIABILITY: By entering the Sweepstakes, participants release and hold harmless the Released Parties and their respective parent companies, subsidiaries, affiliates, directors, officers, employees, and agents from any and all liability for any injuries, loss, or damage of any kind arising from or in connection with this Sweepstakes or any prize won, including any injuries, loss or damage of any kind arising from or in connection with the use or misuse of a prize. By entering, participants agree that they may be contacted by Sponsor or GMR via or daytime phone, if provided, for purposes of Sweepstakes administration. Sponsor is not responsible for any typographical or other error in the printing of this offer, administration of the Sweepstakes or in the announcement of prizes. In the event Sponsor is prevented from continuing with this Sweepstakes, or the integrity and/or feasibility of the Sweepstakes is undermined by any event including but not limited to fire, flood, epidemic, earthquake, explosion, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, war (declared or undeclared), terrorist threat or activity, or any federal, state or local government law, order or regulation, order of any court or jurisdiction, or other cause not reasonably within Sponsor s control (each a Force Majeure event or occurrence), Sponsor shall have the right, in its sole discretion, to abbreviate, modify, suspend, cancel, or terminate the Sweepstakes without further obligation and, if so, Sponsor reserves the right, but not the obligation, to award the prize from among all valid and eligible entries received up to the time of such Force Majeure event. All entries are the property of Sponsor and are not returnable. PUBLICITY RELEASE: Except where prohibited, entry into the Sweepstakes and acceptance of a prize grants to Sponsor and its designees the right to use each entrant s name and winner's name, address (city and state of residence), photograph, voice, statements and/or other likeness and prize information in perpetuity for purposes of advertising and trade in any and all media now known or hereafter devised, throughout the world, without further compensation, or consideration, notification or permission, unless prohibited by law. DISPUTES: THIS SWEEPSTAKES IS GOVERNED BY THE LAWS OF THE STATE OF MINNESOTA WITHOUT RESPECT TO CONFLICT-OF-LAW DOCTRINES. As a condition of participating in this Sweepstakes, each participant agrees that any and all disputes that cannot be resolved between the parties and causes of action arising out of or connected with this sweepstakes shall be resolved individually, without resort to any form of class action, exclusively before a court located in Minnesota having jurisdiction. Further, in any such dispute, under no circumstances will participant be permitted to obtain awards for and hereby waives all rights to claim punitive, incidental, or consequential damages, including reasonable attorneys fees, other than participant s actual out-of-pocket expenses (i.e., costs associated with entering this sweepstakes), and participant further waives all rights to have damages multiplied or increased.
