Summer Nuclear Generating Station site (the VC Summer Project ) and the construction of Units 3 & 4 at the Allen W. Vogtle Electric Generating Plant (the Vogtle Project ), all as more fully set forth in the Motion; and the Court having jurisdiction to consider the Motion and the relief requested therein in accordance with 28 U.S.C. 157 and 1334 and the Amended Standing Order of Reference M- 1 The Debtors in these chapter 11 cases, along with the last four digits of each Debtor s federal tax identification number, if any, are: Westinghouse Electric Company LLC (0933), CE Nuclear Power International, Inc. 2 Pg 2 of , dated January 31, 2012 (Preska, C.J.); and consideration of the Motion and the requested relief being a core proceeding pursuant to 28 U.S.C. 157(b); and venue being proper before the Court pursuant to 28 U.S.C and 1409; and due and proper notice of the Motion having been provided; and such notice having been adequate and appropriate under the circumstances, and it appearing that no other or further notice need be provided; and the Court having reviewed the Motion; and upon the First Day Declaration [ECF No. 4] and the Donahue Declaration, sworn to and filed on October 31, 2017; and the Court having determined that the legal and factual bases set forth in the Motion establish just cause for the relief granted herein; and it appearing that the relief requested in the Motion is in the best interests of the Debtors, their estates, creditors, and all parties in interest; and upon all of the proceedings had before the Court and after due deliberation and sufficient cause appearing therefor, IT IS HEREBY ORDERED THAT: 1. The Motion is granted to the extent set forth herein. 2. Pursuant to sections 365(a) and 105(a) of the Bankruptcy Code, the Debtors are authorized to reject (i) certain subcontracts of the Debtors related to the construction of the VC Summer Project (the VC Summer Subcontracts ) listed on Exhibit 1 annexed hereto; (ii) certain purchase orders between the Debtors and Southern Nuclear Operating Company, Inc. related to the Vogtle Project (the Vogtle POs ) listed on Exhibit 2 annexed hereto; and (iii) certain contracts of the Debtors with R-V Industries, Inc. and The Calvert Company, Inc., (collectively, the Vogtle Subcontracts ) and with Cannon Equipment (the Cannon Contracts ) listed on Exhibit 3 annexed hereto (collectively with the VC Summer Subcontracts and Vogtle POs, the Rejected Contracts ). 2

3 Pg 3 of Rejection of the VC Summer Subcontracts and the Cannon Contracts shall be effective as of October 31, 2017, and rejection of the Vogtle POs and Vogtle Subcontracts shall be effective as of July 27, This Order shall not affect the Limited Objection of Newport News Industrial Corporation to the Omnibus Motion of Debtors Pursuant to 11 U.S.C. 365(a) and 105(a) for Authority to Reject Certain Executory Contracts Related to the VC Summer and Vogtle Projects [ECF No. 1725] (the Pending Objection ), which relates solely to the rejection of specific contracts listed on Exhibit 4 hereto (the NNI Contracts ). The Motion and Pending Objection shall be considered by the Court on December 13, 2017 at 11:00 a.m. (Prevailing Eastern Time) or such other date and time as may be fixed by this Court; provided that if the Pending Objection is resolved or withdrawn, the NNI Contracts shall be deemed rejected, and the provisions of this Order shall apply. 5. The requirements of Bankruptcy Rule 6006(f)(6) are hereby waived. 6. Notice of the Motion as provided therein is deemed to be good and sufficient notice of such Motion, and the contents of the Motion satisfy the requirements of the Bankruptcy Rules. Under the circumstances of these chapter 11 cases, notice of the Motion is adequate under Bankruptcy Rule 6006(c). 7. Nothing contained in this Motion or any actions taken by the Debtors pursuant to relief granted is intended or should be construed as: (i) an admission as to the validity of any claim against the Debtors, including, without limitation, from any Rejected Contract Counterparty; (ii) a waiver or limitation of the Debtors rights under the Bankruptcy Code or any other applicable law, including, without limitation, any right to assert a claim, cause of action, or right of set-off which may exist now or hereafter against any party, including to seek 3

4 Pg 4 of 16 reimbursement or indemnification under the Interim Assessment Agreements; 2 (iii) an admission that any Rejected Contract, or any other contract that may be rejected by the Debtors in the future are integrated with any other contract or lease; (iv) a waiver of the Debtors rights, or the rights of any other appropriate party to dispute the amount of, basis for, or validity of any claim, including any rejection damages claim; (v) a waiver by the Debtors of their right to dispute or assert that any Rejected Contract or any other contract was terminated prior to the date of entry of this Order; (vi) a waiver or limitation of the Debtors right to assert at a later date that any Rejected Contract, or any other contract is not an executory contract or unexpired lease; or (vii) a concession or evidence that any Rejected Contract, or any other contract identified herein has not expired, been terminated, or otherwise currently is not in full force and effect. 8. In accordance with section 3 of the Order Pursuant to 11 U.S.C. 502(b)(9), Fed. R. Bankr. P and 3003(c)(3), and Local Rule (I) Establishing Deadline for Filing Proofs of Claim and Procedures Relating Thereto and (II) Approving form and Manner of Notice Thereof, entered on June 28, 2017 [ECF No. 788], counterparties to the Rejected Contracts have 30 days following the date of entry of this Order to file a proof of claim arising from the rejection of the Rejected Contracts. 9. Notwithstanding entry of this Order, nothing herein shall create, nor is intended to create, any rights in favor of or enhance the status of any claim held by any party. 10. The Debtors are authorized to take all action necessary to the relief granted in this Order. 2 The Debtors were party to that certain Interim Assessment Agreement with the VC Summer Owners dated as of March 28, 2017 and that certain Interim Assessment Agreement with the Vogtle Owners dated as of March 29, 2017 (together, as amended from time to time, the Interim Assessment Agreements ). 4
