3 1. BACKGROUND To improve the city bus operations in Bihar, buses have been procured under JnNURM scheme. For the new buses sanctioned to Government of Bihar for operations within different cities in Bihar, there is a need to engage private operators who will operate and maintain these buses. These operators will run the buses on pre-defined routes in these cities. Bihar Urban Transport Services Limited (BUTSL) will be working towards making fast and safe intra-city transport in cities of Bihar. BUTSL proposes to engage private operators to operate buses on several routes in the cities of Bihar as detailed in the table below for a period of 7 years (the Project ). Non AC, Diesel midi buses 45 The route for each cities and number of buses for each of the routes is given in the Annexure V. 2. OBJECTIVE BUTSL will provide the buses to the selected operators. The operators would have to invest for the operation and maintenance of the buses. BUTSL will specify the maximum fare to be collected from commuters. The revenue from tickets, as well as revenue from advertisement will belong to the Bihar Urban Transport Services Limited Page 1

4 operators. BUTSL has identified a number of routes along with number of buses in each city for bus operations. 25% of the buses on the route could be utilized for inter-city operations after applicable approvals. Routes in a city can be allotted to multiple operators; however one route will be allotted to only one operator. Bids will be invited on the basis of per bus premium to be paid to BUTSL for each of the routes. 3. SCOPE OF WORK The scope of work would broadly include running of efficient and effective bus services in accordance with the provisions of this RFP. Annual / regular maintenance of buses would be responsibility of the Operator. BUTSL will not provide any support in terms of infrastructure e.g. depots, parking space, workshop, etc. or any financial support e.g. registration, insurance, repairs, maintenance, etc. for operations beyond the supply of buses. All the required infrastructure and financial investments will have to be done by the Operator. The route details are provided in Annexure V. 4. FARE & REVENUE Fare for the bus services will be notified by BUTSL or any other appropriate government agency. Each Operator, during the concession period would be authorized to collect revenue towards commuter charge, and advertisements on buses / tickets. Advertisements measuring 12 sq. ft. on the rear windscreen of the buses can be displayed with prior approval of BUTSL. Internal advertisements in digital form (LED screen based) would also be allowed. If required, BUTSL may ask the Operator to run some public utility messages through the digital advertisement platform without any cost to BUTSL. The Operator would also be given flexibility towards innovative operational methodology, innovative technology and generating alternate revenue streams. 5. SCOPE OF BUTSL BUTSL would provide the buses procured through JNNURM assistance to the Operators. However, all the other investments for operations and maintenance will have to be made by the Operators. The assessment of actual costs for operations and maintenance will have to be made by the Applicants. BUTSL or any of its representatives does not take any responsibility for any financial losses to the applicants or selected players in any case. 6. BIDDING PARAMETER Routes in a city can be allotted to multiple operators; however one route will be allotted to only one operator. Applicants will have to submit financial bid in the format provided in Appendix V in the form of per bus annual premium payable to BUTSL for the route being bid for. The premium will be subject to an annual escalation of 5%. 7. PERFORMANCE SECURITY AND SECURITY DEPOSIT Bihar Urban Transport Services Limited Page 2

5 The Operator would be required to deposit a Performance Security amounting to 50% of the quoted Premium for the first year and 50% of the Premium for the year for the subsequent years. The Operator would be required to deposit a Security Deposit amounting to 25% of the purchase cost of the buses per bus prior to handing over of the buses to the Operator. Urban Local Bodies applying for the project will not be required to deposit the Security Deposit. The purchase cost of the buses will be specified as per the actuals at the time of signing of the agreement. 8. ELIGIBILITY CRITERIA Applicants meeting any of the below criteria can participate in the tender process: Firms with experience of operating buses / heavy commercial vehicles equal to or greater than 50% of the buses on the route being bid for Partnership firm of five or more persons with license of Heavy Motor Vehicles Cooperative Societies mandated through their bye-laws to undertake transport and related activities Urban Local Bodies Applicants will have to submit documentary evidence of meeting the above criteria along with the Technical Proposal Submission form provided in Appendix I. Applicant will also have to submit an affidavit certifying that the Applicant has not been convicted by any Court in India, and there are no ongoing criminal proceedings against the Applicant or any of its Associates as per the format given in Annexure IV. The Applicant will also have to submit a character certificate from the SP or DM of the district where the Applicant is registered or is ordinarily resident. 9. DOCUMENT FEE AND BID SECURITY Applicants are required to submit, along with the Bid, a non-refundable Document Fee of Rs. 10,000/- (Rupees Ten Thousand only) in the form of a Demand Draft payable at Patna in favour of Director, Bihar Urban Transport Services Limited. Applicants are required to submit, along with the Bid, a bid security of Rs. 1,00,000 (Rupees One Lakh only), refundable after signing of Agreement. The Applicants will have an option to provide Bid Security in form of a demand draft or a bank guarantee in favour of Director, Bihar Urban Transport Services Bihar Urban Transport Services Limited Page 3

6 Limited, valid for a period not be less than 180 (one hundred and eighty) days from the Bid Due Date, and may be extended as may be mutually agreed between BUTSL and the Applicant from time to time. The Bid shall be summarily rejected if it is not accompanied by the Document Fee and/or Bid Security. 11. COST OF BIDDING The Applicants shall be responsible for all of the costs associated with the preparation of their Bids and their participation in the Bidding Process. BUTSL will not be responsible or in any way liable for such costs, regardless of the conduct or outcome of the Bidding Process. 12. SUBMISSION OF BIDS A. Document Fee and Bid Security shall be placed in a separate envelop. B. The documents accompanying the Bid shall be placed in a separate envelope and marked as Technical Bid. The documents shall include: a) Letter accompanying the bid in format at Annexure I; b) Details of the Applicant in the format at Annexure II; c) Statement of Legal Capacity in the format at Annexure III; d) Affidavit for Non-Criminality in the format at Annexure IV; e) Documents to prove that the applicant has the minimum qualification as desired in this RFP. C. The Applicant shall submit separate financial bid for each of the routes in the format specified in Annexure VI, and seal it in an envelope and mark the envelope as Financial Bid for Selection of Operators for Urban Bus Services in Cities of Bihar for Route No for the <CITY>. D. The envelopes specified above shall be placed in an outer envelope, which shall be sealed. Each of the envelopes shall clearly indicate the name and address of the applicant and bear the following identification: Bid for the Selection of Operators for Urban Bus Services in Cities of Bihar E. If the envelopes are not sealed and marked as instructed above, the BUTSL assumes no responsibility for the misplacement or premature opening of the contents of the Bid submitted and consequent losses, if any, suffered by the Applicant. 13. 7 The Applicant, subject to the qualifications under this RFP, who offers the highest annual premium for the route, shall be selected. The project shall be awarded such that the BUTSL receives maximum revenue from each of the routes. In the event that two or more applicants quote the same amount of Premium, the BUTSL shall identify the Selected Applicant through a draw of lots. In the event that the Highest Applicant withdraws or is not selected for any reason in the first instance (the first round of bidding ), BUTSL may invite all the remaining Applicants to revalidate or extend their respective Bid Security, as necessary, and match the Bid of the aforesaid Highest Applicant (the second round of bidding ) for that particular package. If in the second round of bidding, only one Applicant matches the Highest Applicant, it shall be the Selected Applicant. If two or more Applicants match the said Highest Applicant in the second round of bidding, then the Applicant whose Bid was higher as compared to other Applicant(s) in the first round of bidding shall be the Selected Applicant. For example, if the third and fifth highest Applicants in the first round of bidding offer to match the said Highest Applicant in the second round of bidding, the said third highest Applicant shall be the Selected Applicant. In the event that no Applicant offers to match the Highest Applicant in the second round of bidding, the BUTSL may, in its discretion, invite fresh Bids (the third round of bidding ) from all Applicants except the Highest Applicant of the first round of bidding, or annul the Bidding Process, as the case may be. In case the Applicants are invited in the third round of bidding to revalidate or extend their Bid Security, as necessary, and offer fresh Bids, they shall be eligible for submission of fresh Bids provided, however, that in such third round of bidding only such Bids shall be eligible for consideration which are higher than the Bid of the second highest Applicant in the first round of bidding. 14. LETTER OF AWARD After selection, a Letter of Award (the LOA ) shall be issued, in duplicate, by BUTSL to the Selected Applicant and the Selected Applicant shall, within 7 (seven) days of the receipt of the LOA, sign and return the duplicate copy of the LOA in acknowledgement thereof. In the event the duplicate copy of the LOA duly signed by the Selected Applicant is not received by the stipulated date, the BUTSL may, unless it consents to extension of time for submission thereof, appropriate the Bid Security of such Applicant as damages on account of failure of the Selected Applicant to acknowledge the LOA, and the next eligible Applicant may be considered. After acknowledgement of the LOA as aforesaid by the Selected Applicant, it shall execute the Agreement within 30 days. 15. THEFT OF BUSES Operator would be required to pay to BUTSL the amount specified in table below in case of theft and non-recovery of buses. The Operator is required to maintain necessary insurance and/or funds from own sources for this purpose. The amount to be paid to BUTSL is as follows: Bihar Urban Transport Services Limited Page 5

Up to Year 7 of Operations 10% of purchase value Operators can exit from the Agreement on completion of 5 years of operations on payment of 25% of purchase value of buses and the outstanding premium for the two remaining years. The operator will be free to operate the buses after securing necessary approvals form appropriate authorities. 17. HANDOVER OF BUSES The buses would become the property of the operator after the end of the authorization period of seven years on as-is where-is basis. 18. MISCELLANEOUS The Bidding Process shall be governed by, and construed in accordance with, the laws of India and the Courts at Patna shall have exclusive jurisdiction over all disputes arising under, pursuant to and/ or in connection with the Bidding Process. The BUTSL, in its sole discretion and without incurring any obligation or liability, reserves the right, at any time, to; o suspend and/ or cancel the Bidding Process and/ or amend and/ or supplement the Bidding Process or modify the dates or other terms and conditions relating thereto; o consult with any Applicant in order to receive clarification or further information; o retain any information and/ or evidence submitted to BUTSL by, on behalf of, and/ or in relation to any Applicant; and/ or o independently verify, disqualify, reject and/ or accept any and all submissions or other information and/ or evidence submitted by or on behalf of any Applicant. It shall be deemed that by submitting the Bid, the Applicant agrees and releases the BUTSL, its employees, agents and advisers, irrevocably, unconditionally, fully and finally from any and all liability for claims, losses, damages, costs, expenses or liabilities in any way related to or arising from the exercise of any rights and/ or performance of any obligations hereunder, pursuant hereto and/ or in connection with the Bidding Process and waives, to the fullest extent permitted by applicable laws, any and all rights and/ or claims it may have in this respect, whether actual or contingent, whether present or in future. 9 The Bidding Documents are to be taken as mutually explanatory and, unless otherwise expressly provided elsewhere in this RFP, in the event of any conflict between them the priority shall be in the following order: o Any clarification and addendum issued during the bidding process o Request for Proposal i.e. (a) above shall prevail over the (b) above and so on. 19. RIGHT TO REJECT BUTSL reserves the right to reject all or any of the proposals without assigning any reason thereof. Bihar Urban Transport Services Limited Page 7

The Application is unconditional and unqualified. 2. I/ We acknowledge that the BUTSL will be relying on the information provided in the Bid and the documents accompanying the Bid for selection of the Operator for the aforesaid Project, and we certify that all information provided therein is true and correct; nothing has been omitted which renders such information misleading; and all documents accompanying the Bid are true copies of their respective originals. 3. I/ We shall make available to the BUTSL any additional information it may find necessary or require to supplement or authenticate the Bid. 4. I/ We acknowledge the right of the BUTSL to reject our Bid without assigning any reason or otherwise and hereby waive, to the fullest extent permitted by applicable law, our right to challenge the same on any account whatsoever. 5. I/ We certify that in the last three years, we or our Associates have neither failed to perform on any contract, as evidenced by imposition of a penalty by an arbitral or judicial BUTSL or a judicial pronouncement or arbitration award, nor been expelled from any project or contract by any public BUTSL nor have had any contract terminated by any public BUTSL for breach on our part. 6. I/ We declare that: i. I/ We have examined and have no reservations to the Bidding Documents, including any Addendum issued by the BUTSL; ii. I/ We have not directly or indirectly or through an agent engaged or indulged in any corrupt practice, fraudulent practice, coercive practice, undesirable practice or restrictive practice, in respect of any tender or request for proposal issued by or any agreement entered into with the iii. BUTSL or any other public sector enterprise or any government, Central or State; and I/ We hereby certify that we have taken steps to ensure that no person acting for us or on our behalf has engaged or will engage in any corrupt practice, fraudulent practice, coercive practice, undesirable practice or restrictive practice. 7. I/ We understand that you may cancel the Bidding Process at any time and that you are neither bound to accept any Bid that you may receive nor to invite the Applicants to Bid for the Project, without incurring any liability to the Applicants. 8. I/ We believe that we meet the eligibility requirements as specified in the RFP document. 9. I/ We certify that in regard to matters other than security and integrity of the country, we/ any Member of the Consortium or any of our/ their Associates have not been convicted by a Court of Bihar Urban Transport Services Limited Page 9

12 Law or indicted or adverse orders passed by a regulatory BUTSL which could cast a doubt on our ability to undertake the Project or which relates to a grave offence that outrages the moral sense of the community. 10. I/ We further certify that in regard to matters relating to security and integrity of the country, we/ any Member of the Consortium or any of our/ their Associates have not been charge-sheeted by any agency of the Government or convicted by a Court of Law. 11. I/ We further certify that no investigation by a regulatory authority is pending either against us or against our Associates or against our CEO or any of our directors/ managers/ employees. 12. I/ We undertake that in case due to any change in facts or circumstances during the Bidding Process, we are attracted by the provisions of disqualification in terms of the guidelines referred to above, we shall intimate the BUTSL of the same immediately. 13. I/ We understand that the Selected Applicant shall either be an existing Company incorporated under the Indian Companies Act, 1956, or other applicable rules, or shall incorporate as such prior to execution of the Agreement. 14. I/ We hereby irrevocably waive any right or remedy which we may have at any stage at law or howsoever otherwise arising to challenge or question any decision taken by the BUTSL in connection with the selection of the Applicant, or in connection with the Bidding Process itself, in respect of the above mentioned Project and the terms and implementation thereof. 15. I/ We have studied all the Bidding Documents carefully and also carried out our own due diligence for the project. We understand that except to the extent as expressly set forth in the Agreement, we shall have no claim, right or title arising out of any documents or information provided to us by the BUTSL or in respect of any matter arising out of or relating to the Bidding Process including the award of Concession. 16. The documents accompanying the Bid have been submitted as part of the Bid. 17. I/ We agree and understand that the Bid is subject to the provisions of the Bidding Documents. In no case, I/we shall have any claim or right of whatsoever nature if the Project / Concession are not awarded to me/us or our Bid is not opened or rejected. 18. The Premium has been quoted by me/us after taking into consideration all the terms and conditions stated in the RFP and our own estimates after a careful assessment of the site and all the conditions that may affect the project cost and implementation of the project. 19. I / We agree that annual / regular maintenance of buses would be my / our responsibility. BUTSL will not provide any support in terms of infrastructure e.g. depots, parking space, workshop, etc. or any financial support e.g. registration, insurance, repairs, maintenance, etc. for operations beyond the supply of buses. All the required infrastructure and financial investments will have to be done by me / us. 20. I/ We agree and undertake to abide by all the terms and conditions of the RFP document. 21. I/ We shall keep this offer valid for 120 (one hundred and twenty) days from the Bid Due Date specified in the RFP.
