92 TRIUMPH TERMS & CONDITIONS 2017/18 Triumph is the trading name of Triumph Furniture Limited Registration number England SPECIFICATION Our policy is one of continuous product development. We therefore reserve the right to alter specifications, materials, design and prices without notice. All orders are accepted subject to these terms and conditions of sale unless otherwise specified and agreed in writing by Triumph. Our website has our most up-to-date full policies. DIMENSIONS All measurements quoted in our literature are nominal, terms used are accepted by the trade - whilst every care is taken to ensure their accuracy. Triumph reserves the right to alter any specification without prior notice. PRICES Relate to products supplied in standard finishes and fabrics and apply to UK mainland only, and are exclusive of VAT which will be invoiced at the appropriate rate applicable on the day of despatch. It is a condition of acceptance of orders that goods are invoiced at prices ruling at the date of despatch. Triumph reserves the right to add a surcharge on variations to standard finishes and fabrics. PAYMENT In the case of all approved accounts, payment is strictly nett to be made no later than the last day of the month following the month of delivery. In the event of late payment, Triumph reserves the right to charge interest on overdue accounts at 4% above the current base rate prevailing at the time. DIVISIBILITY CLAUSE (A) The Company reserves the right to make deliveries/and or services by instalments and to render a separate invoice in respect of each such instalment. (B) If the Company exercises its right to make deliveries/and or services in accordance with sub-paragraph (A) above, then any delay in provision of such deliveries/and or services, or failure to deliver any further instalment or instalments, shall not entitle the Buyer to reject the Contract or the delivery/service of any other instalment or to withhold payment in respect of any instalment previously delivered/serviced. OWNERSHIP of goods shall not pass to the purchaser until Triumph receives full payment in respect thereof (and in the case of payment by cheque until the same has been honoured). Goods shall remain the property of Triumph until the purchaser has paid Triumph in full, together with the full price of any other goods subject to any other contract with Triumph. Notwithstanding that the goods shall remain sole and absolute property of Triumph the purchaser shall assume the risk in the goods and shall insure the goods for their full market value. The purchaser acknowledges that it is in possession of the goods solely as a fiduciary for Triumph until the purchaser becomes owner of the goods. In the event that the purchaser sells the goods the purchaser acknowledges that the entire proceeds of sale therefore are held in trust for Triumph and shall be identified separately from other monies. Triumph shall reserve the right to enter and recover the goods from the purchaser s premises in the event of non-payment. RISK OF LOSS OR DAMAGE to the goods shall pass to the purchaser at the time of delivery to the purchaser. Where goods are lost, damaged or destroyed after delivery and ownership has yet to pass, the purchaser will indemnify Triumph against any loss incurred by it provided such loss, damage or destruction does not result from the negligence of Triumph. IMPROPER USE Triumph disclaims any liability for damage or injury arising from the improper use of its products, or for any use of its products which does not conform to safety advice given by the company or its representatives. DAMAGES AND MISSING Upon Delivery it is the customer s responsibility to inspect the packaging of the product received. It is essential at the point of delivery any defects to the packaging are noted on the despatch note. Failure to note this on receipt of goods may affect Triumph accepting a subsequent report of damage. (1) Liability cannot be accepted for partial loss unless written notice is received within 3 days delivery. (2) Liability cannot be accepted for non-delivery unless written notice is received within 7 days of invoice. MINIMUM ORDER VALUE We reserve the right to make an administration charge on orders of a small value. Items normally sent by letter-post will be exempt. ALL DELIVERIES are affected to ground floor entrance only. All deliveries to our customer warehouse and premises are FOC for UK Mainland in normal working hours (7am -5pm) Monday to Friday on 45foot articulated vehicle. Any requirement outside above times and vehicle size are subject to separate special request. Upon reasonable request the purchaser will provide assistance in unloading. We reserve the right to make a charge for excessive waiting time deemed unreasonable given the size of the order. Deliveries made to third parties will be subject to a delivery charge Please contact Customer Service team to discuss your needs. Penalty Charge Notices (PCN), where applicable, will be passed on at cost. 182 TERMS & CONDITIONS RETURNS DUE TO CUSTOMER ERROR In special circumstances and solely on the basis of Goodwill, goods maybe taken back within a 5 day period from receipt (this does not apply to Special or Bespoke Products). Goods returned due to customer error will be subject to a fee of 30% of their original purchase price. A credit will be issued only after a satisfactory inspection of the returned goods. It is the customer responsibility to effectively package product for return. Triumph reserves the right to raise packing and collection charges where goods have been unpacked by the customer and are subsequently returned. OVERSEAS RETURNS FOR REPAIR If a UK customer sends product abroad it is their responsibility to return the product back to the UK for us to repair (if still in warranty). COLLECTIONS DUE TO SUPPLIER ERROR By prior arrangement only it is the customer s responsibility to ensure all items are packaged sufficiently to limit any damage during collection. Any products not packaged will not be collected and charges may apply. CANCELLATIONS OF STANDARD ITEMS No order may be cancelled by a customer without our consent in writing. Triumph reserves the right to claim all loss and expenses which may be incurred as a result of cancellation. In the event the products have been manufactured we reserve the right to claim 100% of the sale price. DEFERMENT OF ITEMS will be accepted without charge provided Triumph receives written notice at least 10 working days before delivery date. Any deferment of an order within 10 working days of delivery will incur storage charges subject to duration and volume. Contact Customer Services Department for applicable fees. HANDLING CHARGE /INABILITY TO DELIVER If the Customer fails to take delivery of all or part of the Goods, the Customer shall pay the Company all costs and expenses arising from such failure including without limitation a reasonable charge for storage, insurance and transportation costs. INSTALLATIONS MADE BY THE CUSTOMER It is the responsibility of the customer to install equipment of our manufacture to Triumph s specifications and to the final client s satisfaction. In the event that this is not the case there is no warranty covering consequential damages or incidental expenses, and Triumph shall not be liable for any such claim. In the event that Triumph is required to visit such installations to rectify poor installation by third parties, this will be chargeable. INSTALLATIONS MADE BY THE SUPPLIER When making installations to a specified date the customer is responsible for ensuring the location is clear, reasonable access, free from other trades and ready for installation of furniture. In the event that this is not the case the supplier reserves the right to delay the installation and pass on the associated costs to the customer accordingly. Please be advised Triumph installation teams are not qualified electricians, our fitters are only accountable for laying electrical components in place. For compliance with the Electricity at Work Regulations and BS 6396 it is the customers responsibility to ensure all electrical installations when completed are tested. CONSEQUENTIAL LOSS Triumph shall not under any circumstances including our own negligence, be liable for any consequential loss or damage which may be received in the generality of those associated with the contract including the customer. This may include but is not limited to loss of time, removal of defective materials or loss of earnings, loss of income or loss of wages paid to the customer s agents. In any case our liability whatsoever and howsoever arising and unless otherwise excluded under these conditions shall not exceed and shall be limited to a sum equivalent to the cost of us replacing the goods and/or materials under any delivery out of which the claim or liability arises. FABRIC SPECIFICATION Some fabric choices may not be suitable for the seating products ordered by the client. Our Customer Service Team will advise of any concerns. If the customer decides to proceed with the chosen fabric, Triumph cannot be held responsible for any issues relating directly to the fabric choice. Whilst every effort is made to ensure parity of colour on our fabric finishes, the company cannot guarantee an exact match on any fabric. In the event the customer wishes to supply their own fabric they should contact Customer Services to establish associated costs, volume of fabric required to satisfy their order and the lead time. It may be necessary to supply a sample of the fabric to establish its suitability for the seating product. SAMPLES It is reasonable to expect all samples to be returned in good condition to Triumph within 60 days of delivery. In the event that the samples are not returned Triumph will raise an invoice for the samples supplied.
