3 TERMS OF TRADE 1 Definitions 1.1 NZWS shall mean New Zealand Window Shades Limited and/or any agents or employees thereof. 1.2 Customer shall mean any customer of NZWS, any person acting on behalf of and with the authority of the customer, or any person purchasing any Goods from NZWS. 1.3 Goods shall mean: all goods of the general description specified on the front of this contract and supplied by NZWS to the Customer; and all goods supplied by NZWS to the Customer from time to time; and all inventory of the Customer that is supplied by NZWS; and all goods supplied by NZWS and further identified in any invoice issued by NZWS to the Customer, which invoices are deemed to be incorporated into and form part of this contract; and all goods that are marked as having been supplied by NZWS or that are stored by the Customer in a manner that enables them to be identified as having been supplied by NZWS; and all of the Customer s present and after-acquired goods that NZWS has performed work on or to which goods or materials supplied or financed by NZWS have been attached or incorporated; and all goods, services and advice provided by NZWS to the Customer and shall include without limitation the manufacture and distribution of cosmetic products, cardboard boxes, show cards, printing and display materials including technical advice and all charges for labour, hire charges, insurance charges, freight costs, or any fee or charge associated with the supply of any goods by NZWS to the Customer The above descriptions of Goods may overlap but each is independent of and does not limit the others. 1.4 Price shall mean the cost of the Goods as agreed between NZWS and the Customer and includes all disbursements including but not limited to charges NZWS pay to third parties on the Customer s behalf subject to clause 4.2 of this contract. 2 Acceptance 2.1 Any instructions received by NZWS from the Customer for the supply of Goods shall constitute a binding contract and acceptance by the Customer of the terms and conditions contained herein. 2.2 All orders received are subject to a 10% under-run or over-run. Errors and omissions excepted. 2.3 Confirmed orders cannot be cancelled. 3 Collection and Use of Information 3.1 By entering into this contract the Customer authorises NZWS to collect, hold and use any information provided by the Customer to: manage the Customer s account with NZWS, including to send the Customer statements and invoices and to enforce any of NZWS rights under this contract; use credit reporting services and obtain credit information about the Customer from credit referees, credit reference agencies and any other source and to exchange, provide or disclose credit information to credit referees, credit reference agencies or other persons seeking credit references. The Customer understands that the credit referees, credit reference agencies and other persons may give the Customer s credit information to other persons seeking credit information. The credit information is collected to assist NZWS to ascertain the Customer s credit status. Failure to provide the requested information may result in credit being refused by NZWS; and provide the Customer with information about NZWS products and any special offers NZWS believes may be of interest to the Customer. 3.2 If the Customer is a natural person, the Privacy Act 1993 entitles the Customer to access personal information held by NZWS (or by any credit referee, credit reference agency or other person) and if any such information is incorrect, to request correction of that information. 4 Price 4.1 Where no price is stated in writing to the Customer or agreed to orally by the Customer the Goods shall be deemed to be sold at the current amount as such Goods are sold by NZWS at the time of the relevant contract with the Customer. 4.2 The Price may be increased by NZWS at any time by the amount of any reasonable increase in the cost of supply of the Goods that is beyond the reasonable control of NZWS and that occurs between the date of the contract and delivery of the Goods. 5 Payment 5.1 Unless otherwise agreed in writing by the parties, payment for Goods shall be made by the Customer to NZWS in full either: Within seven (7) days of the date of invoice; or On or before the 20th day of the month following the date of the invoice ( the due date ). 5.2 Interest may be charged on any amount owing after the due date at the rate of 2.5% per month or part month. 5.3 Any expenses, disbursements and legal costs incurred by NZ WS in the enforcement of any rights contained in this contract shall be paid by the Customer, including any actual solicitor s fees or debt collection agency fees. 5.4 Receipt of a cheque, bill of exchange, or other negotiable instrument shall not constitute payment until such negotiable instrument is paid in full. 5.5 A deposit for any Goods may be required to be paid by the Customer to NZWS in NZWS s sole discretion. 6 Quotations 6.1 Where a quotation is given by NZWS for Goods: Unless otherwise agreed the quotation shall be valid for twenty one (21) days from the date of such quotation; and The quotation shall be exclusive of goods and services tax unless specifically stated to the contrary; and NZWS reserves the right to alter the quotation because of circumstances beyond its control. All quotations are subject to the availability of stock. 6.2 Where Goods are required in addition to the quotation including but not limited to artwork, film, plates, cutting forms and freights the Customer agrees to pay for the additional cost of such Goods as notified by NZWS to the Customer. 7 Risk 7.1 The Goods remain at NZWS s risk until delivery of the Goods to the Customer and thereafter the Goods shall be at the risk of the Customer. 7.2 Delivery of Goods shall be deemed complete when NZWS gives possession of the Goods directly to the Customer or possession of the Goods is given to a carrier, courier, or other bailee for purposes of transmission to the Customer. 8 Title and Security 8.1 The Customer grants NZWS a security interest (as that term is defined in the of the Personal Property Securities Act 1999 ( PPSA )) in the Goods and their accessions and all proceeds arising from the Goods, until all sums due to NZWS by the Customer have been paid in full and the Customer acknowledges that such security interest may be registered on the Personal Property Securities Register by NZWS. 8.2 The Customer agrees to execute any documents and provide any information and cooperate fully with NZWS so that NZWS can perfect the security interest granted under clause Title in any Goods supplied by NZWS passes to the Customer only when the Customer has made payment in full for all Goods provided by NZWS and of all other sums due to NZWS by the Customer on any account whatsoever. 8.4 If the Goods are attached, fixed, or incorporated into any property of the Customer, by way of any manufacturing or assembly process by the Customer or any third party, title in the Goods shall remain with NZWS until the Customer has made payment for all Goods, and where those Goods are mixed with other property so as to be part of or a constituent of any new Goods, title to these new Goods shall deemed to be assigned to NZWS as security for the full satisfaction by the Customer of the full amount owing between NZWS and Customer, provided always that the Customer confirms and agrees that the Customer grants to NZWS a security interest in all proceeds of any Goods of the type referred to in this clause The Customer gives irrevocable authority to NZWS to enter any premises occupied by the Customer or on which Goods are situated at any reasonable time after default by the Customer or before default if NZWS believes a default is likely and to remove and repossess any Goods and any other property to which Goods are attached or in which Goods are incorporated. NZWS shall not be liable for any costs, damages, expenses or losses incurred by the Customer or any third party as a result of this action, nor liable in contract or in tort or otherwise in any way whatsoever unless by statute such liability cannot be excluded. NZWS may either resell any repossessed Goods and credit the Customer s account with the net proceeds of sale (after deduction of all repossession, storage, selling and other costs) or may retain any repossessed Goods and credit the Customer s account with the invoice value thereof less such sum as NZWS reasonably determines on account of wear and tear, depreciation, obsolescence, loss or costs. 8.6 Where Goods are retained by NZWS pursuant to clause 8.4 the Customer waives the right to receive notice under s.120 PPSA and to object under s.121 of the PPSA. 8.7 The following shall constitute defaults by the Customer: Non-payment of any sum by the due date The Customer intimates that it will not pay any sum by the due date Any Goods are seized by any other creditor of the Customer or any other creditor intimates that it intends to seize Goods Any Goods in the possession of the Customer are materially damaged while any sum due from the Customer to NZWS remains unpaid The Customer is bankrupted or put into liquidation or a receiver is appointed to any of the Customer s assets A court judgment is entered against the Customer and remains unsatisfied for seven (7) days Any material adverse change in the financial position of the Customer. 8.8 If required by NZWS the Customer will store the Goods supplied or financed by NZWS in a way that enables them to be identified as having been supplied or financed by NZWS. 8.9 Except as otherwise provided in the PPSA or other statute, NZWS s interest in the Goods shall have priority over any other claim to the Goods, however arising, and whether of the Customer or any third party The Customer will immediately notify NZWS in writing of any change in the Customer s name or other material identifying characteristics of either the Customer or the Goods and such notification shall in the case of a name change be accompanied by documentary evidence of the Customer s new name The Customer will supply NZWS within two business days of written request, copies of all documents granting security interests registered over the Customer s personal property. The Customer authorises NZWS as an agent to request any information from any secured party relating to any security interest which is held in any personal property which is or has been in the Customer s possession or control Nothing in sections 114(1)(a), 133 and 134 of the PPSA shall apply to this contract. The Customer waives his/her/their /its rights pursuant to sections 121, 125, 129, 131 and 132 of the PPSA and his/her/their/its rights to receive any verification statement relating to the security interests in the Goods In addition to any security interest continuing in the Goods pursuant to section 82 of the PPSA the Customer gives NZWS a security interest directly in any goods in which any of the Goods are a raw material or component. 9 Payment Allocation 9.1 NZWS may in its discretion allocate any payment received from the Customer towards any invoice that NZWS determines and may do so at the time of receipt or at any time afterwards and on default by the Customer may reallocate any payments previously received and allocated. In the absence of any payment allocation by NZWS, payment shall be deemed to be allocated in such manner as preserves the maximum value of NZWS s purchase money security interest in the Goods. 10 Disputes 10.1 No claim relating to Goods will be considered unless made in writing within fourteen (14) days of delivery. 11 Liability 11.1 The Consumer Guarantees Act 1993, the Fair Trading Act 1986 and other statutes may imply warranties or conditions or impose obligations upon NZWS which cannot by law (or which can only to a limited extent by law) be excluded or modified. In respect of any such implied warranties, conditions or terms imposed on NZWS, NZWS s liability shall, where it is allowed, be excluded or if not able to be excluded only apply to the minimum extent required by the relevant statute Except as otherwise provided by clause 11.1 NZWS shall not be liable for: Any loss or damage of any kind whatsoever, arising from the supply of Goods by NZWS to the Customer, including consequential loss whether suffered or incurred by the Customer or another person and whether in contract or tort (including negligence) or otherwise and irrespective of whether such loss or damage arises directly or indirectly from Goods provided by NZWS to the Customer; and The Customer shall indemnify NZWS against all claims and loss of any kind whatsoever however caused or arising and without limiting the generality of the foregoing of this clause whether caused or arising as a result of the negligence of NZWS or otherwise, brought by any person in connection with any matter, act, omission, or error by NZWS its agents or employees in connection with the Goods. 12 Product Warranty 12.1 NZWS undertakes that the Goods will be fit for the particular purpose as set out in the sales specifications (which include product description, guidelines and additional information and product tests and product ingredients) supplied to the Customer. Where the Customer transports or stores the Goods in extreme or unusual environmental conditions) or where the Customer on sells the Goods to buyers which transport or store the Goods in extreme or unusual environmental conditions). 13 Copyright and Intellectual Property 13.1 NZWS owns and has copyright in all Goods designed and produced by NZWS, all formulae and formulations, drawings, specifications, models, photographs, documents and software produced by NZWS in connection with the Goods provided pursuant to this contract and the Customer may use the Goods only if paid for in full and for the purpose for which they were intended and supplied by NZWS. 14 Consumer Guarantees Act 14.1 The guarantees contained in the Consumer Guarantees Act 1993 are excluded where the Customer acquires Goods from NZWS for the purposes of a business in terms of sections 2 and 43 of that Act. 15 Personal Guarantee Of Directors Or Trustees 15.1 If the Customer is a company or trust, the director(s) or trustee(s) signing this contract, in consideration for NZWS agreeing to supply Goods and grant credit to the Customer at their request, also sign this contract in their personal capacity and jointly and severally personally undertake as principal debtors to NZWS the payment of any and all monies now or hereafter owed by the Customer to NZWS and indemnify NZWS against non-payment by the Customer. Any personal liability of any signatory hereto shall not exclude the Customer in any way whatsoever from the liabilities and obligations contained in this contract. The signatories and Customer shall be jointly and severally liable under the terms and conditions of this contract and for payment of all sums due hereunder. 16 General Lien 16.1 The Customer agrees that NZWS may exercise a general lien against any goods and services or property belonging to the Customer that is in the possession of NZWS for all sums outstanding under this contract and any other contract to which the Customer and NZWS are parties If the lien is not satisfied within seven (7) days of the due date NZWS may, having give notice of the lien at its option either: Remove such goods and services and store them in such a place and in such a manner as NZWS shall think fit and proper and at the risk and expense of the Customer; or Sell such goods and services or part thereof upon such terms as NZWS thinks fit and apply the proceeds in or towards discharge of the lien and the costs of sale without being liable to any person for damage caused. 17 Limit of NZWS s Liability The Customer agrees that any claim by it regarding any Goods shall be limited to a claim for replacement of those Goods or a credit note for the amount originally paid by the Customer for the Goods. 18 Force Majure NZWS is not liable for any failure or delay in performing an obligation in this contract if it is due to a cause reasonably beyond its control. Without limiting this clause, such an event shall include the inability of NZWS to supply Goods due to unavailability. 19 Amendment NZWS may from time to time amend these terms by posting to the address for service provided by the Customer to NZWS a written set of amended terms. The Customer and any guarantor(s) pursuant to clause 15 agree that the amended terms shall be effective upon receipt of such amended terms by the Customer and are deemed accepted, by the Customer placing any order after the date which is two business days after the date of posting. 20 Entire Agreement NZWS and the Customer agree that: These terms express the entire agreement and understanding between them and the remedies herein provided shall be the available remedies in place of the Contractual Remedies Act 1979; and There have been no representations made by or on behalf of NZWS that are relied on by the Customer. 21 No Assignment The Customer may not directly or indirectly assign to any person any of its benefits or burdens in respect of this contract but NZWS may. 22 Miscellaneous 22.1 NZWS shall not be liable for any delay or failure to perform its obligations under this contract. NZWS shall not be liable for any errors, quality defects, faults or omissions in any Goods or materials supplied to the Customer Failure by NZWS to enforce any of the terms and conditions contained in this contract shall not be deemed to be a waiver of any of the rights or obligations NZWS has under this contract If any provision of this contract shall be invalid, void or illegal or unenforceable the validity existence, legality and enforce ability of the remaining provisions shall not be affected, prejudiced or impaired. 4 INFORMATION CONTAINED IN THIS PRICE LIST Goods And Services Tax All prices included in this price list have been calculated to include GST. Minimum Invoice Value Processing of all credit accounts requires a minimum invoice value of $25.00 including GST. Freight All goods are quoted as Free into Store. Requests for priority or overnight delivery will incur a $25.00 charge per blind. Claims Claims for damaged goods must be reported to NZWS within 24 hours in order to recover costs from carrying companies and freight forwarder. Installation Charges (Not Discountable) Prices do not include cost of installation. Please refer to the installation schedule for additional charges. Service Work Service work charges have been included in this price list for all products outside the above specified guarantee. Please refer to the schedule. Product Specifications New Zealand Window Shades Limited reserves the right to alter or improve designs, specifications or price without notice. Where possible specification sheets have been included for your guidance. Guarantee: New Zealand Window Shades Ltd guarantees that all Blinds and Awnings will be free from defects in materials and workmanship for 3 years from the date of purchase. This guarantee is backed by New Zealand Window Shades Ltd. Installation is only covered by this guarantee when carried out by New Zealand Window Shades Ltd., or an accredited installer. The benefits conferred by this guarantee are in addition to all other rights and remedies in respect of the window coverings and their installation which consumers have under any legislation. The Guarantee DOES NOT cover the effects of: Misuse or abuse Normal wear and tear Maintenance and care not in accordance with the user instructions supplied with the product Incorrect installation ( not provided by N.Z.W.S Ltd ) NOTE: Component orders under the value of $50.00 including GST will incur a $5.00 surcharge. 5 TIPS ON CALCULATING THE PRICE To price from the price grids, round up to the next size increment ie: blind size 1409mm width x 1390mm drop = 1500mm x 1400mm from price grid. Working Dimensions When ordering products contained in this price book please submit all working dimensions in millimetres i.e. 1010mm All prices are calculated on the wood to wood measurement. 13 ROLLERSHADE AND SUNSCREEN CHARACTERISTICS FABRIC VEE ING Larger blinds may show fabric Vee ing, simply because it is impossible to make a large piece of fabric hang perfectly flat. This effect is more pronounced in blinds made with softer fabrics. It is more likely to see this appearing on blinds wider than 2000mm and or longer than 2500mm in drop. The bigger the blind, the more obvious this effect will be. CUPPING OF FABRIC Curling or cupping down the edges of the fabric may not be a product fault. This is a natural reaction that can be caused by fabric weave type or the fabrics reaction to temperature variation. In the majority of cases the curling may gradually diminish over time, but may never disappear altogether in some cases. MEASUREMENTS When placing your order for Rollershade or Sunscreen blinds the stated width measurement should be Wood to Wood only. To achieve the correct measurement three width measurements, top, middle and bottom should be taken then the smallest stated as the Wood to Wood width. (Refer: Rollershade/Sunscreen light gap specification page for detailed measurements) LIGHT GAPS All Rollershade blinds allow light to pass around the sides of the fabric, even when blockout fabric is used. This is because the overall width of the blind including its brackets is always wider than the fabric width. Light gaps are most prominent when blinds are fitted inside the window reveal. To reduce light gaps in some cases blinds can be linked together with In-line or Intermediate bracket systems. If light gaps are a concern it may well be better to use an Outside fit application rather than inside fit. (Refer: Rollershade / Sunscreen light gap specification page) TRACKING If for any reason your Rollershade or Sunscreen fabric starts to roll up unevenly and is in danger of contacting the brackets, the following action should be taken. Roll the shade down to its lower limit, take hold of the bottom rail and guide the fabric back while operating the chain control. For best results perform this action on a regular basis which allows the fabric to retain its new memory. RSH1

92 SILHOUETTE SHADES - SHADE DESIGN & OPERATION EASYRISE CORD LOOP OPERATION Refer to the illustration below. 1. Shade in fully raised position. 2. Pull down on rear half of cord loop to lower shade and open fabric vanes. 3. Pull down on front half of cord loop to close vanes and raise shade. NOTE: The cord tensioner must be properly mounted for the shade to operate. ULTRAGLIDE RETRACTABLE CORD OPERATION Refer to the illustrations below. 1. To lower shade and open vanes, pull cord towards the centre and down in long even strokes of approx 400mm. NOTE: Allow cord to fully retract between each stroke. 2. CLOSE VANES RAISE SHADE VANE OPERATION OPENED Vanes on all SILHOUETTE Shades open to slightly different degrees when tilted to their maximum open positions. Over-rotation can occur when the shade is completely lowered with the vanes opened. The bottom rail turns up to the inside of the opening when the vanes are in the horizontal position. NOTE: Over-rotation is an inherent characteristic of the 75mm fabric vanes. Vane closure for 50mm Bon Soir is approx 16mm, regardless SILHOUETTE SHADES FABRIC Silhouette Shades are textile (fabric) products and as such, may have visible variations under certain circumstances - these are considered normal and not a product fault. Examples of such variations which are inherent in the product include: Slight waviness in the vane material may be visible when the vanes are opened and light passes through the window covering. * Worm tracks appear as a slight crease, typically seen on the vanes fabric and are more noticeable in room darkening fabrics. * Puckers, dimples and pinched, are caused by shrinkage or stretch of one layer among multiple layers of fabric. Wrinkles may appear as a slight depression in the smoothness of the fabric surface. Silhouette Shades Width Variations The width of a Silhouette fabric roll is 3040mm and that of most fabrics with the exception of the 50mm Originale Fabric which has a finished product width limitation of 3040mm. The 50mm Originale fabric range can not support a wider width due to the weight of the fabric. The fabric is heavier as a result of more fabric because of the vane size. Exceeding the width limitation on these three ranges will cause the rotator rail (tube) to deflect and bow. FRONT SIDE OF SHADE LIGHT CONTROL The EasyRise Cord Loop allows for adjustment of the fabric vanes from open to closed and anywhere in between. NOTE: The degree of maximum vane closure varies slightly from the top to the bottom of the shade. 106 VERTICAL BLINDS EOS HELIX HEADRAIL EOS HELIX TRACK The EOS Helix track system includes an extruded aluminium alloy section (45mm deep by 25mm high) and a clutch mechanism to turn the slats. The narrow blade travellers are completely drawn against the end cap when the blind is opened, so that the blade stack is reduced to a minimum. Operation is smooth and easy, even when blinds are very large. 1 4 The headrail and other visible components are slim and elegant. Blades are always equally spaced and sure to hang straight, due to the self-alignment mechanism in the slat traveller. 2 5 The blade stack can be moved to the opposite side of the track by releasing the end stop. This is handy when windows need to be cleaned. If a hook is damaged, it can be easily replaced without dismantling the headrail. 3 6 VTB2
