18 2015 Bombardier Learjet 75 Serial Number 518, Registration N918BD Addendum 1: Manufacturer s Warranty Information A) Manufacturer warrants to Buyer that at Delivery Time, the Aircraft shall be free from: (i) defects in material, (ii) defects in manufacture, and (iii) defects in design, having regard to the state-of-the-art as of the time of the design of the Aircraft (collectively, the Warranty ). Manufacturer s sole obligation and liability (and Buyer s sole and exclusive remedy) under this Warranty is expressly limited to correction by repair, replacement or rework of the defective part by Manufacturer at a Manufacturer owned service facility or at a service facility authorized by Manufacturer to perform warranty repairs on Learjet 75 aircraft. For the sake of clarity, the Warranty covers the cost of the replacement part and the labor to perform the repair, replacement or rework, provided the labor hours do not exceed the applicable flat rates established by the Manufacturer from time to time, and in the event no flat rates have been established, the labor hours shall not exceed the usual Manufacturer removal times. Manufacturer s obligations under the Warranty are subject to Buyer giving notice to Manufacturer of a claim under this Warranty within the earlier of (i) 90 days of discovery of the defect or (ii) the expiration of the applicable Warranty period specified below. All costs and expenses associated with repositioning the Aircraft for repairs under the Warranty, and all costs and expenses associated with the return of a defective part covered by this Warranty, shall be at Buyer s expense. For the full Warranty to apply, Manufacturer must receive defective components within the period specified in the Parts Logistics Price Catalog. B) Subject to the terms in this Addendum 1, the Warranty offered by Manufacturer for the Aircraft (excluding the Engines and APU) shall be for sixty (60) months or 5,000 flight hours, whichever first occurs, from the date title to the Aircraft is transferred from Manufacturer to Buyer, except that: i. the Warranty with respect to the Completion Work shall be for twenty-four (24) months or 1,000 flight hours, whichever first occurs, from the date title to the Aircraft is transferred from Manufacturer to Buyer; and Specifica+ons are subject to verifica+on upon inspec+on. 19 2015 Bombardier Learjet 75 Serial Number 518, Registration N918BD Addendum 1: Manufacturer s Warranty Information ii. iii. the Warranty with respect to the windshield shall be for sixty (60) months or 2,500 flight hours, whichever first occurs, from the date title to the Aircraft is transferred from Manufacturer to Buyer; and the warranty with respect to the cabinets, excluding veneer and finish, shall be sixty (60) months or 2500 flight hours, whichever first occurs, from the date title to the Aircraft is transferred from Manufacturer to Buyer. For Warranty purposes, Completion Work is hereby defined as: (i) the exterior paint, (ii) all interior systems, components, parts, and furnishings, including but not limited to those installed in the Aircraft from the cockpit curtain back to the aft baggage bay wall (excluding cabinets), (iii) all vendor components that support the aforementioned items and (iv) cabinet veneer and finishes. The Warranty with respect to emergency batteries will be for twelve (12) months or 500 flight hours, whichever first occurs, from the date title to the Aircraft is transferred from Manufacturer to Buyer. C) Buyer shall be entitled to claim a repair, replacement or rework pursuant to this Warranty for a defective part provided: i. The Aircraft has been operated and maintained in accordance with Manufacturer s approved Flight Manual, Maintenance Manual and Service Bulletins, as each may be amended from time to time by Manufacturer; and ii. An installation, repair, alteration or modification to or of the Aircraft made by Buyer or a third party other than Manufacturer is not the cause or a contributing cause of the defect; and iii. The Aircraft has not been subject to misuse, abuse, damage or accident, and has not been improperly stored or protected against the elements when not in use. D) Notwithstanding any other provisions to the contrary, the Warranty shall not apply to the engines or the APU installed on the Aircraft. The engine and APU warranties are provided directly by the engine and APU manufacturers to Buyer, shall be the sole responsibility of the manufacturers, and the rights of Buyer with respect to the engines and APU shall be a matter as between the engine or APU manufacturer and Buyer. 20 2015 Bombardier Learjet 75 Serial Number 518, Registration N918BD Addendum 1: Manufacturer s Warranty Information Manufacturer shall have no obligation or liability for the engines or the APU including, without limitation, the warranty for the engines or APU, service bulletins for the engines and APU, and/or any lack of performance, reliability or maintainability of the Aircraft as a result of the engines or APU. The Warranty takes into account usage on life- limited and time tracked parts. Life-limited and/or time tracked components (e.g. batteries, brakes, starter generators, landing gear, stabilizer actuators, etc. as referenced in Chapter 5 of the aircraft maintenance manual), will be covered under this Warranty on a pro-rata basis, with Buyer paying for the consumed portion of the parts and labor, and the Manufacturer paying the unused portion at the time of replacement. i. This Warranty also excludes the following: Scheduled maintenance and scheduled inspections; all fuel, landing fees, applicable taxes, tariffs, duties, freight, crew expenses and insurance; rental exchanges or the labor associated with rental exchanges, including tooling and/or test equipment provided as a rental; Ground Support Equipment including engine, pitot/static covers; rigging or calibration of any system ii. requiring adjustments after 300 hrs time in service; abuse, accidents, or acts of God; missing parts (parts lost or misplaced after delivery of the Aircraft) Supplies necessary for airplane cleaning, servicing and replenishment of toilet supplies, fuel, oil, hydraulic fluids, liquid deicing systems, windshield rain repellant, oxygen system, sealant of any type, bonding wires, jumper wires, bonding straps, and other consumables; items or components, which experience normal wear and tear, corrosion, or erosion caused by operational use of the Aircraft, or exposure to environmental elements, regardless of time in service; windshield crazing; silk covered items, metallic paint color matching, or interior plating (other than satin nickel plating); light bulbs, lamps, LED s, light strips, diverter strips, fuses and current limiters, lenses, filters, gaskets, seals (such as door, panel or fairing seals), o-rings, back-up rings, static wicks, fasteners, nut plates, dome nuts, rivets, placards, bearings, bushings, tires, and other consumables and expendables; loose equipment (smoke goggles, maintenance runners, etc.); Schrader valves used on systems requiring regular servicing such as oxygen and nitrogen; any accessory, equipment or part incorporated in the Aircraft, which is not furnished pursuant to this Agreement. Vendor-issued service bulletins unless the service bulletin is part of a Bombardier-issued service bulletin; Airworthiness Directives (AD s), and Advisory Wire(s), unless linked to a Bombardier- issued service bulletin. Foreign object damage (FOD); upgrades to components or software upgrades; preventative maintenance or components changed as a precaution; maintenance errors or improper maintenance; Mobile Repair Party (MRP) travel time and expenses; overtime or premium time labor charges; hangar storage; engineering expense (unless directly associated with a warrantable repair); customer requests for modifications or replacements; flight test expense associated with recertifying and trouble shooting an aircraft, including crew expense; any defect that is discovered after the expiration of the warranty, per paragraph B above; engines or APU, per paragraph D above. G) Any repair, replacement or rework under the Warranty shall be covered to the extent of the un- expired portion of the applicable Warranty period set forth in this Addendum 1 remaining at the time of such repair, replacement or rework. H) All costs resulting from the removal of non-defective items (No Fault Found), other than by Manufacturer or Manufacturer s representatives, shall be paid by Buyer. I) Buyer shall maintain reasonably complete records of operations and maintenance of the Aircraft and shall make such records available to Manufacturer as Manufacturer may reasonably require. If Buyer fails to maintain such records Manufacturer shall be relieved of its Warranty obligations to the extent that such failure affects Manufacturer s obligations under this Warranty provision. J) The Warranty is accessory to the Aircraft and follows the rights to the Aircraft without requirement of Manufacturer s approval for transfer. The Warranty is for the benefit of Buyer, its successors and all persons to whom title to the Aircraft may be transferred during the Warranty periods set forth herein, provided that any successor or owner shall remain subject to the applicable terms of the Warranty to the same extent as the Buyer.
