All pages of the offer must be marked as Original or Copy as the case may be and should be signed. 5.0 Price Offer The agency shall submit their best possible price offer in physical form after signing the same. Offers which are not signed will not be accepted. No offer in any other form will be accepted and any such offer if received will be outright rejected. 6.0 Materials and services offered should be strictly as per specifications mentioned in this EOI Document. 9 Expression of Interest 1.1 Background: West Bengal State Watershed Development Agency (An Autonomous Society under Agriculture Department, Government of West Bengal) has been entrusted with the work of planning, monitoring and implementing Pradhan Mantri Krishi Sinchayee Yojana (PMKSY), a flagship programme of Government of India in the state of West Bengal. PMKSY consists of four components consisting of (1) AIBPO, (2) Har Khet Ko Pani, (3) Per Drop More Crop and (4) Watershed development. The Annual Action Plan for per drop more crop consisting of a) Micro Irrigation and b) Supplementary Water Management Activity was sanctioned in the State Level Sanctioning Committee (SLSC). The meeting was chaired by the Chief Secretary of the Government of West Bengal. The district wise detail of the micro-irrigation scheme, as was sanctioned in the SLSC is given in Annexure 1 and 2 of this document. 1.2 Objective of the EOI To ensure that the design of structure meets the guideline prescribed by National Mission for Micro irrigation, Government of India or in the guidelines of Pradhan Mantri Krishi Sinchayee Yojana, Government of India ( PMKSY). To ensure that the Manufacturer/ West Bengal State Government Agencies or Corporation or Undertakings delivers the prescribed quality input material /components such as PVC pipes, emitters, sprinkler set, raise pipes etc. To derive the lowest possible price for each type of system through price discovery method. To ensure that the farmer gets proper after sale service support and agronomical advisory services form the fabricator/manufacturer/ State Government Agencies or Corporations or undertakings. To scrutinize and empanel the competent fabricators/manufacturers/ State Government Agencies or Companies or Undertakings (hence forth referred to as system) for procuring, erection and commissioning of drip irrigation system or sprinkler irrigation system/structures at farmer s place across the State of West Bengal. 2.1 Need for Empanelment In present scenario, due to lack of knowledge of the farmers on standard, material specification and quality for construction of Drip and Sprinkler micro irrigation structures ( hence forth referred as micro irrigation system) as well as 7

10 maintaining the same, farmers are facing troubles such as o Not getting quality of construction. o Use of substandard material. o Inadequate agronomical services. o High Cost of the project. o Delay in project implementation. o Lack of after sales services, etc. Hence to overcome the above problems with an objective to safe guard the interest of farmer it was envisaged to empanel agencies with suitable experience, capability and financial ability to partner in the propagation of Micro Irrigation system in West Bengal. 3.0 Scope of Work The installation will be following a cluster approach each covering around 20 ha of land. The Vendor will enter into a tripartite agreement (MOU) with the farmer/ group of farmers/ user groups as First Party and Implementing Authority in the Districts as the third party for observing the following Terms And Condition:- 3.1 Erection, Procurement and Commissioning. i.) The Party shall supply the material and install the micro irrigation system at farmer s field according to the guideline prescribed. ii.) If there will be amendments in guideline of PMKSY, during the period of empanelment the agency shall follow the same. iii.) The party shall take project approval containing details like type of structure, area, design to be adopted, cost of project, tentative bill of materials etc. from the Implementing Authority for each individual project. The detail for the Implementing Authority is provided in Annexure-3 iv.) The vendors shall implement the project using material and components of minimum Indian Standard prescribed or of the suggested companies only. The detail is given in Annexure-17. The type of System to be used is based on the crop selected by the farmer, however the quality criteria should fall with the minimum standard suggested in the document ( Annexure 4 to annexure 17). v.) The vendors shall install the system within the time period set by Implementing Authority. vi.) The vendors will take a trial run of the entire system and handover the same to farmer group of farmers/ user groups which is complete in all respect. 8

11 vii.) The vendors must handover, after commissioning of the system a complete and updated Operational Manual in local language. 3.2 After Sales Services, Repair and Maintenance i.) The warranty period for the components / equipment shall be for a minimum of five years from the date of completion of installation of the system. ii.) The vendors will provide after sales services for 5 years to the farmer. iii.) The vendors will provide free replacement of component/equipment if damaged during the warranty period. However, the vendors can charge for replacement of spare parts and components which are out of warranty period. 3.3 Agronomical Services i.) The vendors shall provide on site operational training of minimum 7 days to the farmer or its nominated family member only. ii.) For the successful implementation of the project and to ensure envisaged benefits out of this project, the vendors shall provide agronomic services related with micro irrigation to the beneficiary. The duration of the agronomy services will be for two years after installing the system or the project completion date. iii.) The agronomy services to be provided by the vendors must include the advise for selection of crop, variety of seeds and other related agriculture inputs and also advise for taking best crop based on the prevailing market condition with an objective to maximize the earning of farmer. However, the decision regarding the selection of crop should be taken by farmer. iv.) During this period, a competent person deputed by the vendors will pay visit at every thirty days to the farmer fields. The list of competent person along with detail of qualification and experience has to be provided to the Authority as per the format given in Annexure -23. v.) The vendors will maintain records of such visit and submit the same to the Authority as and when required. 4.0 Terms of Reference for the Vendors i.) Vendors can submit its credentials relevant to the eligibility criteria specified as per point 6 of this document for one or more number of zones. The interested agency shall submit their EOI mentioning the name of zones in which they are interested for empanelment. ii.) Empanelment of vendors will be for five (5) zones in the State. A separate list of empanelled agency and its lowest price for each zone will be declared at the end of 9

12 this exercise. The name of districts following in each zone is listed and given at Annexure- 18. iii.) The best price offer discovered would be applicable for a period of one year. iv.) The vendors irrespective of its empanelment in one or more number of zones shall not be granted approval for quantum of work in a year more than its average annual turnover of last three year indicated in its proposal upto the year ending on 31 st March, The performance review would be done based on the quantum of work done, quality and no. of projects completed successfully in a year. Based on the performance review of the agency the Authority may extend the work limit by another 50% of its annual average turnover achieved in last two years for that particular year. v.) The vendors can implement the project only for the farmer or any one of his/her family member who has undergone the specific training/awareness programme related with micro irrigation methods conducted by the Implementing Authority and has obtained the certificate for the same. vi.) The subsidy shall be released by the Implementing Authority to the concerned beneficiary after due verification of the System as per the technical specifications and fulfilment of terms & conditions specified in the work order given by the farmer. vii.) The Authority may levy a penalty on the empanelled vendors if found that supplied component are not conforming to minimum specifications. The cost of such component would be recovered from the bank guarantee submitted for the particular project by agency. viii.) The vendors shall ensure the insurance of the system from a reputed Insurance company just after completion of construction work for one year and will have to submit the insurance certificate to the farmer. The cost of insurance has to be borne by agency. ix.) The vendors should provide help to the farmer for settlement of insurance claim and assist in submitting prima facie report of the damages occurred within the scope of the insurance policy if required. x.) The empanelled vendors shall not sub-contract the entire work of installation of the System to the associate dealer/distributor/other vendors. If agency is found to be sub-contracting the entire work of installation, the empanelment of such agency 10

13 shall be cancelled by the Authority. xi.) The Authority has right to cancel the empanelment at any point of time during the contract period. xii.) The Authority has right to disengage the empanelment of the vendors if found that work carried out by vendors is not satisfactory. xiii.) The work order for construction of System shall be issued by the farmer to the vendors. The Implementing Authority will carry out inspection through its official of the system as per specification. On getting the inspection report and if the project will be found as per the norms the Implementing Authority will release the subsidy amount to the farmer. xiv.) The subsidy shall not be released if the structure or any component is not as per the specification. 5.0 Selection Process The agency will have to qualify technically based on the eligibility criteria given at point no. 6 in this document. EOI of agency s not meeting the eligibility criteria will not be processed further. The documents to be submitted showing fulfilment of eligibility criteria are given in Annexure-7. i.) The price offer of all eligible agencies will be analyzed. The agency who will offer the lowest price for the micro-irrigation structure of different sizes for the specified quality of input materials as per Annexure-5 to 17 will be consider for empanelment. However, other eligible agencies will be called for negotiation and who wants to work at the lowest price will also be empanelled. ii.) The considered price offer would be based on the Lowest Price offered for different size and type of System for each zone. iii.) A zone wise list of selected agencies along with the best price discovered and will be prepared and the farmers will be advised to execute their project through any of the selected agency in the respective zone only. iv.) This empanelment will be for three years ( to ). 11

14 6.0 Minimum Eligibility Criteria The following are the minimum eligibility criteria for empanelment of vendors: 1 Should be a manufacturing units/west Bengal State Government Agency or Corporation or Undertakings and Installing BIS and ISI standard Drip/ Sprinkler materials. 2 Should have authorised dealer/network/offices in West Bengal with minimum two (2) years experience in designing, planning, estimating and installing drip/sprinkler irrigation system in the field of the farmers of India. 3 Should be able to provide maintenance and Agro-economical service to the farmers. (four times in the first year, two times in the second year) 4 Should have annual financial turnover of Rs 2.00 crore (Rupees two crore) for the last two(2) years i.e and Manufacturers/ firms should have manufacturing units/head office/area office/ branch office in West Bengal 6 Authorised persons/ agents of manufacturers or of West Bengal State Government Agency or Corporation or Undertakings are not allowed to apply. 7.1 Price Offer i.) To safeguard the interest of farmer and to streamline the cost of specified System, the Authority on behalf of farmer, is asking the vendors to submit their best possible price offer for various items of Micro Irrigation. ii.) The vendors shall offer their best price for system and agronomical services as specified in the scope of work of this document for each zone separately as per the formats given in the document. iii.) The vendors shall have to offer consolidated price for each system mentioned in the format for different Systems separately. The price should be inclusive of all except applicable taxes. iv.) The price offer has to be in Physical Format only.. Agency shall categorically confirm strict compliance with the following stipulation in respect of their offer. a) Any effort by Vendors or Vendors's agent/consultant or representative howsoever described to influence the Authority 12

15 in any way concerning scrutiny/ consideration/ evaluation/ comparison of the EOI or decision concerning empanelment shall entail rejection of the EOI. b) EOI should be submitted directly by the Vendors in their own letter head in sealed envelope within due date. c) Two copies of the Technical Proposal in bind form should be submitted. The copies may be marked as Original and Copy in case of Technical proposal any discrepancies, the Original copy will only be considered. d) Technical Proposal and the Price Offer and Envelopes containing EOI document fee should be put inside a sealed envelope. The envelope should be marked as EOI for empanelment of Vender for Micro Irrigation-Yr e) Price offer of only qualified agency as per eligibility criteria shall be opened. The Price offer should be put inside a separate envelope and the envelope should be marked as Price Offer. v.) Authority reserves the right to seek clarification/ justification from the agency on the price offer in case Authority deems it necessary. Based on the justification provided by the agency, if Authority feels that the price offer is unrealistic/ unfeasible in order to execute a project of this nature, Authority reserves the right to reject the said price offer. The agency shall be governed by the decision of Authority. 8.0 Monitoring mechanism i.) The Empanelled vendors will intimate the Implementing Authority to carry out inspection after completion of the project in all respect. The Implementing Authority will carry out the inspection through its nominated agency for official within 15 working days from the date of the call received from empanelled agency in written. The Authority may send samples of material used to CEPET to ascertain the quality of the material used. 9.0 Performance Security The empanelled agency shall submit a bank guarantee amounting 10% of work value for each project to the Implementing Authority on approval to execute the project. The Implementing Authority is taking this bank guarantee on behalf of farmer to safeguard interest of farmers. The bank guarantee to the tune of 5% of the work value will be relieved after 3 months from project completion date and remaining 5% of the bank guarantee would be relieved by the Authority after 5 (five) years from the project completion date (i.e. end of warranty 13

16 period). The project completion date shall mean the completion of inspection by the Implementing Authority or its nominated representative subject to satisfactory completion of the work Fairness and good faith 10.1 Good Faith; The parties undertake to act in good faith with respect to each other s rights under this contract and to adopt all reasonable measures to ensure the realization of the Scheme 10.2 Operation of the Contract: The parties recognize, that it is impractical to provide for every contingency which may arise during the life of the scheme, and the parties hereby agree that it is their intention that this Contract shall operate fairly as between them, and without detriment to the interest of either of them and that, if during the terms of this contract, either party believes that this contract is operating unfairly, the parties will use their best effort to remove the cause or causes of unfairness, but on failure to agree on any action pursuant to this clause shall give rise to a dispute subject to arbitration in accordance to clause 11 hereof Settlement of Disputes 11.1 Amicable Settlement : If either party objects to any action or inaction of the other party, the objecting party may file a written Notice of Dispute to the other party providing in detail the basis of the dispute. The party receiving the Notice of Dispute will consider it and respond within 14 days, or the dispute cannot be amicably settled within 14 days following the response of that party, clause 9.2 shall apply Dispute Resolution : Any dispute between the parties as to matters arising out of this contract that cannot be settled amicably according to clause 11.1 may be submitted by either party for settlement by arbitration in accordance for the following provisions:- (i. a) In case of disputes arising upon or in relation to or in connection with the contract between the Farmer and the Vendor, which has not been settled amicably, any party can refer the dispute for arbitration under (Indian) Arbitration and Conciliation Act,1996. Such dispute can be referred to an Arbitration Tribunal consisting of a single arbitrator, mutually decided by both the parties (i.b) In case of disputes arising upon or in relation to or in connection with the contract between the between the Implementing Authority and the Vendor, 14

17 which has not been settled amicably, any party can refer the dispute for arbitration under (Indian) Arbitration and Conciliation Act,1996. Such dispute can be referred to an Arbitration Tribunal consisting of three arbitrators, one each to be appointed by the parties and the third to be Appointed by the Chief Secretary to the Government of West Bengal. The Arbitration and Conciliation Act,1996 and any statutory modification or reenactment thereof, shall apply to these arbitration proceedings. (2) Arbitration proceeding shall be held at a place mutually agreed the members of Arbitral Tribunal in India and the language of the proceeding and that of all documents and communications between the parties shall be English. The decision of maturity of arbitrators shall be final and binding on both the parties. The expense of arbitration shall be determined by the arbitrators and shared equally between the parties. However, the expense by each party in connection with the preparation, presentation shall be borne by the party itself. All arbitration awards shall be in writing and shall state the reasons for. 15

20 Annexure 3 Implementing Authority for Micro Irrigation Program in Different Districts of West Bengal Deputy Director of Agriculture (Administration), Govt. of West Bengal and Member of District Level Implementing Committee (DLIC) of each district will work as the Implementing Authority for PMKSY (Per Drop More Crop). The Deputy Director of Agriculture (Administration) will oversee the planning, implementation and inter departmental co ordination at the district level. The Implementing Authority will utilise the services of Project Managers, WCDC of PMKSY(Watershed Development), District Horticulture Officers, Executive Engineers of WRIDD and other officials as the need required. 18
