PATENT - Bondioli & will defend Pavesi any proceeding brought against Purchaser based on a claim that any product furnished by Bondioli & infringes on any Pavesi patent in the United States, if Bondioli & is notified Pavesi promptly in writing and given authority, information assistance for the defense of same, and Bondioli & Pavesi shall pay all damages and costs awarded therein against Purchaser. In case the product is held to infringe and the use of the product is enjoined, Bondioli & Pavesi will either procure f or Purchaser the right to continue using the product or replace it with non-infringing products or modify it so it becomes noninfringing, or remove the product and refund the purchase price and the installation thereof. Bondioli & shall Pavesi not be liable for any proceedings brought claiming that the Purchaser's equipment using a Bondioli & Pavesi component infringes on any patent of the United States. This is the entire liability of Bondioli & Pavesi for patent infringement by its products. The pro ceeding paragraph shall not apply to any products manufactured to Purchaser's design. As to such products, Bondioli & Pavesi assumes no liability whatsoever for patent infringement. PROPRIETARY AND PATENT RIGHTS OF BONDIOLI & PAVESI - Goods of Bondioli & Pavesi include design, engineering and planning of Bondioli & Pavesi which is proprietary and sometimes patented. This sale does not waive these proprietary and/or patent rights and the Purchaser agrees not to reproduce such goods without the exp ress written authorization of Bondioli & Pavesi. LIMITATION OF LIABILITY - Bondioli & Pavesi's liability on any claim of any kind, including negligence, for any loss damage arising out of, connected with, or resulting from an order, or from the performance or breach thereof, or from the design, manufacture, sale, delivery, operation or use of its product is limited to the difference at the time and place of shipment between the value of the goods accepted and value they would have had if they had been warranted. A minimum order of $50.00 is required on all service parts delivered. INDEMNIFICATION - Purchaser agrees to indemnity Bondioli & Pavesi for any costs, attorney s fees, losses or damages resulting from claims brought against it by Purchasers' customers or employees arising out of Purchasers' acts, representations or omissions. TAXES - Purchaser shall pay all sales, use, excise, or similar taxes charged to Bondioli & Pavesi arising out of the sale. TRANSPORTATION - All phone are F.O.B. Ashland, Virginia, disregarding the order value total, unless otherwise indicated on the face of the invoice, and goods are transported at the risk and peril of Purchaser. If special methods of transportation or routing are desired, such must be included in the written purchase order. INSPECTION AND RECEIPT - Purchaser must inspect the goods on arrival. No complaint for errors in it ems delivered or shortages will be taken into account if it is not received in Ashland, Virginia within one week after the delivery date to Purchaser. Packing lists must accompany all claims for shortages. Bondioli & Pavesi must approve in writing in advance before any return of material for credit TITLE - Title to the products of Bondioli & Pavesi shall remain with Bondioli & until Pavesi payment is made in full by Purchaser. Such reservation of title is for purposes of securing the purchase price and shall not relieve Purchaser of the duty to inspect the products upon receipt to notify Bondioli & Pavesi of any deficiencies or defects, and to exercise due care in the use, installation, operation, and maintenance of the products when on t he premises of the Purchaser or under the control of the Purchaser. Such reservation of title shall not alter responsibility between Bondioli & Pavesi and Purchaser for shipping or for goods in transit GOVERNING LAW - The sale and purchase of products from Bondioli & Pavesi including terms and conditions hereof, shall be governed by the law of the Commonwealth of Virginia. LIMITED WARRANTY - Bondioli & warrants Pavesi to Purchaser that the products purchased will be of merchantable quality and free from defects of materal and workmanship and will be of the kind and quality desi gnated or specified in the contract This warranty shall only apply to defects appearing within one () year from the date of the Bondioli & Pavesi invoice. Bondioli & Pavesi will not be liable for any modifications to its product by Purchaser or by Warehouse Distributor. Satisfaction of this warranty will be limited to (a) replacement or (b) repair or modification of the product by Bondioli & Pavesi, or (c) issuance of a credit for the defective products delivered under the invoice involved. If option (a) or (b) is chosen, goods returned to customer will be freight prepaid. Rights under this warranty are available only it Bondioli & Pavesi is promptly notified, in writing, of the alleged defect and Bondioli & Pavesi's examination of the product discloses that the defect was not due to misuse, improper installation, accident or unusual degradation of the goods d ue to physical environments of an unusual nature. THERE ARE NO WARRANTIES WHICH EXTEND BEYOND THIS PROVISION. Any arbitration award shall be enforced in the Circuit Court of Hanover County, or in the United States District Court for the Eastern District of Virginia, Richmond Division. WAIVER - The waiver by Bondioli & Pavesi or by Purchaser of any breach or rights arising out of the sale shall not be considered a waiver of any further breach or future similar rights. PREVAILING TERMS - These terms and conditions herein shall prevail over any other terms and conditions contained in any document submitted by the Purchaser unless expressly agreed to in writing signed by Bondioli & Pavesi.
