Rent a motorcycle, directly from a motorcycle owner. November 2016 1

1. MotoShare World s leading online motorcycle sharing platform Each motorcycle offers a completely different riding experience. Therefore 1/4 of all motorcycles in the Netherlands changes ownership every year. Thanks to our insurance partners, MotoShare has enabled motorcyclists to safely share motorcycles in a close-knit community. We launched on May 23th 2016 in partnership with a large Dutch insurer (OHRA) and the Royal Dutch Motorcycle Association (KNMV); Within five months 203 motorcycles have been registered, making MotoShare the biggest motorcycle rental company in the Netherlands. * The parent company of OHRA is Delta Lloyd N.V.. ** The KNMV has over 65.000 members in the Netherlands. 2

2. Value proposition MotoShare enables peer-to-peer motorcycle sharing Renting out a private motorcycle is not insured under a regular motorcycle insurance. Therefore users cannot bypass the platform without taking substantial risks. Our partnerships have helped us to create a safe and easy environment to share motorcycles: Offers an all-risk insurance called MasterPolis MotoShare to users sharing motorcycles on MotoShare: Provides roadside assistance during rental periods. Supports MotoShare to develop the concept with extensive knowledge of the Dutch motorcycle market. 3

3. The market Large addressable market in The Netherlands, with a substantial share (55%) of non-owners Motorcyclists in the Netherlands: 1,300,000 people with a motorcycle drivers license. 715,000 (55%) do not own a motorcycle. 585,000 (45%) own a motorcycle. 66,000 (8%) occasionally rent. 129,000 (16%) occasionally borrow. 520,000 (40%) are presently not active. Based on a 2014 survey by the Jaarbeurs Utrecht and the 2014 Nielsen Global Survey, 13% of the motorcycle owners is currently willing to share their motorcycle. 4

3. The market Ample room for growth within the Netherlands with outbreak potential to the large European market The Netherlands Based on demand Active motorcyclists Potential rent days Currently renting 66k 264k Currently borrowing 129k 322k Own a motorcycle 585k 175k Non-active 520k 52k Total 1.300k 814k Booking revenue per rent day MotoShare margin 20% Total market potential 60,- EUR 8.8m EUR Europe Based on demand Active motorcyclists Potential rent days Currently renting* 2,1m 8,6m Currently borrowing* 4,2m 10,5m Own a motorcycle 19,0m 5,7m Non-active* 7,6m 0,8m Total 32,9m 25,5m Booking revenue per rent day MotoShare margin 20% Total market potential 60,- EUR 306m EUR * We assumed that in Western Europe a similar amount of active motorcyclists is borrowing (16%), renting (8%) and non-active (40%) as in the Netherlands. 5

4. Competitive position We have a first-mover advantage Insurance is the main barrier to entry. The development of MasterPolis MotoShare took 9 months. Motorcycle sharing platforms are now emerging in the US and UK. However we still have a first-mover advantage: Area Description Area Description Area Description Founder Guillermo Cornejo Founder Tom Miller Founder(s) Thomas & Jos Website 1 st version Stage Launched 16 August. 5. Traction A successful launch and validation of the concept in 16 >4,000 people follow us on social media and up until now 26,583 unique website visitors and 203 motorcycles have been listed. Our roadmap: In 2016 we validated demand and tested our business model with early adopters; in 2017 we will target the broader market in the Netherlands; in 2018 we aim to start our international roll-out. 9 April 2016: preregistration on MotoShare 23 May 2016: launched MotoShare in cooperation with OHRA and KNMV 31 October 2016: closed 2016 season successfully with 73 rent days 14 August 2015: founded MotoShare P2P B.V. 7

5. Traction Positive indicators and feedback Good feedback Positive feedback with an average score of 4,5 / 5 from renters and owners Users liked being able to rent more personal and affordable. Key influencers onboard Five motorcycle magazines have written about the MotoShare concept in 2016: MAG, Grip, MotoPlus, Promotor and Motorfans.nl. Limited damage On 73 rental days, only 400,- euro of damages have been claimed by OHRA under MasterPolis MotoShare. Good traffic to the website Significant traffic to the website with only 5k investment in marketing. More special motorcycles Towards the end of 2016 also expensive or custom motorcycles were being listed on MotoShare. This indicates that motorcycle owners trust the concept. Willingness to rent 855 rental clicks on motorcycle profiles and 789 registered users indicate a willingness to rent via MotoShare. Low conversion in 2016 due to the Minimal Viable Product. 8

6. Growth model Unit economics Current CAC* motorcycle: 28 We expect this number to decrease still to 20** Current CAC renter: 7 We expect this number to decrease still 5 Current avg. rent price: 60,- Current avg. rental period: 1.6 days Booking value per rental: 96,- Our commission: 11.2% (net of VAT) Earnings per rental: 11 Expected attrition rate is low. We received great customer feedback. * Stands for Customer Acquisition Cost ** With more brand recognition and an experienced marketer the CAC can decrease still considerable. 9

Thomas Jacobs CMO & founder (30) Experienced sales & marketing professional currently employed as business transformation manager for the customer service department within Philips. 8. Business case Seed funding needed to break-even in the Benelux We seek 210k EUR seed funding to target the broader market in the Netherlands and Belgium in 2017. Within 18 months we aim to break-even in the Benelux. After which we will seek additional funding (Series A) to roll-out in Europe. 11

Thank you! 12
