Provide $75k discretionary TI dollar fund to be used for the project The rents quoted for the various terms are intended to be turnkey even though we have a couple of items we are still clarifying. As such, we don t have an extra $75,000 in those budget numbers. With any of the terms offered, the tenant can spend up to $500,000 on whatever it would like and amortize that as additional rent over the lease term at 8%. 2. TI package Tenant needs assurance that this is a turnkey project based on the specifics outlined in the original RFP. Allowances need to be removed to the extent that can be accomplished including all food grade aspects, cooler area, etc. Please advise questions relating to this important aspect. DCT is providing a turn-key project. Attached is a revised breakdown summary spreadsheet of the requested TIs with clarifying comments. The only item that is an allowance component is the lift gates and card readers which is addressed in #11 on the attached summary sheet. 3. Provide fixture counts in bathrooms (remote and within the offices) accounted for based on employee count and male/female regardless of code minimums. Include a trucker bathroom in the shipping/receiving location We can confirm once the actual space plan is complete. Note, code required fixture count can be different than tenant s requirements. Please provide system that was included in pricing including the GPM and head size. The system will be ESFR K-25 @ 50 PSI, with Fire Pump 5. Assuming a lease execution date of August 7th, please revise schedule accordingly for milestone decisions needed along with anticipated delivery date. Expansion formula Provide terms of ROFO. Provided that Tenant is not in default or has been in default under the Lease, Tenant shall be granted a one-time right of first offer on the remaining vacant space within the building, in which case Landlord will offer to Tenant the right to lease such space on the same terms and conditions upon which Landlord intends to offer such space for lease to other parties. Tenant shall have 5 business days after receipt of Landlord s offer notice in which to accept or reject such offer. 7. Trailers are double stacked on the east side; any way to reconfigure to avoid? We cannot reconfigure unless there are fewer trailers being stored. 8. Is entrance shared with front tenant? The street curb-cut is shared and the tenant has its own truck-stacking lanes once it is past and south of the neighbor s turn-in. Please note that the Site Plan (Scheme 4) previously provided had a labeling error on the dock doors that has since been corrected. We have included an updated Site Plan (Scheme 4R) with the correct labeling. The total dock door count as listed was correct but the labeling on how many doors on each side of the building was labeled incorrectly. Arbor Ave., Tracy (1-205 Logistic Center) Summary of Landlord Obligations (Shell/TIA) Revised - 7-1-15 Landlord Obligations 1 Office area of 6,000 SF to be delivered turnkey using up to $85.00 per sq. ft. allowance. Include a canopy over the entrance. Area will include breakroom for up to 85 people and a shipping/driver checking area. Shell TIA Comments Landlord will provide Turn -Key without significant changes to floor plan provided by Tenant; code minimum electrical. All finishes to be DCT specifications and fixtures. 2 Assume a 70/30 male/female employee breakdown for 50 employees for purposes of restrooms; include one remote restroom opposite the office location. Review fixture counts needed upon space planning. 3 Speed bay depth 65 on both sides of the building. 66, included in Shell. 4 Interior bays 57 x 52 is the preferred size; indicate what is achievable based upon 65 speed bays See Site Plan. 5 Guard rails installed around office to prevent forklifts from puncturing drywall 6 Dock door numbering per tenant s specifications 7 Landlord will provide signage per local code 8 Designated parking for up to 85 cars; indicate total number to be constructed 100 to be dedicated to Tenant. The employee parking entrance should be separate from the truck entrance/guard shack area; Separate employee entrance to warehouse which will have turnstyle check-in. 9 Install five (5) 110v electrical drops on columns or exterior walls along with two (2) 240v drops for a trash compactor and one in the recoup area. Location to be determined. 10 Install roof mounted exhaust fans to meet a minimum of 1 air change per hour. Except insect wire (see below).

2 Landlord Obligations 11 Fencing of the demised premises designated truck areas with manual gates and electronic lift arm gates at the truck and employee entrances. In addition to the electronic lift arm gates there will be manual sliding gates to secure the premises during nonbusiness hours. Tenant to provide drawing of location and type of equipment. Entire site will be fenced. Shell TIA Comments $25,000 All motorized gear and related electrical not to exceed $25,000. Many specifications available. Allowance remains unless Tenant can provide specification for lift arm gates and card readers. 12 Landlord to Provide 12 x 16 Guard Shack with unisex restroom along with conduit to the main building. An awning will be constructed to cover the check in area outside of the guard shack to shelter drivers from weather. Including plumbing; 13 LED lighting or tenant approved substitute to provide 25 foot candles at 30 inches above the floor; assuming a 25% racked environment in your fixture count. Pricing assumes 3 rack aisles/bay and a total of 688 fixtures have been included. Area of warehouse lighting excludes the 6,000 SF office area and 25,000 SF conditioned space area. Provide Turn-key. See attached light specification which fixture count and pricing have been based on. 14 ESFR Sprinkler system; provide specifications on the system that can be reviewed by Factory Mutual. Building shell is to be equipped with ESFR fire sprinkler system. Please provide Factory Mutual's specs. Shell cost includes shell coverage and excludes special requirements due to Tenant product, racking, and use. The System will be an ESFR K-25 @ 50 PSI, with Fire Pump. 15 Bollards to be installed around any warehouse protrusions; i.e. sprinkler risers, electrical panels, exposed interior downspouts. See below for dock door specifications. 16 Indicate total electrical service provided in the facility. Building to be equipped with 2,000 amp, 480 volt, 3 phase main switchgear.

3 Landlord Obligations 17 Install a 25,000SF air conditioned room at 70 ; Indicate tons of cooling needed 60 tons. Location is estimated to be on a corner. Shell TIA Comments Turn-key $392,000 is budgeted in the TIA and excludes any special requirements due to Tenant s product, racking, and use (wash down area/sewer and any doors larger than man-doors) Location is shown on the Site Plan. 18 Battery charging station for 50 forklifts drawing 11 amps per forklift. Landlord to provide epoxy floor sealing in the battery charging areas and eyewash station per code with power available for 10 additional electrical outlets drawing 11 amps each. 19 Floor Scrubber dump draining; runoff contains some acid from floor cleaning 50 are included in Shell and the budget assumes that it is located within 500 of main power supply. Included in Shell provided it is located adjacent to office area. 20 Paint interior warehouse walls. 21 All floor saw cuts, expansion joints and cracks caulked, MM 80 or equivalent 22 All floor to wall joints filled and caulked 23 All joints between wall panels caulked 24 Dock doors with rubber seals to be mounted flush with the warehouse wall and any gaps filled 25 Dock levelers to have brush seals between the leveler and the dock pit on all sides 26 Dock door with rubber seal on the bottom to sit flush with the leveler once it is installed and level with the warehouse floor. This is to insure a food grade standard Ok, included in TIA see below.

Confirm LED shatterproof lights do not recommend lens covers. The most cost effective fixture should be included. Provide cut sheet on option. Ok, included in TIA as noted. 30 Circuitry runs front to back. Please clarify not budgeted. 31 All vents or louvers to have insect wire mesh over the openings Included 32 All man doors with rubber seal on the bottom to fit flush with the floor and or door frame with no gaps 33 Any openings in the building shall be sealed 34 All docks to have dock seals that fit tightly to trailers when the trailers are at the door. 35 There will be a potential total of 68 dock-high doors on the subject building. Dock packages will be included on 59 doors, to meet a desired 1:7,500/SF ratio. Included in TI as noted. DCT will provide 59 dock packages that will include: mechanical pit leveler -35,000lb capacity, dock lights -Kelley Model K1040 or equivalent, restraints - Kelley Model Star Automatic or equivalent, seals and the costs of the actual floor pit.

Optics Precision designed optics deliver even illumination. General and aisle distribution ensures superior performance to key areas within an application. Shielding Door frame and lens assembly is optional for more demanding environments. Options Integral Occupancy Sensor available and provides from 600 sq. ft. up to 1250 sq. ft. of coverage in a maximum mounting height of 40' using interchangeable lens caps provided. Mounting The HBLED series is ideally suited for suspension mounting with optional wire hook and chain set, or cable mounting. Single monopoint mounting is also available with SPM tong hanger. Compliance Luminaires are culus listed for damp locations -20 C - 55 C ambient environments in open configurations with fixed output (ED option) drivers and 40 C with dimming drivers (CD option) or lensed configurations.
