DISCUSSION:. Purpose To enter into a Memorandum of Agreement between Los Angeles World Airports (LAWA) and the Los Angeles Department of Water and Power (LADWP) for Design and Construction of Century Trunk Line Unit No. Project at LAX. 2. Prior Related Actions None 3. Current Action LADWP needs to replace an existing 36" water trunk line located beneath Century Blvd. between Sepulveda Blvd and Aviation Blvd. The existing trunk line, originally installed in 937 is deteriorating and experiencing minor leaks. In 206, LADWP's Asset Management Group determined that this segment between Sepulveda Blvd and Aviation Blvd. represented a significant risk for failure and prioritized the location for replacement. However, when conducting repairs to the Trunk Line crews must close lanes, consequently impacting traffic on Century Blvd. Staff is progressing with a significant capital improvement program, which requires a reliable water source to continue successful operations. In order to minimize traffic impacts, and manage construction activities in the area, LADWP has proposed integration of their replacement of the 36" trunk line with roadway and utility construction work associated with LAWA's Landside Access Modernization Program (LAMP). Pursuant to LADWP's request, and following extensive coordination of project alignments and schedules, LAWA has agreed to facilitate on behalf of LADWP for the construction of the new pipeline elements that fall within the LAMP development area. There is a mutual benefit to both agencies for replacing and upgrading the existing trunk line by not disrupting surrounding businesses twice. Primarily, the upgraded trunk line will provide additional capacity, greater reliability, and support LAMP improvements to LAX and other businesses. LADWP Trunk Line Project Unit No. The project includes approximately 0,880 feet of pipe between Sepulveda and La Cienega Blvd, primarily on 98th Street, New Concourse Way, and Arbor Vitae Street. The project will be replaced and constructed in three phases: Phase (LADWP administered contract) - 48 inch diameter pipe on 98th Street between Sepulveda Boulevard & Bellanca Avenue; including two 24 inch lines to existing Regulator Stations. Total approximate length: 6,80 feet Phase 2 (LAWA administered contract) - 48 inch diameter pipe on 98th Street between Bellanca Avenue & New Concourse Way. Total approximate length:,450 feet Phase 3 (LAWA administered contract) - 48 inch diameter pipe on New Concourse Way and Arbor Vitae Street to (west of La Cienega Boulevard) Total approximate length: 3,250 feet Page 2

The proposed agreement, approved by the LADWP Commissioners on March 27, 208, allows LAWA to construct Phases 2 and 3 of this Project, and will require LADWP reimburse LAWA the complete cost incurred which is valued at $4,68,59. LADWP will pay the total actual Project costs associated with LAWA's work as outlined in the Financial Obligations section of the MOA. This includes payments to the contractor and all other reasonable costs related to the construction of the improvements including, but not limited to Staff hours including applicable benefit rate, project oversight costs, outside inspection and other related City services To minimize the risk associated with this project, LAWA and LADWP will have representatives present during all phases of construction, and included a dispute resolution process in the MOA to address any unforeseen field risks. All problems will be resolved in accordance with the Dispute Resolution Ladder, which is included in the MOA as Exhibit E. This resolution ladder provides for a process to protect both parties' interest in case of cost overruns and other related issues. The MOA defines the limit of warranty (LAWA's contractor's means and methods) and the duration (for one year upon construction completion of each construction phase). Exhibit A (included herein) depicts the proposed agreed alignment and boundaries of LAWA and DWP work. The planning and construction of the Century trunk line will consist of a Construction Task Force that includes both LAWA and LADWP representatives, with both parties focused on minimizing traffic impacts by using off-peak construction periods and managing closures. Action Requested Staff requests the Board of Airport Commissioners authorize the Chief Executive Officer to enter into an MOA agreement for the Design and Construction of the Century Trunk Line Unit No. Project at LAX, an approved project by the LADWP, and received appropriate funding authorization for reimbursement into WBS elements.8.22-700 (LADWP Century Trunk Line Unit - Phase ),.8.23-700 (LADWP Century Trunk Line Unit - Phase 2),.8.24-700 (LADWP Century Trunk Line Unit - Phase 3) as appropriate. Fiscal Impact The estimated project cost agreed upon between LAWA and LADWP is $4,68,59 is included as part of the LAMP project. LADWP will reimburse LAWA the complete cost incurred by LAWA for Phase 2 and Phase 3 portion of work. 4. Alternatives Considered Take No Action If the Board does not approve the MOA, LADWP will need to defer the replacement of the 36" trunk line until the LAMP construction is complete. Should the existing trunk line have a major failure before it can be replacement, LADWP will need to proceed with an emergency repair and replacement project resulting in potentially significant impacts to LAMP projects. Consequently, Century Blvd will continue to be exposed to future pipe leaks and potential traffic disruptions. APPROPRIATIONS: No appropriations are required at this time. STANDARD PROVISIONS:. Any activity (approval of bids, execution of contracts, allocation of funds, etc.) for which the underlying project has been previously been evaluated for environmental significance and processed according to the requirements of the California Environmental Quality Act (CEQA) is exempt from further review pursuant to Article II, Section 2.i of the Los Angeles City CEQA Guidelines. The Landside Access Modernization Program Environmental Impact Report (EIR) was certified by the Board of Airport Commissioners for this project on March 2, 207 [Resolution 2685 (2028)]. 2.
