About MIRA OVERVIEW Malaysian Investor Relations Association (MIRA) was established in June 2007, by Bursa Malaysia (the Stock Exchange of Malaysia), and funded by the Capital Market Development Fund (CMDF), a statutory fund under the purview of Securities Commission Malaysia. MIRA is the first and only professional association for Investor Relations (IR) in Malaysia. MIRA organizes seminars and training workshops conducted by industry leaders and IR experts to train the IR community. These are enrichment programmes, aimed at providing members with exposure to moneycan t buy-aspects of IR of the community MIRA organises the Malaysia IR Awards to recognise exemplary best practices in IR among public-listed companies and their management MIRA organizes IR Day, an investor access programme where public-listed companies can increase their visibility by conducting a presentation on their business and financial aspects to local institutional and professional investors. MIRA assist and guides companies to establish a viable IR function and implement effective IR programmes MIRA provides networking opportunities via knowledge-sharing sessions for IR professionals to meet, exchange views and grow in their practice. IR Survey 2018 The 8th Malaysian Investor Relations Survey was undertaken by an independent media consultancy firm from September 2018 to October 2018. 10 categories surveyed were polled under Large, Mid, Small and Micro Cap based on company size (market capitalisation) referenced against the basket of companies under the FTSE Bursa Malaysia Index Series as at 31 December 2017. Results were validated by KPMG. Terence Loo Chief Executive Officer At Aquilas Advisory, Terence and his team are dedicated to setting benchmark standards in IR, and have played an instrumental role in bringing to the investment community many successful investment cases of wide-ranging industries. 22 Over the many years as an IR practitioner, we have seen many clients benefiting from a well-executed IR plan. Of course, we also have no lack of cases that IR just won t work for them in enhancing valuations and improving market perception. Therein lie the two issues of good versus bad companies, and good versus bad IR. Good IR invariably offers many benefits, including creating wealth for both controlling and minority shareholders, lower cost of capital as a result of high valuation, and impeccable goodwill among global pool of investors. It sets the stage for companies to raise capital easily to further build a sustainable business. Fundamentally-strong companies, coupled with good IR, will surely create greater value than one without. However, even with a celebrity IR officer, a company with defective business plans will never be able to create shareholder value. In our experience, a well-executed business plan (run by immaculate management whose interest is aligned with all shareholders ) is the cornerstone on which the IR activities must build on. It makes sense, after all the central idea of IR is to communicate the company s execution track record and earnings prospects. We certainly do not envy the IR of an electronics manufacturer that tried to justify the losses incurred through unrelated investments into a coal mine and an oil palm plantation. Or the pressure faced by the IR team at one of the largest plantation groups that saw its share price, as well as its cash hoard, frittering away after its IPO. No amount of IR initiatives will mitigate the effects of questionable business strategy.

Hallmarks of Good Investor (cont d) The second yardstick that we view as an important feature for good IR is having regular and consistent engagements with analysts and funds, in good and bad times. Many of our clients undertake results briefings on quarterly basis. Such commitment will gain the goodwill of the investment community who highly appreciates management access. These clients enjoyed favourable demand for new shares issuance when capital-raising needs arose. It is also important to provide sufficient data to analysts and funds for their informed analysis and decision, of course strictly within the disclosure guidelines of Bursa Malaysia. Regular publicity through press releases, media interviews, and Bursa announcements are just a means to an end of keeping investors abreast. Telling your story is the key pillar to good IR. And being publicly-listed means just that - being public about your business! One company which we have worked with for the last ten years has consistently shared its 5-year growth targets. This vision-casting dictates the tone of every investor briefing/meeting on the company s operations and expansion progress. Long-term plans attract long-term investors; and the said company currently counts a sizable number of long-term institutional investors in its shareholder list. Another good IR benchmark is continual communication during a crisis. The recent rout of construction stocks post GE-14 is really a test for some construction players. Many are tempted to shy away from meeting with investors just as they face the prospects of diminishing orderbook or fast-deteriorating earnings, the shunning of which will just exacerbate the fall in their share prices. We advocate sustained communications of fundamentals to investors, giving the assurance that the crisis is more systemic to the entire industry than it is peculiar to the company. At any rate, how many analysts or funds predicted the regime change! The last, but not the least, benchmark of good IR is establishing a dividend policy. A good management team would habitually instill the discipline of responsible cash-flow management. The ability in paying dividends reflects the discipline and mindset for all shareholders interest. It is therefore oxymoronic for a meagre dividend-paying company that desires long-term institutional investors. All said, it takes the right people to build a great company, and the right IR to make a stand-out investment case. 23

It has been an interesting time for the market both on and off the world stage. While the international market is very much affected by the US-China trade war, the local market is undergoing a major shift after the historical 14th Malaysian General Election (GE14) in May. Many companies were challenged, but like many things in life, there is always a silver lining. The same applies to the market where there are still great gems despite the market uncertainty we just need to look harder. Due credit must be given to the management of these organisations for doing a great job in growing the company. It is my personal observation that those who do better, generally just do more. This involves almost everything, including investor relations. Throughout my 15 years give or take in the investor relations (IR) industry, the companies that fare better are usually the ones that push for more. Some corporations see the market as a source of cash that they can access whenever they need them. Extraordinary companies view the market differently. They understand that the market consists of living, breathing investors who put their trust and savings into the hands of these companies. And it is these great companies who take this trust and investment seriously who will have the drive to deliver and to reward those who trust them. Simply put, these emphatic managers drive corporations better.

Accountability to Investors at the Heart of Investor Relations (cont d) Such extraordinary companies always give my team the challenge and motivation to do more and push each other on how to improve IR programmes, tell better stories and stay truly committed to engage the market and be responsible to its investors. It takes two hands to clap, and it is not enough if other players do not play their part. Hence, I find the emphasis on environmental, social and corporate governance (ESG) a noble initiative by the authorities to encourage companies to think beyond being responsible to their business and investors. It is the right move to have public-listed companies (PLCs) be the first movers to adopt ESG since most of them are leaders of their respective industries. Hence, it is a great way to demonstrate to their peers that successful organisations can operate and thrive within the ESG framework. This shows that positive changes under the ESG initiative can and do resonate beyond just listed companies. As mentioned earlier, credit is due to corporations who strive to do more and view their accountability to their investors seriously. The annual Investor Relations Awards organised by the Malaysian Investor Relations Association (MIRA) does just that. I d like to offer my heartiest congratulations to all the nominated candidates for the 2018 edition, some of whom I know or have worked with personally. In my opinion, each and every one of them are winners because it is only in a challenging market that good companies shine vividly. To be nominated is a huge honour ; an acknowledgement of the companies whose principle is to go beyond what is required to prove themselves worthy of the trust and investment placed in them and an appreciation of all their efforts. It is heartening to see so many new and established organisations present in today s market as it signifies the seriousness which the business and investing communities place on good and responsible corporate governance and sets a good example for upcoming companies to follow. Of course, much thanks must be given to the team at MIRA for their continuous work and support to the community. Since its establishment, the association has been instrumental in facilitating communication and fostering closer relationships between PLCs and the investor community through various initiatives in line with its mission to promote corporate governance and transparency as well as enhance shareholder value through IR. I applaud MIRA for the good work it has done in taking the awareness of good corporate governance among PLCs to the next level, and am confident that it will continue to enhance the IR industry. 25 There is a wise person once told me how you do something is how you do everything. While this theory is simple enough, putting it into practice is easier said than done. I believe it comes down to how organisations see the market from the start, which is why those who stand out and excel are those who hold accountability for the market rather than simply viewing it as a cash source. This, then, gives them the drive to do more as they take their IR programmes and investors seriously which, in turn, means they take their business environment and community seriously. This also has a positive effect on their peers as their success also keep their competitors on their toes and influences them to do just as well, if not better, cultivating a sustainable ecosystem within the industry. No doubt, the IR community and industry has come a long way and looking at all the milestones we have achieved so far, I m confident that we can expect nothing less than better things moving forward.

He obtained his BA (Hons) in Accounting and Financial Management from University of Sheffield, England in 2000. His extensive knowledge of the industry backed by good relations with institutional investors and research analysts has given him an excellent competitive edge in the industry. IN today s rapidly-evolving world, it s crucial to stay relevant and being on top of the game. And where Investor Relations (IR) is concerned, it s never-ending tasks, apart from representing a company to investors and providing financial/non-financial data to support company valuations, is to maintain a strong and transparent relationship with investors. Needless to say, on a broader perspective the duties of IR also include, amongst others, capturing analysts and fund managers imagination on company prospects, getting the listed company attain the optimum share price that reflects its fundamental value, observing the rules of securities commission and stock exchange, as well as presenting investor feedback to the company management and board. That said, the transformation made by a company from a privately held entity to a publicly traded is no easy feat and requires strong coordination to boost its image. This allows for a seamless transition from the private to public sector by capturing interest of investors and industry experts. On that notion, most founders of companies prefer to work with the IR and Public Relations (PR) teams to get things done. As easy as it may sound, when IR and PR work hand-in-hand, it offers a seemingly perfect blend of brand awareness, product value and differentiation for customers and investors. Somehow and in reality, in the pursuit of meeting deadlines, the IR and PR teams rarely communicate. This is evidenced by small cap companies, according to research.

Talking to The Money and Market The Roles of IR and PR (cont d) While the roles of IR seem clear, the responsibilities and functions of PR are broader, which includes more importantly managing a company s reputation and relationships with customers and suppliers. Essentially, this is accomplished by closely monitoring and altering how the company is represented in the media and other mediums of communication. In today s context, the duty of a PR specialist can span from being a spokesperson in the global and domestic business realm to managing crisis and internal memos within the organisation, gathering opinions and information relevant to the company, apart from implementing campaigns and setting up events. On a broader level, the communications aspect of a PR specialist requires immaculate writing skills, cross-cultural knowledge and a strong sense of the company s mission and desired perception. Simply put, IR talks to the money possessing the knowledge of banking and consultancy. They furnish the story of the numbers. And this works perfectly fine for the finance audience. While the PR talks to the market, its remit is broader and less numbers-driven. Its people are most often than not from marketing, advertising and journalism soft skilled and people-focused, they extend the story beyond the numbers. In a nut shell, these are different teams with different goals. But it s all about communication. The IR and PR can tango, working towards a vision, mission and goal. The two teams should have dialogues from time to time that could potentially enhance and provide more clarity and visibility of a company s message, resulting in forceful partnerships and yielding more sales in the future. The climate has changed and businesses need IR and PR to help navigate their firms through shifting consumer behavior, technological advances and an evolving media landscape. 27
