1. Direct Energie - Company Overview Direct Energie was established in 2003 by three entrepreneurs. Direct Energie has solid operational and financial partners to guarantee the development and the future of the company. Direct Energie has a long term approach with only one objective: to become the first alternative energy provider. Since September 2007, Direct Energie has been offering cheaper and greener electricity services to residential and business customers who want to pay less and who care for the environment. Since March 2009, Direct Energie has been offering gas and "DOUBLE ECO" bundle offers. 3

2. Market Overview Energy Market 28 million households. Approximately 3 Million businesses and 9 Million residential households can be switched to Direct Energie via ACN. The energy regulator is AEEG (Autorità per l'energia elettrica e il gas) - www.autorita.energia.it There is no binding customer contract term i.e all customers are eligible to switch their energy services. 95% of customers are using EDF/ GDF/ Poweo ands ome other small energy providers (all of these customers are eligible to switch to Direct Energie, subject to usage criteria documented in the FAQs). 5

Market Overview The ELD (Local Distribution Companies) excluded from the Direct Energie sales scope ELECTRICITY Electricity: there are 177 ELD in France responsible for electricity distribution in 2,500 towns for about 3 million inhabitants. GAS Gas: the most important locally-owned councils are Bordeaux, Strasbourg and Grenoble. They are independent councils owned by the local authorities which have not been nationalised in 1946. 3. Basic facts about electricity and gas Electricity The rates for the subscription and electricity consumption depend on the subscribed demand and the pricing option. Electricity is measured in kwh (kilo Watt houres) or kva (kilo Volt Ampere). Gas i.e A 6 kw usage indication on a EDF bill, means an approximate usage of 6.000 kwh per year. The quantities of gas consumed are measured in m 3 or in kwh, as indicated on the gas invoice. Rates depend on the consumption of the customer (cooking, warm water, heating). This corresponds to quantities of gas consumed on an annual basis and determines the consumption class of the customer* (Base, B0, B1 and B2i). *Customers must currently have B1 or B2i on their current utility bill to be eligible to switch their services to Direct Energie via ACN. 7
2. Green Electricity 20% of the electricity generated from Direct Energie originates from sustainable sources (Direct Energie offer). Direct Energie electricity customers also have the option to use green electricity which is 100% derived from sustainable sources (pur jus offer). This commitment is certified by the Observatoire des Energies Renouvelables: Observ ER. 8

On-site Assistance Assistance pro 24 (electricity servicing) Business customers can purchase an option for service assistance in the case of electricity failure, this includes: Pre-diagnostic assistance by phone (available 24/7). On-site assistance by a qualified and approved electrician. On-site assitance made available within 2 hours everywhere in France. Included per year: Three on-site assistance visits included per year (this option covers up to 300 incl. VAT for each on-site assitance by technician - travel costs, charges for parts and labour). Please note: This service is only available to customers who applied for electricity only or both gas and electricity. 9
